'WAGNER & ASSOCIATES, INC. (herein e.fter called "Consultant") WITNESSETH: THIS AGREE14EN71 is wrade with reference to the foliow�ng recitals: A. Consultart has proposed to perforip certain consulting services for Agency in connection with the Redevelopment Project Area within the City of Huntington Beach. o. Agency desires to have Consultant proceed with said services. NOW, THERE- FORE, it is agreed between the pi tic, as follows: 1. A copy of the SCOPE OF SERVICES is attached hereto and is incorporated � herein by referen�.e. L. Michael J. Wagner shall personally perfo-rl the services for Agency which are described in said Scope of Services, with said services to be per- formed by hit;: when requested by Agency, and with the Corperaetion as specified on page three: of such Scope of Services. 3. neither this agreement, nor any interest therein, shall be assignpd by Consultant, except with the, written consent of Agency 4. Take all actions necessary to create, at the request of the Agency, and Executive Director, the Redevelopment Plan. The Redevelopment Plan is proposed to include that area which will be included in a Survey Area to oe adopted by the City Council . a. Preparation of documents, resolutions, and ordinances at the direc- tion of the .Agency, and Executive Director- for the Redevelopment Plan. Documents will include the following: - Detailed Schedule of Activities. - initial Study, Draft and Firal Focused Environmental Impact Peport, including Notice of Preparation, Notice of Cor:pletion and Notice of Determination. - Relocation Plan, including Informational Statements, if r.quirad. - Owner Participation Rules. - Newspaper Notifications and Hearin,r Notifications. - Report to City Cc-ncil , including rsl'-day Report, Fiscal Review Corn- mittee Report, if any, Planning Commission Report, and Project Area Committee Report, if required. - Redevelopment Plan ordinance. b. Attend all meetings at the direction of the Agency, a�.d Executive Direc- tor to provide expert information and assistance on redevelopment issues necessary to adopt the Redevelopment Plan including:. Staff meetings. - Council/Agency meetings. - Planning Commission meetings. - Fiscal Review Committee meetings. •- Attorney meetings. - Project Area Committee meetings. c. Provide information and service, as may be necessary, to the Agency, and Executive Director to accomplish the fol'owing: - Demonstrate necessary financial assistance to the Fiscal Review Com- mittee - should one be created. Scope of Services Page Two - Assis'.- o- pablic hearing for the Redevelopment 'Plan. - Assist thy' City Clark in the distribution of documents. - Review documents as may be required with Agency Counsel. d. Conduct other activities n^ .essary to adopt the Redevelopment Plan including: - Preparation of legal description for the Survey ;rea. - Duplication of documents, resolutions, and ordinances. - Preparation of mailing lists and mailing. Filing fees with the State Board of equalization. - Publication of newspaper notices. 2. Working with the selected developers, owner-participants, the Agency, and the Executive Director, assist in negotiating, preparing and processing Disposition and Development Agreements or Owner Participation Agreements. This will include: a. - Selection of developers. b. Preparation of agreements. c. Preparation of the reports required pursuant to Section 33433 of the State Health and Safety Code. o, newspaper notification. e. Public hearings on the agreements. 3. Coordinate, to the benefit and satiJfaction of the Agency, and Executive Director, financing consultants, bond attorneys and mortgage companies, engineers and others to successfully acquire and administer the funds necessary to implement the proposed projects. Debentures may include Tax Allocation: Bonds and/or Notes, Mortgage Bonds and/or Notes and Assess- ment Distr',ct Bonds and/or Notes. Typical activities may include assisting in. a. Preparing official statements. b. Sizing the ;slues. c. Calculating the dispc --ition of proceeds. d. Describing the proposed projects. e. Negotiating {,alonr with the Agency and Executive Director; with the underwriters and gage iender<.. "Scope of Services PdUe Three f. Establishing the minimum sinking fund payments. g. Establishing the operating fund, the interest account, apd principal account, the mortgage reserve fund, the oabt service fund and the r2s*dual fund. h. Advertis ,zg the sale of the bonds. m. Conducting a bid openi:ig. n. Funding the bonds. 4. Coordinate as may be required from tire tc time, and approved by the. Agency, the Executive Director, appraisers, title officers, acquisition agents, relocation specialists, condemnation attorneys, engineers and architects to implement the proposed projects. Coordination will include: a. Selection of specialized services, and b. Monitoring to insure that ll activit=-s, as required, are conducted in accordance with State Law. No aciivity in the above :'cope of Services .!ill be conducted without the full knowledge and appr.,val of the Redevelopment Agency, and the Executive Director. As a consultant to the Agency, I will not be author- ized to represent or negotiate on behalf of the Redevelopment Agency. I will , however, provide all of the assistance necessary to sl:ccess- fully Implement the proposed developments. 5. Compensation and Method of Payment Consultant shall provide the above services to Agency as requested, but not to exceed 30 hours per month. The term of this contract. shall be one year from the date of execution, and the Agency may terminate this agreement with 30 days' written notice to Consultant. Compensation shall be at the rate of $50/hour for each hour worked. Wagner & Associates, Inc. to provide redevelop- ment consultant services. This contract will expire on March 15, 1983, and the attached Supplemental Agreement will extend the terms of this agreement for an additional year, RECOMMENDATION: Approve and authorize the Agency Clerl- to execute the attached Supplemental Agree- ment No. 1 for a one-year term with services not to exceed 30 hours per month at a total rate of $50 per hour. ANALYSIS: The continuing staffing commitment which is required to proceed with implementing the redevelopment program necessitates that appropriate assistance be provided. Therefore, it is recommended that the Agency extend the contract for consultant services with Michael J. Wagner & Associates, Inc. , which includes the following services: 1. Preparation of documents, resolutions and ordinances at the direction of the Agency, 2. Attendance of all meetings necessary and as specified by the Agency. 3. Informational services to the Agency, including assistance to the Fiscal Re- view Committee should one be created. 4. Conduct all other activities necessary to provide the Agency with sufficient documents to permit the adoption of redevelopment plans, if found feasible. Statement of Issue, Recommendation,Analysis, Funding Source, Alternative Actions, Attachments: STATEMENT OF ISSUE: On March 1, 1982, the City Counc4l , sitting as the Redevelopment Agency, selected the firm of Michael J. Wagner & A.ssoc`ates, Inc. to aruvide consultant services to the Redevelopment Agency. Also at that time, the Agency authorized staff to negotiate a cent-act with the firm; attached is that contrast. RECOMMENDATION: Approve and authorize the City Clerk to execute the attached agreement for consul- tant services with the firm of Michael J. Wagner & Associates, Inc. for a term of one year with services .not to exceed thirty hours per month at a total rate of $60 per hour. ANALYSIS: At its meeting of February 1, 1982, the Redevelopment Agency established seven areas to be designated as survey areas fr,i study as potentiil redevelopment areas. Subsequent to that action, staff presented to the Agency for its consideration the necessity to procure consultant assistance to proceed with the required planning. Staff recommended *hat the Agency contract for consultant assistance with Michael J. Wagner & Associates, Inc. , which was approved at that time. The attached agreement with Michael J. hagner & Associates, Inc, will procure the required services for the Agency, and the consultant will provide the fo'lowing basic tasks: 1. Preparation of documents, resolutic:ns and ordinances at the direction of the Agency. 2. Attendance of all meetings necessary an3 as specified by the Agency, 3. Informational services to the Agency, including assistance to the Fiscal Review Committee should one be created. 4. Conduct all other activities necessary to provide the Ager:y with sufficient documents to permic the adoption of a redevelopment plan, if found feasible.
