Praosal Requirements 2'-a. Examination of Plans,_ SgQcifications� Special Provisions and 1'r.e O Or The bidder shall examine carefully the site of the words con- templated and the proposal, plans, specificationu and contract forms therefore. It will be assumed that the bidder has inves- tigated and is satisfied as to the general quid local conditions to be encountered; as to the character, quality and quantities of the work to be performed and materials to be furnished; as to the character of equipment and facilities needed preliminary to and during the prosecution of the work; and as to the requirements of these specifications. � 'I:t is mutuallya that submission of a reed g proposal shall be considered prima facie evidence that the bidder has made such examination. No verbal agreement or conversation, with any officer, agent or employee of the City either before or after the execution of this contract shall effect or modify any of the tar= or obligations herein contained. 2-b. C�ktency of Bidders and PMent for Plows and Spacifications Plans, specifications and proposal forms ,pill be issued only to those contractors who can qualify as competent bidders. A charge will be required for the taking out of plans, none of • which will be refunded to any bidder. 2-c• PraB2sal Form All proposals inust be made upon blank fom. s to be obtained from the office of the Director of Public: Works at -the Civic Center, Huntington Beach, California. If the proposal is made by an individual, his name,port office address and telenhone number must be shown, If made by a firm or parl=ership must be shown. If made by a corporation the prop►anal must show the nixse of the State under the laws of which. the corporation waa chartered, the name of the corporation, and the names, titles, and business addasses and telephone nuroers of the president, Secretary and Treasurer. 2-d. Prapo.sal Guaranty All bids shall be presented snder sealed cover and shall be accompanied by cash, a oishier's check, certified check, or bidder's bond made payable to the City of Huntington Beach, for an amount equal to at least ton percent (10%) of the amunt of said bid, and no bid will be considered unless such cash, cashier's check, certified check, or bidder's bond is enclosed therewith, 2-e. Withdrawal of Prr2pdssaalss Any bid may be withdrawn at any time prior to the hour fixed in the notice to contractors for the opening of bids, provided that a request in writing, executed by the bidder or his duly authorized reprmsentative, for the withdrawal of such bid, is filed with the City Cie., X. The withdrawal of a bid shall not prejudice tho right of a bidder to file a new bid. 2-f . If there is reason for believing that r collusion exists'among Any or all bidders, any or all proposals may be rejected. proposals in which the prices obviously are unbalanced may be rejected. E 3. Award and Execution of Contract 3-a. Award of Contract The right is reserved to reject any and all proposals. The award of the contract, if it be awarded, will be to the lowest responsible bidder whose proposal complies with all ;r the requirements prescribed. All bids will be compared on the basin of the City's estimate ' of the quantities of work to be done. 3--b. Return of Bidder's Guarantee t Within ten (10) days after the award of the contract, the City of Huatington Beach will return tine proposal guarantee ' accompanying such of the proposals which are not be be con- sidered in making the award. All other proposal guarantee will be held until the contract has been finally executed, after which they will be returned to the respective bidders ' f r whose proposal they accompany. 3-c. Contract Bonds The contractor shall furnish the three good and sufficient bonds in accordance with the requirements of the State ; Contract Act, the Improvement Act of 1911, or the Municipal " Improvement Act of 1913, whicheirar Aa-t is applicable. Said i . bonds shall be cash, Cashier's Check, Certified Check, surety bonds,.subject to State or Federal regulation. Ohe of the said bonds shall be executed in a sum equal to 100% of the 3 contract price to guarantee the faithful performance of said r. contract by the contractor. Thereafter no payment shall be made upon such contract to the -contractor or any assignee of the contractor ?until such further or additional bond has been furnished. � f 3-d. Execution of a Cash Contract The contract shall be signet by the successful bidder within ten (10) working days after award and returned together wth the contract bonds, to the City Clark's office, Work shall commence within 20 working days, after the contract has • been awarded. No propoval shall be considered binding upon j the City until the complete execution of the contract by the contractor and the City. Any such changes will be set forth In a contract change order which will specify, in addition to the work to be done in connection with the change made, adjustments of contract time, if any, and the basis of compensation for such work. A contract change order will not become effective until approved by the Director or Engineer. New and unforse►.en work will be classed as extra work when � such work is not shown on the plans or set out in the specifications and special provisions. The contractor shall do no extra work except upon written I order from the Director of public Works. For such extra work the contractor shall receive payment as previously agreed upon in writing, or he small be paid by force account. 4-c. Cphan2es in Work for a Sp�:cial Assessment District Contract . Increases and decrea3es :in the work shall be done in conformity with the provisions of Sections 5230 to 5236, inclusive, of Chapter 8.5 of Division 7 of the Streets and Highways Code of the State of California, with: reference to a special assessment project performed under the provisions of the Improvement Pict of 1911, or in accordance with the provisions of Sections 10350 to 10-158, inclusive, of chapter 4.5 of Division 12 of j said Streets and Highways Code, with reference to a special assessment project �*r'16:ormed under the provisions of the � 1; Municipal Improvement Act of 1913. Full size details shall take precedence over scale drawings as to shape and details of construction. Any work called for by the drawings and not mentioned in the specifications, or vice versa, is to be :Eurnished as if set i forth by both. Where the work is riot sufficiently detailed or clearly shown, the contractor, before proceeding, shall apply in writing for additional details. WorkiU Drawings Working drawings or plans for any struetuxe, item of work, or facility, not included in the plans furnisshed by the Director of Public Works shall be approved by the Director before any work involving these plans shall be performed, unless approval is waiNed in writing by the Directoa of Public Works. ,. Intr.-etation of plans and_ Specifications Should it appear that: the work to be done, or any matter relative thereto, is not sufficiently detailed or explained in these specifications and plans, the contractor shall apply to the Director for such further explanations as may be nece,3sary, and shall ::onforni, to such explanations or inter.- pretattion as part. of. -the contract. Director shall be final. 5-g. laspection The Director or his authorized agent shall at all times have accesu to the work during construction and shall be furnished with every reasonable .facility for ascertaining full know- ledge respecting the progre3s of the work, •sorkma►nship, and the character of materials used and employed in the work, Whenever the contractor varies the period during which work is carried on each day he shall give adequate notice to the Director of Pulie Works., eo gist proper inspection may be provided. The con- tractor shall make the appropriate notit'icatioi acc%.�rding to the instruction given on the State Encroachment Permit or railroad permit for all inspections, and shall past all bonds and Certifications required by the permit,. The permit shall be acquired by the City. However, the contractor may also be required to secure additional permits under his ov)r! name, which permits shall be processed at the contractor's expense. The contractor shall pay for all testing and inspections required by a State Encroachment Permit or a railroad permit. 5-h. Removal of Defective and Unauthorized Work ,4 E N All work which is defective in its construction or does not meet all of the requirements of these plans and/or specifications shall be remedied, or removed and replaced by the contractor in an acceptable manner, and no compensation will be allowed for suc;i correction. Any work done beyond the limits of the lines and grades shown on the plans or established by the Director of Public �. Works,, or any extra work done without written authority, will be considered as unauthorized and will not be paid for. Upon failure on the part of the contractor to comply forth- with with any order of the Director made under the provisions of this article, the Director shall have authority to cause r defective work to be remedied, or rermr�ved and replaced, and unauthorized work to be removed, and to deduct the -costs thereof from any moneys due or to become due ;:he contractor. 5-1. Superintendence Whenever the contractor is not present on any part of the work where the City desires to give direction, orders will be ,iven by the Director in writing, and shall be received and obeyed by the contractor's superindentent or foreman to charge or the particular work in reference to which orders are given, �J 5-j. Lines and Grades All distances and measurements are given and will be made in � a horiozontal plane. Grades will bo yiven from and referenced to ;':tie top of stakes or points, unlesr, otherwise noted on the plans. U I F i` The contractor shall give at least: 24 hours notice in writing when he will require the services of the Director: for laying out any portion of the work. The oontractor f shall furnish the Director such &:cilities and ,labor necessary for making and maintaining points and lines as �. he may require. 4. The contractor shall preserve all stakes and points set for lines, grades, or measurements of the work in their proper places until authorized to removes them by the Director. All en-peenses incurred in replacing stakes that have been removed +' 1 1thout proper authority shall be paid by they contractor. Final Insl2Ection Whenever the: work provided for and contemplated by the contract r. shall have been satisfactorily completed and the final cleaning performad, the Director will make the finial inspectio... 6. Control ofia,cerial 6 -a. Quality of material Materials shall be new, ane► of specified kind and quality and fully equal to samples when samples are required. When the quality or kind of material or articles shown and required under the contract is not particularly specified, the con -tractor shall. estimate that the City will require articles or materials representing the best of its class or kind or at least equal . to the class or quality of similar articles or materials that are specified. Materials; shall be furnished in ample quantities and at such times to insure uninterrupted progress of t►w work. Same shall r be stowed properly and protected as required. The contractor shall be entirely re xponsibl.ee for damage or loss by weather or other cause. E1-h. Trade Nwa s or Equals It is the intent of theses specifications to permit the con- tractor to supply any of that materials specified or offer art equivalent. The engineer shall determiner whether the mAtearial offered is equivalent to that specified. Adequate time shall be alloyed for the engineer to make this deturmi.nation. The contractor may offer for approval any material, process, or equipment which he considers to be equivalent to that indicated. runless otherwise authorised by the engineer the substantiation of offers must be sub- init*ed within 35 days after award of contract. Test methods shall be subject to the approval of the engineer. Test results shall be reported promptly to the engineer, who will evaluate the results and determine if the substitute item is equivalent. His findings shall be final. Installation and use of a substitute item shall not be made until, approved by the engineer. Locationand Protection of Underground Utilities The City has shown on the. plars, the approxi ite location of known underground utilites, however, the contractor is responsible to notify owners of all power, telephone, gas, oil or other utility lines or structures before starting to mark out in the field the locations of their facilities in the vicinity of the work and shall notify the City of any interference with the construction of project and to protect in plane and/or request relocation of, or otherwise prevent damage to these facilities. In the event that every precaution is not exercised to avoid such damage, the contractor shall be liable for all damage due to his operations 7-1. Ressunsibility foDamage The City of Huntington Beach, the City Council, appointed or elected officials, commissions, NDards, any City employee or servant shall not be liable for any loss or damage to the work performed pursuant to the contract or any part thereof, or for any material or equipment used in performing the work, or for injury or damage to any person or persons, either workmen or the public, or for damage to properL-y adjoining the property on which the work is being performed from any causer whatsoever during the progress of the work or at any time before final acceptance by the City. The contractor shall indemnify and save harmless the City of Huntington Beach, the City Council, appointed or elected officials, commissions, boards, City employees or servants) from any suits, claims, or actions brought by any person or persons for or on account of any injuries or damages sustained because of or arising out of the performance of the work contemplated or in consequen(te3 thereof. In ad, :ition, the con- tractor shall furnish evidence of a commitment by the insurance company to notify the City of the expiration or cancellation of any of the insurance policies required hereunder not less than ` 30 days before any change in coverage, expiration or cancell- ation is affective. The contractor will be required to secure the payment of Workmen's Compensation to ius employees in accordance with the provisions of Section 3700 of the Labor Code. Prior to the commencement of work, the contractor shall sign and file with the engineer a certification in the following form: { I art aware of the provisions of Section 3700 of the Labor Code which .require every employer to be insured against liability for Workmen's Compensation or to undertake velf- insurance in accordance with the provisions of that code, and I will comply with such provi.s:'ons before commencing the performance of the work of this contract. Said certification is included in the contract, and signature and return of the contract as provided in Section 3-1.03, "Execution of Contract", shall constitute signing and filing of the said cer-ificate. The contractor shall rebuild, repair restore and make good all damages to any portion of the work occasioned by any of the above causes before its completion and acceptance and shall bear the expanse thereof, except for such damages as are occasioned by acts of the Federal Government and/or public enemy. In case of suspension of work from any cause whatever; the contractor shalt be responsible for all materials and shall properly store them if necessar.r, and shall provide suitable drainage and erect temporary structures where necessary. 7-p. Non -Responsibility of the City The City shall not be responsible for damage or loss from any cause to the work or site, or other property: or for inj"ry or loss of life to persons employed, or to the public;. The contractor shall take out and pay for all. accident, com- pensation and fire insurance necessary, according to law and assume all ar'sk and responsibility until the work is finally accepted by the City, all as hereinafter specified. Indebtedness incurred for any cause in connection w�..-.h this work must be paid by the contractor and the City is hereby relieved at.a.11 times from any indebtedness or claim other than payments under terms of the contract. 7-q. No Personarl, Liability Neither the City Council, the Director of Public Works or any other officer or authorized assistant or agent shall be personally responsible for any liability arising under the contract. 7-r. Progress Schedule When, in the judgement of the ^.ity, it becomes necessary to accelerate the work, the contractor, when ordered, shall cease work at any particular point and concentrate his forces at such other point or pointy as directed; and execute such portions of his work as may be required to enable others to hasten and properly engage and na►rr7 on their work. 8-b. Working Gays Every calendar day except Sij.turdays, Sundays and legal holidays is counted a full working day in figuring the wozX3.ng days allowed under the contract. No work may be performed on Sundays and holidays, except as other wise provided for ,herein. See paragraph 2, Section 5-g, page 8. 8-c . Labor The contractor) shall observe strivly that each arid every kind of work shall be performed by workmen, .Laborers, or mechanics especially skilled in the class of work required and that workmanship shall be of the best regardless of the quality of material. The contractor shall provide, at all times, sufficient com- petent labor to properly accomplish the work and to insure completion of each part in accori'ance with schedule and with the time agreed to. Temporaryy Suspension of Work The Director of Public Works shall have the authority to suspend, the work wholly or in part, for such period as he �- may deem necessary, due to unsuitable weather, or to such other conditions as are considered unfavorable for the i prosecution of the work, or for such time as he may deem necessary, due to the failure on the part of the con- tractor to carry out orders give, or to perform any provisions of the work. The contractor shall immediately obey all t orders of the Director_ of Public Works and shall not resume the work until ordered to do so in writing by the Director of Public Works, 8--h. Time of Completion And Liquidated Damao It is agreed by the parties to the coitt:ract that in case all '- work called for under the contract is not completed before or upon the expiration of the time.. limit as set forth in these specifications, damage will be sustained by the City of Huntington Beach and that it is and will be impracticable to determine the actual damage which the City will sustain in the event of and by reason of such delay; and iq is therefore agreed that the contractor will pay to the ei_ �y of Huntingtor. Beach the sum of one hundred dollars ($100.00) per day for each and every day's delay beyond the time prescribed to complete the work, or any approved extension thereof, and the contractor agrees to pay such liquidated damages as herein provided and in case the same are not paid, agrees that the City of Huntington Beach may deduct the amount thereof from any money due or _hat may became due the contractor under the contract. If the Director extends the time limit for the completion of the contract, the City shall further have the right to charge to the contractor, his heirs, assigns or sureties, and to deduct e from the final payment for the work, all or any part, as. it may deam proper, of the, actual cost of engineoring, inspection, superintandence, and other overhead expenses which are directly chargeable to the contract, and which accrue during i the period of such extension, except that the coat of final surveys and preparation of final estimate shall not be included in such charges. e 1� A The contractor shall not be asseu sed with liquidation dantages nor the coat of engineering and inspection daring any delay in the completion of the work caused by acts of God or of public enemy, acts of the Catty, fire, floods epidemical quarantine restrictions, strikes, freight: embargoes, and unusually severe weather or delays of -sub- contractors clue to such causes; provided, that the contractor shall within ten (10) days from the beginning of any such delay notify the Director of Public Works in writing of the causes of delay. The Director of Ptiblic Works shall ascertain the facts and the extent of elel.ay, and his findings of 'he facts thereon shall be fina:►l and conclusive. 8-i. Suspension of a Cash Contract If at any time in the opinion of the C..ty Council. the. contractor has failed to supply an adegv :.te working force,, or material of proper quality, or has failed in any other respect to prosecute the work with -the diligence and force specified and intended by the terms of the contract, notice thereof in writing will be served upon him, and should he neglect or refuse: to provide means for a batisfactory compliance with 'he contract, .as directed by the :0ire3ctor of Public Works, within the time specified in such notice, the City Council shall have the power to suspend the operation of the contract. Upon receiving notice of such suspension, the contractor shall discontinue performance of s.aaaid work, or such parts of it as the City Council may designate. Termination of a S2ecial Assessment District Contract 1 Failure to prosecute work diligently is ground for termination of the contractor's control over the work and taking over the work by the City of due process of law. 8-k. Preservation and Cleaning The contractor shall properly preserve and clean the work as ' it progresses. At regular inter,tals, or when directed, rubbish shall be collected and removed, and at complell,-Aon the whole work shall be cleatned and all tools, false worx, equipment and rubbish shall be removed from the site, which shall be left in clean and proper condition as directed. 8-m. r.ccej2tance Should it become necessary, due to developed condition, to occupy any portion of the work before contract is fully com- pleted, such occupancy shall not constitute acceptance. f' r 9. Pro re::ss Pa rents The City shall, once in each month, cause an estimate in writint,J to be made by the Director of Public Works of the total amount of work done and the acceptable materials furnished and delivered by the contractor to the job site and not used as of the time of such estimate and the value thereof. No estimate or payment shall be required to be made when in the judgement of the Director of Public Works, the work is not proceeding in accordance with .he provisions of the contract or when in his judgment the total value of the work done since the last estimate amounts to less than three hundred dollars ($300). Progress payments shall be submitted to the Department of Public Works on the Monday before each City Council meeting for monthly progress payment or final payment. City Couxacil meetings are held on the first and third Monday of each month. Progress payment shall also by typed written on farm furnished by the City (see forms). 9-C. Final PAy nt They Director of Public: Works shall, after cumplt .io h of the contract, make a finaa estimate of amount of work done thereunder and the val"o of such work, and the City of Huntington Beach shall pay the entire sum found to be due after deducting therefrom all previous payments and all amounts to be kept and all amounts to be retained under the provisions of the contract. (1) All mechanics and laborers employed ir, the construction of project shall be paid unconditionally and not less often than once a week, and without subsequent deduction or rebate on any account, except such payroll deductions as are permitted by Regulations of the Secretary of Labor, Part 3 (29 CPR Part 3), the full amounts due at the time of payment computed at � wage rates not less than those contained in the applicable wage determination decision of the Secretary of Labor, regardless of any contractual relationship which may be alleged -to exiot between the contractor and such laborers and mechanics; and the applicable wage determination decision shall be posted by the Contractor at the site of the work in a prominent place where it can be easily seen by the workers. For the purpose of this clause, contributions made or costs reasonably anticipated under section 1 (b)(2) of the Davis -Bacon Act on behalf of; laborers or mechanics are considered wages paid to such laborers or mechaniti,, subject to 29 CPR 5.5 (a) (1) (iv), which provides substantially as follows: The contractor may consider as part of the wages, of any laborer or mechanic the amount of any costs reasonably anticipated in providing benefits under a plan or program described in section 1 (b) (2) (B) of the Daviaj-Bacon Act, or any bona fide fringe benefits not expressly listed in section 1 (b)(2) of the Davis -Bacon Act or otherwise not listed in the applicable wage determination decision, only when the Secretary of Labor has found, upon the written request of the contractor, -that the applicable standards of the Davie -Bacon Act have been met. Whenever practicable, the contractor should request the Secretary of Labor to make such findings before the nmiking of the contract. In the case of unfunded plans and programs, the Secretary of Labor may require the contractor to set aside in a separate account assets for the meeting of obligations under the plan or program. Also for the purpose of this clause, regular contributions made r. or costs incurred for more than a weekly period under plans, funds, or programs, but covering the particular weekly period, are deemed to be constructively maade or incurred during such weekly period. ( 2 ) Whenever the minimum wage rate pi.escribed in the applicable wage determination decision for a cuss of laborern or mechanics includes a fringe benaifit which is not expressed as an hourly wage rate and the contractor is obligated to pray the cash equivalent of such a fringe. benefit, if the interested parties cannot agree upon the crash equivalent, the question, shall be referred to the Secretary of Labor for determination, (3) The term "applicable wage determination decision" as used herein means the unexpired wage decision, in effect at the time construction starts, spec4.fying the wage rates pre- � 1 veiling in the locality in which the work is to be performed for the corresponding classes of laborers and mechanics employed on construction of a similar charadcter, as determined by the Secretary of Labor in accordance with the Davis -Bacon Act, as amended (40 U.S.U. 276a-276a-5i , including effective changes in the decision. Wage decision changes,,such as t modifications and supersedeas decisions, small be effective ; unless, prior to their issuance by the Secretary of Labor, construction of the project has been started. (4) Any class of laborers or mechanics which is not listed in the wage determination and which is to be employed under the contract. 4! shall be classified or reclassified comformably to the wage � determination, and a report of the action taken shall be seni;. by � City to the Secretary of Labor. Xn the event the interested parties cannot agree on the proper classification or reclass.- if ication of a particular class of laborers or mechanics to be used, the question. r B. The payrolls shall contain the name, address and Social Security number of each such employee, his correct classification (including the wage -rate step of each apprentice), .rates of pay (including rates of contributions or costs anticipated: of the types described in section 1 (b) (2) of the Davis --Bacon Act), daily and weekly number of hours worked, gross wages;earned, deductions made and actual wages paid, Whenever the Secretary of Labor has found under 29 CFR 5.5(a)(1)(iv) that the wages of any laborer or mechanic include the amount of any costs reasonably ant- icipated in providing benefits under a plan or program described in section 1(b) (2) (B) of the Davis -Bacon Act, the contractor shall maintain records 4hich show that the commit- ment to provide such benefits in enforceable, that the plan or program, is financially responsible? and that the plan or program has been communicated in writing to the laborers or mechanics affected, and records which show the coeits anticipated or the actual cost incurree. in providing such benefits. A A C ` (a) Accurate daily time records shall be maintained. These , records must show the time worked in each classification and the rate of pay for each classification, and Faust be signed by the workman. (b) The payroli shall show the hours worked in each cla.ssifi= cation and the wage rate paid for each classification, (c) The payroll shall be signed by the workman, or a signed copy of the daily time records shall be attached thereto. (3) (a) A copy of all payrolls, including those of all sub- contractors, shall be submitted weekly to the City by the prime contractor. The copy of each payroll shall be ' accompanied by a "Weekly Statement of Compliance" in the form specified in Regulations of the Secretary of Labor, Part 3 (29 CFR Part 3). The statement shall be executed by the employer (owner, partner or corporate officer) or, if a copy of a current letter of authorization signed by the employer is furnished to the City, the statement may be signed by the employee authorized in said letter to supervise the payment of the employees. In addition, each payroll of a subcontractor shall be accompanied by ' a certificate of the prime contractor, certifying that he or his authorized assistant has examined the payroll and found no evidence of v+olation of contract provisions relating to Labor. IC C' (b) A copy of any finding by the 29 CFR 5.5 (a) (1) (,iv) shall b the contractor: with the first receipt of the finding. The contractor shall furnish to the City written evidence of the required registration of his program and apprentices and those of subcontractors, the approved ratios of apprentices to journeymen, and the approved apprentice wage rates for the area of construction, D prior to the use of the apprentices on the contract work. D. The contractor, his subcontractors and any lower tier subcontractorst shall insert conditions A through E hereof in any subcontracts into which they may enter. The contractor shall not thereby be relieved •; of responsibility for compliance with the aforesaid conditions. E. (1) In the event. of failure of the contractor or any subcontractor to comply with the foregoing conditions, the owner may with- hold from the contractor any payment of advances payable to the contractor until the contractor establishes, to the satin - faction of the City, that the violations of the aforesaid �.► conditions no longer exist. I (2) A breach of the foregoing conditions may be grounds for termination of the contract, and for debarment as provided in 29 CFR 5.6 and 24 CFR 200.1.90 - 200.195. ARTICLE 2 -- EQUAL EMPLOYMENT OPPORTUNITY During the performance of this contract, the contractor agrees as follows: A.
