SUBJECT: Approve and authorize execution of Professional Services Contracts for On Call
Ocean and Engineering Services with Moffatt & Nichol, Anchor QEA, LLC., and
GHD, Inc., each in an amount not to exceed $150,000
Statement of Issue:
The Public Works Department requires on-call/as-needed ocean and other engineering services to
support staff for design of capital improvement projects.
Financial Impact:
The City's FY 2017/18 Capital Improvement Program (CIP) Budget totals $28 million (All Funds) for
approved projects citywide. Each approved CIP project has a budget containing sufficient funding
for design, environmental, engineering, construction, project management and other required costs.
The three (3) recommended ocean and engineering service contracts have a maximum value of
$450,000 over the next three years and will be funded on an as -needed basis within each project's
individual CIP budget. As such, no additional funding is required by this action.

Alternative Action(s):
Do not authorize the contracts and direct staff with an alternate action. Budgeted Capital Projects
could be delayed until new contracts are approved.
Analysis:
On November 28, 2017, the City advertised a Request for Qualifications ("RFQ") for On -Call
Engineering and Professional Consulting Services. Proposals were requested and submitted in
compliance with Chapter 3.03 of the Huntington Beach Municipal Code. Four (4) proposals were
received for ocean and engineering services. In accordance with a qualifications based selected

procurement per the Federal "Brooks Act," State SB 419, and the City of Huntington Beach
Municipal Code Section 3.03 "Professional Services" the Public Works Department established a
review board.
Proposals were evaluated and ranked by a three (3) member panel review team established by the
Public Works Department. The reviewers were a Principal Civil Engineer, a Planning Manager, and
a Senior Planner. After conducting the entire evaluation process, including negotiation for
competitive rates, the top three (3) firms were selected to increase opportunity for competitive
proposals for future projects from qualified on call consultants, and they are Moffatt & Nichol,
Anchor QEA, LLC., and GHD, Inc. A summary of evaluation sheets for the top (3) firms, and the
fourth (4th) firm not selected are shown in Attachment 4.
The contracts recommended in this Request for Council Action (RCA) are to support staff for ocean
and design engineering of capital improvement projects. These services have historically been
utilized to supplement City staff to meet annual CIP goals, as an extension of staff and/or to provide
required expertise for unique projects. It is anticipated that these services will be required based on
past years. Each project is evaluated on a case by case basis to determine if these as -needed
contract services are necessary.
The City's Capital Improvement Program ("CIP") is approximately $24.6 million in Fiscal Year
2017/18, and exceeds $28 million with continuing funds for projects approved from previous years.
In addition, the proposed Fiscal Year 2018/19 CIP totals $24.7 million in new projects. Typical
design and construction support costs from use of consultants on a CIP project can vary between
ten (10) to twenty (20) percent of total costs for a CIP project. Therefore, it is practical to
conservatively estimate minimum annual consultant costs would be approximately $2 million to the
City for total CIP projects or $6 million within the next three (3) years.
Ocean and engineering services are typically required for ocean related CIP projects. Therefore,
these consultants were selected to meet projected workload over the next three years with a total
contract limit of $450,000.

PROFESSIONAL SERVICES CONTRACT BETWEEN

MOFFATT & NICHOL
FOR
ON CALL OCEAN AND ENGINEERING SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as
"CITY," and MOFFATT & NICHOL, a California corporation hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide on call. ocean
and engineering services; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service
contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A," which is
attached hereto and incorporated into this Agreement by this reference. These services shall
sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Michael McCarthy who shall represent it and be
its sole contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT are to
commence on May 21 st , 201 (the "Commencement Date"). This Agreement
shall automatically terminate three (3) years from the Commencement Date, unless extended or
sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no
later than three (3) years from the Commencement Date. The time for performance of the tasks
identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be
amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT.
In the event the Commencement Date precedes the Effective Date, CONSULTANT
shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY agrees to
pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is
attached hereto and incorporated by reference into this Agreement, a fee, including all costs and
expenses, not to exceed One Hundred and Fifty Thousand Dollars ($150,000).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A" or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work only after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."

7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices, calculations,
computer code, language, data or programs, maps, memoranda, letters and other documents, shall
belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or
termination of this Agreement or upon PROJECT completion, whichever shall occur first. These
materials may be used by CITY as it sees fit.
8. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless
CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against
any and all claims, damages, losses, expenses, judgments, demands and defense costs (including,
without limitation, costs and fees of litigation of every nature or liability of any kind or nature)
arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any)
negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of
its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees
except such loss or damage which was caused by the sole negligence or willful misconduct of
CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall
approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and
liability regardless of whether any insurance policies are applicable. The policy limits do not act as
limitation upon the amount of indemnification to be provided by CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability insurance
policy covering the work performed by it hereunder. This policy shall provide coverage for
CONSULTANT's professional liability in an amount not less than One Million Dollars

($1,000,000.00) per occurrence and in the aggregate. The above -mentioned insurance shall not
contain a self -insured retention without the express written consent of CITY; however an insurance
policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims -made
policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsequent policies purchased as renewals or
replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that might
give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion. If insurance is terminated
for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two
(2) years to report claims arising from work performed in connection with this Agreement.
If CONSULTANT fails or refuses to produce or maintain the insurance required by
this section or fails or refuses to furnish the CITY with required proof that insurance has been
procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to
forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid
for its time and materials expended prior to notification of termination. CONSULTANT waives the
right to receive compensation and agrees to indemnify the CITY for any work performed prior to
approval of insurance by the CITY.
10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement; the certificate shall:

A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. shall promise that such policy shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty (30) days'
prior written notice; however, ten (10) days' prior written notice in the event
of cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force until the
work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not derogate
from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this
Agreement. CITY or its representative shall at all times have the right to demand the original or a
copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the
premiums on the insurance hereinabove required.
11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT
shall secure at its own cost and expense, and be responsible for any and all payment of all taxes,
social security, state disability insurance compensation, unemployment compensation and other
payroll deductions for CONSULTANT and its officers, agents and employees and all business
licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike manner.
CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and
whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall

be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the
event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at
the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not be
assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the
prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all
approved assignees, delegates and subconsultants must satisfy the insurance requirements as set
forth in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have any
financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given either by
personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as
the situation shall warrant, or by enclosing the same in a scaled envelope, postage prepaid, and
depositing the same in the United States Postal Service, to the addresses specified below. CITY and
CONSULTANT may designate different addresses to which subsequent notices, certificates or

other communications will be sent by notifying the other party via personal delivery, a reputable
overnight carrier or U. S. certified mail -return receipt requested:

consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval to any
subsequent occurrence of the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid unless in
writing and duly executed by both parties.
19. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive phrases
at the beginning of the various sections in this Agreement are merely descriptive and are included
solely for convenience of reference only and are not representative of matters included or excluded
from such provisions, and do not interpret, define, limit or describe, or construe the intent of the
parties or affect the construction or interpretation of any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties. If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining

covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent
upon any other unless so expressly provided here. As used in this Agreement, the masculine or
neuter gender and singular or plural number shall be deemed to include the other whenever the
context so indicates or requires. Nothing contained herein shall be construed so as to require the
commission of any act contrary to law, and wherever there is any conflict between any provision
contained herein and any present or future statute, law, ordinance or regulation contrary to which
the parties have no right to contract, then the latter shall prevail, and the provision of this
Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to
bring it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been prepared
and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the
date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed
an original instrument as against any party who has signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of the
United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside the
scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for

CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
24. ATTORNEY' S FEES
In the event suit is brought by either party to construe, interpret and/or enforce the
terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear
its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's
fees from the nonprevailing party.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context survive
the expiration or termination of this Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the
State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has the
power, authority and right to bind their respective parties to each of the terms of this Agreement,
and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority
or power is not, in fact, held by the signatory or is withdrawn.
28. ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement freely
and voluntarily following extensive arm's length negotiation, and that each has had the opportunity
to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and
agree that no representations, inducements, promises, agreements or warranties, oral or otherwise,
have been made by that party or anyone acting on that party's behalf, which are not embodied in this
agree/ surfneUprofessional Svcs mayor 9 of 11

Agreement, and that that party has not executed this Agreement in reliance on any representation,
inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the
parties respecting the subject matter of this Agreement, and supersede all prior understandings and
agreements whether oral or in writing between the parties respecting the subject matter hereof.
29. EFFECTIVE DATE
This Agreement shall be effective on the date of its approval by the City Council.
This Agreement shall expire when terminated as provided herein.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by
and through their authorized officers.

EXHIBIT "A"
A. STATEMENT OF WORK: (Narrative of work to be performed)
CONSULTANT shall provide consulting services on an'as-needed' basis for projects to be
determined during the term of the agreement. During the term of the agreement, CITY may elect to
solicit proposals from CONSULTANT. CITY shall issue task order for each project based upon the
scope of services, work schedule, and fee proposal submitted to CITY for its review and approval.
B. CONSULTANT'S DUTIES AND RESPONSIBILITIES:
CONSULTANT'S duties and responsibilities shall be per CONSULTANT'S Statement of
Qualification (Exhibit A), consistent with the City of Huntington Beach Request for Qualifications
for On Call Ocean and Engineering Consulting Services. Upon award, and the contract period, if
CONSULTANT chooses to assign different personnel to the project, CONSULTANT must submit
the names and qualifications of these staff to CITY for approval before commencing work.
C. CITY'S DUTIES AND RESPONSIBILITIES:
1. Furnish scope of work request for each project.
2. Furnish construction plans and specifications to the CONSULTANT.
D. WORK PROGRAM/PROJECT SCHEDULE:
A project schedule will be developed for each project assigned by CITY.

Subject: Statement of Qualifications to Provide On -Call Ocean Engineering & Professional Consulting
Services
Mr. Jim Slobojan:
Thank you for the opportunity to present our qualifications to provide On -Call Ocean Engineering &
Professional Consulting Services. Moffatt & Nichol (M&N) was selected by the City of Huntington Beach (City)
for similar on -call services in 2015, and we are keen to offer our highly qualified staff and solid service record to
the City again.
As presented in the following SOQ, our firm meets or exceeds each of the desired qualifications to solve the
City's engineering problems associated with preserving and enhancing coastal resources. Key qualifications that
make M&N an ideal fit for this important assignment include:
• A skilled and seasoned project manager bringing an excellent track record with local public agency
clients including the City of Huntington Beach;
• All ocean engineering disciplines in-house, from planning through permitting, CEQA, numerical
modeling, public outreach with communicative and engaging public presentations, preparing PS&E,
including construction cost estimates and construction support and management, and coastal structures
inspection and rehabilitation services; and
• Familiar staff that has excellent working relationships with City counterparts, and has knowledge of
the Orange County coast.

Russ Boudreau, PE will be the project manager for this contract, bringing more than 30 years' Southern
California coastal engineering experience and expertise. Russ is a hands-on project manager and engineer,
and has worked with City staff on previous coastal projects. As the project manager, he will be responsible
for initiating and maintaining open and frequent communication with the City, delegating task orders, and
monitoring overall budget and schedule performance. Once a project or task order is received, Russ will work
with the City to develop the scope and budget for the particular project. He will also monitor the schedule and
budget for the entire duration. Russ will help ensure adequate resources are available for the duration of the task
order and/or contract, as well as direct and guide the quality assurance practices for the project(s). Russ is a Vice
President of M&N and a registered Civil Engineer in the State of California.
If selected for a contract, we are agreeable to enter into the standard form agreement as is, with no exceptions,
with the City.

RUSS BOUDREAU has served as project engineer and project manager on a wide range of projects involving
coastal processes, environmental restoration, shore protection, navigation improvement, and marina design. His
experience includes prototype and numerical studies of wetland hydraulics, beach nourishment, harbor and beach
water quality, wave hindcasts and transformations, wave prediction and wave force studies for fixed and floating
structures, dredging, and coastal structures design.
CHRIS WEBB specializes in coastal planning and geomorphology, including projects involving shoreline
planning, coastal impact studies, beach nourishment, wetland restoration, water quality assessments, and field data
measurement.
AARON HOLLOWAY has completed detailed design, and performed complex engineering analyses, including
hydraulic physical model studies, fluvial and sediment transport modeling, 2D surface flow modeling, hydrology
studies, and drainage master planning.
'KIMBERLY GARVEY's coastal engineering expertise includes dredging PS&E, permit acquisition, environmental
review, wave uprush studies, shore protection design, sand studies, water and sediment quality analysis, and project
monitoring.
WEIXIA JIN is a modeler with experience in numerical modeling of ocean waves and currents, water quality, and
sedimentation; watershed hydrologic routing, river and wetland hydrodynamics; and engineering designs of tidal
inlets, jetties, and shore protection structures.
MIKE BREITENSTEIN's expertise includes topside and underwater structural inspections, condition assessments,
and repair recommendations, as well as design, construction management, and inspection of repairs, rehabilitations,
and modernization for a wide range of industrial, commercial, public works, and environmental projects.
ONIAR JARADAT's expertise is structural engineering of waterfront developments including piers, marinas,
bulkheads, heavy civil works projects.
UNDERSTANDING & METHODOLOGY
The City requires services of an ocean engineering firm. Ocean engineering projects may include dredging, beach
nourishment, shoreline protection, coastal structures and harbor facility design, repair and reconstruction, plus
technical support for various coastal studies and coastal zone management activities. Our understanding of these
types of projects and our relevant qualifications are summarized on the following pages.

COASTAL STRUCTURES
M&N serves waterfront clients worldwide and routinely provides designs for new
structures and/or rehabilitation/repair of existing structures in all types of waterfront
environments. The firm provides a full range of services essential for the toughest
engineering challenges in the marine environment. Our projects range from repair,
rehabilitation, and/or new construction of piers, wharves, sheetpile bulkhead walls, and
bridges. Our in-house underwater inspection and rehabilitation service informs this work.
M&N's experience with shoreline protection structures includes rock (and other armor type) revetments, vertical
seawalls, sand dikes, groins and offshore breakwaters. M&N has been responsible for design, implementation, and
rehabilitation of more than 500 miles of shore protection structures along the Pacific, Atlantic, Gulf Coasts, and
the Caribbean Sea. Our coastal engineering assessment is generally completed in terms of the beach's long-term and
seasonal dynamic response, and for a range of wave and water level scenarios.
HARBOR FACILITY DESIGN, REPAIR AND RECONSTRUCTION
M&N has a long and successful history of small craft harbor design, including the
design of Huntington Harbour in the 1960s. M&N has recent experience with
rehabilitating floating slip marinas, marina launch ramps, and marina facilities. In each,
we have provided full range of services from planning through design, permitting,
preparation of bid packages, contractor selection assistance, construction support
services, and construction management.
BEACH NOURISHMENT
M&N knows beach nourishment from planning through entitlement, public
outreach, preparing construction documents, and construction management. We have
also successfully identified sand sources and funding opportunities for clients. Beach
nourishment provides a soft solution to coastal erosion and related storm damage, and
opportunities for public recreation. Beaches are valuable economic engines at the local,
state, and federal level, and serve as the best antidote for predicted rising sea levels.

DREDGING
M&N has completed dredging for projects totaling more than half a billion cubic
yards and ranging from incidental quantities as small as 5,000 cubic yards up to port
backland creation involving 26 million cubic yards (the largest land creation project in
the United States to date). Many of our dredging projects include permitting, long term
management strategies, and/or construction documents. Many also involved high -end
numerical hydrodynamic and sediment fate modeling.
COASTAL STUDIES AND COASTAL ZONE MANAGEMENT
M&N supports complex coastal and littoral zone projects such as habitat restoration,
related marine. structures, dredging and dredged material management, water quality
improvement programs, and shoreline protection and restoration. As coastal planning
requirements evolve over time with regards to predicted climate change and sea level
rise, our firm remains at the forefront of technical analyses and advising clients in
meeting requirements.
EFFORTS TO ACHIEVE CLIENT SATISFACTION
PROJECT MANAGEMENT ORGANIZATION
The M&N team will have clearly defined roles under the leadership of the project manager Russ Boudreau. He will
organize, assess, direct, integrate, coordinate, and control the work. A Project Management Plan will be developed
to keep the project on schedule and within budget. M&N's project successes are based on flexibility and close
coordination with clients during all phases of a project. This coordination is facilitated by supplementing the formal
meeting process with action item lists, informal office visits, Newforma project management software, day-to-day
communication options available such as email, shared files M site), WebEx conferencing, video conferencing,
etc. for a proactive approach to problem identification and resolution.
Ultimately, successful coordination between the City's staff and our team will largely determine the project's success.
M&N has management tools in place to facilitate this coordination. One important tool is our Project Management
Plan (PMP). The PMP is a flexible document that consists of a list of common-sense items that supplements the
contractual scope of work. The PMP assists the project manager to identify, define, and prioritize the directive's
essential elements and describe the process for completing the directive.

SUBCONSULTANT SUPERVISION
Each Task Leader will organize, assess, direct, integrate, and coordinate the work of respective subconsultants.
General supervision methods for these tasks will parallel that as described for tasks performed by the M&N team's
in-house resources to help ensure a consistent management approach. As is customary on every project, our project
manager will be in close contact with all of our subconsultant team members on a regular basis to keep them
engaged throughout the contract, to understand their staff availability, and to assure compliance with City's needs
and the M&N team's contractual commitments. This will be especially important for the firms on the team that have
valuable project expertise, yet no prior experience with the City.
SCHEDULE, QUALITY, AND COST CONTROL
Schedule Control
Upon notice -to -proceed, Russ will develop a comprehensive project schedule, using Primavera or Microsoft Project,
which will be submitted for the City's approval. The project schedule will illustrate
• the tasks required to complete the work,
• task durations and impact on other tasks,
• necessary input and feedback by others,
• deliverables and
• key milestone dates
Project schedules are developed in accordance with the work breakdown structure and are resource loaded for both
hours and rates. Project schedules are maintained through our integrated project management software Newforma.
The primary components will ascertain the validity of each time estimate, determine the amount of "float" time
available throughout the various elements of the project, and concentrate on elements critical or near -critical to
expeditious project completion.
Cost Control
The cost segment of our Project Management Plan enables us to define responsibility, schedule, and direct labor
budgets for each task. This information will be continually updated to reflect each directive's current status. We will
use this system to develop and review the directive's financial forecasts, and to review these forecasts against actual
expenditures in order to develop Cost Reports. These Cost Reports will provide detailed analyses and a summary
of all functional areas. Along with regular team meetings, the Cost Reports will assist in keeping the directive on
schedule and within the design budget. Construction budgets will also be closely monitored. Estimates of probable
construction costs will be prepared and updated as the design progresses. If the project scope and complexity
warrants, a risk -based cost estimate can be prepared and updated on a regular basis.

Quality Assurance/Quality Control
The nature of on -call type assignments, which can be driven by compressed or accelerated schedules, requires that
"getting it right the first time" is more essential than ever. To this end, our work on numerous similar assignments
has enabled us to develop a Quality process that works very well. We have a documented, formal, in-house QA/QC
program, and it is M&N's policy to strive for excellence in the quality of all work performed. The basic components
of our QA/QC program include:
• A Quality Manager is identified who will develop a quality plan commensurate with the needs and budget of the
directive and verify that the plan is implemented.
• The Quality Plan for each directive defines the deliverables and work products to be reviewed, who will review,
and when.
• Senior Reviewers will not have an active role in the project design and will have a level of experience that
exceeds that of the work being reviewed. The M&N team provides you with the ability to compile a review team
for this contract that has a significant number of years of experience.
• Quality Plans are included in the overall Project Management Plan.
• The Quality Manager audits the project and the project manager, and then compiles the records of the review
process.
We are very aware of the areas in a project's design and construction where things can "go wrong." One critical
area of concern is utilities. Knowing what utilities exist on -site and where they are located is critical to constructing
a project that will meet schedule and budget goals. The QA team will ensure the design team has done their due
diligence to utilities including obtaining the latest as -built documents from the utility owner and potholing their
locations if they are located in critical construction areas.
M&N is proud of its record of performance. We provide our clients with thoroughly integrated projects completed
under well documented quality control standards. Our client satisfaction is illustrated by the fact that more than 90%

PROJECT TRACKING AND PERFORMANCE MONITORING PROCEDURES
The project management information system Newforma allows us to track the progress of the design effort relative
to the hours expended and the progress made. The system generates a Summary Report for each directive. For
monitoring purposes, the Summary Report shows all activity that is scheduled to be accomplished on a month -
to -month basis. In addition for each directive, the project manager and task leader will maintain a matrix for
outstanding issues and project risks. This matrix will be shared with the project team and monitored on a regular

PROJECT PROGRESS REPORTING PROCEDURES
M&N's approach to project tracking and performance monitoring integrates the management of labor, cash flow,
and schedules into one platform. This approach yields a global picture of related project elements, allowing the
efficient retrieval of cost, time, and labor information at both the overall project, directive, and directive subtask
level, while enabling the production of integrated project progress reporting. Further, it assists in forecasting near -
term and long-term progress with respect to directive milestones, and fuels communications among the team.
This approach highlights the significance of competing issues, and offers a meaningful, realistic comparison of the
relative importance of the directive needs by weighing the impacts against the overall directive goals. Reports will
also be adapted to the City's needs. We are aware that reports must be prepared and disseminated to all levels in
your organization. Working with the City's project manager, reports will be customized to the needs of those who
require regular reporting on project status. To help ensure effective and timely communications and decisions and to
allow the City to track all aspects of a directive, we will establish a file share site for this project to allow the City and
directive teams the ability to monitor progress and access the design documents.

Bay, CA. M&N was part of a planning team tasked with updating the

analysis, sea level rise vulnerability assessment, and adaptation policy

IDIQ Contracts for Civil/Coastal Engineering, Los Angeles, CA. Russ has worked with the Corps of
Engineers, Los Angeles District on Indefinite Delivery /Indefinite Quantity Contracts encompassing over 20 task
orders. He has been the project manager for the firm's past two civil/coastal ID/IQ contracts and is intimately
familiar with Corps of Engineers projects and Los Angeles District procedures. Task order scopes have included
both reconnaissance, including 905(b) analyses, and feasibility level studies dealing with storm damage and coastal

Bolsa Chica Lowlands Restoration, Huntington Beach, CA. Task leader for the final design of the tidal inlet
including jetties, coastal protection, and interior dikes. Inlet created to re- establish tidal flow into the restored
wetland. Directed studies of the ebb shoal creation and volume and provided final design of the pre -nourishment
ebb bar. The ebb bar design was the first of its kind constructed on the West Coast of the United States. During
the project's planning phase, he was project engineer for prototype study of tidal elevations/currents; performed
calibration of numerical hydraulic circulation model using data from field investigation. The project was awarded
the 2009 Project Excellence Award from the Coastal Ocean Ports and Rivers Institute (COPRI).
Alamitos Bay Marina Rehabilitation Project, Long Beach, CA. M&N is the design engineer on a design -
build team for the Alamitos Bay Marina Rehabilitation Project. Russ is Project Manager. The project comprises
replacement of a deteriorating timber dock system with a state-of-the-art, 1,700 slip concrete dock system. Design

Newport Beach Sand Study and Backpassing Project, Newport
Beach, CA. Managed the effort to study Newport Beach to identify the
causes of erosion along the City's beach, and devised solutions to the
problem. Solutions included sand backpassing from a wide down -coast near
the Santa Ana River mouth to the groin field, and periodic nourishment
from outside the littoral cell. Designed the successful sand backpassing
project constructed in 2010.

Seal Beach Replenishment, Seal Beach, CA. Project manager for the replenishment of approximately 75,000
cubic yards of sand dredged from the offshore ocean to Seal Beach in 2009. The project raised and widened a
narrow beach to protect homes and public property. The project successfully protected the City through the El
Nino winter of 2010. Assists with on- going nourishment using sand from the Santa Ana River by the County of
Orange.
Huntington Beach Wetlands Restoration, Huntington Beach, CA. Project manager for preparation of the
plans to restore the 191-acre Huntington Beach Wetlands. The wetlands were former full tidal salt marsh areas that
had been isolated by diking. The regulatory agencies selected a preferred full tidal alternative from several options.
Moffatt & Nichol conceptually designed the alternative and each option, and provided cost estimates, monitoring
requirements, and a course of future actions to take to implement the project. Moffatt & Nichol subsequently
assisted the client to secure grant funds for implementation, and completed the final design for construction which
was completed in 2010.
Fairview Park Wetland and Riparian Habitat Restoration, Costa Mesa, CA. Project manager for the
preparation of construction documents for conversion of disturbed upland habitat to wetland. Project diverts
low flow discharge from local flood channels to a treatment wetland for habitat and water quality improvement.
Approximately 35 acres of freshwater marsh were created in a public park that benefits City interpretive
opportunities.
Talbert Regional Park Conceptual Restoration Plan, Orange County, CA. Project manager for the
development of the Talbert Regional Park Conceptual Restoration Plan. The Plan addresses habitat and public
access needs for South Talbert Regional Park near the Costa Mesa/Newport Beach border north of Banning
Ranch. Analyses consider hydrology, habitat, and public use, interpretation and access. The team hosts stakeholder
meetings with local agencies, and hosted one public meeting with another to follow soon. The Plan is presently in

Los Cerritos Wetlands Conceptual Restoration Plan, Long Beach, CA. Project manager for the analysis of
concept restoration plans for 565 acres of land near the mouth of the San Gabriel River along the boundary of
Orange and Los Angeles Counties within the Cities of Seal Beach and Long Beach. The project is a master plan of
restoration for several land parcels with various owners for the Los Cerritos Wetland Authority. Analyses are done
for hydrology, habitat, and public access and interpretation. Sea level rise scenarios are included.
Bolsa Chica Wetlands Restoration, Orange County, CA. Permitting Lead for the effort to restore 880 acres
of former wetland. The project restored approximately 1,000 acres of wetland and constructed a new tidal inlet
through Bolsa Chica State Beach. Considerations included maintaining a muted tidal regime in wetland areas
surrounding a full tidal basin through hydraulic controls, and designing a stable inlet without significant interruption
to long- shore sediment transport. Co -managed the hydraulic, water quality, sedimentation, and shoreline impact
studies. The project was built successfully in 2006. Moffatt & Nichol monitored the beach near the inlet for erosion
and reviewed tidal elevation data in the wetland for habitat.

The review included FEMA coastal flood study guidelines, methodology, approach, limitations, and mapping for the
entire coastline of Ventura County; and coordination with the county flood control district, cities, and FEMA. An
appeal was successful filed based on review findings.
Bridge Hydraulic Study for I-5 Bridge over San Elijo Lagoon, Encinitas, CA. Project Manager managing
the effort of bridge hydraulic and scour analyses, pier and abutment scour projection design, and bridge hydraulic
report preparation; and coordinating the hydraulic study with lagoon restoration final design project and railroad
bridge double tracking project. This bridge is subject to storm flood, tide, sea level rise, and tsunami effects. All
these factors were modeled with RMA2 model. The bridge scour and protection designs followed FHWNs design
manuals. Additional scope included providing support for Caltrans' permit acquisition and preparing CLOMR
documents.
Port of Long Beach Mega -Terminal Tsunami Impacts Study, Long Beach, CA. Assistant project manager
who configured a numerical model to perform hydrodynamic modeling of the detailed tsunami propagation into
the Ports from the local sources, and performed all aspects of numerical modeling by using the MIKE21-BW
(Boussinesq Wave) model to predict the water levels and velocities in the port. The model predicted maximum water
levels in the deck areas to assess the potential overtopping, and maximum current velocities to assess impacts of
tsunami to the navigation. In addition, the MIKE21-HD modeling was performed to predict flooding areas and
water levels in the Port of Los Angeles area. The purpose of the project is to conduct a study of potential local
earthquake and landslide tsunamigenic sources and their potential impacts to the ports.
Huntington Beach Urban Runoff Investigation and Oceanographic Studies, Huntington Beach, CA.
Task manager who performed hydrodynamic and water quality numerical modeling by using the MIKE21, a two-
dimensional, fully dynamic, depth -averaged hydrodynamic and constituent transport model suite. Tasks included
collecting data for conducting the numerical modeling, identifying the data gap and the data required for calibrating
the models, calibrating the MIKE21-NHD model to the measured tidal elevations and currents, and calibrating the
MIKE21-NAD model to the dye track data. The calibrated model was then used in replicating the conditions in the

Payment Schedule (Hourly Payment)
A. Hourly Rate
CONSULTANT'S fees for such services shall be based upon the following hourly rate and cost
schedule:
B. Travel Charges for time during travel are not reimbursable.
C. Billing
All billing shall be done monthly in fifteen (15) minute increments and matched to an
appropriate breakdown of the time that was taken to perform that work and who
performed it.
2. Each month's bill should include a total to date. That total should provide, at a glance,
the total fees and costs incurred to date for the project.
3. A copy of memoranda, letters, reports, calculations and other documentation prepared
by CONSULTANT may be required to be submitted to CITY to demonstrate progress
toward completion of tasks. In the event CITY rejects or has comments on any such
product, CITY shall identify specific requirements for satisfactory completion.
4. CONSULTANT shall submit to CITY an invoice for each monthly payment due.
Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is
making satisfactory progress toward completion of tasks in accordance with this
Agreement, CITY shall approve the invoice, in which event payment shall be made
within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non -approval and the schedule of
perfonnance set forth in Exhibit "A" may at the option of CITY be suspended until
the parties agree that past performance by CONSULTANT is in, or has been brought
into compliance, or until this Agreement has expired or is terminated as provided
herein.

Exhibit B
Any billings for extra work or additional services authorized in advance and in writing
by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly
rate charged for such time. Such invoices shall be approved by CITY if the work
performed is in accordance with the extra work or additional services requested, and if
CITY is satisfied that the statement of hours worked and costs incurred is accurate.
Such approval shall not be unreasonably withheld. Any dispute between the parties
concerning payment of such an invoice shall be treated as separate and apart from the
ongoing performance of the remainder of this Agreement.
