Additional Insured as respects the use of 40 acres of land for park purposes. 12-26/156J i JG:sh 4/4/79 � s 1 MUTUAL EMERGENCY RESPONSE SERVICES 2 INDEMNIFICATION AGREEMENT 3 THIS AGREEMENT is made and entered into this % day 4 of 1979 by and among the City of Fountain 5 Valley, municipal corporation, hereinafter called "FOUNTAIN 6 VALLEY % the City of Huntington Beach, a municipal corporation, 7 hereinafter called "HUNTINGTON BEACH", the City of Seal BeacF, a 8 municipal corporation, hereinafter called "SEAL BEACH', andlthe 9 City of Westminster, a municipal corporation, hereinafter �alled 10-WESTMINSTER". 11 NITNESSETH: 12 WHEREAS, the cities of FOUNTAIN VALLEY, HUNTINGTON BEACH, 13 SEAL BEACH, and WESTMINSTER have, by written agreement entered j 14 into on May 3, 1977, agreed to provide mutual emergency 15 response services in certain circumstances as specified therein; 16 and 17 WHEREAS, the usual course of events in providing such mutual 18 aid requires a response by another city -owned unit manned by its 19 own personnel; and 20 WHEREAS, said previous agreement contemplated a response by 21 a city -owned unit manned by that city's forces only; and 22 WHEREAS, a new situation has arisen between the parties 23 whereby a city may make certain city -owned vehicles or other items 24 of equipment available for use by a borrowing city wherein the 25 borrowing city will man said vehicle or equipment with its own 26 personnel; and 27 WHEREAS, the parties hereto wish to agree upon the liability 28 aspects and consequences of such an arrangement. 29 NOW, THEREFORE, the parties hereto agree as follows: 30 1. Vehicles and B uipment_Covered. Vehicles and equipment 31 isubject to this agreement include, but are not limited to, 32 Ivehicles'and equipment listed in the Schedule of Equipment i u 1•lattached hereto and incorporated herein as Exhibit "A". Said 2jSchedule of Equipment may be reviewed and revised periodically and alit is contemplated that certain vehicles or equipment will be 411deleted or added from time to time by agreement between the lender' I 5land borrower cities. The City Manager or City Administrator of bleach respective city is hereby delegated the power to approve any 7 such revisions to the Schedule of Equipment on behalf of his 8 respective City. It is understood and agreed to by all parties 9 that the vehicles and equipment listed in the Schedule of 10 Equipment are not the sole vehicles and equipment covered by this 11,agreement and that the same protection given to the enumerated 121equipment and vehicles shall also be given to any vehicle, 13 equipment or apparatus which is loaned'to another city for similar 14 purposes. General LiablutZ, Indemnification and Hold Harmless. + 16� All liability that may arise through the use of said vehicle, 17 equipment, apparatus or appurtenance thereto, shall be the 18 borrowing cityls liability. The borrowing city agrees to defend, 19 indemnify and hold harmless the owner -city against all liability, 20 claims, judgment, costs and demands, including demands arising 21 from injuries or death to persons and damage to property, arising 22 directly or indirectly out of the use of said vehicle, equipment, 23 apparatus or appurtenance thereto, save and except claims or 24 litigation arising through the sole negligence or sole willful 25 misconduct of the owner -city and will make good to and reimburse 26 the owner -city for any expenditures, including reasonable 27 attorney"s fees that the owner -city may incur by reason of such i 281matters and, if requested by the owner -city, will defend such + 291; suits at its sole cost and expense. 30!' 3. Insurance, Self -Insurance and Deductibles. i 311 HUNTINGTON BEACH, SEAL BEACH, FOUNTAIN VALLEY, and VESTMINSTER I ' 321 agree that they will each add said vehicle, equipment, or l: 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 281 291 Ijapparatus to their respective bodily injury and property damage !liability insurance policies in an amount that each city, in its i own discretion, deems sufficient to cover the liability exposure engendered b the use of said vehicle equipment, or apparatus. g Y � It is understood and agreed by each of the parties hereto (that one or more of the parties to this agreement is presently, or jin the future may be, self -insured for public liability up to a !certain dollar limit. 4. Each of the parties hereto shall return all borrowed vehicles, equipment and apparatus to the lending party in the same condition as received, ordinary wear and tear excepted. Each !borrowing party shall repair or pay for the repair of any damage or loss occurring to the vehicle or equipment while in its possession and pay for the replacement of any vehicle or equipment at the listed replacement cost if the vehicle or equipment is E damaged beyond repair. - IN WITNESS WHEREOF, we have executed this agreement as of the date first above -written. Recommendations: Approve the "Mutual Emergency Response Service - Indemnification Agreement" between the cities of Fountain Valley, Huntington Beach, Seal Beach and Westminster. Analysis: heT re are times when there is a shortage of operating fire apparatus and equipment within one of the respective cities. The most cost effective solution to this problem is to borrow a piece of available apparatus or equipment from one of the cooperating jurisdictions. This agreement would permit the respective city fire chief to administratively borrow fire apparatus equipment on a daily as needed basis. Each city would still be responsible for the operating liability plus the insurance deductible which averages $1,000. Fundin Source: Wo funds required over current operating costs.
