THIS AGRtUMENT, made and entered into this e-ay of
r 9 Y, by and between the CITY OF RUNTINGTON BEACH,
a municipal corporation of the State of California, hereinafter
referred to as "CITY," and WAWA K-MEU LM ESTER AND ASSCI,:IATES, a
California corporation, hereinafter rr-2terred to as IICOWSULTANT1'
RECITALS
wrtEREAS, the CITY Oe 14UNTINGTON BEACH desires to engage th--
services of an engineering consultant to provido a structural
evaloation of the CITY'S gymnasium/pool facility located at
Sixteenth S,,re,-t and Palm Avenue -- CC 1?5; and
CONSULTANT has been selected to perform said services,
NOW, IPP-Re.FORG, it is agreed by CITY and CONSULTANT as
1. WORK STATEMENT
CONSULTANT shall provide all erigi-ser-ing services as
dent-ril-led, in the letter entitled Request for Proposal; City
GymnaslumZPool (hereinafter referred to as Exhibit "A",) and as
supS,Jemented by the letter of October 3, 1983, (hereinafter
referred to as Exhibit "B",) which are respc.ctively incorporated
into this agre"ent by this reference.
CONSULTA;M shall attend and as.,AsL --Ln a a reasonable
number of coordination meetiAgs.

CONSULTANT shall desigaate a registered civ-1F'.1 en4gineer,
who shall represent it and be its sole contact and agent in all
consultations with CITY during fulfillment of the terms of this
agreement.
2. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all original drawings, reports,
both field and office notes, C'11-ilations, maps and other
documents, , hall be turned over tr, C;TY upon any tscraination of
PROJECT.
3 F. INDEMNIFICATION, UEFENSE, HOLD HARMLESS
CONSULTANT hereby agrees to defend, indemnify ;"nd hold
harmless CITY, its officers, agents and employees, from and
against any and all liability, damages, cnsts, losses, claims and
expenses, however caused, resulting directly or indirectly from or
connected with CONS U LTANT I S performance of this agreement
(including, but not limited to ,;r-n liability, costa damage, los,63f
claim, or eApense arising from the death or injury to an agent or
employee of CONSULTANT, 8uoco"tractor, or of CITY or dariagr to the
prc,perty of CONSLLTANT, subcontractor, or of CITY or of any agent -
or employoe of CONSULV.NT, subcontractor, or of CITY), regardless
of the passivz or active negligence of CITY, except where such
liability, damageSt COStSt 10SSeS, claims or expenses are caused
solely by the negligent wrongful acts of CITY or any of its
ageatv, or exployeeo including A09.,igent omissions or commissions of
%'7TY' its agents or employees, in connection with the general
superviaion,or direction of the work to be performed hereunder.

4 . WORKERS' COMPENSATION
CONSULTANT shall comply with all of f 'te provisions of
the Workers} Compensatio ► Insurance .and Safety Acts of the Slate
of California, the applicable prciv-'szons of Division 4 and 5 of
the California Labor Code and al' amendments thereto and all
similar state or federal acts or Taws applicable, and shall indem-
nify, defend and hold harmless CITY from and against all claims,
demands, payments, suits, actions, proceeo'_�.4s and judgments of
every nature and descriptions, including attorney's fe^s and casts
prese.ated, boought or recoverea against CITY, for cr can account of
any liability u: aes: of said acts which may ba incurred by
reason of any work to be performed by CONSULTANIT under this
agreement.

In addition to the Workers, Compensa}.jon insurance and
CONSULTANT'S agreement to ,indemnify CITS', CONSULT4NT shall furnish
to CITY,? and maintain in farce until he completion of PROJECT, a
policy of general liability insurana e in ,which CITY is named as an
additional insured. The policy shall indemnify CITY, its officers
and employees, wfti,le a;oting within the scope of their duties,
against any and all claims arising our- of or in corinection with
PROJEM The policy sball provide coverage i -i not less than the

property damage of $300,000 per ovcurrence. CONSULTANT shall also

coverage and CONSULTANT'S insurance shall be primary. certifi-
cate of all such insurance policies required by this agreement

prior written notice to CITY.
5. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall bet acting at all times in the
performance of this agreement as an independent contractor.
CONSULTt\NT shall secure at its expense, and be responsible for any

insurance compensation, unemployment co,4,pensation and other pa~ball
deuuctions for CONSULTANT anti its o£t cers, agents and employees
ana alt business licenses, it any, in connection with the services
to be performed hereunder.
7.. CITY STAFF ASSISTANCE
CITY shall arsign a staf t coordinator to work directly
with CONSULTANT in connection with the work of this agreement.
S. PROV71, 10N FOR PAYMENT
In consideraa.ion of the perfolmance of the above
described engineerinq services, CITY agrees to pay CONt)ULTANT a
fees of five the usaid, five hundred dollars t 5, 5(IQ. i (% X payable

9, EXTRA WORK
In the event of authorization, in writing by the City

10. TERMINATION OF CONTRACT ,+

CITY may terminate CONSULTANT'S services hereunder at zny time with.

Dear Les:
After making'a field survey of the existing facility and studying
the original plans prepared by Frederick Eley Architect In 1931,,
we present the following as our proposal for the evaluation of
the City Gymnasium and Pool facility.
Our main goal will be to prepare a report addressing specifically
the structural integrity of the facility and to develop conceptual
schemes to structurally strengthen the building to satisfy present
code criteria. information in this report will be; presented in a
format that will provide a good basis and direction for the next
phase, which wouvid be the preparation of construction documents
for thecorrective work.
1. The report shalt Include a structural analysis of the
existing building and design i. Pnr.iendations for new
structural elements to strengthen the building. Struc-
tural calculations and pertinent structural detail
sketches wIll be presented in the report.
2. Field survey as necessary of existing structural cony
di`tions shallbe provided to sufficiently define the
critical structural elements and their condition. Re-
moval of certain minor elements may be necessary to
sufficiently survey unexposed structural elements.,
The construction work is not included in our proposal.
We anticipate this may be co-ordinated with city crews,

3. Conferences with city building officials will be in- =a
eluded to establish the scope and direction of the
project based on requiremen-s other than structural;
such as the preservat?an of the historic flavor of
the structure.

Recoamendation:
Reject the bid received from Technical utilities and authorize the Directors of Community

fornia will receive sealed bids for the City Gymnasium modification, in the city of
Huntington Reach, California in accordance with the plans and specifications and
special provisions on file in the office of the Director of Public Storks. Documents
will be available on May 14, 1981. A charge of $10.00, neat Tefundable, will be
required for each set of specifications and accompanying drawings.

1. Construction of modifications for the Lump Sure
City Gynmasiun, complete.
In accordance with the provisions of Section 1775 of the Labor Code, the State of
California, Director of the Department of Industrial Relations shall determine the
general prevailing rate of },ages, applicable to the -work to be done; copies of the
latest generalwage rate determinations are on file at the office of the City Clerk
and the office of the Director of Public Works of the city of Huntington Beach,
California.
Plans and specifications, together with proposal form, may be obtaine at the office
of the Director of Public Starks, City Hall, Huntington Beach, Californi:.L.
No hid will be received: tm.ess it is made on a blank tom furnished by the Director
of Public Works. The special attention of prospective bidders is called to the
proposal requires°&,nts, set forth in the specifications, for full directions as to
s; the bidding.
Ilie foregoing quantities are approximate only, being given as a basis for the compari-
son of bids, and the city of Huntington Beach doss not express or by implication
agree that the actual amount of work will correspond therewith but reserves the
right to increase or decrease the amount of any class or portion of the work, as may
be deemed necessary or expedient by the Director of Public Storks.
All bids will be conpared on the basis of the Director of Public Works estimate of
the quantities of work to be done.
No bid will be accepted from a contractor who is not licensed in accordance with the
law, California Business and Professions Code, Division 3, Chapter 4, Contractors, or
to whom a proposal fora has :not been issued by the° City of Huntington Beach.

Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions:,
Statement of Issue.
The City's consultant has completes the -working drawings and, the specifica-
tions for the City Gymnasium modifications. Construction of these modifi-
cations can begin upon completion of competitive bidding and the award of
a construction contract.
Recommendation:
Approve the working drawings and specifications and authorize the Public
Forks: Department to advertise and receive construction bids for the project.
Analysis:
William Blurock aad Partners, the City`s architectural consultant, has now
completed the, cont.-ruction plans and specifications for the City Gym
modifications. The estimated cost of construction is $20,000.00.
All approvals have been obtained and, it is now recommended that the Council,
approve the plans and specifications and authorize the staff to advertise
for construction bids.
Funding Source:
gx S. Dept. of Housing and urban i:,Avelopment Housing and Community
Development Program.
Alternative Action:
Deny approval of the plans and specifications and refuse permission to
advertise project.
