AGREEMENT PROVIDING FACILITIES FOR ; OCEAN "VIEW NATIONAL LITTLE LEAGUE This Agreement is, between the City of.Huntington Beach, a municipal corporation, hereinafter called "CITY", and the Ocean View National Little League Incorporated, hereinafter re.fe red to as "LEAGUE" WHEREAS, the City has entered into an agreement with the Ocean View School District to allow City usage of certain school district property, on the southwest corner of .Warner Avenue and Beach Boulevard, as Set forth in City agreement attached hereto and incorporated as Exhibi"t "A" and, WHEREAS, City has entered into this agreement with school district, in order to provide a fa,rility for League and, WHEREAS, League desires to use and develop a portion of the aforesaid property for a playground and ballfield's, and WHEREAS, League desires to provide for scheduled events and practices on Oe aforesaid playground and ballfield; NOW, THEREFORE, City and League agree as follows; 1. Subject -to the provisions herein and after set forth,, League i`s hereby granted the right to use the hereinafter described portion of the Ocean View School District property for recreational purposes. 2.The term of this agreement shall be for a period of five (5) years commencing on the date that this document is fully e d of five ears b mutual agree- ment, executed b all parties. At the en � y Y m y p this agreement may be extended. 3 This agreement may be terminated by either party at any, I time and for any reason upon 90 days written notice to the other. In the event such termination occurs; League shall remove all im- provements installed by League within three (.3) months or less, I t'. from the date of the written notice and return the site to its original condition i,:ofar as possible. Upon any cancellation, Cit shall remove all y personal property belonging to_City. 4. City shall not schedule and events or activities on said property which would conflict or frustrate the scheduled use of the property by League, said scheduled use being from March 1 through July 15 each year of this agreementfrom4:00 p.m. on weekdays and 8:00 a.m. to 6:00 p.m. on Saturdays-. 5. League shall be allowed to make certain alterations_, additions, and improvements to the property consistent with the operation of the Little League park site including, but not necessarily limited to the following; A. Construct playing fields, removable outfield fences , portaH e bleachers, players' above ground compound: B Install a flagpole, ,Li'ttle League sign and score- board. C. Install portable restrooms, portable; office and equipment room, and portable snack bar. 6. If the site or improvements thereon are destroyed by fire, war, earthquake, flood, storm or other casualty beyond the control of the parties hereto to such an extent that they cannot be restored to their previous condition in 120 days after the happening of casualty, League or City shall have the option to restore the site and improvements thereon to their condition as of the date: of the casualty. In the event either party does not elect to perform such restoration, this agreement shall terminate as to that site. 7, This Agreement may be terminated by either party at any time end for any reasons upon 90 days written notice to the other. In the event League chooses to exercise its right to terminate this agreement, League shall remove imp, avements within three (3) months or less, from the date of the written notice and return_ the site t- its original condition insofar as possible. Upon any cancellation, League shall remove all personal property belonging to League. 8. This agreement entered into between the City and League of the aforesaid property must be made expressly conditional upon the agreement between the Ocean View School District and the City of 'Huntington Beach, with aoy conflict to be resolved by the terms of the District/City agreement. In particular, any cancellation }period must be 90 days or less, and all uses of the property shall be subject to the paramount rights of the Ocean Virw School District as contained in paragraph '7 of this agreement. 9. League shall name City as a co-insurer in its liability policy and shall save and hold City harmless from any and all claims or causes of action for injury to persons, including death or damage to _property resulting from or which may arise by reason of any dangerous or defective condition of equipment or other improvements inst0l ed or constructed by League, on property owned by District or a failure to maintain said equipment and improvements installed or constructed by League in a safe condition or which might arise from activities supervised by employees 3r League. This liability policy shall not be less than $300,000.00 combined 1imiis. OVALL will be constructing a perm fac , at the old Rancho View School, IIBit Street and r OVNLL is going to utilize OVALLIs old site at the present Ocean View School District offices, at the corner of Warner and Beach Boulevard. This will be a temporary site for OVNLL for the next couple of years until a permanent location can be attained. An agreement exists between the School District and the City for the present District Office site, and a new agreement is being prepared for the Rancho View School area, RECOMMENDED ACTION: That the City Council authorize the signing of the two enclosed agreements so that t. e Ocean View American and National Little Leagues may utilise these two sites for the 1978 season.. ANALYSIS: Under the Joint Powers Agreement between the City and the Ocean Viers School District, the City may enter into a contractural agreement with the District for the utili.z<�tion of School District property by the City'. By entering into a second agree- ment with the Little League organization, contingent upon the terms of the City/District agreement, each little league will attain a site that can be used as an athletic facility where they can play their games. Action on the agreements must be taken immediately if the leagues axe to have the time necessary to prepare the sites: The City Council has previously agreed to this T ' .tn of action FUNDING: SOURCE; The ac '.on by, City Council to approve these agreements will not necessitate the expenditure of any City funds.
