10 Huntington Beach hereinafter referred to as the "SUBGRANTEE . "

12 WHEREAS, the C03115SION has received a grant from the United States

13 Department of Labor , Employ-ment and Training, Administration under Title II-D ;
14 of the Comprehensive Employment and Training Act Amendments (CETA ) of 1978 , as
15 jamended (P.L . 95-52-4 ) hereinafter referred to as the Act , i
16 WHEREAS, SUBGIAl�TEE has me: the reouirenents for operating a

24 CURMISSION's Central Allowance Pa gent System for allowance payment costs for
25 participants enrolled in the program described herein;
26 NOW, THEREFORE , in consideration of the premises and the respective
27 and mutual covenants and promises hereinafter contained and made, said parties

L0 Special Emphasis Groups
Based on recommendations from tiie` Manpower Advisory. Committee during` the yearly
planning process and=`drawina on' the expertise 'ofY groups not . represe,nted-bn the
planning council , such ds the`�range County Commission on the Status of Won ri,
the Orange Gountyt.Juvenile Court, Criminal Justice Council , Veferans groups and
other local comi's'sions or organizations which deal with specialized clients , the
OCMC identified "Special Emphasis Groups ."
These special population groups identiffe'd below provide the. basis for` prograrr
design and/or services . The narrative of the Annual Plan and OCMC 'subcontracts
provide a description of these services on a yearly ba! Monitoring of the services
provided to these groups is provided on both a subcontra: � and grant level .
OCMC has identified the following special emphasis groups as the local target
population in Orange County:
- Limited English Speaking
- Handicapped
- Offenders (youth and adult)
- Indochinese refugees
- Veterans , especially Vietnam era and/or disabled
- Primary wage earner with dependents
Putlic assistance recipients - i .e. , AFDC, WIN/AFDC, , other
- Educationally disadvantaged - i .e. , youth dropout, persons with less than
high school diploma , persons whose functional level is below grade
level achieved
- Econorr,ically disadvantaged
- Displaced homemaker and women with children under six
The fcllo~'ing barriers to employment weigh heavily against the special emphasis
groups:

9 COMMISSION, shall advance the SUBGRANTEE, hereinafter also defined as

10 i the SUBCONTRACTOR, the amount of All other payments
11 shall be made upon the receipt of the "CETA-Financial Report- Invoice"

12 i form. Funds are to be paid to the SUBGRANTEE for reimbursement of

13 I accrued expenditures. "CETA-Financial Report- Invoice" forms must be
14 submitted on a monthly basis , normally once a month, by the 10th

15 business day after Vl—_ closing day of the month.
16 B. Additional Administrative Conditions and Provisions
17 i 1 . Termination of Aid: After notice of COMMISSION review, this grant, 1
16 i hereinafter also defined as contract, may be terminated or• fund payments

19 discontinued by the COMMISSION where it finds a substantial failure to i
-10 comply with provisions nf the contract.

21 2. Inspection and Audit: The COK41SSION and/or the Department of Labor
22 or any of its duly authorized representatives , shall have access for
ur pose of audit and examinations, to an books, documents, papers and

24 records of the SUBGRANTEE and to relevant books , documents , papers and
25 records of the COI.VISSION SUBGRANTEE's subgrantee or subcontractors , asi
26 related to this subgrant.

2 4. Maintenance of Records : All required records shall be maintained until
I i
3 1 three (3) years after termination or expiration of the grant. Notwith-
i
4 1 standing this requirement, SUBGRANTEE shall maintain a record of each
5 participant for a period of five (5) years from the date of enrollment
6 into the program.
7 �; 5. Utilization of Funds: Funds awarded are to be expended for purposes f
8 and activities covered by SUBGRANTEE' s approved grant. Adjustments will
9 1 be made to correct previous overpayments or underpayments. SUBGRANTEE
10 agrees that any funds spent by SUBGRANTEE in violation of this agree-
11 IE ment, along with interest which has been earned upon such funds , shall
12 be returned to COMMISSION within thirty (30) days of demand by
13 COMMISSION, or at option of COMMISSION, shall be debited from succeeding
i
14 ; payments due from COMISSION under this agreement.
15 I 6. Allowable Costs: Costs incurred under any grant shall be determined inmy
16 accordance with Circular A-102 and FMC 74-4 . The cost principles to be
17 ; used in determining allowable CETA costs are referenced in 41 CFR 29. 70.

14 7. Expenses Not Allowable: Grant funds may not be expended for any item i
20 ;
not identified as allowable under 20CFR 676.40. SUBGRANTEE further
21 j agrees that the expenditures of any and all funds under this agreement
27 ( must be in accordance with the BUDGET SCHEDULE, a copy of which is

23 attached hereto. Prior approval Shall be sought from the COMMISSION on
24 any questionable expenditures.
25 8, Unexpended Funds : All unexpended balances of grant funds will revert

26 to the COKMISSION. `

27 9. Grant Interest: SUBGRANTEE shall be accountable for interest earned o

28 advances of grant in aid funds, pending their disbursement or actual

1 + application for program purposes. Such interest income shall be i

2 accountable at the end of a grant period and may revert to the
3 COMMISSION if not utilized for program purposes.
4 j 10. Income for Other Sources: All income from other sources , such as
S ; contributions, donations or funds from other grant programs , must be
6 1 accounted for separately and not co-mingled with CETA funds . The
7 f SUBGRANTEE certifies that no other federal funds will be received or
8 j used for the portions of the protect funded by the COMMISSION.
9 11 . Property Procurement Standards : SUBGRANTEE will comply with the
;
10 property management standards as set forth in OMB Circular A-102 and
11 in 41 CFR 29-70. 215. Title to property acquired in whole or in part
1.. with grant funds in accordance with approved budget shall vest in the
f
13 COMMISSION, subject to divestment at the option of the COMIMISSION. i
I
14 ; SUBGRANTEE shall exercise due care in the use, maintenance, protection,AQ
IS and preservation of such property during the period of project use .
16 SUBGRANTEE must obtain authorization from the Orange County Manpower 1
i
17 ; Commission prior to purchase, lease or rental of any equipn.-nt with a
l8 ! unit cost in excess of $300 during a fiscal year. '
19 12. Obligation of Grant Funds : Grant funds shall not, without advance
20 written approval by the COMMISSION be obligated prior to the effe:t-
21 1 iveness or subsequent to the termination date of the grant period.
22 Obligations outstanding as of the termination date shall be liquidated
;
23 within ninety (90) days. Such obligations must be related to goods or•
24 services provided and utilized within the grant period.

11 15. Public Service Emplayrr�nt Positions: Public Service Employment
12 positions created and/or filed subsequent to April 1 , 1979, will be
,
13 + limited to entry level positions , with the exception of project
14 I positions under Title VI . Within 90 days of the effective date of the
,
i
15 contract agreement, the COMMISSION will verify whether the entry level
16 , requirement has been met. If the COMMISSION finds that the position
I
17 ! in question is not an entry level position, the COMMISSION will notify
18 SUBGRANTEE of the modifications needed to conform the position with
19 }� the entry level requirement. If the SUBGRANTEE fails to comply with
i
xp the COMMISSION's request within 15 days, the COK41SSION will remov:
21 the position from the SUBGRANTEE s allotment.

22 16. Release Time Training: SUBGRANTEE may permit Public Service Employ-
,
23 ment participants hired under this subgrant agreement to participate
24 in manpower services and activities as set forth in 20 CFR 667-676
25 -- including, but not limited to, assessment and employability plan _
26 development, classroom training and job search assistance.
27 I 17. General : The administration of grants shall be subject to such
I
28 further rules, regulations and policies concerning accounts and
I
i

1 records , payments of funds . cost allowability, submissions of financial
2 records, etc. , as may be prescribed by the COMISSION. '
3 C. Cancellations or Modifications
4 1. All parties to this grant agree that program funds are contingent upon
5 funds received, or obligated from the Department of Labor under CETA of
C
6 1978. if such funds are not forthcoming, or otherwise limited , the
7 COMISSION will notify the SUBGRANTEE of any such notice or provisions
8 and order them to cease, limit, or otherwise curtail their operations ini
9 accordance with the following provisions :
10 1 In the event the Department of Labor terminates in whole or in part its contract with the prime contractor befoee
11 the expiration date , and by so doing makes necessary the
terminatiun by the prime contractor of this subcontract ,
12 the Program Agent will provide prompt notice of termina-
tion to the subcontractor. Upon receipt of such notice ,
13 the subcontractor agrees to cease such operations as are
necessary to conform with the Department of Labor termina-
14 tion of the prime contract within 20 days , and to negotiate
necessary fair and reasonable final settlement and close-
out costs.
(Sec. 106, 107 and 108 CETA of 1978 and 20 CFR 676. 90)

17 2. If the SUBGRANTEE should fail to meet the commitment of this grant either,
i
18 because of failure to perform; changes in the program operating environ-
19 ment; or other factors that are a product of program operations or
20 changes in circumstances or situations , then the COMMISSION may at its
21 discretion, withhold further funds , and unilaterally terminate the gran;..:
22 This subgrant may be terminated by either party , at its sole discretion .
23 upon 30 days written notice to the other party. There may be a mutually
24 agreed upon reallocation of the balance of funds with a change in goals ,
25 objectives and program design. f
26 3. All changes or modifications to the grant shall be jointly negotiated
27 between the SUBGRANTEE and the COMISSION. In all cases, changes and
28 modifications shall be made in compliance with rules, regulations ,

2 future by the COMMISSION.
3 D. Reports
4 1. The SUBGRANTE: shall submit, at such times and in such form as may be
5 prescribed, such reports as the COMMISSION may reasonably require. The
6 COMMISSION shall notify the SUBGRANTEE from time to time as necessary of!
7 any changes in the SUBGRANTEE' s reporting requirements.
g E. Monitoring and Evaluation
g 1. Monitoring and/or evaluation will be scheduled in accordance with the !
ip overall COMMISSION Management requirements and will require access on
11 the part of the COMMISSION to all records , data , and other document-
12
ation as well as access to observe in a reasonable manner relevant
13 program activities , as related to this subgrant.
14 F. Authority to Bind SUBGRANTEE AIML

1 . Statutes , rules , and regulations governing state and federal fair
23 i employment practices are required to be adhered to by SUBGRANTEE in the ;
24 conduct of and/or related to the operation of the grant.
25 Complaint and Nearing Procedures: SUBGRANTEE shall continue to operate or
26 shall establish and maintain for its CETA participants a grievance or com-
27 plaint procedure relating to the terms and conditions of CETA employment, a.
26 set forth under Ser,ticln 106(a) and (b) of the Act. The SUBGRANTEE who does

1 A. General Assurances

I p. Conditions of employment and training shall be appropriate and reason- ti
2 able in the light of such factors as the type of work, geographical
3 region, and proficiency of the participant (Section 121(d) ( 1) ) .
4 q. It shall establish and maintain appropriate health , safety and other
standards for work and training (Section 121(d) (2) ) .
6 r. Household support obligations shall be taken into account , and specia'I
7 consideration shall be given alternative working arrangements such as
8 flexibly hours of work , word.-sharing arrangements , and part-time jobs ,
y particularly for parents of young children and for older persons (Sec-
1 0 tion 121(d) (3) ).
. 1 s. Ali programs for in-school youth shall be consistent with applicable
12 State educational standards (Section 121(d)(4) ) .
13 t. Appropriate worker' s compensation or equivalent protection shall be
1 y provided to all participants (Section 121(d)(5) ) .

1 5 u. The program shall result in an increase in employment and training
1 6 ' opportunities over those opportunities which would otherwise be
1 7 available (Section 121(e) ( 1 ) ) .
3.6 v. No currently employed worker shall be displaced by any participant

2 and overcoming sex-stereotyping (including procedures which will lead
3 to skill development and job opportunities for participants in occupa-
4 tions tradition-lly limited to the opposite sex) (Section 121 (f) (1 ) ) . �
5 z. No person shall be trained for an occupation which requires less than
6 2 weeks of pre-employment training unless there are immediate employ-
7 ment opportunities available in that occupation (Section 121( f) (2) ) .
8 aa. All programs shall be designed , to the maximum extent practicable ,
9 consistent with every individual ' s fullest capabilities, to lead to E
1 0 employment opportunities enabling participants to increase their earned
1 1 income and to become economically self-sufficient (Section 121( f) ( 3) ) .
1 2 bb. No person shall be referred fur training unless there is it reasonable
1 expectation of employment in the occupation for whit>i such person is
14 being trained. To the e,:tent feasible, public service jobs shall be

1 5 provided in occupational fields which are most likely to expand within
1 6 the public or private sector (Section 121(f) (4) ).
1 7 cc. No program shall substitute funds under this Act for other funds in
3.6 connection with work that would otherwise be performed (Section 121( g)

?0 ' dd. Jobs shall be created that are in addition to those that would be
2 1 I funded in the absence of assistance under this Act (Section 121(g) { 1 )

23 ee. Funds shall be used to supplement, and not supplant, the level of funds

f 4 that would otherwise be made available from non Federal sources for the
25 planning and administration of programs (Section 121(g)( 1) (C) ) .

26 ff. It will comply with the requirement that no nongovernmental individual ,
27 institution, or organization shall be paid funds provided under the Actl
28 to conduct an evaluation of any program under the Act if such indivi-

l dual , institution, or organization is associated with that program as a
2 consultant or technical advisor, or in any similar capacity (Section I
3 121(h)( 1) ) .
4 gg. It will comply with the requirement that no member of any council under;
5 this Act shall cast a vote on any matter which has a direct bearing on
6 services to be provided by that member (or any organization which that
7 member directly represents) or vote on any matter which would finan-
8 cially benefit the member or the organization which the member repre-
9 cents (Section 121(h) (2) ) .
10 hh. Work experience programs conducted under the Act shall not exceed a !

3 1 total of 1 ,000 hours for any individual (other thar► an in-school youth) 1.
12 for any year, and not morq than 2,000 hours within a 5-year period ,
1 3 beginning on October 27, 1978. Worm experience shall only be for
14 , persons who need assistance in becoming accustomed to basic word.

17 nn. No funds under this Act shall be paid to pay non-governmental organ-
lg j ization, association, firm or other entity for the conduct of any
Ig program or activity (other than under Title VII or OJT) under th" '
20 Act unless selected on the basis of merit which shall mean that it
21 has the administrative capability to perform effectively under the
22 program, has submitted a written plan that compares favorably to other
23 plans , has not been seriously deficient in its conduct in any Depart-

3 ! For public service employment activity, the applicant further assures and

S I� 1 . It will comply with the requirement that only persons residing within c�
6 ji the area qualifying for assistance shall be employed, and the public
7 services provided by such jobs , to the extent feasible, shall be de-
8 signed to benefit the residents of such area (Section 122(a) ) .
9 2. It will comply with the requirement that transitional public service
10 employment for unemployed economically disadvantaged persons shall be: i

11 a) entry level (with exception of Title VI project positions ) ;
12 b) combined with training and supportive services if such training and ;
