HomeMy WebLinkAboutPOLICE HELICOPTER HANGAR - ROBERT HAHNAU AND DARREL BLOMBERG - 1978-05-15 t AGREEMENT TO SUBLEASE THIS SUBLEASE is entered into between ROBERT HAHNAU and DARREL BLOMBERG, sublessors, and the CITY OF HUNTINGTON BEACH, sublessee. 1. DEMISE AND USE Sublessor leases to sublessee and sublessee leases from , ublessoT, for the purpose of storage and repair of helicopters , the space described in Section 2 herein. 2. DESCRIPTION OF SPACE The premises subject to this sublease consist of the entire open-hangar space located in the steel hangar building at 19300 Ike Jones Road, Santa Ana, California, including the alcove in the southwesterly corner. The area of the hangar occupied by Bauer Aviation Electronics _.s not to be included in computing the demised premise_ . A diagram of the premises subject to this Agreement is attached hereto, marked Exhibit A, and incorporated by reference. In addition, sublessee shall have exclusive use of two if the ramp tie-down areas adjacent to the hangar door. 3. BUILDING AND IMPROVEMENTS TO BE COMPLETED Sublessor represents that i-. holds a lease from the County of Orange, herein referred to as lessor, executed :,n October 21, 1975, to be in f,)rce for a period of 23 years . The lease between lessor and sublessor, a copy of which is attached hereto marled as Exhibit B, aid made a part hereof, is herein referred to as the lease. I. r 4. QUIEi, ENJOYMENT If sublessee performs the terms of this sublease, sublessor warrants that sublessee will have quiet enjoyment and peaceful possession of the space leased; however, it is agreed that, during normal business hours , employees and persons having lawful business with Bauer Aviation Electronics shall have access to the hangar- area for the purpose of entering or leaving said business ; and that he will defend sublessee in such quiet enjoyment and peaceful possession during the term of this sublease without interruption by sublesso,- or lessor, or by any person rightfully claiming under either of them. Sublessee understands that sublessor is the lessee of the premises from the County of Orange. Sublessee promises and agrees that it wall not do any art or omission which would cause sublessor to be in violation of the master lease with the County of Orange. Sublessee further understands that this agreement of sublease is subject to the approval. of the manager of the Orange County Airport. Sublessee shall be entitled to land and tare-off helicopters at the facility from any location satisfactory w: the airport manager and approved by t;ie _ i control tower. Y 5. SUBLESSOR TO PAY LEASE RENT 2 Sublessor agrees to pay the rent reserved in the lease and to perform and observe the covenants and stivulations contained therein so far as they ought to be performed and observed by it. 6. TERM OF S11BLEASE The term of this sublease shall be on a month- 2. to-month basis commencing on the date of execution, said month-to-month tenancy shall be terminated on thirty (30) days , written notice by either party by certified mail. The delegated authority for the sublessee is the City Clerk, City of Huntington Beach, 2000 Main Street, Huntington Beach, California 92648 . The designated representatives of the lessor are Robert Hahnau and Darrel Blomberg, 19300 Ike Jones Road, Santa Ana, California 92630. 1. SUBLEASE RENT Sublessee agrees to pay to sublessor as rent for the premises a monthly rent of. Two Thousand Nine Hundred Dollars ($2,900) , payable monthly in advance. The first such monthly rental installment shall be due on execution of this sublease agreement, and subsequent installments on. the same day of each month during the term of this agreement. 8 . SERVICES AND UTILITIES Lessee shall pay for the use of thu utilities according to a formula to be agreed upon by the parties. 9. USE FOR BUSINESS PURPOSES The premises and space subleased herein are to be used for business purposes ; primarily for storage and repair of helicopters, and for no other purpose without f" 'st obtaining the written consent of sub-lessor; provided, however, that sub- lessee may charge and collect a rental fee from others whom sublessee has permitted to temporarily use its hangar space for storage and repair of their aircraft. 3. .i 10. ALTERATIONS, ADDITIONS AND IMPROVEMENTS Sublessee shall not make alterations, additions , or improvements on the premises without first obtaining the written consent of sublessor. However, sublessee shall have the right to install an air compressor of greater capacity than the existing compressor in order to conduct its operations; in such event, lessee shall be responsible for removing and storing the existing compressor, and to replace it at the end of the tenancy. Also, sublessee shall be entitled to install, at its own expense, additional partitions to enclose the alcove area in the southwest corner of the hangar to provide for storage of parts and tools. This includes additional wiring. 11. LIENS Sublessee shall keep the leased premises free and clear of liens arising out of any work performed, materials furnished, or obligations incurred by sublessee, including mechanics' liens. 12. ACCESS FOR INSPECTION AND REPAIRS Sublessee shall allow le:,sor and sublessor, and their agents, free access at all reasonable times to the yremises for the purpose of inspecting or of making repairs , additions , or alterations to the prti;nises or any property owned by ar under the control of lessor or sublessor. 13. REPAIRS AND ',IAINTENANCE Subject to lessor' s obligations under the lease, sublessor, unless herein specified to the contrary, shall maintain the premises subleased in good repair and tenantable condition di:ring the continuance of this sublease, except in 4. case of damage arising from the act or negligence of sublessee or its agents. 14. DAMAGE OR DESTRUCTION BY FIRE, WAR, OR ACTS OF GOD In the event that the premises subleased herein are rendered untenantable in whole o: in substantial part as a result of destruction or damage by fire, acts of war, or acts of God, this lease shall cease . 15. DEFAULT BY LESSOR OR SUBLESSOR If lessor fails and neglects to perform the lease, or if sublessor fails to perform the lease or this sublease, sublessee may, on reasonable notice in writing of not less than thirty (30) days , terminate this sublease. 16. LITIGATION COSTS If any legal action is filed to enforce this sublease, or any term, covenant, or condition hereof, the prevailing party shall be entitled to recover as attorney fees such sum as the court may deem reasonable, and costs of the action. 17. SURRENDER OR PREMISES AND KEYS Sublessee agrees that at the expiration of this sublease, it will quit and surrender the subleased premises a withcut notice, and will deliver to sublesso, all keys belonging to the premises. 13 . DISPOSITION OF FIXTURES AND PERSONAL PROPERTY AT END OF LEASE TERM Sublessee may remove all personal aroperty, z trade fixtures, and office equipment, whether attached to the S premises or not, provided that it may be removed without serious damage to the building or premises. All holes or damage to the building or premises caused by removal of such items shall be repaired and restored by sublessee promptly after removal of iw� property. Sublessee shall be entitled to remove any electrical service connections installed by it that were designed specifically .for the operation of data processing or other electronic equipment. 19. NOTICES Except where otherwise required by st . te, all notices given pursuant to the provisions of this sublease shall be in writing, addressed to the party to whom the notice is given, and sent by registered or certified mail to the last known mailing address of the party. However, notices to sublessee may be sent to the address of the subleased premises. 20. SUBLEASE APPLICABLE TO SUCCESSORS AND ASSIGNS The terms , conditions , and covenants of this sublease shall inure to and be binding on the successors and assigns of the parties hereto, except as otherwise herein provided. 21. HOLD HARMLESS AND INDEMNIFICATION The sublessor shall protect, defend, indemnify and save harmless the sublessee from any and all claims or causes of action for injury to persons , including death, or damage to property caused by sublessor, his employees or agents, 3 F` resulting from or arising out of all operations covered by this + agreement. 7 6. z The sublessee shall protect, defend, indemnify and save harmless the sublessor from any and all claims or causes of action for, injury to persons, including death, or damage to property caused by sublessee, his employees or agen':s, resulting from or arising out of itsoperations covered by this agreement. 22. The area of the hangar occupied by Bauer Aviation Electror . is not to be included in computing the demised premises. A diagram of the premises subject to this Agreement is attached hereto, marked Exhibit A, and incorporated by reference. In addition, lessee shall be entitled to park aircraft outside the hangar on county property as permitted by the airport manager. 3. BUILDING AND IMPROVEMENTS TO BE COMPLETED Sublessor represents that it holds a lease from the County of Orange, herein referred to as lessor, executed on October 21, 1975, to be in force for a period of 23 years. The lease between lessor and sublessor, a copy of which is attached hereto marked as Exhibit B, and made a part hereof, is herein referred to as the lease. 4. QUIET ENJOYMENT If sublessee performs the terms of this sublease, sublessor warrants that sublessee will have quiet enjoyment and peaceful possession of the space leased; however, it is agreed that other persons using other parts of the hangar may have access to space leased to walk through from time to time and it is agreed that the area outside the hangar door is a part of the ramp for the northerly part of the tie--down area and access must remain open; and that he will defend sublessee in such quiet en- joyment and peaceful possession during the term of this sublease without interruption by sublessor or lessor, or by any person rightfully claiming under either of them. Lessee understands that lessor is the lessee of the premises from the County of Orange. Nlorrison this morning received word that the lawsuit regarding the Orange County airport location (Hero Bureau facility) has been settled out of court. The master leaseholder, under the terms of the out of court settlement, has 90 days to sell his lease. Dependent upon who buys that lease, our heliport operation could be in jeopardy by being forced out of that location. The master leaseholder has informed us that he is presently entertaining an offer of $1,219,000 for the master lease--the terms of which are $550,000 cash and a 10-year interest only loan at about 122%, with the full balance due at the end of that 10 years. The remaining lease on this property has about 15 years to run. The buyer intends to use the property as a terminal gate for a commuter airline and to provide a number of tie-downs for privately owned aircraft. They anticipate a monthly income of $15,700 from this operation. The present deal must be consummated within 45 days. The owners have offered the City of .9=ington Beach the second right of refusal to purchase the master lease. Should the Citv be the buyer, they would entertain a much reduced down payment, and/or a land swap with some presently owned city property as a possibility. The site would be available for at least a five year period and possibly for ten years on property owned by the Orange County Sanitation District. RECOMMENDATION: Direct staff to proceed with negotiations for use of property owned by the Orange County Sanitation District. ANALYSIS: The Police Department has been operating air surveillance out of Orange County Airport on a month to month basis for some time now. Locating the heliport facility at the airport has proven to be costly in terms of time lost t'o travel time due to the distance between the City and the airport , additional cost in fuel and monthly rent of $1,300. The proposed heliport relocation to the Orange County Sanitation District 3 property located southeast of Grand Street and Ellis Avenue will cut down on these costs and may actually provide us with a viable option to contract our surveillance services with surrounding cities. Subject STATUS OF HELIPORT Date April 28, 1978 The status of the heliport in the aero program is as follows : The Police Department has been directed to vacate the heliport facility due to the deteriorating conditions of the hangar. Because of the recent heavy rains , the sinking problem has accelerated and the building is now considered unsafe by Building and Public Works. Due to the fact that the building is sitting on an uncontrolled land fill, no further attempts will be made to salvage the heliport site. Also, there is the problem of having that activity on property given to us by Orange County to be used for open space activities. The County has been notified by the City that we plan to vacate it within approximately one year. The Police Department has located a temporary facility at Orange County Airport. A lease agreement between the City and the owner is presently in the City Attorney's Office for review and it should be to the City Council by the May 15 meeting for its approval. Once the Council gives its approval to the lease agreement, the operation as far as hangar storage and maintenance facility will be transferred to Orange County Airport; however, the adminiz ative function will remain at the present facility in the trailers until the issue of a heliport site is resolved. For your information, according to Lt. Morrison , there will be some lost time of aerial patrol because of turn-a-round time for the helicopters to refuel, which is approximately 45 minutes. F The Police helipoi ` site and vehicle maintenance facility is one of the issues that we neeo to discuss with the new City Council as soon as possible so that we can be given direction as to whether to pursue the Fugita property or look for other alternatives.
