ENGLE, COMMUNITY SERDIRECT0 SUBJECT: APPROVE MEMORANDUM OF UNDERSTANDING ETWEEN THE PROJECT SELF-SUFFICIENCY FOUNDATION AND THE CITY OF HUNTINGTON BEACH Statement of Issue,Funding Source,Recommended Action,Alternative Action(s),Analysis,Environmental Status,Attachment(s) Statement of Issue: There is a need to create a Memorandum of Understanding with the Project Self-Sufficiency Foundation (Foundation) to formalize their relationship with the City of Huntington Beach regarding Project Self-Sufficiency Program (PS-S). Funding Source: Not Applicable Recommended Action: Motion to: Approve the Memorandum of Understanding between the City of Huntington Beach and the Project Self-Sufficiency Foundation, and authorize the Mayor and City Clerk to sign the Memorandum of Understanding. Alternative Action(s): Do not approve the Memorandum of Understanding with the Project Self-Sufficiency Foundation and direct staff accordingly. Analysis: The City of Huntington Beach began operating Project Self-Sufficiency in 1985 through a U. S. Housing and Urban Development Grant. The City and Foundation work collaboratively to form a true public/private partnership. The City wishes to provide a program to assist highly motivated, low-income, single parents achieve economic independence from governmental assistance. The City and Foundation want to enter into an agreement or Memorandum of Understanding (MOU) to support PS-S and to clarify the respective obligations of the City and Foundation. REQUEST FOR CITY COUNCIL ACTION MEETING DATE: 8/17/2009 DEPARTMENT ID NUMBER: CS 09-009 Key points in the MOU include: CITY shall: - Provide an area in the PS-S office for the Foundation to maintain its corporate records and correspondence - Provide the Foundation with the use of conference/meeting areas within City facilities for committee meetings to conduct Foundation business - Provide staff support for Foundation donations received by forwarding said donations to the Foundation's Chief Financial Officer for documentation and deposit - Provide a non-voting staff liaison to work closely with the Foundation Executive Board on issues such as event planning and Foundation training and development FOUNDATION shall: - Provide its services as an organization accepting public and private donations intended for PS-S City staff use in furthering educational activities within existing or future City programs, wherein the donor wishes to use the benefits of a charitable organization in lieu of a direct gift to the City - Provide support for the processing and tracking of all donations and generate related correspondence including, but not limited to, "thank you" notes from the Foundation to various citizens - Work closely with the Community Services Department and its personnel to provide community outreach to effectively promote PS-S - Work closely with the Community Services Department and its personnel to cultivate partnerships and collaborations on behalf of PS-S - Have no liability as to the actions of the City or its personnel - Loan equipment derived from in-kind donations such as, but not limited to, computers to the participants in the program. These actions are solely between the Foundation and PS-S program participants. The City's PS-S program/staff are not a part of these loan actions. - Have the right to use the official Huntington Beach City logo, surfboard logo, and the City's "Surf City Huntington Beach" trademark with the prior written approval of the Director of Community Services. - Maintain non-profit status as a 501(c)(3) charitable organization. The MOU has a five-year term with the option of an additional five years by mutual consent. City staff recommends City Council approval of the MOU with the Project Self-Sufficiency Foundation. Memorandum of Understanding between the City of Huntington Beach and the Project Self-Sufficiency Foundation -2- 7/22/2009 11:29 ABA ATTACHMENT # l , . , MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF HUNTINGTON BEACH AND PROJECT SELF-SUFFICIENCY FOUNDATION THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into on 4(�{ ,57- , 2009, by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California(hereinafter referred to as "City"), and the PROJECT SELF-SUFFICIENCY FOUNDATION, a non-profit 501©3 Charitable Organization(hereinafter referred to as "Foundation"). WHEREAS, City began operating Project Self-Sufficiency (hereafter referred to as "PS-S") in 1985 through a U.S. Housing and urban Development Grant; and City and Foundation worked collaboratively to form Foundation in 1994 as a true Public/Private partnership; and City wishes to provide a program to assist highly motivated, low-income single parents to achieve economic independence from governmental assistance; and Foundation wishes to enter into an agreement with City to support PS-S and to clarify the respective obligations of City and Foundation; NOW, THEREFORE, for and inconsideration of the promises and covenants hereinafter contained and intending to be legally bound, the parties covenant and agree as follows: SECTION L TERM This MOU will become effective on the date it is approved by the City Council of the City and shall be a term of five (5) years. Agreement shall, after five years, renew automatically unless either party submits in writing its intent to terminate contract. In such case, 120 days written notice must be given of party's intent to terminate. 09-2103/34464 1 SECTION 2. OBLIGATIONS OF CITY The obligations of City pursuant to this Agreement shall be as follows: 1. City shall provide an area in the PS-S office for Foundation to maintain its corporate records and correspondence. 2. City shall, from time to time and based on approval and availability, provide Foundation with use of conference/meeting areas within City facilities for committee meetings in which to conduct routine Foundation business. 3. City shall, from time to time and based on approval and availability, provide Foundation use of community center halls or facilities for approved PS-S annual events. 4. City shall provide staff support for Foundation donations by forwarding said donations to Foundation Chief Financial Officer for documentation and deposit. 5. City shall provide non-voting staff liaison to work closely with the Foundation Executive Board on issues, such as event planning and Foundation training and development. SECTION 3. OBLIGATIONS OF FOUNDATION The obligations of Foundation pursuant to this Agreement shall be as follows: 1. Foundation shall maintain its status as a 50103 Charitable Organization and shall provide its service as an organization accepting public and private donations intended for use by City in the furthering of Foundation activities within the existing City program, wherein the donor wishes to use the benefits of a charitable organization in lieu of a direct gift to City. 09-2103/34464 2 2. Foundation shall provide financial support to PS-S within the scope of the Foundation Charter and as negotiated with City. This scope shall be limited to, scholarships and reimbursements in accordance with the annual Foundation budget. 3. Foundation shall provide support for the processing and tracking of all donations and generate related correspondence including, but not limited to, "Thank you" notes from Fountation to various citizens. 4. Foundation will work closely with City's Community Services Department and its personnel to provide community outreach to effectively promote PS-S. 5. Foundation will work closely with City's Community Services Department and its personnel to cultivate partnerships and collaborations on behalf of PS-S. 6. Personnel hired by City, including staff and volunteers shall be the sole responsibility of City. Foundation shall have no liability as to the actions of City or its personnel. 7. Foundation, from time to time, may loan equipment derived from In-Kind donations such as, but not limited to, computers, to the participants in City's PS-S program. These actions are between Foundation and PS-S program participants, solely. City's PS-S program/staff are not a part of these loan actions. SECTION 4. ACCESS TO CITY MARKS AND LOGOS Foundation shall have the right to use the official Huntington Beach City logo, surfboard logo, and City's"Surf City Huntington Beach"trademark with the prior written approval of City's Director of Community Services before using any of these logos or trademark, which approval shall be at the sole discretion of the Director. Note: The 09-2103/34464 3 surfboard logo is not the property of City. Neither logo will be used by Foundation for commercial purposes. SECTION 5. HOLD HARMLESS Foundation shall protect, defend, indemnify and hold harmless City, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of or in connection with performance of this MOU or its failure to comply with any of its obligations contained in this MOU except such loss or damage which was caused by the sole negligence or willful misconduct of City and Foundation shall similarly require all subcontractors to waive subrogation. SECTION 6. GENERAL LIABILITY INSURANCE In addition to the workers' compensation insurance and Foundation covenant to indemnify City, Foundation shall obtain and furnish to City, a policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify Foundations, its officers, agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with this Agreement, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability of$1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name City, its agents, its officers, employees and volunteers as Additional Insured, and shall specifically provide that any other insurance 09-2103/34464 4 which may be applicable shall be deemed excess coverage and that Foundation's insurance shall be primary. Under no circumstances shall the above-mentioned insurance contain a self-insured retention, or a"deductible" or any other similar form of limitation on the required coverage. SECTION 7. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED ENDORSEMENTS Prior to commencement of this Agreement, Foundation shall furnish to City certifications of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; these certificates shall: (a) provide the name and policy number of each carrier and policy; (b) state that the policy is currently in force; and (c) promise to provide that such policies shall not be canceled or modified without thirty (30) days' prior written notice of City; however, ten(10) days' prior written notice in the event of cancellation for nonpayment of premium. Foundation shall maintain the foregoing insurance coverage in force during the entire term of the Agreement or any renewals or extensions thereof or during any holdover period. The requirement for carrying the foregoing insurance coverage shall not derogate from Foundation's defense, hold harmless and indemnification obligations as set forth in this Agreement. City or its representatives shall at all times have the right to demand the original or a copy of any or all the policies of insurance. Foundation shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 09-2103/34464 5 SECTION 8. ASSIGNING AS BREACH Neither party shall encumber, assign, or otherwise transfer this MOU, or any right or interest in this MOU, without the express written consent of the other party. A consent by a party to one assignment or transfer to another person. Any encumbrance, assignment or transfer, without the prior written consent of the other party, whether it be voluntary or involuntary, by operation of law or otherwise, is void and shall, at the option of the other party,terminate this MOU. SECTION 9. TERMS BINDING ON SUCCESSORS All the terms, covenants and conditions of this MOU shall inure to the benefit of and be binding upon the parties and their successors and assigns. The provisions of this Section shall not be deemed as a waiver of any of the conditions against assignment hereinbefore set forth. SECTION 10. CONFLICT OF INTEREST Foundation shall employ no City official or any regular City employee in the work performed pursuant to this MOU. No officer or employee of City shall have any financial interest in this MOU in violation of the applicable provisions of the California Government Code_ SECTION 11. NONDISCLOSURES/PRESS RELEASES Foundation shall consult with City prior to issuing any press releases or otherwise making any public statements with respect to this MOU, the transactions contemplated herein, or matters arising herefrom. 09-2103/34464 6 SECTION 12. CUMULATIVE REMEDIES The remedies given to the parties in this MOU shall not be exclusive but shall be cumulative and in addition to all remedies now or hereafter allowed by law or elsewhere provided in this MOU. SECTION 13. WAIVER OF BREACH The waiver by City of any breach by Foundation of any of the provisions of this MOU, irrespective of the length of time for which such failure continues, shall not constitute a waiver of such breach or a waiver of any subsequent breach by Foundation either of the same or another provision of this MOU. SECTION 14. FORCE MAJEURE—UNAVOIDABLE DELAYS Should the performance of any act required by this MOU to be performed by either City or Foundation be prevented or delayed by reason of an act of God, strike, lockout, labor troubles, inability to secure materials, restrictive governmental laws or regulations, or any other cause (except financial inability)not the fault of the party required to perform the act,the time for performance of the act will be extended for a period equivalent to the period of delay and performance of the act during the period of delay will be excused. SECTION 15. SECTION 16. ATTORNEY'S FEES In the event suit is brought by either party to enforce the terms and provisions of this MOU or to secure the performance hereof, each party shall bear its own attorney's fees. The prevailing party shall not be entitled to recover its attorney's fees from the non- prevailing party. SECTION 17. CONTROLLING LAW AND VENUE The rights and liabilities of the parties, and the interpretation and construction of this MOU, shall be determined in accordance with the laws of the State of California. Any controversy arising out of or under this MOU, if litigated, shall be adjudicated in a court of competent jurisdiction in Orange County, California. SECTION 18. SECTION TITLES The section titles in this MOU are inserted only as a matter of convenience and for reference, and in no way define, limit or describe the scope of intent of this MOU or in any way affect this MOU. SECTION 19. TIME OF ESSENCE Time is of the essence with respect to all provisions of this MOU in which a definite time for performance is specified including, but not limited to, the expiration of this MOU. SECTION 20. SURVIVAL OF INDEMNITIES Termination of this MOU shall not affect the right of City to enforce any and all indemnities given or made by Foundation under this MOU, nor shall it affect any 09-2103/34464 8 provision of this MOU that expressly states that the provision shall survive termination thereof. SECTION 21. NONLIABILITY OF CITY OFFICIAL, EMPLOYEES OR AGENTS No elective or appointed City or City-affiliated board, commission or member thereof, or officer, official, employee or agent of City shall be personally liable to Foundation, its successors and assigns, of any default or breach by City under this MOU or for any amount which may become due to Foundation, its successors and assigns, under this MOU or for any obligation of City under this MOU. SECTION 22. MOU IN WRITING This MOU contains and embraces the entire agreement between the parties hereto and neither it nor any part of it may be changed, altered, modified, limited or extended orally or by any other agreement between the parties unless such agreement be expressed in writing, signed and acknowledged by City and Foundation, or their successors in interest. SECTION 23. PARTIAL INVALIDITY Should any provision of this MOU be held by a court of competent jurisdiction to be either invalid, void, or unenforceable, the remaining provisions of this MOU shall remain in full force and effect unimpaired by the holding, so long as the reasonable expectations of the parties hereto are not materially impaired. 09-2103/34464 9 SECTION 24. NO TITLE INTEREST No title interest of any kind is hereby given and Foundation shall never assert any claim or title to Art Center or any other public property. Any use of Art Center by Foundation is non-exclusive. SECTION 25. ENTIRETY The foregoing sets forth the entire agreement between the parties.
