RICHARD `PERRY AND' ASSOCIATES/ENVIRONMENTAL SCIENCE AND SER- VICES, heve 'nafter called the Contractor, hereby agrees to perform the follcwIng services in accordance witbT7 IMLP r t1sneAt.gitUdelines set forth by the State of Califorri a. in the Pub is esources Code Sections 21100-21107, Attorney General Reports, any pertinent Guidelines adopted by the local agency and the Guidelines for Environmental Impact Reports as provided by the resources Agency of the State of California: 1. Provide a detailed statement of the environmental impact of the proposed Huntington Riviera herein- after called the proposed action, 2.. Provide a detailed statement of any adverse en- vironmental effects which cannot be avoided if the proposal is implemented. 34 Provide a detailed statement as to mitigation measures proposed to minimize the impact. 4, Provide alternatives to the proposed action, 5 Provide a. detailed statement of the relationship between local short-term uses of man's environment and •the maintenance and e, -ancement of Long-term productivity. 6. Provide a detailed statement of any irreversible environmental changes which would be involved in the proposed action should it be implemented. '7. Provide a detailed: statement of the growth-inducing impact of the proposed action. 8. Provide a detailed statement of ,the boundaries of the area which may be significantly affected by the proposed action. 9. Provide a final report for review by said Agency can or before June 5, 1973 t 4ether with 25 copies thereof. Said report will, include: AOL Public and ,private individual and agencies' comments, and written communications fr. o!,, these, received by the Contractor as of May 29, 1973 Responses to pertinent comments and. cormuni cations and reconciliation of problem areas, insofar as possible. Revisions to the Draft EIR, as required (in addition to the attacnment of written communi- cations and responses to inputs) . 10 Appear at the May '29, 1973 and June 12, 1973 meetings of the Environmental Review Board, and appear at a Planning Commission and possibly City Council meeting. 11. Provide representatives who will appear with, and on behalf of the Agency, whenever requested by 'agency, at meetings required relative to the Environmental Reports reviews and/or hearings until and to 45 days after sub- mittal of the formal EIh, or until said formal EIR is approved by Agency, whichever occurs first. To seek cooperation from the Agency's developer in provid- ing access to the real property which is the subject matter of the proposed action and all information or documents, studies and/or reports pertaining to the proposed develop- meet and to the completion., of the final draft of the environmental impact report 2: 5, To pay a fixed fee to RICHARD TERRY AND ASSOCIATES/ ENVIRONMENTAL SCIENCE AND SERVICES, for their profes- ional services in the sum of not more than $1.,500.00 for tasks outlined in PART I. Said fee includes admini- strative costs and shall be paid to RICHARD TERRY AND ASSOCIATES/ENVIRONMENTAL SCIENCE AND SERVICES as follows: a. 25%" of fee forthwith as a retainer. b. 50% of fee when final rough draft of EIR is submitted. C. 25% of fee shall be withheld until Agency has approved the forma" EIR; however, if Agency fails to aot within forty-five (45) dcys after the final EIR has been I ' submitted, the withheld fee shall be paid forthwith to RICHARD TERRY AND ASSOCIATES/ENVIRONMENTAL SCIENCE AND SERVICES: 6. To pay Contractor in the event that additional revisions or addition:L are requested of him after the final EIR has been submitted on the following basis : RATE SCHEDULE A. Hourly Rates for Professional Services 1. Technicians a) Field technician 6.50/hr b) Lab technician 6 50/hr c) Draftsman/graphics works 6 50/hr d) Sr. field technician 7.00/h e) Technical. editor 7 50/hr 2. Environmentalists a) Staff members/Tech. Asst.8.00/hr b) Proj � scientists/engi- neers 10-15/hr c) Sr. scientists/engi- neers 15-20/ter 3, Principals a) Principal scientists 15-20/hr b) Principal (Chief) scientist 22/hr c) Executive Director 25 Un-town)/hr 30 (out--of-town)/hr 3, B. Expenses costs are invoiced semi-monthly for services incurred, based upon 2.2 times the direct personal hourly rate. 1. Routine office and field work provided at no extra cost., 2. Special office and field or shipboard work may be charged at hourly, lump sum, or other pre-arranged fee. 3. Normally, a 10% service charge is added for such expenses as out-of- pocket expenses, aerial photos, topo- graphic maps, long distance phone calls, blue prints, photographs, subsistence, travel, renderings, models, special consultants, soil or agronomic surveys, additional geologic surveys, printing and binding, etc. 4.' Mileage $0.12/mile for local travel. 5. Subsistence expenses,, not to exceed $30/day, will be charged for individuals on out-of-town or at-sea projects requiring more than one day. 7. Agency shall not unreasonably withhold approval of the final EIR. 8. Additional obligations described as follows: To be negotiated subject to Agency's prior approval, where practical, those expenses incurred by Contractor and/or Contractor's consultants for any and all uni...;sual performances not included in the above sections. PART III The contractor and Agency agree to the further terms and conditions set forth in this PART III. 1. The Contractor shall keep all information and data relating to or connected with the contract documents and the work confidential In all respects, and shall not, without prior written consent of the Agency transmi' the information to third persons, except those related to the job herein such as t' ,e developer architect and others related thereto. 4. 2. Contractor sisall start work on the proposed action as soon as notified in wz•_,;ing by Agency to do so 3. Agency may extend the time o_ apletion and/or any of the. due dates specified herein capon written 'notice to the Contractor. Without such written notice, no oxtension of time is valid. 4. In the event an actf„on be brought for recovery of moneys due or ' o becom-e due under this contrac4- or by reason of any breach of any coveriant herein contained, the prevailing party shall be entitled to all of the costs ,In connection therewith, but not attorney's fees. 5. Termination: Agency may terminate this contract upon_ written notice to the Contract-r.
