SAKIOKA, INC. , A CORPORATION, FOR FARMING PURPOSES THIS AGREEMENT, made and entered into this day of , 19-79 , by and between the CITY OF HUNTINGTON BE.X H, municipal corporation of the State of California, hereinafter referred to as "LESSOR" , and ROY K. SAKIOKA, dba ROY K. SAKIOKA , INC. , a California corporation , hereinafter referreu to as "LE.)SEE" . WITNESSETH: RECITALS : 1. LESSOR is the owner of certain unimproved property located at Yorktown Avenue and Magnolia Stre;:t (Yorktown Park Property) , in the City of Huntington Beach, hereinafter referred to as "said Real Property" . 2. LESSOR does not anticipate developing said Real Pro- perty for parkland purposes until fiscal year 1980--1981 . 3. LESSEE desires to lease said Real Property for the purpose of farming said property. WHEREFORE, in consideration of the covenants and agree- ments herein undertaken and assumed by LESSEE, LESSOR and LESSEE do hereby agree as follows : 1. LEASE LESSOR shall lease to LESSEE the following described said Real Property : The southerly 150 feet of the Northeast quarter of the Northeast quarter of Section 1, Township 6 South, Range 11 West , San Bernardino Base and Meridian , in the City of Huntington Beach, County CM:sh 6/13/79 1. of Orange , State of California and a portion of the East one half (1/2) of the Northwest one quarter (1/4 ) of the Northeast one quarter (1/4 ) of Section 1, Township 6 South, Range 11 West , San Bernardino Base and Meridian, in the City of Huntington Beach, County of Orange , State of Cali�ornia, more particularly described as Lot A of Tract 8049 and Lot 102 of Tract 9145 in the City of Huntington Beach as shown in the official records of the County Recorder of Orange . Said Real Property to amount to nine (9) acres , more or less , and as further described by the diagrams attached here- marked Exhibit "A" and incorporated herein by reference . 2 . TERMS The term of this lease shall be for one (l) year, commencing or the date of execution hereon on behalf of LESSEE. Should park development funds not be available for development of this property in fiscal year 1980-1981 , this lease may be extended , at the option of LESSOR and with the approval of LESSEE, for an additional one (1 ) year term. Notice of the availability of such renewal shall be in writing and delivered to LESSEE thirty ( 30 ) days prior to the expi- ration of the lease term; and acceptance of the option to renew this lease by LESSEE shall be in writing and delivered ` to LESSOR not more than fifteen (15 ) days after receipt of the invitation to renew by LESSEE. Any such renewal shall be subject to all provisions of this lease . 3 . RENTAL In consideration of said letting, LESSEE covenants and agrees to pay to LESSOR the sum of Three Thcusa.r:d One Hundred Fifty Dollars ( $3 , 150 ) per year. PERFORMANCE LESSEE agrees to use the leased premises for farming pur- poses only, and LESSEE further agrees to keep said Real Pro- p. perty free of weeds and trash and to maintain said Real Property in a manner satisfactory to LESSOR. 5. UTTLITIES LESSEE shall be responsible for and pay pri.or to tb- delinquency date all charges for utilities supplied to said Real Property . 6 . INDEMNIFICATION LESSEE shall defend , indemnify . and save harmless LESSOR , its officers , agents , and employees from and against any and all claims , demands , loss , or liability of any kind or nature which LESSOR , its officers , agents , or employees may sustain or incur, or which may be imposed upon them or any of diem, for injury to or death of persons , or damage to property , as a result of, arising out of, or in any manner connected with this lease or with occupancy and use of said Real Property by LESSEE, its officers , agents , employees , licensees , patrons , or visitors . 7 . DEFAULTS AND REMEDIES In the ei.►ent of any breach of this lease by LESSEE , LES- SOR shall notify LESSEE in writing of such breach and LESSEE shall have thirty ( 30) days in which to cure said breach. No such breach shall be deemed to terminate this lease unless and until such notice shall have been g- ven and more than thirty ( 30 ) days shall have elapsed without such breach being cured. . 8. NOTICES All notices pursuant to this lease shall be addressed as set forth below or as either party may hereafter designate by written notice and shall be sent t.hrourr.i the United States mail . LEASE ORGAIII ZATIO14 The varj.ous headings in this lease , the numbers thereof, and the organization of the lease into separate sections and 3 • paragraphs are for purposes of convenience only and shall not be considered otherwise . 10 . IMSPECTION LESSOR or its authorized representative shall have the right at all reasonable times to inspect said Real Property to determine if the provisions of this lease are being complied with. 11 . SUCCESSORS IN INTEREST Unless otherwise provided in this lease , the terms , cove- nants , and conditions contained herein shall apply to and bind the heirs , successors , executors , administrators , and assigns of all the parties hereto , all of whom shall be jointly and severally liable hereunder . 12 . COST OF SUSTAINING AN ACTION FOR BREACH OR DEFAULT In the event either LESSOR or LESSEE commences legal action against the other claiminiz a breach or default of this lease , the prevailing party in such litigation shall be entitled to recover from the other costs of sustaining such action , in- cluding reasonable attorney fees , as may be fired by the Court . 13 . CIRCUMSTANCES WHICH EXCUSE PERFORMANCE If either party hereto shall be delayed or prevented from the performance of any act required hereunder by reason of acts of God, restrictive governmental laws or regulations , or other cause without fault and beyond the control of the party obli- gated (financial inability excepted) , performance of such act shall be excused for the period of the delay ; and the period for the performance of any such act shall be exterided for period equivalent to the period of such delay . However , nothing in this clause shall excuse either party from the prompt pay- ment of any rental or other charge required of them except as may be expressly provided elsewhere in this lease . 14 . ENTIRE ArREEMENT This lease sets forth the entiragreement between LESSOR and LESSEE and any modification mu:. 1_ be in the form of a written amendment agreed to by the parties her. .rj . 4 . ,b; 15. PARTIAL INVALIDITY If any term, covenant , condition , or provision of this lease is held by a court of competent jurisdiction to be invalid, void, or unenforceable , the remainder of the provi- sions hereof shall remain in full force and effect and shall in no way be affected , impaired , or invalidated thereby . 16. WAIVER OF RIGHTS The failure of LESSOR or LESSEE to insist upon strict performance of any of the terms , conditions , and covenants in this lease shall not be deemed a waiver of any right or remedy that LESSOR or LESSEE may have , and shall not be deemed a waiver of any right to remedy for a subsequent breach or default of the terms , conditions , and covenants herein contained. 17. HOLDING OVER In the event LESSEE shall continue in possession of said Real Property after the ter:: of this lease , such possession shall not be considered a renewal of this leas- , but a tenancy from month to month and shall be governed by the conditions and covenants contained in this lease . 18 . Statement of Issue, tiacommendation, Analysis, Funding Source, Alternative Actions: STATEMENT OF ISSUE : Roy K . Sakioka , Inc . has presented a forinal request to lease 5+ acres of City owned , undeveloped park property for farming purposes . The property is under the Sou0ern California Edison power line , on the west side of Magnolia and south of Garfield . The term of the lease shall be for one ( 1 ) year with City option to renew for a second year at $1 , 500 per year . RECOMMENDED ACTION : Request City Council approval of the attached agreement with Roy K . Sakioka , Inc . to allow him to farm 5+ acres of the City owned Yorktown Park site for one ( 1 ) year . ANALYSIS : Development of the Yorktown Park site is not scheduled until 1979-80 and farming the land is an appropriate interim use which will relieve the City of keeping the 5+ acres weed and debris free while bringing in an income of $19500 . ALTERNATIVE : Continue to remove weeds and debris at City expense . rUNDING SOURCE : No cost , income producing . I � r LEASE OF YORKTOWN PARK PROPERTY BETWEEN THE CITY OF HUNTINGTON BEACH, A MUNICIPAL CORPORATION, AND ROY K. SAKIOKA, DBA ROY K. SAKIOKA, INC . , A CORPORATION, FOR FARMING PURPOSES THIS AGREEMENT, made and entered into this day of , 1978 , by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California , hereinafter referred to as "LESSOR" , and ROY K . SAKIOKA, dba ROY K . SAKIOKA, INC . , a California corporation, hereinafter referred to as "LESSEE" . RECITALS 4 1 . LESSOR is the owner of certain unimproved park property located at Yorktown Avenue and Magnolia Street (Yorktown Park Property) , in the City of Huntington. Beach, hereinafter referred to as "said Real Property" . Z . LESSOR does not anticipate developing., said Real Property for parkland purposes earlier than fiscal year 1979- 1980 . 3 . LESSEE desires to lease said Real Property for the purpose of farming said property. WHEREFORE, in consideration of the covenants and agreements herein undertaken and assumed by LESSEE, LESSOR and LESSEE do hereby agree as follows : 7/l0/78 1 . LEASE LESSOR hereby leases to LESSEE the following described Real Property consisting of approximately four (4) acres , of the Yorktown Park property as depicted in the diagram A, attached hereto and incorporated herein by reference, and more specifically described as : Lot A of Tract 8049 and Lot 102 of Tract 9145 in the City of Huntington Beach, each as recorded in the official records of the County Recorder of Orange County. 2 . TERMS The term of this lease shall commence upon execution by LESSOR and extend to June 30 , 1979 . Should park development funds not be available for development of this property in fiscal year 1979- 1980 , this lease may be extended , at the option of LESSOR and with the approval of LESSEE, for an additional one ( 1 ) year term . Notice of the availability of such renewal shall be in writing and delivered to LESSEE thirty (30) days prior to the expiration of the lease term ; and acceptance of the option to renew this lease by LESSEE shall be in writing and delivered to LESSOR not more than fifteen ( 15 ) days after receipt of notice of availability of extension . Any such renewal shall be subject to all provisions of this lease . 3 . RENTAL In consideration of said letting, LESSEE covenants and agrees to pay to LESSOR the sum of One Thousand Two Hundred Dollars ( $1 , 200) per year . Said consideration shall become due and payable at the commencement of the lease term, and payment shall be made in one lump sum , upon execution of this lease agreement . 2 . 4 . PERFORMANCE LESSEE agrees to use the leased premises for farming purposes only, and LESSEE further agrees to keep said Real Property free of weeds and trash and to maintain said Real Property in a manner satisfactory to LESSOR. 5 . UTILITIES LESSEE shall be responsible for and pay prior to the delinquency date all charges for utilities supplied to said Real Property. 6 . INDEMNIFICATION LESSEE shall defend , indemnify and save harmless LESSOR, its officers, agents, and employees from and against any and all claims , demands, loss , or liability of any kind or nature which LESSOR, its officers , agents , or employees may sustain or incur , or which may be imposed upon them or any of them , for injury to or death of persons, or damage to property, as a result of , arising out of, or in any manner connected with this lease or with occupancy and use of said Real Property by LESSEE, its officers , agents, employees , licensees , patrons , or visitors . 7 . DEFAULTS AND REMEDIES In the event of any breach of this lease by LESSEE, LESSOR shall notify LESSEE in writing of such breach and LESSEE shall have thirty (30) days in which to cure said breach . No such breach shall be deemed to terminate this lease unless and until such notice shall have been given and more than thirty (30) days shall have elapsed without such breach being cured . 3 . 0 0 8 . NOTICES All notices pursuant to this lease shall be addressed as set forth below or as either party may hereafter designate by written notice and shall be sent through the United States mail . LEASE ORGANIZATION The various headings in this lease , the numbers thereof, and the organization of the lease into separate sections and paragraphs are for purposes of convenience only and shall not be considered otherwise . 10 . INSPECTION LESSOR or its authorized representative shall the right at all reasonable times to inspect said Real Property to determine if the provisions of this lease are being complied with . 11 . SUCCESSORS IN INTEREST Unless otherwise provided in this lease, the terms , covenants , and conditions contained herein shall apply to and bind the heirs , successors , executors , administrators , and assigns of all the parties hereto, all of whom shall be jointly and severally liable hereunder . 12 . COST OF SUSTAINING AN ACTION FOR BREACH OR DEFAULT In the event either LESSOR or LESSEE commences legal action against the other claiming a breach or default of this lease , -the 4 . prevailing party in such litigation shall be entitled to recover from the other costs of sustaining such action, including reasonable attorney fees , as may be fixed by the Ccurt . 13 . CIRCUMSTANCES WHICH EXCUSE PERFORMANCE If either party hereto shall be delayed or prevented from the performance of any act required hereunder by reason of acts of God, restrictive governmental laws or regulations , or other cause without fault and beyond the control of the party obligated (financial inability excepted) , performance of such act shall be excused for the period of the delay; and the period for the performance of any such act shall be extended for period equivalent to the period of such delay . However , nothing in this clause shall excuse either party s'rom the prompt payment of any rental or other charge required of them except as may be expressly provided elsewhere in this lease . 14 . AMENDMENT This lease sets forth the entire agreement between LESSOR and LESSEE and any modification must be in the form of a written amendment agreed to by the parties hereto . 15 . PARTIAL INVALIDITY If any term, covenant , condition , or provision of this lease is held by a court of competent jurisdiction to be invalid, void or unenforceable , the remainder of the provisions hereof shall remain is full force and effect and shall in no way be affected , impaired , or invalidated thereby. 16 . WAIVER OF RIGHTS The failure of LESSOR or LESSEE to insist upon strict performance of any of the terms, coudi t i ons , and conversant s in 5 . •i ; this lease shall not be deemed a waiver of any right or remedy that LESSOR or LESSEE may have, and shall not be deemed a waiver of any right or remedy for a subsequent breach or default of the terms, conditions , and covenants herein contained . 17 . HOLDING OVER In the event LESSEE shall continue in possession of said Real Property after the term of this lease , such possession shall not be considered a renewal of this lease but a tenancy from month to month and shall be governed by the conditions and covenants contained in this lease . 18 .
