SUBJECT: Approve and authorize execution of Professional Services Contracts for On Call
Water and Engineering Services with GHD, Inc., Pacific Advanced Civil
Engineering (PACE), Inc., HDR Engineering, Inc., and SA Associates, each in an
amount not to exceed $1,000,000
Statement of Issue:
The Public Works Department requires on-call/as-needed water and other engineering services to
support staff for the design of capital improvement projects which are identified in the approved
Water Master Plan.
Financial Impact:
The City's FY 2017/18 Capital Improvement Program (CIP) Budget totals $28 million (All Funds) for
approved projects citywide. Each approved CIP project has a budget containing sufficient funding
for design, environmental, engineering, construction, project management and other required costs.
The four (4) recommended water and engineering service contracts have a maximum value of $4
million over the next 3 years and will be funded on an as-needed basis within each project's
individual CIP budget. As such, no additional funding is required by this action.

Analysis:
On November 28, 2017, the City advertised a Request for Qualifications ("RFQ") for On-Call
Engineering and Professional. Consulting Services. Proposals were requested and submitted in
compliance with Chapter 3.03 of the Huntington Beach Municipal Code. Eighteen (18) proposals
were received for water and engineering services. In accordance with a qualifications based
selected procurement per the Federal "Brooks Act," State SB 419, and the City of Huntington
Beach Municipal Code Section 3.03 "Professional Services" the Public Works Department
established a review board. Proposals were evaluated and ranked by a three (3) member panel
review team established by the Public Works Department. The reviewers were a Senior Civil
Engineer, an Associate Civil Engineer, and an Engineering Aid. After conducting the entire
evaluation process, including negotiation for competitive rates, the top four (4) firms were selected
to increase opportunity for competitive proposals for future projects from qualified on call
consultants, and they are GHD, Inc., Pacific Advanced Civil Engineering (PACE), Inc., HDR
Engineering, Inc., and SA Associates. Summary of evaluation sheets for the top four (4) firms, and
the fifth (5th) firm not selected are shown in Attachment 5.
The contracts recommended in this Request for Council Action (RCA) are to support staff for water
and design engineering of capital improvement projects. These services have historically been
utilized to supplement City staff to meet annual CIP goals, as an extension of staff and/or to provide
required expertise for unique projects. It is anticipated that these services will be required based on
past years. Each project is evaluated on a case-by-case basis to determine if these as-needed
contract services are necessary.
The City's Capital Improvement Program ("CIP") is approximately $24.6 million in Fiscal Year
2017/18 and exceeds $28 million with continuing of funds for projects approved from previous
years. In addition, the proposed Fiscal Year 2018/19 CIP totals $24.7 million in new projects.
Typical design and construction support costs from use of consultants on a CIP project can vary
between ten (10) to twenty (20) percent of total costs for a CIP project. Therefore, it is practical to
conservatively estimate minimum annual consultant costs would be approximately $2 million to the
City for total CIP projects or $6 million within the next three (3) years.
Water and engineering services are typically required for water related CIP projects. Therefore,
these consultants were selected to meet projected workload over the next three years with a total
contract limit of$4 million.

PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
SA ASSOCIATES
FOR
ON CALL WATER AND ENGINEERING SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as
"CITY," and SA ASSOCIATES, a California corporation hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide on call water
and engineering services; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service
contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A," which is
attached hereto and incorporated into this Agreement by this reference. These services shall
sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Shahnawaz Ahmad who shall represent it and be
its sole contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT are to
commence on May 21st- , 20 18 (the "Commencement Date"). This Agreement
shall automatically terminate three (3) years from the Commencement Date, unless extended or
sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no
later than three (3) years from the Commencement Date. The time for performance of the tasks
identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be
amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT.
In the event the Commencement Date precedes the Effective Date, CONSULTANT
shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY agrees to
pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is
attached hereto and incorporated by reference into this Agreement, a fee, including all costs and
expenses, not to exceed One Million Dollars ($1,000,000).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A" or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work only after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."

7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices, calculations,
computer code, language, data or programs, maps, memoranda, letters and other documents, shall
belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or
termination of this Agreement or upon PROJECT completion, whichever shall occur first. These
materials may be used by CITY as it sees fit.
8. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless
CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against
any and all claims, damages, losses, expenses, judgments, demands and defense costs (including,
without limitation, costs and fees of litigation of every nature or liability of any kind or nature)
arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any)
negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of
its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees
except such loss or damage which was caused by the sole negligence or willful misconduct of
CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall
approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and
liability regardless of whether any insurance policies are applicable. The policy limits do not act as
limitation upon the amount of indemnification to be provided by CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability insurance
policy covering the work performed by it hereunder. This policy shall provide coverage for
CONSULTANT's professional liability in an amount not less than One Million Dollars

($1,000,000.00) per occurrence and in the aggregate. The above-mentioned insurance shall not
contain a self-insured retention without the express written consent of CITY; however an insurance
policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims-made
policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsequent policies purchased as renewals or
replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that might
give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion. If insurance is terminated
for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two
(2) years to report claims arising from work performed in connection with this Agreement.
If CONSULTANT fails or refuses to produce or maintain the insurance required by
this section or fails or refuses to furnish the CITY with required proof that insurance has been
procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to
forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid
for its time and materials expended prior to notification of termination. CONSULTANT waives the
right to receive compensation and agrees to indemnify the CITY for any work performed prior to
approval of insurance by the CITY.
10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement; the certificate shall:

A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. shall promise that such policy shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty (30) days'
prior written notice; however, ten (10) days' prior written notice in the event
of cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force until the
work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not derogate
from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this
Agreement. CITY or its representative shall at all times have the right to demand the original or a
copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the
premiums on the insurance hereinabove required.
11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT
shall secure at its own cost and expense, and be responsible for any and all payment of all taxes,
social security, state disability insurance compensation, unemployment compensation and other
payroll deductions for CONSULTANT and its officers, agents and employees and all business
licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike manner.
CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and
whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall

be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the
event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at
the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not be
assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the
prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all
approved assignees, delegates and subconsultants must satisfy the insurance requirements as set
forth in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have any
financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given either by
personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as
the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and
depositing the same in the United States Postal Service, to the addresses specified below. CITY and
CONSULTANT may designate different addresses to which subsequent notices, certificates or

other communications will be sent by notifying the other party via personal delivery, a reputable
overnight carrier or U. S. certified mail-return receipt requested:

17. CONSENT
When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval to any
subsequent occurrence of the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid unless in
writing and duly executed by both parties.
19. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive phrases
at the beginning of the various sections in this Agreement are merely descriptive and are included
solely for convenience of reference only and are not representative of matters included or excluded
from such provisions, and do not interpret, define, limit or describe, or construe the intent of the
parties or affect the construction or interpretation of any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties. If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining

covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent
upon any other unless so expressly provided here. As used in this Agreement, the masculine or
neuter gender and singular or plural number shall be deemed to include the other whenever the
context so indicates or requires. Nothing contained herein shall be construed so as to require the
commission of any act contrary to law, and wherever there is any conflict between any provision
contained herein and any present or future statute, law, ordinance or regulation contrary to which
the parties have no right to contract, then the latter shall prevail, and the provision of this
Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to
bring it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been prepared
and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the
date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed
an original instrument as against any party who has signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of the
United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside the
scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for

CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
24. ATTORNEY'S FEES
In the event suit is brought by either party to construe, interpret and/or enforce the
terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear
its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's
fees from the nonprevailing party.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context survive
the expiration or termination of this Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the
State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has the
power, authority and right to bind their respective parties to each of the terms of this Agreement,
and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority
or power is not, in fact, held by the signatory or is withdrawn.
28. ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement freely
and voluntarily following extensive arm's length negotiation, and that each has had the opportunity
to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and
agree that no representations, inducements, promises, agreements or warranties, oral or otherwise,
have been made by that party or anyone acting on that party's behalf, which are not embodied in this

Agreement, and that that party has not executed this Agreement in reliance on any representation,
inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the
parties respecting the subject matter of this Agreement, and supersede all prior understandings and
agreements whether oral or in writing between the parties respecting the subject matter hereof.
29. EFFECTIVE DATE
This Agreement shall be effective on the date of its approval by the City Council.
This Agreement shall expire when terminated as provided herein.

A. STATEMENT OF WORK: (Narrative of work to be performed)
CONSULTANT shall provide consulting services on an'as-needed' basis for projects to be
determined during the term of the agreement. During the term of the agreement, CITY may elect to
solicit proposals from CONSULTANT. CITY shall issue task order for each project based upon the
scope of services, work schedule, and fee proposal submitted to CITY for its review and approval.
B. CONSULTANT'S DUTIES AND RESPONSIBILITIES:
CONSULTANT'S duties and responsibilities shall be per CONSULTANT'S Statement of
Qualification (Exhibit A), consistent with the City of Huntington Beach Request for Qualifications
for On Call Water and Engineering Consulting Services. Upon award, and the contract period, if
CONSULTANT chooses to assign different personnel to the project, CONSULTANT must submit
the names and qualifications of these staff to CITY for approval before commencing work.
C. CITY'S DUTIES AND RESPONSIBILITIES:
1. Furnish scope of work request for each project.
2. Furnish construction plans and specifications to the CONSULTANT.
D. WORK PROGRAM/PROJECT SCHEDULE:
A project schedule will be developed for each project assigned by CITY.

In accordance with your Request for Qualifications (RFQ), we are pleased to submit our
qualifications to provide On-Call Engineering Water Engineering and Professional Consulting
Services to assist the City's Public Works Department.
SA Associates was established in May, 1989, and is a principal-owned engineering firm with
services specializing in planning, design, program management, construction management,
and inspection. We provide complete civil engineering services for municipalities, public and
private water agencies, sanitary districts, and flood control districts. We are committed to
engineering excellence and principal involvement. The size of our firm allows us to provide
personalized service to our clients.
We are also classified a Disadvantaged Business Enterprise (DBE), Minority Business
Enterprise (MBE) and Small Business Enterprise (SBE) by various local, state, and federal
agencies.
SA Associates has extensive experience in design and construction of potable water, recycled
water, sewer, storm drain, and street facilities. We have been responsible for the design and
construction of over 129 miles of potable water and recycled mains for a construction cost of
approximately $93 million for various agencies in the Southern California area. We have
extensive experience in providing As-Needed/On-Call Services or Support Services for public
agencies.

Prepared plans for Crescenta Valley Water District's Well No. 2 at Ordunio Reservoir. The project
consisted of a new 150 gpm submersible pump and motor for well no.2, onsite piping, a chorine feed
system using sodium hypochlorite (NAOCL), a nitrate removal treatment facility (by APT Water),
upgrade of two existing booster pumps, installation of a masonry or pre-fabricated operations building,
installation of a "carport" type building over concrete pad for the nitrate removal facility, water, sewer,
and gas services, electrical and telemetry system (SCADA), pavement and other on-site
improvements. Funding, in part, was provided by grants, including Proposition 84 (Integrated Regional
Water Management Grant Program under the Safe Drinking Water, Water Quality and Supply, Flood
Control, River and Coastal Protection Bond Act of 2006) and Proposition 50 (The Water Security,
Clean Drinking Water, Coastal and Beach Protection Act of 2002

Well 14 Pump/House Controller
Design of well head facilities and well pump for new well No.14. The new well is located at Willow
Springs Park near the intersection of Leadora Avenue and Willow Springs Lane east of Sellers
School. The site is located in a residential area and is approximately 0.5 acre. The well capacity is
approximately 350 gallons per minute and the Pumping level will be at 480 feet below ground surface.
The well casing is 18-inch diameter and the well will have an inflatable packer to allow isolation of
groundwater between 385 feet and 410 feet below ground in the event water quality issues are
encountered. The well discharge pipe terminates inside of the well house for future extension and
connection to the City's water distribution system. Disinfection provisions is a temporary sodium
hypochlorite feeds stem utilizing a drum and drum pump. See letter at end of this section.

Well No. 22 Pump House Facilities and Site Improvement
Design of pump house facilities for a new municipal supply well No. 22. The new well is located at
Lynwood City Park near the intersection of Birch Street and Spruce Street west of Fred W. Holser
Middle School. The site is located adjacent to a residential area and is approximately 5,000 square
feet. The well capacity is 2,500 gallons per minute and at a pumping level of about 130 feet below
ground surface. The well casing is 18 inches in diameter and the well discharge piping is 12 inches in
diameter. The well discharge is controlled by a well-control diaphragm valve (Cla-Val model 51-02)
along with a check valve (Cla-Val model 81-02). On-site chlorination is the only well-head treatment
provided for the well discharge. The well discharge continues to a nearby water main about 150 feet
away. The site includes a perimeter wall, well house building, engine generator building, and a
chlorination facilities building. The site also features perimeter landscaping and two 14 foot access
gates. The generator serves the site in the event power from Edison is unavailable. The project also
includes abandonment of an existing sewer main and design of a new sewer main as a replacement.

Permanent Destruction Two Deep Municipal-Supply Water Wells

Comstock Avenue Water Main Replacement Project
Designed the replacement of a water main in the uptown business district, along Comstock Avenue
between Hadley Avenue and Wardman Avenue, for an approximate length of 2,000 ft., upgrading a 6"
cast iron line to the 12" ductile iron pipe to provide sufficient flow within the area as well as for future
improvements. The project will consist of replacing service laterals and tie-ins and to repair the
existing concrete pavement along the trench width.

Beverly Boulevard Water Main Replacement Project
Designed the replacement of a water main along Beverly Boulevard between Palm Avenue and Citrus
Avenue to replace an aging water main with an approximate length of 4,450 ft. The existing 6" cast iron
water main will be replaced with an 8" ductile iron pipe. The design minimized construction and
maintenance costs by protecting the existing parkway and pine trees, and providing better access for
maintenance of the proposed main.

Well Nos. 17 and 18
This project consisted of drilling and equipping two existing water supply wells (Well Nos. 17 and 18),
including pumps, motors, piping, electrical work, site work, and appurtenances. The existing metal
MCC building at the Well 17 site was removed and a new concrete block masonry building to house
the existing and new MCC's was constructed. At another well, Well No. 15, a new motor was furnished
and installed, together with a new combination gear drive. Video taping of the casing for Well No. 15
was also conducted prior to the installation of the motor and combination gear drive. The work also
included construction of approximately 1,200 lineal feet of 20-inch and 300 lineal feet of 24-inch
diameter buried ductile iron pipe. The new wells were designed for a pumping capacity of 6000 gpm
each.

SECTION V: UNDERSTANDING AND METHODOLOGY
PROJECT UNDERSTANDING
The City desires to make improvements to water production infrastructure facilities including
pipelines, wells, reservoirs, and pressure relating facilities. Design packages will include the
preparing of plans, specifications, and cost estimates for various projects. Also included may
be the preparation of record drawings and construction support services.
It is important that the design team reflect well on the values of the City. With this in mind, SA
Associates is committed to providing quality staff members who are not only capable of
satisfying the project tasks but who also have a track record of similar projects and working
well with all impacted agencies and local residents
TECHNICAL APPROACH
As your Consultant, SA Associates will provide quality resources to manage and complete the
Project. We will work within the framework of the Project Documents, City staff, and the
Contractor to execute our tasks in a timely manner. We consider ourselves to be available not
as contract representatives but as an extension of your staff. For our projects, we believe in
developing and maintaining clear lines of communication between all project parties, being
proactive in identifying construction issues, and working diligently toward resolution of issues.
Based on this approach, you will be assured of a complete project that complies with your
project designs and is in accordance with the standards of the industry.
SA Associates' overall approach for your projects is to provide hands on engineering in order
to create robust contract documents and reduce the risk for change orders and to avoid delays
in the construction.
With regard to streamlining the design phase of the projects, the key technical approach to be
used by the design team is as follows:
• Expedite coordination among all affected parties including utility information requests
• Evaluate design alternatives immediately

• Coordinate thoroughly throughout the entire project & appurtenances
• Sequence meetings to occur at favorable days/times (i.e., meetings with City staff and
other meetings with impacted agencies/personnel may occur simultaneously or
subsequently)
TYPICALSCOPE OF WORK
The following is a typical scope of work:
1. Conduct a kick-off meeting with the City staff to review the scope of work and to collect
existing maps, plans, and other information available at the City. The project schedule
will also be discussed, and if necessary, appropriate changes will be made. SA
Associates will prepare a schedule to complete the project, along with significant
milestones by which the project work will be monitored through completion.
2. Conduct visits to the site to review the extent of the work necessary. A field review
meeting with the City will also be held to establish all items of work necessary.
3. Conduct a utilities investigation to determine the location of all existing facilities that would
affect the design and construction of this project. Letters will be sent to all utility
companies to request information on their utilities.
4. Evaluate design alternatives, prepare a design report, and provide recommendations to
the City.
5. Conduct geotechnical investigations, if needed.
6. Conduct a design survey of the proposed work, if required.
7. Prepare and submit a written report including the proposed work to best achieve the
project objectives and minimize removal or relocation of existing improvements.
8. Prepare design plans on 24"x 36" sheets. Details will be provided where needed and we
will provide the City with original mylar drawings in addition to an AutoCAD format
electronic copy. Submittals will be at the 60%, 90%, and 100% completion levels

9. Prepare technical specifications. The City will provide the boilerplate specifications.
10. Submit preliminary design plans and specifications to the City for review.
11. Meet with the City to discuss review comments.
12. Prepare preliminary cost estimates.
13. Notify utility companies for any existing utility relocation. Maintain a record of all
transmittal letters to and from the utility companies and submit a copy.
14. Conduct a Quality Control/Quality Assurance (QC/QA) review of the project.
15. Prepare construction bidding documents including specifications. SA Associates will
provide the documents on a hard copy and in electronic MS Word format.

Prepared plans and specifications for the 3 Water Main Inter-Ties Project. The project included the design of three (3)
interconnections between exist mains at separate locations throughout the city. The design involved pressure regulating
stations connecting the City's water system to Pico Water District's system at three separate locations for an estimated
construction cost of over$250,000.
CITY OF POMONA
Prepared plans and specifications for District 6 Phase IV Water Main Replacement Project for approximately 7,300 feet of
10" and 12" ductile iron water mains in Bonita and Towne Avenues. This project crossed railroad tracks and required a
permit from Caltrans.A buried vault was also reconfigured for water main connections.
Water Mains — Pipeline Districts 4, 5, & 6: Provided design, construction management, and inspection services for
approximately 22,400 feet of 6", 8", 10", and 12" diameter ductile iron pipelines in various locations in the City. The work
also included utilities research. Construction Cost: $2,700,000
Prepared plans and specifications for the design of approximately 13,400 feet of 30-inch diameter steel transmission water
mains. This project included crossing two railroad tracks, location of pipeline in the Caltrans right-of-way, and coordination
with other parties that were in the construction process of a grade separation project along the alignment. Construction
Cost: $2,400,000.
CITY OF SANTA MONICA
Provided construction management and inspection services for the City's Water Main Replacement/Upgrade Project which
consisted of 10,000 ft. of 6"-21" PVD pipe on Olympic Blvd., Lincoln Ct., Pennsylvania Ave., 16th Ct., 17th Ct., 18th Ct.,
20th Ct. Euclid Ave., and Ocean Ave.
Provided construction inspection services for the 3rd Court Water Main Replacement project. The work consists of
replacement of approximately 2,000 ft. of existing 8" CIP with 12" DIP in 3rd Court from Broadway Avenue to Wilshire
Boulevard. The project's narrow working area behind the business district of the Santa Monica 3rd Street Promenade and
required consistent coordination with these businesses regarding parking issues, deliveries, and their building
maintenance.
CITY OF TORRANCE
Prepared plans and specifications for the 1-25 Water Main Replacement Project. The project consisted of 22,540 feet of 6-
inch and 8-inch diameter ductile iron pipe. Construction Cost: $2,000,000.
Prepared plans for approximately 16,700 feet of 6" through 12" diameter water mains on Artesia Boulevard from
Hawthorne Boulevard to Western Avenue. The project included work in Caltrans right-of-way and crossing the Dominguez
Channel. Permits were obtained from Caltrans and the Los Angeles County Department of Public Works. Construction
Cost: $1,500,000.
WEST BASIN MUNICIPAL WATER DISTRICT
El Segundo Lateral Project. Prepared plans and specifications for the design of approximately 5,900 feet of PVC/reclaimed
water pipelines water mains for the El Segundo Lateral in the city of El Segundo..
Design of Brine Line for the Carson Regional Recycling Water Plant. SA Associates prepared plans and specifications for
the design of approximately 27,000 feet of 14-inch brine line for the Carson Regional Recycling Water Plant. The work
consists of the design of a brine disposal line extending from a new water reclamation plant to the Joint Water Pollution
Control Plant operated by the Los Angeles County Sanitation Districts in the city of Carson.

Qualified SWPPP Practitioner(QSP) driveways, curb & gutter, slough walls; adjustment of utility covers;
Certificate No.25596 replacement or relocation of existing signs, meter boxes, fire hydrants,

conflicting features; and the remodeling of existing driveways to match

CENTRAL BASIN MUNICIPAL WATER DISTRICT
The work will consist of the preparation of Plans, Specifications, and Estimate
of Probable Construction Costs for The Recycled Water System Extension in
the City of South Gate, CA. This Project consists of the construction of
approximately 24,600 linear feet(LF) of recycled pipeline varying in diameter
between 8" and 20". The proposed recycled pipeline will begin with a
connection to the existing 18" recycled pipeline in Atlantic Avenue at
Southern Place. Beginning at this intersection the new recycled water
pipeline will extend along Southern Avenue to Alameda Street (West Side) a
distance of approximately 14,800 LF. At Alameda Street (East Side) the
pipeline will head in a southerly direction approximately 4,000 LF to Sequoia
Drive. In addition approximately 3,400 LF of pipeline will be constructed in
California Avenue north from Southern Avenue to South Gate City Hall.
CRESCENTA VALLEY WATER DISTRICT
Currently preparing plans for Crescenta Valley Water District's Well No. 2 at
Ordunio Reservoir. The project consists of a new 150 gpm submersible
pump and motor for well no.2, onsite piping, a chorine feed system using
sodium hypochlorite (NAOCL), a nitrate removal treatment facility (by APT
Water), upgrade of two existing booster pumps, installation of a masonry or
pre-fabricated operations building, installation of a "carport" type building
over concrete pad for the nitrate removal facility, water, sewer, and gas
services, electrical and telemetry system (SCADA), pavement and other on-
site improvements.
Conducted a preliminary feasibility study to use recycled water at Los
Angeles County's Two-Strike Park.
CITY OF INGLEWOOD

Replacement Project, Phase I, for upgrade/repair or replacement of

ROSE HILLS MEMORIAL PARK
Designed the recycled water retrofit for 600 acres of Rose Hills Memorial Park and Cemetery. The design
included approximately 4,500 LF of 8" potable water/fire protection pipeline, 8,000 LF of 4"and 8" potable water
pipeline, and modifications to the four (4) on-site wells and four (4) reservoirs. The project team is coordinating
with Rose Hills staff, Upper San Gabriel Valley Municipal Water District, Los Angeles County Sanitation Districts,
San Gabriel Valley Water Company, Los Angeles County Fire Department. This project is funded by DWR
Proposition 84, Round 3—Drought Grant and MWD On-Site Recycled Water Retrofit.

STRATEGIC PLANNING ASSESSMENT FOR REGIONAL USE OF RECYCLED WATER
Strategic planning &design for up to 200 mgd of purified recycled water from the Los Angeles County Sanitation
District to the Main San Gabriel Basin. The assessment included advanced water technologies (UV, RO, MF),
ground water replenishment (GWR), spreading grounds, water quality, extraction wells, wellhead treatment
pumping requirements, conveyance, as well as, reservoir reconnaissance studies(RA).

Managed on-site activities for the construction of the Water Recycling Plant that supplies 5 mgd of reverse
osmosis product water to the ARCO Refinery in the city of Carson. The construction work included installation
of underground and exposed pipelines ranging from '/2" dia. to 22" dia. PVC, HDPE, stainless and steel pipe,

developed all sections of the application and complete the review of the application

innovative plan to provided nitirate removal technology in order to treat and reuse more
groundwater supplies versus utilizing imported water. The Project is fundig 50-percent

Recylced Water Retrofit Pilot Program, Metropolitan Water District of Southern
California — Mr. Robinson on the behalf of four (4) end use customers (Lantern Bay
Estates Homeowners Association, Rose Hill Memorial Park, Royalty Carpet Mills and
City of Fontana)submitted applications and received approximately $1.5M of funding in
order to convert prospective recycled water customers from either potable water or
groundwater to a recycled water supply which saved approximately 1,000 acre-feet per
year for Southern California.

funding at $1.48M. Mr. Robinson coordinated with the application consultant and Foothill MWD staff to develop all sections of
the application and complete the review of the application before submittal to the DWR. Mr. Robinson made all the presentation
to the Greater Los Angeles Steering Committee for the application. The project was an innovative plan to capture, treat and
recycled local sewage water, storm water and irrigation runoff for groundwater percolation (recharge). The project aimed to help
increate local water source reliability while decreasing FMWD need for imported water. The Project was to be funded 50-
percent from DWR Proposition 84 Round 2 funding. The Project is to connect to a 18-inch sanitary sewer pipeline owned and
operated by Los Angeles Sanitation District for the raw supply then a 300,000 gallons per day Membrane Bioreactor (MBR)
treatment plant was planned.
Proposition 13 Grant, City of Signal Hill. Mr. Robinson assisted in obtaining and managing the Proposition 13 monies
(—$75,000) to complete a Recycled Water Feasibility Study for the City of Signal Hill. Mr. Robinson identified the opportunity,
completed necessary application documentation, and coordinated with SWRCB on the behalf of Signal Hill.
LRP, Proposition 50, Title XVI and Water SMART, Inland Empire Utilities Agency, CA. Mr. Robinson assisted in obtaining
and managing the U.S. Bureau of Reclamation (USBOR) Title XVI funding, State Water Resources Control Board (SWRCB)

CRESCENTA VALLEY WATER DISTRICT
Assisted with preparing plans for Crescenta Valley Water District's Well No. 2 at
Ordunio Reservoir. The project consists of a new 150 gpm submersible pump and
motor for well no.2, onsite piping, a chorine feed system using sodium hypochlorite
(NAOCL), a nitrate removal treatment facility (by APT Water), upgrade of two
existing booster pumps, installation of a masonry or pre-fabricated operations
building, installation of a "carport" type building over concrete pad for the nitrate
removal facility, water, sewer, and gas services, electrical and telemetry system
(SCADA), pavement and other on-site improvements.
CITY OF INGLEWOOD
Prepared plans for the Water Main Pipeline Improvement Plans Phase V Project.
The project involved the installation of new 8-inch ductile iron pipe main in 2nd
Avenue, 3rd Avenue, 4th Avenue, and 5th Avenue from Arbor Vitae Street to
Manchester Boulevard. The total length of pipe installed is 9,994 linear feet.
Currently preparing plans and specifications for the Sewer Main Replacement
Project, Phase I, for upgrade/repair or replacement of segments of the existing 8"
to 15" vitrified clay pipe (VCP) throughout the City to improve the existing sewer
system. In addition, the project consists of the replacement or reconnection of
existing sewer laterals within the project area as a result of the replacement of the
existing VCP. The Project will also involve reconnections to existing sewer mains,

KINNELOA IRRIGATION DISTRICT
Prepared plans for the East-West Tank Connector Pipeline Project. The project
involves improving the reliability and service of the District's water distribution
system by connecting the distribution system of its East Tank and West Tank
Reservoirs with a 12-inch water line.The project also involved the installation of a
4" DIP main alongside the 12" DIP main in order to abandon an existing 4-inch
waterline that runs through private properties. Mr. Roesch Also performed the utility

Prepared the 2015 Urban Water Management Plans. As mandated by the State of California's Urban Water Management
Planning Act, every urban water supplier providing water for municipal purposes to more than 3,000 customers, or
supplying more than 3,000 acre-feet of water annually, is required to prepare and adopt a UWMP containing prescribed

inch DIP main, including new hydrants and service connections. This project also
aimed to remove/replace about 520 linear feet of VCP sewer in Holt Avenue, about
220 linear feet of VCP sewer in White Avenue, and about 92 linear feet of VCP
sewer in/adjacent to Via Estrella.
Provided construction management and inspection services for Westmont Service
Lateral Replacement Project. The project included 20 locations. Work included
replacing 183 existing%-inch polyethylene water service laterals with 1-inch copper
tubing from the meter connection to the water main, meter box replacement and
relocation. Many of the main line service laterals were direct tap to an existing 12"
ACP main line which required coordination with home owners, water maintenances
staff, and water quality personnel to coordinate water main shut downs.
Bacteriological testing was required to be performed and submitted to DHS when

CRESCENTA VALLEY WATER DISTRICT
Prepared plans for Crescenta Valley Water District's Well No. 2 at Ordunio
Reservoir. The project consists of a new 150 gpm submersible pump and
motor for well no.2, onsite piping, a chorine feed system using sodium
hypochlorite (NAOCL), a nitrate removal treatment facility (by APT Water),
upgrade of two existing booster pumps, installation of a masonry or pre-
fabricated operations building, installation of a "carport" type building over
concrete pad for the nitrate removal facility, water, sewer, and gas services,
electrical and telemetry system (SCADA), pavement and other on-site
improvements.
CITY OF INGLEWOOD
Currently preparing plans for Sewer Main Replacement Project, Phase I, to
upgrade/repair or replace segments of the existing 8" to 15" vitrified clay
pipe (VCP) throughout the City to improve the existing sewer system. In
addition, the project consists of the replacement or reconnection of existing
sewer laterals within the project area as a result of the replacement of the

2013 Storm Drain Condition Assessment Report. The segments to be repaired or replaced have been identified
as having high risk structural defects.
CITY OF MONTEREY PARK
Reviewed CCTV footage to determine locations of sewer system repair. Locations were identified based on the
amount and severity of the pipe defects between sewer reaches. Provided design plans on 35 locations of sewer
main repairs consisted of spot repairs and CIPP lining. The repairs consisted of 8,700 ft of CIPP lining as well as
36 locations of point repairs.
CITY OF TORRANCE
Van Ness Water Wells Transmission Water Main. Provided CAD Drafting, utility research and pipeline alignment
of the 4-mile pipeline project. This project consisted of connecting two groundwater wells to an outflow reservoir.
Utility coordination was between Caltrans, various gas companies and two railroad companies. In addition, aided
the research for a CEQA developed for the project.
Purche Avenue Storm Drain Design. Provided CAD drafting and utility research for an area storm drain system
from 185th St. to Purche Ave.,which was worked parallel with the Van Ness Wells Transmission Main.
CITY OF WHITTIER
Conducted utilities research and preparing plans for Comstock Avenue Water Replacement Project. The work
includes replacement of approximately 2,000 ft. of 6" cast iron pipe with 12" ductile iron pipe on Comstock
Avenue between Hadley Avenue and Wardman Avenue. The upgrading of the water to a large size is to provide
adequate fire flow and supply within the area to accommodate future developmental projects. The project also
consists of replacing service laterals and tie-ins to repair the existing concrete pavement along the trench width.
Aided in the design for the replacement of a water main along Beverly Boulevard between Palm Avenue and
Citrus Avenue to replace an aging water main with an approximate length of 4,450 ft. The existing 6" cast iron
water main will be replaced with an 8" ductile iron pipe. The suggested design will minimize construction and
maintenance costs by protecting the existing parkway and pine trees, and providing better access for
maintenance of the proposed main.
2015 URBAN WATER MANAGEMENT PLANS
Conducted research and prepared data for the 2015 Urban Water Management Plans for the cities of Alhambra,

• Industrial Facilities: Responsible for all facets of industrial facility electrical engineering
including design of new facilities, relocation of production equipment and offices,
process controls, and production equipment controls for manufacturing firms. A
representative project includes raw mining facility (12KV distribution), raw material
processing plant, medical solution processing plant, and manufacturing plants.
Developed a preventive maintenance program for power distribution systems and

Payment Schedule (Hourly Payment)
A. Hourly Rate
CONSULTANT'S fees for such services shall be based upon the following hourly rate and cost
schedule:
B. Travel Charges for time during travel are not reimbursable.
C. Billinia
1. All billing shall be done monthly in fifteen (15) minute increments and matched to an
appropriate breakdown of the time that was taken to perform that work and who
performed it.
2. Each month's bill should include a total to date. That total should provide, at a glance,
the total fees and costs incurred to date for the project.
3. A copy of memoranda, letters, reports, calculations and other documentation prepared
by CONSULTANT may be required to be submitted to CITY to demonstrate progress
toward completion of tasks. In the event CITY rejects or has comments on any such
product, CITY shall identify specific requirements for satisfactory completion.
4. CONSULTANT shall submit to CITY an invoice for each monthly payment due.
Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is
making satisfactory progress toward completion of tasks in accordance with this
Agreement, CITY shall approve the invoice, in which event payment shall be made
within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non-approval and the schedule of
performance set forth in Exhibit "A" may at the option of CITY be suspended until
the parties agree that past performance by CONSULTANT is in, or has been brought
into compliance, or until this Agreement has expired or is terminated as provided
herein.

Exhibit B
5. Any billings for extra work or additional services authorized in advance and in writing
by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly
rate charged for such time. Such invoices shall be approved by CITY if the work
performed is in accordance with the extra work or additional services requested, and if
CITY is satisfied that the statement of hours worked and costs incurred is accurate.
Such approval shall not be unreasonably withheld. Any dispute between the parties
concerning payment of such an invoice shall be treated as separate and apart from the
ongoing performance of the remainder of this Agreement.
