Hopkins, PE, Director of Public Works SUBJECT: Approve and authorize execution of Professional Services Contracts for On Call Civil and Engineering Services with Stantec Consulting Services, Inc., NV5, Inc. (a.k.a CivilSource), and Michael Baker International, Inc., each in an amount not to exceed $1,000,000 Statement of Issue: The Public Works Department requires on-call/as-needed civil and other engineering services to support staff for the design of capital improvement projects which are identified in the annual capital improvement program. Financial Impact: The City's adopted FY 2017/18 and proposed FY 2018/19 Capital Improvement Programs (CIP) Budgets total $28 million and $24.7 million respectively for approved projects citywide. Each approved CIP project has a budget containing sufficient funding for design, environmental, engineering, construction, project management and other required costs. The three (3) recommended civil and engineering service contracts have a maximum value of $3 million over the next three years, and will be funded on an as-needed basis within each project's individual CIP budget. As such, no additional fu.n.ding-is-required-by_this-actio.n.. Recommended Action: A) Approve and authorize the Mayor and City Clerk to execute $1,000,000 "Professional Services Contract Between the City of Huntington Beach and Stantec Consulting Services, Inc. for On Call Civil Engineering Services;" and, B) Approve and authorize the Mayor and City Clerk to execute $1,000,000 "Professional Services Contract Between the City of Huntington Beach and NV5, Inc. for On Call Civil Engineering Services;" and, SM SEP r-1 LJ5 C) Approve and authorize the Mayor and City Clerk to execute $1,000,000 "Professional Services Contract Between the City of Huntington Beach and Michael Baker International, Inc. for On Call Civil Engineering Services." SpE; 5Ep/%1 Alternative Action(s): Do not authorize the contracts and direct staff with an alternate action. Budgeted Capital Projects could be delayed until new contracts are approved. ID PW 18-028 Page 2 of 2 Meeting Date: 5/21/2018 Analysis: On November 28, 2017, the City advertised a Request for Qualifications ("RFQ") for On-Call Engineering and Professional Consulting Services. Proposals were requested and submitted in compliance with Chapter 3.03 of the Huntington Beach Municipal Code. Fifteen (15) proposals were received for civil and engineering services. In accordance with a qualifications based selected procurement per the Federal "Brooks Act," State SB 419, and the City of Huntington Beach Municipal Code Section 3.03 "Professional Services" the Public Works Department established a review board. Proposals were evaluated and ranked by a three (3) member panel review team established by the Public Works Department. The reviewers were a Principal Civil Engineer, a Senior Civil Engineer, and a Senior Engineering Technician. After conducting the entire evaluation process, including negotiation for competitive rates, the top three (3) firms were selected to increase the opportunity for competitive proposals for future projects from qualified on call consultants, and they are Stantec Consulting Services, Inc., NV5, Inc. (a.k.a CivilSource), and Michael Baker International, Inc. A Summary of the evaluation sheets for the top three firms, and the fourth firm not selected are shown in Attachment 4. The contracts recommended in this Request for Council Action (RCA) are to support staff for civil and design engineering of capital improvement projects. These services have historically been utilized to supplement City staff to meet annual CIP goals, to provide required expertise for unique projects. Each project is evaluated on a case by case basis to determine if these as-needed contract services are necessary. The City's Capital Improvement Program ("CIP") is approximately $24.6 million in Fiscal Year 2017/18, and exceeds $28 million with continuing funds for projects approved from previous years. In addition, the proposed Fiscal Year 2018/19 CIP totals $24.7 million in new projects. Typical design and construction support costs from use of consultants on a CIP project can vary between ten (10) to twenty (20) percent of total costs for a CIP project. Therefore, it is practical to conservatively estimate minimum annual consultant costs would be approximately $2 million to the City for total CIP projects or $6 million within the next three (3) years. Civil and engineering services are typically required for streets, sewer and storm drain related CIP projects. Therefore, these consultants were selected to meet projected workload over the next three years with a total contract limit of $3 million. Public Works Commission Action: Not applicable. FIB -6731- Item 18. - 2 PROFESSIONAL SERVICES CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND STANTEC CONSULTING SERVICES, INC FOR ON CALL CIVIL ENGINEERING SERVICES THIS AGREEMENT ("Agreement") is made and entered into by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and STANTEC CONSULTING SERVICES, INC, a New York corporation hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to provide on call civil engineering services; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates Mohammad Heiat who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. agree/surfnet/professional Svcs mayor I Of 11 10/12 3. TERM; TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence on May 21st , 2018 (the "Commencement Date"). This Agreement shall automatically terminate three (3) years from the Commencement Date, unless extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than three (3) years from the Commencement Date. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. In the event the Commencement Date precedes the Effective Date, CONSULTANT shall be bound by all terms and conditions as provided herein. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed One Million Dollars ($1,000,000). 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." agree/surfnedprofessional sves mayor 2 of 11 10/12 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars agree/surfnet/professional Svcs mayor 3 of 11 10/12 ($1,000,000.00) per occurrence and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention without the express written consent of CITY; however an insurance policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that insurance has been procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY. 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: abree/surfneUprofessional Svcs mayor 4 of I I 10/12 A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this I Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall agree/surfneUprofessional svcs mayor 5 of 11 10/12 be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. CONSENT When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. 18. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining agree/surfnet/professional svcs mayor 7 of 11 10/12 covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for aerce/surfneUprofessional sves mayor 8 of 11 10/12 CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. 28. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this agree/surfnet/professional svcs mayor 9 Of I I 10/12 Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this Agreement, and supersede all prior understandings and agreements whether oral or in writing between the parties respecting the subject matter hereof. 29. EFFECTIVE DATE This Agreement shall be effective on the date of its approval by the City Council. This Agreement shall expire when terminated as provided herein. Approach and Methodology 1 . Overview of approach to On- :all Civil Engineering Services We understand the on-call process for local, state and federally funded projects. For most general on-call engineering services requests, we will prepare engineering design plans, reports, specifications, and estimates (PS&E). The phases of work for a typical project will include Preliminary Engineering, Final Engineering, and Bid and Construction Support Services. See the Project Workflow Diagram on the next page for a typical task order. Preliminary Engineering We believe this phase is instrumental in confirming design objectives, highlighting project opportunities for cost savings, and expediting the design and approval process. We begin all projects by identifying and addressing major project design issues and funding constraints before work commences on the construction documents. To initiate this phase, we meet with you to gain an understanding of the project objectives, timing, budget, and views of internal and external stakeholders. We perform research and discovery to understand existing conditions, development procedures, and criteria; and identify opportunities and constraints. We will then prepare conceptual plan alternatives, technical studies, and preliminary cost estimates as required. If the project is within Caltrans right-of-way, we will meet with Caltrans to confirm whether a Project Report or PEER will be required and whether the project will involve any design exceptions which will require a Fact Sheet. We will prepare the required checklists and funding documents as required by the Local Assistance Procedures Manual (LAPM) to confirm that the project complies with all applicable federal and state regulations. If an environmental document is required, it will be prepared during this phase. We will develop strategies for complying with all mitigation measures required and for obtaining permits and approval from all applicable jurisdictional agencies and public utility companies. Final Engineering Typically, once a preferred alternative is selected, it will be developed into preliminary construction plans at approximately 50 percent level. Once we receive comments on the preliminary construction plans, we further develop them into the final construction documents. If necessary, we can value engineer the project so that the total cost is within budget. We will then typically produce PS&E at the 90 and 100 percent levels to be reviewed and approved by you. Permits and approvals from applicable agencies will also be processed and finalized during this phase. Bid and Construction Support We will provide support services during the bid process as requested by you. Once the project has been awarded, we will attend the pre-proposal, preconstruction, and other on-site meetings, as needed. We will review shop drawing and material submittals, address the Contractors questions and requests for information in writing, and prepare the final Record Drawings. Our in-house surveyors will begin by establishing the horizontal and vertical controls and retracing the street centerlines and rights-of-way lines based on observed monuments. A field survey will typically be performed to create a topographic map of the area. For streets with heavy traffic such as Pacific Coast Highway or Beach Boulevard, we may utilize our advanced 3D laser scanning techniques to obtain the topographic data which is more efficient and safer for our staff since they don't have to traverse the busy streets. For larger projects, an aerial survey may also be performed. One of most critical issues for constructing new roadway and wastewater pipeline facilities within existing streets is properly identifying the existing utilities and determining any potential conflicts with utility crossings. This issue is addressed by our approach to detail and thoroughness. We will perform a thorough record search utilizing the USA Dig Alert database and available record drawings. Using the USA Dig Alert database and our contacts with the various agencies, we will request all available as-built data, and request information on existing facilities and any future planned projects in the area that may potentially impact the proposed construction schedule. Once the utility information is obtained, it will then be carefully calculated in the base drawing and our staff will field walk the site to confirm that the base map is correct. Finally, any underground utilities that are determined to be a potential conflict with our new improvements be potholed to confirm whether a conflict exists. This is critical to know before construction begins so that we can either relocate the conflicting utility or modify our improvements to avoid the conflict. Roadway Rehabilitation Improvements The goal of any roadway rehabilitation project is to provide the most cost-effective pavement resurfacing option to ensure that the City is getting the "most bang for its buck" when enhancing and maintaining its infrastructure. Our pavement engineering specialist, LaBelle Marvin, will explore all construction alternatives using innovative techniques such as in-place non-destructive deflection testing and ground penetrating radar. Utilizing these advanced techniques allows us to better value engineer the pavement structural design section by isolating the more distressed areas (which may require full depth pavement repairs) from the less distressed areas (which may only require cold milling and overlays). We can also provide recommendations for more advanced pavement rehabilitation strategies such as cold in-place recycling (CIR) or full depth reclamation (FDR), and will be available to discuss the benefits and drawbacks of each. In addition to pavement resurfacing, we will diligently review the project site and provide all necessary ADA upgrades to Item 18. - 41 HB -712- City of Huntington Beach# On-Call Civil Engineering Services 17 curb ramps; prepare new signing and striping plans; correct local drainage issues; repair damaged curbs, gutters, and sidewalk; adjust utilities to grade; provide tree root pruning; and replace loop detection. Roadway Widening and Realignment Improvements Modifications to existing roadways typically require a Traffic Study and Concept Plan alternatives to confirm the new roadway geometrics. Our traffic engineers will evaluate existing conditions and make recommendations on the most cost effective improvements. Our roadway engineers will utilize Civil 3D during this preliminary engineering phase to quickly design the proposed roadway geometrics both horizontally and vertically. Preparing a 3D model of the proposed improvements at this stage allows us to accurately confirm impacts to offsite improvements, including additional right-of-way required, which is critical moving into final design. Utilizing Civil 3D also allows us to study different alternatives efficiently, so that we ultimately select the best available option. Identifying and mitigating conflicting utilities is also critical for these types of project. We have experts available who specialized in utility coordination and have developed a workflow which ensures that all existing utilities are mapped accurately, conflicts are identified, and relocations are coordinated before construction begins. If necessary, traffic signal relocation/modification and traffic control plans will be prepared to accommodate the widening. Drainage Improvements and Studies Stantec's holistic approach to drainage analysis begins with our assessment of drainage related project impacts. Drainage impacts associated with projects will be evaluated by inventorying the streets, catch basins, and storm drains that presently receive flow from the project-inclusive watersheds. Once identified, an evaluation of flow increases or decreases will be performed for each facility. In the event that flow increases are anticipated, an analysis will be made as to the magnitude of the increase, and whether or not that increase will be significant with respect to existing facility capacities. At the conclusion of the drainage evaluation, a Drainage Evaluation Memorandum will typically be prepared that documents the findings of the drainage evaluation. Upon acceptance of the drainage evaluation, design activities will be initiated and either coordinated with the overall project schedule or scheduled independently for projects that are exclusively drainage related. A hydrology and hydraulics report will typically be prepared and plans will be developed and reviewed with City staff at significant submittal milestones. Water Quality Improvements and Documents Stantec will coordinate with City staff responsible for the National Pollutant Discharge Elimination System (NPDES) compliance and maintenance staff to identify Best Management Practices (BMPs) that are acceptable to the City. This coordination will include reviewing project opportunities for the incorporation of permanent BMPs into the design features of the project for the promotion of aesthetics and improvements to water quality. BMPs will also be integrated into the overall flood control management plan for the project to eliminate potential redundancies in storm water conveyance facilities. Upon selection of project BMPs, Stantec will typically prepare a Water Quality Management Plan (WQMP) for the project that will detail water quality considerations and requirements. The WQMP will address the conditions of the City's MS4 Permit as issued by the Regional Water Quality Control Board, Santa Ana Region. To the maximum extent practicable, BMPs will be implemented that are consistent with Low Impact Development (LID) guidelines as well as the Green Streets guidelines as defined by the US Environmental Protection Agency. If necessary, detailed discussions will be provided in the WQMP to document the impracticality of BMP implementations as a part of the project. As the project proceeds into construction, Stantec's in-house Qualified Storm Water Pollution Prevention Plan Developer (QSD) can also prepare a SWPPP for the project to address water quality concerns during construction activities and processes the NOI and all pre-construction filings through SMARTS. During actual construction activities, Stantec is available to provide Qualified Storm Water Pollution Prevention Plan Practitioner (QSP) services, including required inspections, directing BMP placement, and reporting to the RWQCB. Building and Bridge/Structural - Assessments, New Designs, Retrofits Our staff has demonstrated their competence, experience and excellence through the successful completion of numerous structural engineering projects of various sizes and construction materials. Through this extensive experience in new design and seismic retrofit of buildings and bridges, we understand the importance of obtaining a thorough knowledge of the site conditions or structure being retrofitted, as well as knowledge of other adjacent structures, their proximity and other site conditions and constraints. Additionally, we understand the need for a clear and agreed upon project design/performance criteria and a plan for how it will be achieved. We know that investigations of new and existing site conditions not only help to confirm or supplement the available record drawings, but these investigations can be vital if sufficient record drawings are not available. Additionally, investigations can be critical to the preparation of a complete and thorough set of Construction Documents. We have found that a complete understanding of the project requirements and the existing site conditions and framing configurations allows us to develop the best new design and retrofit alternatives that are also the most responsive to the scheduling or access constraints posed by particular facilities. Item 18. - 43 HB -714- City of Huntington Beach H On-Call Civil Engineering Services 19 Wastewater Improvements For the design of new or replacement gravity sewers and force mains, the potential alignment and construction method opportunities will be thoroughly and effectively investigated. Understanding of the existing conditions and key constraints are critical for a pipeline alternatives study to be effective, while reducing impacts to the community and providing the City with the most cost efficient project. Key alignment constraints and considerations that will be investigated will include the following: proposed connections to the existing sewers; options for trenchless construction methods; California Department of Public Health (CDPH) separation criteria with water and recycled water facilities; potential impacts to adjacent pipeline trenches, utility conflicts, and depths of crossings; traffic impacts, driveway access, and other impacts to the community and other activities in the project areas-, construction costs; and construction schedule constraints and durations. For the rehabilitation of sewer lift stations, we believe that it is important to understand the diurnal patterns of the influent, including the minimum, average and peak hour flow rates. This helps us select the most efficient pump and motor for the application, and to properly size the wet well. Proper facility sizing improves energy efficiency and reduces maintenance costs. In addition, existing operational issues of existing lift stations, such as ragging issues, are alleviated as part of any lift station rehabilitation. Quantity Calculations and Estimates we understand the importance of a complete and accurate cost estimate. Since the cost estimate will be used as a basis for the bid schedule, it's important to include all required work items and confirm that the quantities for these work items are correct. Accurate unit costs are also important for the City to understand the overall cost of the project and to determine if the project needs to be value engineered to get the project within the budget available. Stantec has developed custom software which links the linework in the base drawings to the quantities shown in the estimate, and we continuously track unit costs using recent bids from local contracts. Therefore, our quantities and estimates are always current from preliminary to final design, which is critical in keeping the project within the City'. Specifications Well written specifications reduce the potential for change orders during construction. We are familiar with various formats of specifications including the Standard Specifications for Public Works Construction (SSPW% "Greenbook", Construction Specification Institute (CSI)) and Caltrans. Our experienced staff will thoroughly prepare the specifications so that they convey the design intent of our engineers, do not conflict with the improvement plans, and clearly describe the work required for all bid items. The specifications will also identify all permits, plans, coordination, and other requirements the contractor will be responsible for during construction, including all specific utility coordination efforts and work windows that will need to be provided. Familiarity with State and Federally-Funded Projects We have experience with State and Federally funded projects and understand the specific guidelines, roles and responsibilities, and requirements of the Caltrans Local Assistance Procedures Manual (LAPM), Caltrans Construction Manual, and the Federal Highway Administration (FHWA). Our staff has supported local agencies with these procedures for various types of projects both as the lead consultant and as augmented staff for the agency. Milestones for the various funding deliverables will be included in the project schedule so it's clear to the Project Team when each funding deliverable is required for the project to proceed. Below are examples of typically services we provide. Request for Authorization In order to received federal funding, local agencies are required prepare and submit the appropriate Authorization-to-Proceed (E-76) package. We will assist the City in the preparation of these packages which includes the completed Exhibit form and supporting documents. Stantec has experience supporting agencies preparing Request for Authorization to Proceed packages for submittal to the Caltrans District Local Assistance Office as described in Chapter 3 of the LAPM. This will include authorization to proceed with preliminary engineering and authorization to proceed with right-of way and utility relocations. These may require the preparation of conceptual plans/exhibits showing right-of-way and utilities as required by the LAPM Plans, Specifications, and Estimates (PS&E) Certification The PS&E Certification will be signed by the engineer responsible for the Project certifying that the plans have been prepared in accordance with Chapter 12 of the LAPM and the Caltrans Construction Manual. The plans will comply with all federal design standards and other requirements. The specifications will comply with relevant sections of the LAPM and Caltrans Construction Manual, and will contain all the required contract provisions, clauses, DBE Goal information, certifications/disclosures, forms, and federal wage rates. Finally, the preliminary estimate will conform to the format outlined in Section 12.12 of the LAPM. The PS&E Certification, PS&E Checklist, Right-of-Way Certification will be submitted along with the Request for Authorization to Proceed with Construction to the Caltrans District Local Assistance Office for review. Construction and Construction Engineering Stantec has also assisted agencies when acting as part of the augmented Agency staff, in the coordination with the Caltrans Local District Office, reallocation of funds, invoicing and project closures. TERMS AS USED IN THIS DOCUMENT • The term "Disadvantaged Business Enterprise" or"DBE" means a for-profit small business concern owned and controlled by a socially and economically disadvantaged person(s) as defined in Title 49, Code of Federal Regulations (CFR), Part 26.5. • The term "Agreement" also means "Contract." • Agency also means the local entity entering into this contract with the Contractor or Consultant. • The tenn "Small Business"or"SB" is as defined in 49 CFR 26.65. 2. AUTHORITY AND RESPONSIBILITY A. DBEs and other small businesses are strongly encouraged to participate in the performance of Contracts financed in whole or in part with federal funds (See 49 CFR 26, "Participation by Disadvantaged Business Enterprises in Department of Transportation Financial Assistance Programs"). The Consultant must ensure that DBEs and other small businesses have the opportunity to participate in the performance of the work that is the subject of this solicitation and should take all necessary and reasonable steps for this assurance. The proposer must not discriminate on the basis of race, color,national origin, or sex in the award and performance of subcontracts. B. Proposers are encouraged to use services offered by financial institutions owned and controlled by DBEs. 3. SUBMISSION OF DBE INFORMATION If there is a DBE goal on the contract, Exhibit 10-01 Consultant Proposal DBE Commitment must be included in the Request for Proposal. In order for a proposer to be considered responsible and responsive,the proposer must make good faith efforts to meet the goal established for the contract. If the goal is not met, the proposer must document adequate good faith efforts. All DBE participation will be counted towards the contract goal; therefore, all DBE participation shall be collected and reported. Exhibit 10-02 Consultant Contract DBE Information must be included with the Request for Proposal. Even if no DBE participation will be reported,the successful proposer must execute and return the form. 4. DBE PARTICIPATION GENERAL INFORMATION It is the proposer's responsibility to be fully informed regarding the requirements of 49 CFR, Part 26, and the Department's DBE program developed pursuant to the regulations. Particular attention is directed to the following: A. A DBE must be a small business firm defined pursuant to 13 CFR 121 and be certified through the California Unified Certification Program (CUCP). A certified DBE may participate as a prime consultant, subconsultant,joint venture partner, as a vendor of material or supplies, or as a trucking company. C. A DBE proposer not proposing as a joint venture with a non-DBE, will be required to document one or a combination of the following: 1. The proposer is a DBE and will meet the goal by performing work with its own forces. 2. The proposer will meet the goal through work perfonned by DBE subconsultants, suppliers or trucking companies. 3. The proposer,prior to proposing, made adequate good faith efforts to meet the goal. D. A DBE joint venture partner must be responsible for specific contract items of work or clearly defined portions thereof. Responsibility means actually performing, managing, and supervising the work with its own forces. The DBE joint venture partner must share in the capital contribution, control,management, risks and profits of the joint venture commensurate with its ownership interest. E. A DBE must perform a commercially useful function pursuant to 49 CFR 26.55, that is, a DBE firm must be responsible for the execution of a distinct element of the work and must carry out its responsibility by actually performing, managing and supervising the work. F. The proposer shall list only one subconsultant for each portion of work as defined in their proposal and all DBE subconsultants should be listed in the bid/cost proposal list of subconsultants. G. A prime consultant who is a certified DBE is eligible to claim all of the work in the Contract toward the DBE participation except that portion of the work to be performed by non-DBE subconsultants. 5. RESOURCES A. The CUCP database includes the certified DBEs from all certifying agencies participating in the CUCP. If you believe a firm is certified that cannot be located on the database,please contact the Caltrans Office of Certification toll free number 1-866-810-6346 for assistance. B. Searches can be performed by one or more criteria. Follow instructions on the screen. 6. MATERIALS OR SUPPLIES PURCHASED FROM DBES COUNT TOWARDS THE DBE GOAL UNDER THE FOLLOWING CONDITIONS: A. If the materials or supplies are obtained from a DBE manufacturer, count 100 percent of the cost of the materials or supplies. A DBE manufacturer is a firm that operates or maintains a factory, or establishment that produces on the premises the materials, supplies, articles, or equipment required under the Contract and of the general character described by the specifications. B. If the materials or supplies purchased from a DBE regular dealer, count 60 percent of the cost of the materials or supplies. A DBE regular dealer is a firm that owns, operates or maintains a store, warehouse, or other establishment in which the materials, supplies, articles or equipment of the general character described by the specifications and required under the Contract are bought, kept in stock, and regularly sold or leased to the public in the usual course of business. A person may be a DBE regular dealer in such bulk items as petroleum products, steel, cement, gravel, stone or asphalt without owning, operating or maintaining a place of business provided in this section. If the person both owns and operates distribution equipment for the products, any supplementing of regular dealers' own distribution equipment shall be,by a long-term lease agreement and not an ad hoc or Agreement-by-Agreement basis. Packagers,brokers,manufacturers' representatives, or other persons who arrange or expedite transactions are not DBE regular dealers within the meaning of this section. D. Materials or supplies purchased from a DBE, which is neither a manufacturer nor a regular dealer, will be limited to the entire amount of fees or commissions charged for assistance in the procurement of the materials and supplies, or fees or transportation charges for the delivery of materials or supplies required on the job site,provided the fees are reasonable and not excessive as compared with fees charged for similar services. Hourly Rate CONSULTANT'S fees for such services shall be based upon the following hourly rate and cost schedule: B. Travel Charges for time during travel are not reimbursable. C. Billing 1. All billing shall be done monthly in fifteen (15) minute increments and matched to an appropriate breakdown of the time that was taken to perform that work and who performed it. 2. Each month's bill should include a total to date. That total should provide, at a glance, the total fees and costs incurred to date for the project. 3. A copy of memoranda, letters, reports, calculations and other documentation prepared by CONSULTANT may be required to be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 4. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such invoice shall: A) Reference this Agreement; B) Describe the services performed; C) Show the total amount of the payment due; D) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and E) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 1 Exhibit B 5.
