STATEMENT OF ISSUE:
The County of Orange has requested a time extension, from December 31, 1994 to June 30,
1995, to Agreement Number D92-010 for the seismic retrofit of four Huntington Harbor
bridges.
RECOMMENDED ACTION:
Approve the attached Amendment Number 3 to Agreement Number D92-010 allowing the
County to administer the seismic retrofitting of four City bridges during the period of
construction.
ANALYSIS:
The State Seismic Safety Retrofit Program provides for the upgrading of four bridges within
Huntington Beach to meet current seismic codes and improve bridges identified as being
vulnerable to earthquakes.
The City/County Administration Agreement designated the County as the project contracting
authority and authorized the County to provide contract administration during the course of
construction. Due to the Orange County bankruptcy situation, the County has delayed the
award of the construction contract and has rescheduled the award for January 18, 1995.
ENVIRONMENTAL STATUS:
This project has a categorical exemption.

No City funds are required.
ALTERNATIVE ACTIONS:
Deny approval of the attached Agreement and direct staff to administer the program. This
would require additional staff time and reduce staff's ability to administer ongoing construction
projects.

AMENDMENT NO. 3 TO COOPERATIVE AGREEMENT NO. D92-010 WITH THE
CITY OF HUNTINGTON BEACH -- HUNTINGTON BEACH SEISMIC RETROFIT:
Environmental Management Agency, on behalf of the City of Huntington Beach,
requests approval of an amendment which will extend the required award date of the
construction contract for the seismic retrofit of four bridges.
MOTION: On motion of Supervisor Bergeson, seconded by Supervisor Silva, the
Board approved Amendment No. 3 to Cooperative Agreement No. D92-010 with the
City of Huntington Beach extending the required award date to June 30, 1995.

designated as "CITY"
AND
The COUNTY OF ORANGE, a political
subdivision of the State of California
hereinafter designated as "COUNTY"
W I T N E S S E T H
WHEREAS, CITY and COUNTY previously entered into Agreement No. D92-010
"AGREEMENT" dated April 27, 1993 which provides for the seismic retrofit of
seven bridges within the City of Huntington Beach; and
WHEREAS, Amendment No. 1 dated Junuary 18th, 1993, extended the
termination date of the AGREEMENT to March 31, 1994; and
WHEREAS, Amendment No. 2 dated July 12th, 1994, extended the termination
date of the AGREEMENT to December 31, 1994 and decreased the number of
bridges to be retrofitted to four; and

WHEREAS, the construction contract deadline date again needs to be
extended; and

WHEREAS, CITY and COUNTY desire to amend Agreement No. D92-010 to
address the above changes.

NOW THEREFORE, IT IS AGREED TO AMEND AGREEMENT NO. D92-010 AS FOLLOWS: I
The second line of Section IV, subsection A, is amended to read as
follows: "by June 30, 1995, this agreement shall automatically become null
and void. "

The City Clerk presented a communication from the City Administrator dated January 3, 1995
regarding seismic retrofitting of four bridges within the city- CC-825.
A motion was made by Green, seconded by Dettloff, to approve and authorize execution of
Amendment No. 3 to County Agreement D92-010 to allow a time extension from
December 31, 1994 to June 30, 1995 for the County to administer the seismic retrofitting of four
city bridges during the period of construction. The motion carried by the following roll call vote:

entered into a Memorandum of Understanding with the Cal i_fornia . Department of

Transportation (Caltrans) on July 21, 1986, whi.ch sets forth .the parties ' intended

roles for the implementation of Super Street Demonstration Project improvements on

WHEREAS, AUTHORITY desires to extend the term of the Agreement so that CITY's
17 consultants, Willdan Associates, can perform extra work to complete final plans,

W I T N E S S E T H
WHEREAS, CITY and COUNTY previously entered into Agreement No. D92-010
dated April 27, 1993 which provides for the seismic retrofit of seven bridges
within the City of Huntington Beach; and
WHEREAS, CITY and COUNTY agreed that COUNTY shall be designated as Lead
Agency for the PROJECT; and
WHEREAS, the construction contract deadline date needs to be extended;
and
WHEREAS, CITY and COUNTY desire to amend Agreement No. D92-010 to
address the above change.
NOW THEREFORE, IT IS AGREED TO AMEND AGREEMENT NO. D92-010 AS FOLLOWS:
The second line of Section IV is amended to read as follows: "by
March 31, 1994, this agreement shall automatically become null and void."

STATEMENT OF ISSUE:
The City has seven bridges which need to be designated as County roads during construction.
RECOMMENDATION:
Approve the attached resolution allowing seven bridges to be designated County roads for the
period of improvements.
ANALYSIS: .
The State Seismic Safety Retrofit Program provides for the upgrading of seven bridges within
Huntington Beach to meet current seismic codes and improve the structures which are
vulnerable to earthquakes.
The City and the County have entered into an agreement for the County to provide contract
administration during the course of construction.
The City/County Administration Agreement has designated the County as the project
contracting authority; therefore, the Board of Supervisors must adopt a resolution designating
the bridges as County roads during construction: The City of Huntington Beach must also adopt
a resolution in accordance with the Streets and Highways Code. Both agencies must approve
and adopt the resolution prior to awarding the construction contract. Upon completion of the
project, the County will relinquish the streets back to the City.
FUNDING SOURCE:
None required.
ALTERNATIVE ACTION:
Deny approval of the attached resolution and direct staff to administer the program. This would
require additional staff time and reduce staff's ability to administer ongoing construction
projects.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
HUNTINGTON BEACH CONSENTING TO THE DESIGNATION OF
CERTAIN BRIDGES IN THE CITY OF HUNTINGTON BEACH AS
COUNTY BRIDGES FOR THE PURPOSES OF CONSTRUCTION,
MAINTENANCE, IMPROVEMENT OR REPAIR
WHEREAS, the Orange County Flood Control District and the
State of California are improving various bridges to provide
seismic protection; and
As part of the project, the County of Orange intends to
designate certain bridges within the city of Huntington Beach as
county bridges for purposes of construction, maintenance,
improvement. or repair; and
Pursuant to Streets and Highways Code Section 1701, the City
Council intends to' give its consent to such designation,
NOW, THEREFORE, the City Council of the City of Huntington
Beach hereby resolves as follows :
1 . The City Council hereby consents to the designation of
the following bridges as county bridges for the purposes of
construction, maintenance, improvement or repair, during the
period of the. aforementioned seismic retrofitting project;

WHEREAS, The State Legislature has allocated funds for the seismic
retrofit of bridges in California; and
WHEREAS, The California-_D.epartment of Transportation hereinafter
referred to as "CALTRANS has been directed to compile a list of
" bridges within the state which are seismically deficient; and
WHEREAS, Some of the bridges on said list are in Orange County; and .
WHEREAS, Some of the bridges on said list are in' The. City of Huntington
Beach; and
WHEREAS; CITY and COUNTY propose to coordinate in the design and
construction of seismic retrofitting the following bridges, hereinafter
referred to as "PROJECT"
1 . ADMIRALTY DRIVE @ QUEEN ELIZABETH PASSAGE
2. DAVENPORT DRIVE @ WEATHERLY 'CHANNEL

WHEREAS, CALTRANS will\ prepare retrofit plans for said bridge; and
WHEREAS, CALTRANS participates in 100% of. costs of preliminary
engineering, construction engineering, and construction of seismic
retrofitting of said bridges,; and
WHEREAS; CITY entered into an agreement with CALTRANS for' rei'mbursement
purposes; and
WHEREAS, COUNTY has. offered to administer a bridge retrofit contract
for the CITY:
AGREEMENT NO. D92-010
NOW, THEREFORE, IT IS AGREED by the parties hereto as follows:
I. CITY SHALL:
A. Prepare and process all necessary environmental documents required by
the California Environmental Quality Act of 1970 (CEQA) as amended.
B. Be responsible for obtaining construction plans, specifications &
cost estimates from CALTRANS for the seismic retrofit portion of PROJECT, and
transferring said items to the COUNTY.
C. Review and approve the plans, specifications and estimate.
D. Review and approve contract change orders .(CCO) .
E. Be, responsible for any portion of the PROJECT construction costs not
covered by CALTRANS..
F. Review and approve monthly invoices prepared by COUNTY prior to
COUNTY's submittal to' CALTRANS.
G-. Be' responsible for obtaining necessary permits and transferring said
items to the COUNTY.
H. Have access to project site during 'construction period.
I . With the approval' of this agreement pass a resolution declaring the
portion of the project within CITY to be a COUNTY highway during construction
period'.
J. Be responsible for .identifying utility locations on plans and be
responsible for utility relocation costs which are not covered ,by CALTRANS.
K. Participate in a final walk through upon completion of PROJECT and
provide written acceptance of the PROJECT.
II. COUNTY SHALL:
A. Be and is hereby designated the Lead Agency for PROJECT.
B. Be and is hereby designated as Project Engineer, Contracting and
Construction Agent for the parties to do and perform all things necessary in -
order to construct PROJECT in accordance with the approved plans and
specifications and to execute and deliver. all documents required in connection
with the construction and completion of PROJECT, including its Notice of
Completion and final accounting report.
C. Prepare the final plans, specifications and estimates (PS&E). and
compile in. ,a. form acceptable for advertising PROJECT for bids.
D. Obtain PS&E approval from CALTRANS and CITY prior to advertising
PROJECT for bids.

E. Process contract change orders (CCO) that are necessary for the
completion of the PROJECT as shown on the plans and specifications as approved
by the CITY, CALTRANS, and the COUNTY and. note any changes on record drawings.
F. Prepare .and submit monthly invoices to CALTRANS for CALTRANS share of
PROJECT costs, after CITY reviews and approves invoice.
G. Be responsible for any portion of the PROJECT administrative costs not:
covered by CALTRANS.
H. With the approval of this agreement pass a resolution declaring the
portion of the, project within CITY to be a COUNTY highway during construction
period. .
I. Upon filing a notice of completion, declare the PROJECT a NON-COUNTY
road and turn over maintenance responsibility to CITY.
III. PAYMENTS AND FINAL ACCOUNTING
A. On a monthly basis COUNTY shall invoice CALTRANS for CALTRANS share of
PROJECT construction costs based on progress payment statements.
B. CITY shall remit to COUNTY; CALTRANS reimbursements for. monthly
invoices within 15 days of receipt of reimbursement from CALTRANS.
C. Within ONE HUNDRED TWENTY (120) days after filing of the notice of
completion of the contract by COUNTY; COUNTY shall submit a Final. Accounting ,
Report for PROJECT, for review and approval of CITY. COUNTY shall provide
with the Final Accounting Report a certification signed by COUNTY Director of.
Public Works and its Director of Finance that all expenditures applicable to
.PROJECT.have been made and that all copies of invoices and warrants are on
file with COUNTY
D. Within 60 days after receipt of Final Report from COUNTY, CITY shall
review. the Final Accounting Report for approval by CITY ENGINEER; upon.
approval, CITY shall transfer to COUNTY or COUNTY shall transfer to CITY the
necessary funds, if any, to balance PROJECT'S expenditures.
IV. IT IS MUTUALLY UNDERSTOOD AND AGREED:
A. If COUNTY fails to award the PROJECT construction contract
by December 31, 1993, this agreement shall automatically become null and void
unless the parties mutually agree to extend the termination date.
B. Pursuant to and in accordance with Section 10532 of the California
Government Code, in the event that this Contract involves expenditures of
State funds aggregating in excess of ten thousand dollars ($10,000), the
parties shall be subject to the examination and audit of the Auditor General
of the State of California for a period of three (3) years after final payment
under this Contract.

C. 'That .neither COUNTY nor any officer. or employee thereof shall be
responsible for any damage or liability occurring by reason of,anything done
or:omitted to be done by CITY under or in connection, with any work; authority
or jurisdiction delegated to CITY under this agreement. It is also understood
and agreed that, pursuant to Government Code Section- 895.4, CITY shall fully
indemnify, defend and hold. COUNTY harmless' from any Tiability .imposed- for
injury (as defined by Government Code Section, 8.10.8) , occurring by reason of
anything done by CITY under -or in connection with any work, authority or
jurisdiction delegated.-to CITY under this agreement..
D. 'Ihat neither CITY nor any officer .or employee thereof shall be '
responsible for any damage or liability occurring by reason- of anything done
or'omitted to be done by .000NTY under or in connection. with any work, t
authority or jurisdiction delegated to COUNTY under this agreement It. is
also understood and agreed that, pursuant to 'Government Code Section 895.4,
COUNTY shall fully indemnify, defend an.d hold CITY harmless .from any liability
imposed for injury ('as defined by Government Code Section 810.8) , occurring by
reason -of anything done or omitted to be done by COUNTY under or in connection
