STATEMENT OF ISSUE:
By the provisions of the Disposition and Development Agreement between the Agency
and Robert L. Mayer (The Waterfront, Inc.) a Certificate of Completion is required to
document completion of the developer's responsibilities for this phase of the Waterfront
project.
REMMENDATION:
Approve and authorize the Agency Clerk to execute the attached Certificate of
Completion and order it's recordation with the County Recorder.
ANALY�iS:
A Disposition and Development Agreement between the Agency and Robert L. Mayer
was approved on September 26, 1988. Section 415 of this agreement calls for the
provision of a Certificate of Completion for each of the Waterfront phases. It also
requires the Agency to approve such a Certificate of Completion within thirty (30) days
of a request from the Waterfront or to cite specific reasons for non—issuance.
On December 14, 1990 The Waterfront requested in writing approval of a Certificate of
Completion and provided a form of such a certificate signed by representatives of The
Waterfront. However, the Fire Department did not accept the fire protection systems
until March 8, 1991. Staff received the current request with Certification of
Completion on March I4, 1991 (see letter with Certificate of Completion attached).
This current request has been reviewed by Department Heads and Agency Counsel and
no objection to its issuance has been found.
ALTERNATIVE ACTION:
Do not approve the Certificate of Completion (provisions of the DDA, however, require
that without citing specific cause, the Certificate of Completion is deemed approved

Dear Ms. Kaiser:
As you may recall at our meeting of January 17, 1991, you agreed that you would execute
the Certificate of Completion for The Waterfront Hilton when the Fire Department had
"signed off' their correction list. On March 8, 1991, the Fire Department was satisfied with
all the corrections and issued their final approval, as shown by the copy of the inspection
card with their signature which is enclosed for your reference.
Therefore, you will find enclosed a revised Certificate of Completion ready for execution.
Please note the effective date has been changed to March 8, 1991, the day of the Fire
Department approval.
Also, I have enclosed a letter from our general contractor to the City dated March 11, 1991
wherein they have indicated they have completed all necessary work for a Certificate of
Occupancy. Only two correction items are not fulfilled, but those are for non-code issues
regarding items deleted from the general contractor's requirements by the Engineer of
Record and the Owner. We are satisfied that all work necessary for the Certificate of
Occupancy is complete at this time.

CERTIFICATE OF COMPLETIOII
A. WHEREAS, on or about August 15, 1988, the
Redevelopment Agency of the City of Huntington Beach, a public
body, corporate and politic ('Agency") entered into a
Disposition and Development Agreement (the "Agreement") with
Robert L. Mayer, as Trustee of the Robert L. Mayer Trust of
1982 dated June 22, 1982, as amended ("Developer") , which
Agreement provides for the acquisition, disposition, and
development of certain real property (the "Site") situated in
the City of Huntington Beach, County of Orange, State of
California, and more particularly described in said Agreement;
and
B. WHEREAS, on or about Arm - Z�, �y�� , Developer
assigned to Waterfront Construction No. 1, a California limited
partnership ("Lessee") Developer's rights and obligations under
the Agreement with respect to that portion of the Site more
particularly described on Exhibit "A" attached hereto and made
a part hereof by this reference (the "Property") ; and
C. WHEREAS, on or about April 28, 1989, Agency entered
into a -lease (the "Lease") with Lessee with respect to the
Property; and
D. WHEREAS, as required in Section 415, of the Agreement,
and Article VI of the Lease, Agency is required to furnish
Lessee with a Certificate of Completion upon completion of
construction of the improvements required to be constructed by
Lessee with respect to the Property, which Certificate shall be
in such fora as to permit it to be recorded in the Recorder's
Office of Orange County; and
E. WHEREAS, such Certificate of Completion shall be
conclusive determination of the satisfactory completion of the
construction required by the Agreement and Lease with respect
to the Property; and

F. Agency has conclusively determined that Lessee' s
construction on the improvements required to be constructed by
Lessee with respect to the Property have been satisfactorily
completed in accordance with the Agreement and the Lease;
NOW, THEREFORE,
1. As provided in said Agreement and Lease, Agency does
hereby certify that Lessee has fully and satisfactorily
performed and completed all construction required with respect
to the Property.
2. Nothing contained in this instrument shall modify in
any way any provision of said Agreement or Lease.
3. After recordation of this Certificate of Completion,
any person or entity then owning or thereafter purchasing,
leasing, or otherwise acquiring any interest in the Property
will not (because of such ownership, purchase, lease or
acquisition) incur any obligation or liability under the
Agreement, except that such party shall be bound by any and all
of the covenants, conditions, and restrictions which survive
such recordation set forth in the Agreement.
,4 . This Certificate of Completion shall be effective as

5. This Certificate of Completion shall not constitute
evidence of compliance with or satisfaction of any obligation
of Lessee to any holder of a mortgage, or any insurer of a
mortgage securing money loaned to finance the improvements to
the Property, nor any part thereof. This Certificate of
Completion is not a certificate of occupancy, nor is it a
notice of completion as referred to in Section 3093 of the
California Civil Code.
6. The Recitals above are incorporated in full as part of
the substantive text of this Certificate of Completion.

ESTATEMENT OF ISSUE:
The Robert L. Mayer Trust of 1982 is seeking Redevelopment Agency
approval of the Signet Hotel Corporation of Dallas, Texas as the
operator for the Phase I hotel of the Waterfront project and Hilton
Inns, Incorporated as the franchiser.
BECOMMENDATION:
Approve the selection of Signet Hotel Corporation and Hilton Inns,
Inc.
ANALYaS:
A Dispostion and Development Agreement was transmitted for City
Council/Redevelopment Agency consideration on August 15, 1988, which
stipulated in part that the Agency must approve the developer's
selection of hotel operator and franchiser for the Phase I hotel of
the Waterfront project. Within thirty days after receipt of this
selection, the Agency may request in writing additional information
from the developer concerning the designated operator and
franchiser. At the end of the thirty day time period or when the
developer has delivered additional requested information, .the
request for approval period will be deemed complete. The Agency
then has forty-five days to approve or disapprove the developer's
selection. The DDA stipulates that approval shall be given if the
developer "demonstrates that the proposed operator (franchiser)- is a
capable, competent, and experienced operator (franchiser) of hotels
similar in quality, size and type." (Disposition and Development
Agreement, pg. 21)

On September 8, 1988, the Mayer Corporation communicated to the
Agency, designating the Signet Hotel Corporation of Dallas, Texas as
the operator and Hilton Inns, Incorporated as the franchiser.

The Signet Hotel Corporation was formed in June of 1985 by Frederick De Matteis,
Chairman of the De Matteis Organizations of New York City and William D. Balsiger
of Dallas, Texas.
From the beginning, the company has had three stated objectives:
o Build a management division which would provide outstanding management
services for owners of existing hotels and provide guidance and management
of hotels under development.
a Develop new hotels, in selected locations, with service levels, facilities
and architecture which truly fit the area.
o Provide management services on a short term or long term basis to financial
institutions who have taken back hotels through foreclosure so their asset
will be protected and the potential of the property maximized.
A small but highly experienced corporate staff was brought together to form the
foundation of the company. They have over 100 years of experience in hotel
development, operations, food and beverage, sales and marketing and finance.
Whether managing hotels for a third party or developing their own, the members of
the Signet Hotel Corporation team have the standards and the degree of personal
dedication which allows the Signet Hotel Corporation to stand out in the
industry.
OUR PHILOSOPHY
Our goal is to take the mystery out of the hotel business for owners through
honest and frequent communication and by providing owners with detailed monthly
financial and marketing reports presented at owner's meetings.
We want our owners to know about our successes but more importantly, we want to
keep them aware of problem areas and what we as a management team are doing to
correct them.
We manage as owners and work diligently at maintaining the value of the owner's
asset through property operations and maintenance while reacting quickly to
changes in the marketplace which might affect the value of the property.
As a company, we are committed to guest and employee satisfaction while
maximizing the profit potential in all areas of the hotel. Ongoing property
visits by all corporate staff and the Signet Hotel 's guest comment card system
allows us to monitor our performance in these areas.
We maintain an excellent relationship with all of the national hotel corporations
which allows us to get the most from their central reservations systems and
national marketing programs.
We feel hotels only come in two colors. . .in the red or in the black. We manage
the entire hotel from the top right down to the bottom line.

Present and Founder. Responsible for expansion of management
portfolio including management contracts for new and
existing hotels and projects to be developed. Assists
owners and developers in securing financing for their
projects.
A frequent speaker for industry conferences. Selected
to the elite society of International Business Fellows
and a member of the Board of Governors of Iowa State
University's School of Business.
February 1982 to THE REGISTRY HOTEL CORPORATION, Dallas, Texas.
May 1985 Executive Vice President for Development. Responsible
for negotiating pre-opening consulting and management
contracts for new and existing hotels as well as
financing these properties. Signed ten management
contracts resulting in three existing hotels and seven
hotels and resorts now under development.
Responsible for the sell-out of the $90 million
Registry Resort in Naples, Florida, a condominium hotel
offering with Merrill Lynch. As a result of his
handling of this project, has served as a speaker to
several condo hotel symposiums and has consulted on
similar projects.
May 1981 to OMNI VENTURE LTD., Minneapolis, Minnesota. Partner
February 1982 in private real estate development and asset management
Firm. Was responsible for investing and developing
various real estate projects including Galtier Plaza, a
$75 million mixed use project, as well as offices,
office warehouse buildings and hotels.
March 1973 to NORTHLAND MORTGAGE, Minneapolis, Minnesota. Vice
May 1981 President. One of the largest privately held mortgage
banking firms in the country. Responsible for
conventional tax exempt mortgage placements and sales
as well as joint ventures.
January 1972 to DUPONT WALSTON, Los Angeles and Minneapolis.
March 1973 Personally recruited and hired by owner, Ross Perot, to
be Account Executive in company that was then the
second largest securities firm in the U.S. Graduated
first in training class of 80.
EDUCATION Graduate of Iowa State University. Master of Business
Administration from Southern Illinois University.
MILITARY United States Air Force. Declined a regular commission
and was discharged with the rank of Captain.

upgrading of banquet equipment and presentation.
Instituted the "Fresh Meat" program that won Marriott
national recognition and an award from the Angus Cattle

During the downturn of 1981, this was the only region of

Opened two hotels and was instrumental in $1 million
renovation of roof top restaurant in company's largest

degree that 23 department heads from the region were

This property was taken back under foreclosure by General Electric Pension
Trust. We were chosen in part because our association with General Electric
Credit Corporation for whom we manage The Chase Park Plaza Hotel. Under this
engagement, our responsibilities included determining the potential marketability
and eventual profitability of the property. We provided a capital improvements
plan to improve the "street appeal" of the hotel and suggestions for a rare
functional and efficient operation.

The owner asked us to evaluate this hotel prior to the impending foreclosure
proceeding. We reviewed the property's operation with an awareness for its
potential in the event we became operator once the foreclosure is complete. We
submitted a report with our findings including an evaluation of the existing
market and a critique of the property's operation and physical plant.
