The notice of intent will be prepaid, first
class postage excluding return postage.
1.10. Subsystem Notice of Noncompliance. This sub-
system is responsible for identifying those parking citations with
which there was noncompliance to the nctice of intent. An auto-
mated notice of noncr-.pliance will be sent to the Department of
Mo'_or Vehicles and attached to the vehicle registration. There is
a critical time factor involving this sumsystem. The State of
California has stated by law that, "Whenever any person has for
a period of 15 or more: days failed to comply with t',e provisions
(notice of intent) , notice shall be givan to the Department of
Motor Vehicles not more than thirty ( 30) days after such failure '
to appear. The system will have programmatic timetable to insure
all requirements of the law are met."
1. 11. Subsystem Rep.:rtin . This :unction is re-
sponsible Zor s .atistical and detailed managem-nt reports. Thes,,
lama'. reports will provide a data base for management analysis and cita-
tion accountability. The reporting subsystem consists of there

functions: (1) status reporting; (2) statistical reporting; and
(3) management reporting.
1.12. Status Reporting. This reporting procedure is
a printout of all the citdt-ons curzent in the system. The report
will be in ascending citation number sequence and provides the
following information for court reference:
(a) City of issuance
(b) Citation numoer
(c) Vehicle license number
(d) Reporting district
(e) Date issued
(r) Violat_on
(g) Fine
(h) Officer :.-rial number
(i) Date DMV notice of noncompliance sent
( if applicable)
(j) Date notice of intent sent ( if applicable)

2. TERM. The services of SAI shall com,Tence upon the
execution of this agreement and shall. continue for a period of
twelve (12) months thereafter. Contingent upon acceptance of a
memorandum of understanding between the courts having jurisdic-
tion and CIT`.', PCMP implementation shall commence within thirty
(30) days after date of this agreement.
3. COMPENSATION. For performance of services required
under this agreement, CITY agrees to pay SAI a rate of $ l.b(l

for each citation processed in every case subject to receipt of
a monthly requisition for payment from SAI.
4. PROGRAM RIGHTS. SAI, in providing the services
set forth herein, will utilize as SAPS proprietary, the computer
program Developed at SAI expense and entitlea "Parking Citation
Management Program (PCMP) ."
CITY hereby agrees that all rights and titles to
the aforementioned program shall remain exclusively ::ith SAI.
Further, CITY agrees that such program shall not be provided tr
CITY as part of the agreement; neither will CITY have direct or
indirect access to such program without <_xpress written approval
of SAI.
5. PROGRAM SECURITY. The PCMP has restricted access
and SAPS project manager will monitor the program to insure
the security of the system. Only persons authori.z-d .-)y a joint
agreement between SAI and CITY will have a security cod,3 to have
access to the system.
6. APPLICABLE L;.W. This agreement shall be governed
by and construed in accordance with the laws of the State of
California.
7. CHANGES AND SUSPENSION: If any change or sus-
pension of work, by either CITY or SAI causes a material in-
crease or decrease in he cost of or the tame required for the
performance of the work under this agreement, an equitable ad-
justment shall be made in the agreement price or d eliveYv
schedule, or both, provided that either party shall have noti-

fied the other in writing of any claim for such adjustment within
thirty (30) calendar days from the date of such notice or from
the date of any act of CITY or SAI which constitutes such a
change. No such adjustment or any other modification of the
terms of this agreement will be allowed unless mutually agreed
upon. between CITY and SAI by means of an aduendum to this agree-
ment. SAI shall proceed with the work, as changed, without in-
terruption and without awaiting settlement of any such claim.
8. AMENDMENTS AND NOTICES. Sole authority for SAI
to maize ch Znges in or amendmen Ls to this agreement and to effect
deviations (hv way of addition or deletion) from the work herein
specified is hereby vested in the authorized representative of
CITY, and no directions from such representative shall be valid
unless in writing.
9. EARLIER TERMINATION. Either party has the right
to terminate this agreement at any tine after the effective date
of this agreement upon proviling thirty (30) days written notice
to the ocher party.
10. WAIVER. No waiver or subsequent ..,edification of
this agreement or of any covenant, condition, or limitation herein
contained shall be valid unless in writing and duly executed by
the party to be charged therewith. Furthermore, no evidence of
e-ny waiver or modification shall be offered or received in evi-
dence in any proceeding, arbitration, or litigation between the
parties arising out of or aff.,ct-,"7 this agreement, or the
rights or obligations of any party hereunder, unless such waiver

or modification is in writing, duly executed as aforesaid. Th:.
provisions of this paragraph may not be waived except as he,:,-in
set forth.
11. WORKERS' COMPENSATION INSURANCE. In the event
SAI has any employees, it shall, in accordance with the provi-
sions of section 3700 of the California Labor Code, be required
to show proof of workers' compensation insurance by furnishing
a certif.".cate of workers' compensation insurance to CITY.
12. LIABILITY INSURANCE, ADDITIONAL INSURED. SAT
shall obtain a policy of comprehensive bodily injury and property
damage liability insurance. Minimum limits of coverage of the
policy shall be S300,000 combined single limits including property
damage, each occurrence. SAI shall not cancel or modify policy
without thirty (30) days prior written notice to CITY. Policy
shall name CITY as additional insured.
13. ENTIRETY. This written agreement contains the
sole and entire agreement between the par :ies. It supersedes
any and all other agreements, either orally or in writing, between
the parties. The parties acknowle3ge. azA agree that neither of
them has made any representation wito respec,,. to the subject
matter of this -greement or any representations inducinc, the
execution and delivery hereof except such representations as are
sspec4-fically set forth herein, and each party acknowledges that
he or i`c has relied on his or its own judgment ii, entering into
this agreement. The parties fuicrer acknowledy% that any state-

ments or representations that may have heretofore been made by
either of them to the other are void and of no effect and that
neither of them has relief thereon in connection with his or
its dealings with the other.

PROGRAM SERVICE AGREEMENT
THIS AGREEMENT, entered into this -20 '-l- day of

and control of parking citations to optimize the recovery of

2. SEICON will provide electronic data processing
services in processing all parking cisat:ions from t.ie date of

(a) SFICOM will provide, at no additional cost

(b) aEICOM will provide all computer programs,
written procedures and other supporting -J.tems used in carrying
out the purpose of this agreement.

(c) SEICOM will provide daily log files as
they are entered into the system.
(d) SEICOM will provide monthly management
reporting and statistical analysis.
(e) SEICOM will. take the following action,
in citations entered '.nto the system within time limitations
as specified.
1. Within th-rty (30) days request
from and have returned from the California Department
of Motor Vehicles the registered owner's information.
2. Within thirty-five (35) days cause
to be mailed to the registered owner a notice of
intent . This notice to comply with munj.cipal court
rules.
3. Within fifty-five (55) days notifi-
cation to the California Department of Motor Vehicles
of non-payment and notice of disposition. The system's
program will be interfaced with the Departmen; if
Motor Vehicles ' DMVI'EDD Vehicle Registration Non-
urgent Inuir°y system via magnetic tape.
4. Within sixty (60) days the citation
shall attacii to red is':cred owner's Yegistr,Lion.
5. After four hundred thirty-one (431)
days the system shall be purged and data returnea to
( the CITY in hard copy or magnetic tape format.

6. The CITY shall be entitled to
reimbursement of fees paid tc SEICOM for any cita-
tions not processed by SEICOM within the above
described time limitations.
7. Out-of-state citations may be entered
the same as in--state citations. These citations will
be processed separately from the in-state citations.
Request for registered owner's information will be sent
to the appropriate state agency. Notices of intent
will be mailed. The bail amount will be reques;;ed from
the registered owner. Re_,irn payments will be made to
the court. SEICOM will receive from the CITY monthly,
one-half (112) of the revenues received by the court
on out-of'-state citations. SEICOM will bill this
amount monti- ly for th,? prior month.
(f) Once the citations have been entered into
the system by the CITY, it will be the respinsibility of SEICOM
to complete all the processing required by this Agreement, even
after the termin=ition of this Agreement.
DUTIES O THE CITY:
3. It shall be the du' ies of the CITY to enter into

4. (a) The CITY shall pay to SEICOM for each
citation entered into the system a charge Fursuant to the

4. (b) The CITY will not be billed for citations
entered in error by the CITY if CITY notifies SEICOM within
fifteen (15) days to purge the citation from the system.
TERM OF 'AGREEMENT
5. (a) The term of this Agreement shall be for a
period of one (1) year coimniencing with the execution of this
Agreement by the parties.
(b) And; extension of this Agreement sha'_1 be
renegotiated thirty (30) nays prior to its termination.

PAYMENT
6. SEICOM will bill the CITY on the first of every
month for the amount of citationsentered into the system, the
price per month pursuant to paragraph 3 of this Agreement.
INSURANCE AND INDEMNITY
7. SEICOM will furnish to CITY a certificate of
Insurance on CITY'S form evidencing ccmpliance with the workers '
compensation acts, the CITY'S general liability requirements
and will execute CITY'S hold harmless agreement contained thereon.

of insurance offered to the CITY are subject to approval as to
form by the City Attorney. A copy of CITY'S resolution is
attached and made Exhibit "A" to this Agreement.
NOTICES
8. Any notices, requests, demands or other communica-

be properly given when deposited in the United States mail,
postage prepaid or when deposited with a public telegraph

ENTIRE AGREEMENT
9. This Agreement, including exhibits attached
hereto, constitutes the entire agreement of the parties
concerning the subject matter hereof and supercedes all prior
and contemporaneous agreements between the parties. This
Agreement may be amended only by an instrument in writing which
expressly refers to % his Agreement and specifically states tihat
it is intended to amend it .
ASSIGNMENT
10. This Agreement will not be assigned without
written permission of the 17ITY, which permission will not be
unreasonably withheld.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF HUNTINGTON BEACH ESTABLISHING A MINIMUM
LIABILITY INSURANCE LIMIT
WHEREAS, there are persons engaged in various activities
in the city which subject the city to possible liability for
damage to property and injury to persons; and
For the protection of the public health, safety and wel-
fare, the city requires such persona to maintain insurance
naming the city additional insured; and
The city desires to establish uniform minimum liability
limits for all such persons engaged in said various aet3.vities
who are required by ordinance, resolution or otherwise to
provide such liability insurance,
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Huntington BeF- ,.h that the minimum liability limits
shall be as follows:
1. Combined Single Limit Bodily Injury and/or Property
Damage including Products Liability: $300,000 combined limit
per occurrence, except as otherwise provided by ordinance or
contract.
2. Additional Insured Endorsement: The insured agrees
that the City of Huntington Beach City Council, and;c�r all
City council appointed groups, nomrittees, commissions, boards
and any other City Council appointed body, and/or elective and

3. Any person engaging in any activity determined by
ordinance, resolution or the City Administrator to subject the
city to a possibility of liability shall provide ,;he city with

endorsement and the hold harmless agreement.

INTRODUCTION
Court Data Services (CDS) offers i-wo automated parking citation
management systems. The objectives of both systems are: speed in
data transmission; improved efficiency; increased effectiveness; and
increased compliance. Each system provides several benefits to the
court/city user:
Daily On-Line entry
On-Line/Real Time Access
A:countability
Decreased Hourly Labor
Increased Revenue to the User
Statisti:al Analysis and Management Reporting
Both systems are described briefly in this proposal. The In-State
Citation Management (ISCM) system is fully automated and totally
comprehensive. All citations are entered t1.e day they are writ
and managed until disposition. Users may forward source data to
CDS for entry or enter data directly on-line with a C.R.T. provided
by CDS at the user' s location. The Out-State Citation Management
(OSCM) system is also fully automated and provides a previously
,untapped source of revenue to the user. Entry to the OSCM system is
the same as the ISCM system.

IN-STATE CITATION .4ANAGEMENT
DATA ENTRY PROGRAM
A special word processing program allows the user to enter
citation information directly into the Data F,ase on the day the
citation is issued. On-line access to the system is provided by CDS
through a C.R.T. at the usQr' s locatio. The program is very fast
and efficient thus saving user time and labor. If desired, the source
data may be forwarded to CDS for entry. A Data Base is created for
future processing of records on file and Data Base Analysis. Statis-
tical analyses prepared from this data base will include:

Vehicle information
Violation Location
Violation Codes
Officer I.D. Number
Data Base storage allows on-line access for status review cf the
files. Updates, deletions and file maintenance may be doi remotely
by the user on the C.R.T.
After the initial entry of citation information into the system,
our data base management system will process all output from the
computer.

NOTICE OF INTENT
�\s citations are paid, the user, via C.R.T. , will update the files
by deleting those records from the Data Base. The file will reflect
the disposition and no further pro.essing will occur. If the citation
has not been paid after a specified period of time, the record will
automatically be changea to a "failure to pay" status. An automatic
request for registered owner information is generated to D.M.V. The
return information .from D.M.V. automatically updates the Data Base.
A Notice of Intent is processed and mailed to the registered rwner as
verified by D.M.V. The notice instructs the registered owner how to
comply and also states consequences for failure to comply. Along with
legal obligations, the following is provided:

NOTICE OF FPILURE TO PAY
If the citation is not paid a Notice of Failure to Pay is generated
and transferred to D.M.V. The citation bail is then attached to the
.next vehicle registration. When the vehicle registration i; renewed
or the citation is cleared through the court/city, the failure to
pay status is automatically cleared.

NOTICE OF DISPOSITION
A:s citations are paid after the notice of intent to the R/O
the user will update the record to reflect the payment. A Notice
of Disposition is generated to i?.M.V. If an affidavit of ownership
change has been filed the record is placed in a hold status until
verification at D.M.V. Dispositions from L.M.V. are also updated
in to-� Data Base.
MANAGEMENT REPORTING AND STATISTICAL ANALYSIS
The Data Base makes available custom designed management
reporting and citation accountability. A complete audit is automa-
tically available and accessible. Statistical analyses may be designed
pursuan'L to Esser specified criteria. Variables of the Data Base
may be analyzed according to user specified requirements.

OUT-STATE CITATION MANAGEMENT
DATA ENTRY
Entry and access to th` USCM syster.. is the same as the ISCM
System. Entry for both is made at the same time into a common
Data Base. Statistical analysis and management reports will include
both systems. However, the methods of processing and service fees
are separate and independent for each system.
NOTICE OF INTENT
Payments and dispositions are entered and recorded just as in
the ISCM system. As out-state citations become delinquent, requests
for R/O information are processed and sent to each state D.M.V.
Return R/O information is added to the Data Base and Nocices of

Intent are generated to each R/O. Information pursuant to clearing
the citation will be provided to the - '0. The bail amount and a
service charge fo, r�ur-state handling and processing will be requested
from the R/O.
SERVICE FEES
Fees are charged to the jurisdiction only on those citations
that have a return.. Return payments on out-state citations will be
deposited in a special account for COURT DATA SERVICES. The court/city
user will receive half of the bail amount collect:?d and CDS will
retain the other half and the service charge.

By using our system you can recover untapped revenue and off-set
