Company hereby consents to the construction, reconstructions maintenance and use by City of a public street or highway over, along and upon the Company easements in the area of coramcn use. City acknowledges (a) the title of Con*wzy to the Company easements in the area of season vse,, and (b) the priority of its title thereto over the title of City `;herein, EXCEPT in those areas where cross streets have been dedicated prior to acquisition of the Company eas enen s. 2. City does hereby grant to Company the right in the joint use strips, subject to cc:,nditi:rns and restrictions as provided below, to Say, construct, reconstruct, replace, renew, repairs zak atain;, operate, change the eize of, increase the number of and remove pipelines, and app temnannces thereof, for the transportation of oil$ petroleum, gas, gasoline, water or other substancz_. 3. Canpary agrees to relocate the Company facilities into the ,joint use strips. In the event that the future use of t7-e road rights of vayv shall, at any time or tinu;s, necessitate a rearrangement,, relocation, reconstruction or removal, of any of CoxTanyla facilities then existing in said joint use strj- or area of commons use and City shall. notify Company in writing of such necessity and agree to reimburse Company on demand for its costs incurred in complying with such notice, EXCEPT in those areas where cross streets have been dedicated prior to r equisition of the Compa.ay easements by Company, Caxnpany will. provide City -with plans of :its proposed rcarracgemerlt and an estimate of the cost thereof a3nd$ upon approval of such plans by City, Company will promptly proceed to effect such rearrangemFmt, relocation, reconstruction, or removal. if such rearrangement shall require the relocation of, any of Company's facilities out- side of said joint uae ;itrlps or area of com=n use, City will (1) enter into a new joint use agreema:nw on equivalent terms and conditions as herein set forth covering the new location. of Company'as facilities within Vie road rights of way, (2) provide executed document(s) granting to Company a good and sufficient easement outside of the road rights of vay if necessary to replace the Company's easements or awj part thereof, and (3) reimburse Company for any costal it may be required to expend to acquire such easement, provided it is �tatually agreed in siting that CcmAAny shall acquire such easement. 6. Except as expressly set forth herein, this agreement shall not in any way alter, modify or tercdnate aky provision of the Company easements. The City's Golden West Street Improvements, CC-097, had incorporated in it a severe cut of Golden West at Talbert Avenue Voich made it necessary to lower the Standard Oil lines in this rrea at City expense. It was decided that conside4able savings :in expense and time would be realized if these lines were relocated outside of the existing easements and placed inside street tight of way. Standard Oil Company agreed to the uew location with the understanding the agreement would be executed. The agreement guarantees the Oil Company its previous rights for pipelines' use along with the City's for street right of way. Therefore, it is recommended that your Honorable Body accept the agreement, authorize the Mayor to execute and direct the Clerk to return the original with a ca tifi.ed copy of, the minute action to this office for transmittal to Standard Oil, Company. d Vary truly yours# ,,, mee R.
