WHEREAS, CITY desires to engage the services of a consultant to provide environmental engineering services as needed and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of F professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates -Michael Leonard who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. agree/forms/profserv10/15/01-A I 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM, TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement by CITY (the Three(3)years from "Commencement Date"). This Agreement shall expire on Commencement Date , unless sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than three (3)years from the Commencement Date of this Agreement. These times may be extended with the written permission of CITY. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed F to in writing by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed Forty -Five Thousand Dollars ($ 45,000.00 ) 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional agree/forms/profserv10/15/01-A 2 compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall agree/forms/profsery 10/15/01-A 3 approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9, PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above- mentioned insurance shall not contain a self-insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims-made policy shall be acceptable if the policy further provides that: F A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. agree/forms/profsery 10/15/01-A 4 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. F CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner,the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and agree/forms/profsery 1 0/1 510 1-A 5 all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13, ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. agree/forms/profsery 10/15/01-A 6 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. CITY and CONSULTANT may designate different addresses to which subsequent notices, certificates or other communications will be sent by notifying the other party via personal delivery, a reputable overnight carrier or U. CONSENT When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. agree/forms/profsm 1 0/1 510 1-A 7 18. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement agree/forms/profsery 10/15/01-A 8 which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, agree/forms/profsery 10/15/01-A 9 each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the non-prevailing party. 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This document constitutes a proposal by SCS Engineers(SCS)to assist the City in undertaking that work. The proposal is based on a Request for Proposals(RFP),dated September 3,2003. SCS is well qualified to perform the services required by the City,and has assembled a team of professionals with extensive experience in naturally occurring gas anomaly/odor control,passive/active gas collection systems, storm water quality and management, wetlands, monitoring and inspection of facilities, studies and reports, grant = applications,engineering,permitting,and construction support services. CORPORATE BACKGROUND SCS is a national environmental engineering company (corporation) specializing in solid and hazardous waste services. The firm, which is employee-owned, currently maintains 35 regional offices with more than 400 employees. Our corporate headquarters is located in Long Beach,California,adjacent to the Long Beach regional office. Resources for the project are immediately available from this Long Beach locale. Since our foundation in 1970, SCS has provided services similar to those requested by the City at hundreds of sites and for dozens of municipalities across the nation. SCS personnel who provide these services have an exceptional understanding of the work,as well as the specific needs of Huntington Beach. SCS specializes in the following areas of environmental and solid waste engineering. • Field investigations. • Routine methane gas monitoring. • Maintenance,inspection,and operation of active gas collection systems. • Landfill gas monitoring. • Landfill gas collection and recovery. • Landfill gas investigations and assessments. • Protection of structures from subsurface gases. • Storm water management. • Wetlands. APPROACH The RFP lists only a general range of services, not specific to any task or site. We will describe briefly herein our general approach to performing these services. Monitoring and Inspections SCS has performed literally thousands of methane gas investigations and ongoing monitoring at existing facilities. We utilize a combination of portable instrumentation (typically "GEM" and portable flame ionization detectors), mobile labs,and sampling apparatus,depending on the nature of the work. We use both conventional drilling and direct push technology to obtain subsurface vapor samples. We have an inventory of ambient air sampling equipment and weather monitors for collecting and analyzing toxic air contaminants, and for gathering odor samples. SCS also uses various computerized dispersion modelling programs for determining downwind exposure. All are thoroughly trained in Health and Safety and Emergency Response skills. r Studies and Reports SCS routinely prepares investigation and operation/maintenance(O&M)reports for clients to submit to regulatory agencies, including the Orange County Health Care Agency, the Orange County Fire Authority, the California Integrated Waste Management Board(CIWMB)and various water quality boards. We currently prepare an average of 200 monthly and quarterly reports on gas-related monitoring and maintenance(about half in California). i Grant Applications SCS has been assisting public and private clients with grant applications in the areas of Brownfields redevelopment and recycling support. Sometimes SCS prepares the application, and sometimes we provide technical input to a city's on-board grant writer or consultant. Grant applications in the methane arena are rare,although SCS has had some success with EPA's Landfill Methane Outreach Program(LMOP). Preliminary Enaineerina Based on our broad experience, we know what works and what doesn't, and can quickly focus on practical alternatives for solving methane problems,whether the source is from a landfill,natural methane(oil and gas fields) or biodegradation from hydrocarbon spills. We are familiar with all practical technologies for gas mitigation and monitoring,and have completed literally hundreds of methane mitigation projects in California. We employ active and passive systems as the case warrants, automated sampling and detection (sensors), remote read-out,both factory and spray-applied methane barriers,and various gas collection-and air injection approaches; we utilize life-cycle cost analysis to determine the optimum approach. We utilize standard sources for cost estimating,augmented by our own cost data base from projects that we have supervised. Permits SCS is very well known to the principal environmental agencies in Southern California,including the OCHCA,the OCFA,the South Coast AQMD, and the Santa Ana Regional Water Quality Control Board. We have substantial experience in the City of Los Angeles methane zones,which may be applicable to Huntington Beach. We are also very experienced at dealing with city building departments,to obtain building,plumbing and electrical permits. Water Quality/Storm Water SCS regularly assists municipalities,private agencies,and other firms in determining appropriate storm water permit options and in preparing permit applications. Information required for theses applications includes analytical results from storm water samples,site maps, history of the site, and any leaks or spills of toxic or hazardous pollutants, meteorological and geologic/hydrogeologic data, etc. SCS also assists in negotiations with regulatory agencies, when needed. Construction Documents SCS prepares fully biddable and constructible documents for implementation of our recommended mitigation systems. We have prepared numerous sets of plans and specifications for public bid, utilizing city and county standard drawings and specifications where appropriate; SCS references the Standard Specifications(green book). SCS utilized AutoCADD and LDD software. Through our SCS Field Services division,we have great experience at actually building and operating the systems we design. This gives us an advantage in preparing plans and specifications that are cost-effective to construct and maintain. Huntington Beach Closed Landfills - Project Manager of the Closed Landfill Environmental Assessment and Response (CLEAR) program for Orange County Integrated Waste Management Department. Evaluations and investigations included two sites in Huntington Beach,i.e.,the former Gothard Street Refuse Disposal Station(also known as "Golden West Street Disposal Station No. 10" and as "County Dump Site No. 10") located near the intersection of Talbert Avenue and Golden West Street,and the former Cannery Street Refuse Disposal Station(also known as "Orange County Refuse Disposal Station No. 16" and `Edison PW) located near the intersection of 'x Magnolia Street(formerly Cannery Street)and Hamilton Avenue. Most of the latter site is currently Edison Park, operated and maintained by the City of Huntington Beach. For the former Gothard Street Refuse Disposal Station,the review included evaluation of an existing LFG control system on the south side of the County-owned portion of the site and plans to expand the system. The site was operated as a dump in the 1940s and 1950s. Work is being performed under a Brownftelds Assessment Demonstration Pilot Program Grant, funded by the U.S. Environmental Protection Agency's Brownfields Economic Development Initiative, out of Region D( in San Francisco, California. SCS fast reviewed several previous studies that had been performed at the site since 1992, the most important of which was the Solid Waste Assessment Test(SWAT). Sampling and analysis of soils during the investigation determined that heavy metal concentrations, a major concern at most bum dumps,were very low and did not meet the criteria to be classified as hazardous waste. Limited gas studies had also been performed at the landfill by other firms. ' SCS Engineers Project Elements— After reviewing available information about the site, SCS and the City met with each of the regulatory agencies to =. discuss concerns about the landfill. SCS prepared a workplan for a Phase II investigation, in accordance with guidance provided by the EPA and reviewed by several regulatory agencies, including EPA Region IX, Office of Quality Assurance; the Regional Water Quality Control Board, Santa Ana Region (RWQCB); and the Orange County Health Care Agency,Environmental Health(OCHCA). The lead environmental agency(LEA)for the Cerro Villa Landfill is the OCHCA The RWQCB was satisfied by results generated from past work indicating that the site did not represent a risk to groundwater, and issued a "no further action" letter to the City of Orange. The OCHCA was concerned that previous studies did not adequately address methane gas-related issues,especially the potential for gas to migrate to nearby residential areas. The OCHCA wanted a study that conformed to applicable state regulations for closed landfills(California Code of Regulations [CCR],Title 27,Division 2, Chapter 3, Subchapter 4,Article 6, Section 20925). The EPA was primarily interested in quality assurance/quality control (QA/QC)aspects of data collection and how data were to be used. The final approved workplan included the following tasks to be performed by SCS: • Installation of five perimeter probes around the site,placed between the existing landfill and surrounding residential communities located nearby. • Placement of four probes inside the landfill in areas of known refuse disposal. Probes are to be monitored for methane gas one time per month for 6 months. • If methane is detected at levels below 5 percent by volume, monitoring will continue on a quarterly basis for two quarters. SCS and SCS Field Services(SCS-FS)were contracted by the County on an emergency basis to design and install a control system. .x SCS and SCS-FS designed and built a system of 17 extraction wells connected by below-grade HD header piping. The wells were originally to be installed in soil around the landfill. Because of the location of the wells and the age of the landfill, it was believed that the extracted gas would be of poor quality(dilute with air). Further,a flare would create a visual impact on the nearby residences. Hence, an activated carbon adsorption system was . selected for treatment of collected gas. The system was designed,equipment and materials procured, and all installed in the field in 6 weeks. Difficult drilling conditions were encountered(boulders in gravel/cobble matrix). After several drilling refusals,most of the extraction wells were relocated into the refuse prism. As a result,a much higher Btu gas was collected. The disposal rate is approximately 4,000 tons per day,with remaining capacity sufficient to last approximately 20 years. LFG is recovered from both areas. The LFG recovery facility has the capacity to utilize 6,000 standard cubic feet per minute(scfin)of LFG for energy production and flaring of excess LFG. The gas system at the site consists of vertical extraction wells,a system of horizontal LFG collectors,a header,and a condensate management system. Due to surface air emissions in excess of air quality standards, Orange County retained SCS to identify and remediate these emissions,and to expand the existing LFG collection system. SCS Engineers Project Elements— SCS has provided as-needed LFG engineering services at all four major active landflls in the County. The site,a former hazardous waste landfill, was approved for development as an 810,000-square-foot shopping center (on top of the landfill),complete with access roads,paved parking,and underground utilities. The total landfill area encompasses about 157 acres. The average depth of waste fill is approximately 40 feet. The average methane concentration in LFG is 44 percent. -Gas monitoring at the site showed elevated levels of non-methane hydrocarbons. SCS Engineers Project Elements-- Our scope of services for this project was extensive. Our first task,the development of a conceptual LFG control and treatment system, included an LFG protection system for the shopping complex, continuous automatic monitoring for methane within the complex, an LFG gas collection system, an LFG off-site subsoil migration control system, design of an LFG condensate collection and disposal system, design of an LFG blower/flare station,and an LFG monitoring system. The blower/flare station included the following design features: • Three 750-scf n Lamson blowers. • One 1,500-scfm John Zink enclosed flare. • A flow metering system. The SCS system consisted of 8 extraction wells, 11 monitoring wells,two 500-cfin blowers,and one ground flare. The system, situated in an area between the OII Landfill and the shopping center, is unusual in that the extraction wells are installed in native soil rather than in refuse, as is typical practice. The City received formal site closure in 1972,and transferred ownership of the site to a general contractor. In 1974, the Newport Terrace Condominium complex was constructed,along with a passive LFG vent system that was later modified to an active LFG extraction system,including LFG extraction wells and a blower station. The Newport Terrace Condominium Home Owners Association has been responsible for operation and maintenance of the system since mid-1970s,though eventually it was discovered that LFG had migrated off site. In 2001, the California integrated Waste Management Board, at the request of the Orange County Health Care Agency, conducted a site investigation. SCS Engineers Project Elements— SCS is working with the City to develop its local Storm Water Quality Management Program (SQMP), which addresses public education, development construction, illicit connection/illicit discharge elimination, development planning, public agency activities, and industrial/commercial facilities control. Outdoor athletic facilities will be located in the northeast portion of the site,and indoor gymnasium and auditorium space will be developed. The development of CLAHS#II will require demolition of two partially constructed buildings on site: the former BLC Administration Building and Academy House #1. As discussed in the Remedial Investigation Report, these structures are-located within a geologic fault zone safety setback area. In addition,a portion of former Academy House#2 may require removal or modification to address seismic safety. All other remaining buildings (i e., Academy Houses#3 and #4 and the Triple Gym)that currently exist on site would be completed,and a new Student Union/Multipurpose Building and a new'S00-seat Academy would be constructed. As part of the Vista Hermosa Project,a natural park with recreational and educational features would be located on approximately 10 acres in the western portion of the site. The planned Vista Hermosa Park may include,among other things,native plant communities, a pond, a multi-use soccer field, picnic areas, and various play areas and trails,an outdoor amphitheater,restroom facilities,and an office totaling no more than 2,000 square feet. Meals are not billable to CITY, without prior written consent of CITY. C. BilliLig 1. All billing shall be done monthly in one-fifteenth-hour (0.15) increments and matched to an appropriate breakdown of the time that was taken to perform that work and who performed it. Minimum billing charges are unacceptable. CONSULTANT shall only charge for actual time spent. For example, minimum of 0.2 hours for phone calls or 0.4 hours for letters is unreasonable unless that is an accurate measure of time spent. 2. Each month's bill should include a total to date. That total should provide, at a glance, the total fees and costs incurred to date for the case or matter. 3. Telephone, cellular phone and postage charges are billable at actual cost. A copy of all service bills/costs should accompany the billing for each single item that exceeds Seventy-Five Dollars ($75.00). The fee for the sending or receiving of facsimiles shall not exceed Twenty-five Cents ($0.25) per page. CITY will not pay a fee or charge for telephone calls or facsimiles to CITY. Photocopier costs should be no more than the actual cost of duplication, or Ten Cents ($0.10) per page, whichever is less. 4. CITY will not pay for secretarial time or secretarial overtime. CITY will not pay for secretarial tasks or tasks that should be subsumed into CONSULTANT's overhead. For example, time spent for faxing, mailing, arranging for messengers and calendaring are not acceptable charges. 5. CITY will not pay for word processing charges. This includes per page or hourly charges. 6. CITY will not pay for billing or discussion of bills. If CITY has questions about billing or needs additional information on bills, that is not a chargeable event; CONSULTANT should respond without charging CITY for the time required. 7. CITY appreciates when CONSULTANT has researched an issue previously and uses that research on the present case. CITY has retained CONSULTANT because of its past experience. CONSULTANT shall not charge CITY for work it has done and billed another client for in the past. 8. Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 10. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. DBA SCS ENGINEERS FOR AS NEEDED ENVIRONMENTAL ENGINEERING SERVICES THIS AGREEMENT("Agreement")is made and entered into by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and STEARNS, CONRAD AND SCHMIDT CONSULTING ENGINEERS, INC., dba SCS ENGINEERS, a Virginia corporation,hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to�grovide environmental engineering services on an"as needed"basis; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in CITY's Request for Proposal dated September, 2003 and CONSULTANT's Proposal dated October 15, 2003, collectively attached hereto as Exhibit "A," and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the `PROJECT." In the event there are any conflicts or inconsistencies between this Agreement,the CITY's RFP,or the CONSULTANT's Proposal,the following order of precedence shall govern: (1)Agreement, (2)the CONSULTANT's Proposal, and(3)the CITY's RFP. 04agree/scs/7/I/04 1 CONSULTANT hereby designates Michael L. Leonard, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM; TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement by CITY (the "Commencement Date"). This Agreement shall expire five (5)year(s) from the Commencement Date unless sooner terminated as provided herein. All tasks specified in the Scope of Services shall be completed no later than five years from the Commencement Date of this Agreement. These times may be extended with the written permission of CITY. The time for performance of the tasks identified in the Scope of Services are generally to be shown in the Scope of Services. This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses,not to exceed One Million Dollars($1,000,000.00). 5. EXTRA WORK In the event CITY requires additional services not included in the Scope of Services or changes in the scope of services described in the Scope of Services CONSULTANT 04agree/s&7/1/04 2 will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall.be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit`B." 7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other E documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense, and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are 04agr=/scs/7/I104 3 applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000)per occurrence and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement;the certificate shall: 04agrz/s&7/1/04 4 A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner,the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without 04agree/scs/7/1/04 5 cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work,item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be 04agree/scs/7/1/04 7 unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for 04agree/scs/7/1/04 8 . ............ ...................... ................................ SURVIVAL Terms and conditions of this Agreement,which by their sense and context survive the expiration or termination of this Agreement shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This document constitutes a proposal by SCS Engineers(SCS)to assist the City in undertaking that work. The proposal is based on a Request for Proposals(RFP),dated September 3,2003. SCS is well qualified to perform the services required by the City,and has assembled a team of professionals with extensive experience in naturally occurring gas anomaly/odor control,passive/active gas collection systems, storm water quality and management, wetlands, monitoring and inspection of facilities, studies and reports, grant applications,engineering,permitting,and construction support services. CORPORATE BACKGROUND SCS is a national environmental engineering company (corporation) specializing in solid and hazardous waste services. The firm, which is employee-owned, currently maintains 35 regional offices with more than 400 employees. Our corporate headquarters is located in Long Beach,California,adjacent to the Long Beach regional office. Resources for the project are immediately available from this Long Beach locale. Since our foundation in 1970, SCS has provided services similar to those requested by the City at hundreds of sites and for dozens of municipalities across the nation. SCS personnel who provide these services have an exceptional understanding of the work,as well as the specific needs of Huntington Beach. SCS specializes in the following areas of environmental and solid waste engineering: • Field investigations. • Routine methane gas monitoring. • Maintenance,inspection,and operation of active gas collection systems. • Landfill gas monitoring. • Landfill gas collection and recovery. • Landfill gas investigations and assessments. • Protection of structures from subsurface gases. r� h' • Storm water management. • Wetlands. APPROACH The RFP lists only a general range of services,not specific to any task or site. We will describe briefly herein our general approach to performing these services. Monitoring and inspections SCS has performed literally thousands of methane gas investigations and ongoing monitoring at existing facilities. We utilize a combination of portable instrumentation (typically "GEM" and portable flame ionization detectors), mobile labs, and sampling apparatus, depending on the nature of the work. We use both conventional drilling and direct push technology to obtain subsurface vapor samples. We have an inventory of ambient air sampling equipment and weather monitors for collecting and analyzing toxic air contaminants, and for gathering odor samples. SCS also uses various computerized dispersion modelling programs for determining downwind exposure. We have field personnel who.are dedicated full-time to these ongoing monitoring/maintenance efforts, and have vehicle, equipment and communications networks to respond to emergencies on a 24/7 basis. All are thoroughly trained in Health and Safety and Emergency Response skills. Studies and Reports SCS routinely prepares investigation and operation/maintenance(O&M)reports for clients to submit to regulatory agencies, including the Orange County Health Care Agency, the Orange County Fire Authority, the California Integrated Waste Management Board(C1WMB)and various water quality boards. We currently prepare an average of 200 monthly and quarterly reports on gas-related monitoring and maintenance(about half in California). Grant Applications SCS has been assisting public and private clients with grant applications in the areas of Brownfields redevelopment and recycling support. Sometimes SCS prepares the application, and sometimes we provide technical input to a city's on-board grant writer or consultant. Grant applications in the methane arena are rare, although SCS has had some success with EPA's Landfill Methane Outreach Program(LMOP). Preliminary Engineering Based on our broad experience, we know what works and what doesn't, and can quickly focus on practical alternatives for solving methane problems,whether the source is from a landfill,natural methane(oil and gas fields) or biodegradation from hydrocarbon spills. We are familiar with all practical technologies for gas mitigation and monitoring,and have completed literally hundreds of methane mitigation projects in California. We employ active and passive systems as the case warrants, automated sampling and detection (sensors), remote read-out,both factory and spray-applied methane barriers,and various gas collection and air injection approaches; we utilize life-cycle cost analysis to determine the optimum approach. We utilize standard sources for cost estimating,augmented by our own cost data base from projects that we have supervised. Permits SCS is very well known to the principal environmental agencies in Southern California, including the OCHCA,the OCFA, the South Coast AQMD, and the Santa Ana Regional Water Quality Control Board. We have substantial experience in the City of Los Angeles methane zones,which may be applicable to Huntington Beach. We are also very experienced at dealing with city building departments,to obtain building,plumbing and electrical permits. Water Quality/Stone Water SCS regularly assists municipalities,private agencies,and other firms in determining appropriate storm water permit Options and in preparing permit applications. Information required for theses applications includes analytical results from storm water samples, site maps, history of the site, and any leaks or spills of toxic or hazardous pollutants, meteorological and geologic/hydrogeologic data, etc. SCS also assists in negotiations with regulatory agencies, when needed. Construction Documents SCS prepares fully biddable and constructible documents for implementation of our recommended mitigation systems. We have prepared numerous sets of plans and specifications for public bid, utilizing city and county standard drawings and specifications where appropriate; SCS references the Standard Specifications(green book). SCS utilized AutoCADD and LDD software. Through our SCS Field Services division,we have great experience at actually building and operating the systems we design. This gives us an advantage in preparing plans and specifications that are cost-effective to construct and maintain. As evidenced on Table 1, SCS personnel are well prepared to provide the City with the full range of engineering services requested in the RFP. Our proposed Project Manager,Mr.Mike Leonard,has over 30 years of applied civil and environmental engineering experience directly related to the work required by the City. In particular,his directly relevant experience includes: Naturally Occurring Gas Anomaly/Odor Control-Project Manager for the Central Los Angeles High School#11 (former Belmont Learning Center) site mitigation project. Responsible for evaluation of alternative methods to mitigate naturally occurring methane,VOCs,and hydrogen sulfide generated from oil deposits underlying the site, and development of the final construction plans and specifications for the remedial design. Design concepts include the use of geomembranes,sub-slab air sweep assisted venting systems,passive venting, and dispersion layers under landscape areas. Huntington Beach Closed Landfills - Project Manager of the Closed Landfill Environmental Assessment and Response (CLEAR) program for Orange County Integrated Waste Management Department. Evaluations and investigations included two sites in Huntington Beach,i.e.,the former Gothard Street Refuse Disposal Station(also known as "Golden West Street Disposal Station No. 10" and as "County Dump Site No. 10") located near the intersection of Talbert Avenue and Golden West Street,and the former Cannery Street Refuse Disposal Station(also known as "Orange County Refuse Disposal Station No. 16" and "Edison Pit") located near the intersection of r A; Magnolia Street(formerly Cannery Street)and Hamilton Avenue. Most of the latter site is currently Edison Park, operated and maintained by the City of Huntington Beach. The investigations included a detailed records search regarding the history of disposal, current site and surrounding land uses, previous field investigations and environmental reports; completion of a limited field investigation to evaluate refuse prism cover, refuse limits and . depth, and landfill gas(LFG)emissions and migration. For the former Gothard Street Refuse Disposal Station, the review included evaluation of an existing LFG control system on the south side of the County-owned portion of the site and plans to expand the system. Passive/Active Gas Collection Systems - Project Manager for evaluation and/or design of passive gas collection systems for multiple sites, including the former Belmont Learning Center in Los Angeles; a proposed commercial fishing village in Honolulu, Hawaii, for the Hawaii DOT; and the McColl Superfund Landfill site located in Fullerton, California. Active gas collection projects in southern California in which he has been extensively involved include LFG collection systems for El Sobrante MSW Landfill located in west Riverside County, the proposed Mesquite Regional Landfill in Imperial County,and the Olinda Alpha Landfill--Orange County's major MSW disposal facility serving the North County. Monitoring and Inspections of Facilities - Mr. Leonard has prepared plans and procedures for monitoring and inspection of various types of properties, including industrial, commercial, and schools for compliance with regulatory agency requirements. Industrial facilities have included railroad, oil refinery, mining, chemical plants and landfills. He has prepared and supervised implementation of Operations, Maintenance, and Monitoring Plans for these facilities. Studies and Reports- Mr. Leonard has authored a full range of environmental reports, including Phase 1 and 2 Environmental Assessments and Investigations (Caltrans) BLM, Mortgage Lender, School District and others), CERCLA Superfund Remedial Investigation/Feasibility Studies and Remedial Action Plans (EPA), Quarterly Ground Water Quality Reports(RWQCB), Air Quality monitoring reports(South Coast Air Quality Management District), Remedial Action Workplans (DTSC), in addition to reports on many other environmental studies completed for private owners and government agencies. Preliminary Engineering - Mr. Leonard has performed and supervised development of preliminary engineering .plans for various civil and environmental projects. Permits- Mr. Leonard has completed the permitting process for environmental and civil construction projects of many types. He has assisted in acquisition of such permits from County and City Building and Safety Departments, South Coast Air Quality Management District, Health Departments, the Integrated Waste Management Board, Orange County Flood Control District,Orange County Sanitation,Regional Water Quality Control Boards,among others. Construction Documents,Bidding Stage and Construction Management-Mr.Leonard has extensive experience in construction support services. He served as the on-site Construction Manager at the Olinda Alpha Landfill from Y. 1997 to 2000,responsible for over$15 million of new facilities construction. The facilities included paved access <k,•, roads, new scales, office buildings, 100,000-gallon water storage tank and distribution system,over 5 million cubic yards of earthworks, a complete perimeter drainage system and-many other smaller construction projects. He supervised preparation of the full set of construction bid documents for several major projects completed at the El Sobrante Landfill,for a major demolition project at the Bakersfield BNSF railyard. Project Profiles Project: Cerro Villa Landfill-Brownfields Economic Development Initiative Amount: S64,000 Dates: 2002 to 2003 Client City of Orange,Department of Community and Library Services Address: 230 E.Chapman Avenue,Orange,California 92866 Contact Pamela Galera,Project Development Coordinator,(714)744-5597 Personnel: M.Maggio,R.Huff;M.Geyer,K.Lister SCS provided environmental consulting and assessment services for the City of Orange in a process designed to convert a past burn dump/landfill into a new munkipal park. The site was operated as a dump in the 1940s and 1950s. Work is being performed under a Brownfields Assessment Demonstration Pilot Program Grant, fimded by the U.S. Environmental Protection Agency's Brownfields Economic Development Initiative, out of Region IX in San Francisco, California. SCS first reviewed several previous studies that had been performed at the site since 1992, the most important of which was the Solid Waste Assessment Test(SWAT). Sampling and analysis of soils during the investigation determined that heavy metal concentrations, a major concern at most bum dumps, were very low and did not meet the criteria to be classified as hazardous waste. Limited gas studies had also been performed at the landfill by other firms. SCS Engineers Project Elements— After reviewing available information about the site, SCS and the City met with each of the regulatory agencies to discuss concerns about the landfill. SCS prepared a workplan for a Phase II investigation, is accordance with guidance provided by the EPA and reviewed by several regulatory agencies, including EPA Region IX, Office of Quality Assurance; the Regional Water Quality Control Board, Santa Ana Region (RWQCB); and the Orange County Health Care Agency,Environmental Health(OCHCA). The lead environmental agency(LEA)for the Cerro Villa Landfill is the OCHCA. The RWQCB was satisfied by results generated from past work indicating that the site did not represent a risk to isal groundwater, and issued a "no further action" letter to the City of Orange. The OCHCA was concerned that previous studies did not adequately address methane gas-related issues,especially the potential-for gas to migrate to nearby residential areas. The OCHCA wanted a study that conformed to applicable state regulations for closed landfills (California Code of Regulations [CCR], Title 27,Division 2, Chapter 3, Subchapter 4, Article 6, Section 20925). The EPA was primarily interested in quality assurance/quality control (QA/QC) aspects of data collection and how data were to be used. The final approved workplan included the following tasks to be performed by SCS: • Installation of five perimeter probes around the site,placed between the existing landfill and surrounding residential communities located nearby. 3 • Placement of four probes inside the landfill in areas of known refuse disposal. Probes are to be monitored for methane gas one time per month for 6 months. • If methane is detected at levels below 5 percent by volume, monitoring will continue on a quarterly basis for two quarters. In 1995, methane levels were detected above the LEL in probes located in the residential area across the street from the landfill(about 200 feet from refuse). SCS and SCS Field Services(SCS-FS)were contracted by the County on an emergency basis to design and Install a control system. h_ SCS and SCS-FS designed and built a system of 17 extraction wells connected by below-grade HDPE header piping. The wells were originally to be installed in soil around the landfill. Because of the location of the wells and the age of the landfill, it was believed that the extracted gas would be of poor quality(dilute with air). Further,a flare would create a visual impact on the nearby residences. Hence, an activated carbon adsorption system was . selected for treatment of collected gas. The system was designed, equipment and materials procured, and all installed in the field in 6 weeks. Difficult drilling conditions were encountered(boulders in gravel/cobble matrix). After several drilling refusals, most of the extraction wells were relocated into the refuse prism. As a result,a much higher Btu gas was collected. Within about 6 weeks of startup, methane levels in probes along the residential community had declined to below the LEL(S percent by volume). -------------------------------------------------------------------------------- Project: Olinda/Olinda Alpha Landfill-LFG Remediation Amount: $1.5 Million Dates: 19%to 2003 Client: County of Orange EMA/IWMD Address: 302 N.Flower Street,Suite 400,Santa Ana,California 92703 Contact: Mohamed Salam,(714)8344065 Personnel: M.Beizer,S.Kothary,M.Leonard The Olinda/Olinda Alpha Landfill is comprised of two separate refuse disposal areas, located in adjacent canyons. The disposal rate is approximately 4,000 tons per day,with remaining capacity sufficient to last approximately 20 years. LFG is recovered from both areas. The LFG recovery facility has the capacity to utilize 6,000 standard cubic 1; feet per minute(scfm)of LFG for energy production and flaring of excess LFG. The gas system at the site consists of vertical extraction wells,a system of horizontal LFG collectors,a header,and a condensate management system. Due to surface air emissions in excess of air quality standards, Orange County retained SCS to identify and remediate these emissions,and to expand the existing LFG collection system.' SCS Engineers Project Elements— SCS has provided as-needed LFG engineering services at all four major active landfills in the County. Work that we completed at Olinda/Olinda Alpha is representative of services that were also provided at the Frank R. Bowerman Landfill,the Prima Deshecha Landfill,and the Santiago Canyon Landfill. At Olinda/Olinda Alpha,we: • Identified and remediated"hot spots"(areas where surface emissions exceeded air quality standards). i Reviewed monitoring reports,operations and maintenance data,and well field monitoring data. 0 Interviewed landfill personnel and determined that chronic exceedances were generally found at or near the refuse/native soil interface,along surface drainage channels, and/or in areas with sufficient collection facilities. • Prepared Master Plan and analyzed well field efficiency. Modifications included extraction wells, horizontal extraction trenches, laterals, and headers. SCS assisted the County in receiving bids, and provided construction management services. The system is now in operation. Additional monitoring probes were designed and installed to enhance perimeter protection at the site. The site,a former hazardous waste landfill, was approved for development as an 810,000-square-foot shopping center (on top of the landfill),complete with access roads,paved parking,and underground utilities. The total landfill area encompasses about 157 acres. The average depth of waste fill is approximately 40 feet. The average methane concentration in LFG is 44 percent. 'Gas monitoring at the site showed elevated levels of non-methane hydrocarbons. SCS Engineers Project Elements-- Our scope of services for this project was extensive. Our first task,the development of a conceptual LFG control and treatment system, included an LFG protection system for the shopping complex, continuous automatic monitoring for methane within the complex, an LFG gas collection system, an LFG off-site subsoil migration control system, design of an LFG condensate collection and disposal system, design of an LFG blowerlflare station,and an LFG monitoring system. The SCS system consisted of 8 extraction wells, 11 monitoring wells,two 500-cfm blowers,and one ground flare. The system, situated in an area between the 0I1 Landfill and the shopping center, is unusual in that the _..z extraction wells are installed in native soil rather than in refuse, as is typical practice. The extraction wells are comprised of two multi-depth casings, one shallow casing to intercept near-surface gas, and one deep casing to collect petroleum hydrocarbon (thermogenic) gas migrating at depth. Monitoring wells, located on.the shopping center property,allow observation of system performance In reducing gas levels encroaching on the property. In addition to the extraction system, SCS designed and oversaw installation of protective membrane barrier systems under the buildings in the shopping center. The systems typically consisted of 60-miI high-density polyethylene(HDPE)synthetic liner,protective soil and geotextile layers,a subfloor passive venting system(gravel bedding and PVC pipe network), as well as automated sensors (leak detectors) above the membranes. CLAHS#11, as planned,will consist of approximately 310,000 square feet of floor area,including 109 classrooms located in four learning academies. Outdoor athletic facilities will be located in the northeast portion of the site, and indoor gymnasium and auditorium space will be developed. The development of CLAHS411 will require demolition of two partially constructed buildings on site: the former BLC Administration Building and Academy House #1. As discussed in the Remedial Investigation Report, these structures are.located within a geologic fault zone safety setback area. In addition,a portion of former Academy House#2 may require removal or modification to address seismic safety. All other remaining buildings (i.e., Academy Rouses#3 and#4 and the Triple Gym)that currently exist on site would be completed,and a new Student Union/Multipurpose Building and a new 500-seat Academy would be constructed. As part of the Vista Hermosa Project,a natural park with recreational and educational features would be located on approximately 10 acres in the western portion of the site. The planned Vista Hermosa Park may include, among other things,native plant communities, apond, amulti-use soccer field, picnic areas, and various play areas and trails,an outdoor amphitheater,restroom facilities,and an office totaling no more than 2,000 square feet. Raymond H.Huff, R.E.A., MBA,has 12 years of experience in environmental consulting,all with SCS. He has been involved in numerous projects related to solid waste management and compliance with solid waste regulations, including landfill gas surface and perimeter monitoring, landfill gas assessment, and perimeter probe design and installation. He has conducted investigations to define the migration and movement of landfill gas through subsurface soil, and develop mitigation schemes to protect nearby structures from hazardous gas accumulation. These structures included sub-foundation membranes,monitoring and detection equipment(such as alarm systems), and ventilation of spaces where potential gas accumulation could occur. Meals are not billable to CITY, without prior written consent of CITY. C. B'IMing 1. All billing shall be done monthly in one-tenth-hour (0.10) increments and matched to an appropriate breakdown of the time that was taken to perform that work and who performed it. Minimum billing charges are unacceptable. CONSULTANT shall only charge for actual time spent. For example, minimum of 0.2 hours for phone calls or 0.4 hours for. letters is unreasonable unless that is an accurate measure of time spent. 2. Each month's bill should include a total to date. That total should provide,at a glance,the total fees and costs incurred to date for the case or matter. 1 3. Telephone, cellular phone and postage charges are billable at actual cost. A copy of all service bills/costs should accompany the billing for each single item that exceeds Seventy-Five Dollars($75,00). The fee for the sending or receiving of facsimiles shall not exceed Twenty-five Cents ($0.25)per page. CITY will not pay a fee or charge for telephone calls or facsimiles to CITY. 'EXHIBIT "B" Payment Schedule(Hourly Payment) 4. CITY will not pay for secretarial time or secretarial overtime. CITY will not pay for secretarial tasks or tasks that should be subsumed into CONSULTANT's overhead. For example, time spent for faxing, mailing, arranging for messengers and calendaring,are not acceptable charges. 5. CITY will not pay for word processing charges. This includes per page or hourly charges. b. CITY will not pay for billing or discussion of bills. If CITY has questions about billing or needs additional information on bills,that is not a chargeable event;CONSULTANT should respond without charging CITY for the time required. 7. CITY appreciates when CONSULTANT has researched an issue previously and-uses that research on the present case. CITY has retained CONSULTANT because of its past experience. CONSULTANT shall not charge CITY for work it has done and billed another client for in the past. 8_ Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product,CITY shall identify specific requirements for satisfactory completion. 9. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such invoice shall: A) Reference this Agreement; B) Describe the services performed; C) Show the total amount of the payment due; D) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement;and E) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice,if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement,CITY shall approve the invoice,in which event payment shall be made within thirty(30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice,CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in,or has been brought into compliance,or until this Agreement has expired or is terminated as provided herein. 10. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above,and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
