THIS,AGREEMENT, made and entered into: this day

RUM",1ING ON BEACH, a municipal corporation of the State of
Cal.fornia, hereinaftQr referred to as "CITY, " and STV/SEELYE
STEVENSON VALUE & MECHT, a New York corporation, hereinafter
referred to as "CONITPICTOR."
WHEREAS, CITY desires to eroaae tho services of an ena4.neer-
ing consultant to p. epdre all documents required to solicit
bids and award a contract for the reactivation of the pool and
fountain system at the Central Library ir. th(y City of

3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services
of the CONTRACTOR, are to commence :Aa soor as practicable after
the execution of this Agreema nt and all tasks specified in
Exhibit "A" shall he completed no latter than two months i'ollowing
the Notice to Proceed. These times may be extended with the written
permission of the CITY. The '_i,ne for performance of the tasks identified
in Exhibit "A" are generally to be as shown in the Design Schedule
set forth in Exhibit "B", artacherOl hereto and incorporated herein
by this reference. This schedule -nay he amendei to Benefit the DRO E-T

A. CONTRACTOP shall Be Pntitle-! to progr'`'ss pay-ments

cal memo and report prepared by CONTPACTCR shall he submitted to
the CITY to demonstrate progress toward completion of tasks. In
the event CITY rejects or has co=, ents on any such product, CITY

shall identify specific requirements for satisfactory comple-
tion. Any such product which has not been formally accepted or
rejected by CITY shall be deemed accepted.
C. The CCNTRACTCF: shall submit to the CITY an invoice
for each progress pa. ment due. Such invoice shall:
i) Reference this Agreement;
2) Describe the services performed;
3) Sl-ow the total amount of the payment due;
4) It lude a certification by a princixal member
of the CO.NTRACTCP"= firr, that the wor;_ has

been performed in accordance with the srovi-
sions of this Agreement; and
� ) For all pay=rents include an estimrte of the
percentac:e of work comFleted.
Upon sul.mission of any such invoice, if CI rY is
satisfied that CONTFACTCI' is makinc satin°ar_tcry progress toward
completion cf tasks in accordance witl, this Agreement, CITY
shall promptly approve the invoice, in which event payment shall
be made within thirty (3C) days ' cf receipt of the invoice ';y
CITY. Such ar,,Froval shall riot Lie °;trreasn — o it',I;ell. If
CITY does nct approve an invoice, CITY shall notify CCI,TF.AC•
in writing of the reasons for non-approval , within seven (7 )
calendar days of receipt of the invoice, and the schedule of
performance set forth in Exhibit "A" shall le s4sl. ended until
the parties agree that past i�erformance 1-.y C:ONTPA.:.TOF is i

terminated pursuant to Section, 12 hereof.
D. Any Millings for extra work or additional
services authorized by the CITY shall be invoiced separ¢tely to
the CITY. Such invoice :hall contain all of the information
required under paragraph GC, and in addition shall list the
hours expended and hourly- rate charged for such time. Such
invoices shall be approv-d by CITY if the work performed is in

accordance with the extra work or additional services requested,
and if CITY is satisfied that the statement of hours worked and
costs incurred is accurate. Such approval stall not be unrea-
sonably w'.thheld. Any di-nute between the parties concern4ng
payment of such an invoice shall be treated as separate and
apart from the ongoing performance of the remainder of this
Agreement.

any, or CITY, or the property of any agent or employee of
CONTRACTOR, sul,contractor, if any, or CITY), regardless of the
passive or act.J .,e negligence of CITY, except where such liabil-
ity, dazages, costs, lossel-, claizs or expanses are caused by
the sole negligence or willful misconduct of CITY or any of its
agents or employees including negligent omissions or commissions
of CITE.', its agents or employees, in connection with the general
supervision or direction of the work to be performed hereunder.
9. WORKERS' COMPENSATION
CONTRACTOR shall comply with all of the provisions of
the Workers ' Compensation Insurance and Safety Acts of the State
of California, the applicable provisions of Division 4 and 5 of
the California Labor Code and all amendments thereto; and all
similar state or federal acts or laws appoicable ; and shall
indemnify, defend and void harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and
jL3gments of ev ory nature and description, including attorney's
fees and costs presented, brought or recovered against CITY, for
or on account of any liability under any of said acts which may
be incurred by reason of any work to be performer? by CONTPACTOR
under this Agreement.
10. INSCiEKNC'E
in addition to the Workers ' Corpensatioa Insurance and
CGNTRACTOR'S covenant to inderni fy CITY, CCNTRAC".TCR shall obtain
and furnish to CITY thr following insurance policies covering
the PROJECT:
A. General Liability insuranco. A policy of general
public liability insurance, including mc" or vehicle
coverage . Said policy shall indemnify CONTRACTOR, its
officers, agents and employees, while actino within the
scope of their duties, against any and all claims of
arising out of or in connection with the PROJECT, and
shall provide coverage in not less than the following
amount: combined single limit bodily injury or
property damage of t1 ,030,000 per occurrence. Said
policy shall name CITY, its officers, agents and
employees as Additional Insureds, and shall
specifically provide that any other insurance coverage

which may be applicable to the PROJECT shall be deemed
excess coverage and that CONTRACTOR'S insurance shall
he primary.
B. Errccs and Cmissions Insurance. CONTRACTOR shall
acquire ar errors and omissions insurance policy
covering the work performed by it hereunder. Said
policy shall provide coverage for CONTRACTOR'S errors
and omissions in an araclant, of not less than $250,000.
Certificates of Insurance for said policies shall be
approved in writing by the City Attorney prior to the comnence-
ment of any work hereunder. All Certificates of Insurance (and
the policies of insurance or endorsements thereof) shall provide
that any such Certificates and polizies shall not be cancelled
or modified withcut thirty ( K) .'a-Ys ' r�rir;r written notice to
CITY.

12. TERM 114ATION OF' A.-,FE1-JMFNT
All work required hereunder shall tie performed in a
lq7ood and workmanlike manner. CITY may terminate CONTPACT01- 'S
services hereunder at any time with or w,thout cause, and
whether or not PROJECT is Fully -omplete. Any termination rf
this Agreement by CITY shall be made in writing through the City
Engineer , notice of which shall he deliverers to CONTRACTOR as
provided in Section 16 herein,

13. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the
supervisory work hereunder shall not be delegated by CONTRACTOP,
to auy other person or entity without the consent of CITY.
14. COPYRIGHTS/PATENTS
CONTRACTOR shall not apply for a patent or copyright :an
any item or material produced as a result of this Agreement, as
set forth in 41 CFP 1-9.1 .
15. CITY EMPLOYEES AND FFICIALS
CONTRACTOR shall employ no CITY official nor any
regular CT_•TY employee ir. the work, performed pursuant to this
Agreement. No officer or employee of CITY shall have any
financial interest ;.: *:his Agreement in violation of California
Government Code Sections i09C et seq.
16. NOTICES
Any notices or special instructions required to be
given in writing under this Agreement shai' be given either by
personal delivery to C()t;TFACT0F'S arent tag dt-si-ni t?id in
Section I hereinabovej or to CITY'S Pirector tf Public Works, as
the situation shall warrant. , or Ly enclosing the same in a
seale<i envelope, postage prepaid, and depositing the saar;e in the

- Removal of the closed laop small system serving the interior
pools/fountains,
s - Reinstallation of necessary fountain heads, motors, pumps, and
appurtenances, including pool lighting components,
- Restoration,- of filters to service, including automatic chemical

- Restoration of the linings of seven exterior pools,
- Preparation of a preliminary report for review prior to preparing

of successful pro ects for a rur4�er of School districts, universities,
research laboratories, computer centers, off;ce buildings, parking structures
and a couple of noteworthy t.•ojek:ts for the Los Angeles Departs%,nt of ?arks
and Recreation: the tsar vista Recreation venter, and the South Park Recreation
�. Center. The design for tFe_e projects were accomplisheJ by a staff of
registered professional engineers in each discipline.
In recent years, the analysis of energy requirements has oecome an important
consideration in the design, of new facilities and in the renovation of
existing structures. SSV&K's experience includes numerous studies and
<�salyses of life cycle costs, alternate building and energy systems, and

modified in the filter room to activate five of the sir
interior pocllfauntains by installing a small
pump%filter closed loop system.

In visiting the jon site it was noted that a nunb er of the ,aols lack

In order to fully addr` s all aspects, We have r.ade arran ,-ment.s with 1
Mr. Bruce Ptolemy, the urigir;dl fountain designer who si ne-' the original
Imperial :ronzel i to Co. drawings, to act as our adviser in the r,ork
while correcting the Ieficiencies.
Restoration work on existing installations is the greatest challan•,e
a Fountain Consultant encounters due to site and bud�ut limitati ,ns.
I have done many such pro4�ects over the years. The most recent is just
being completed for the City of San Diego. u:.rton Plaza Fountain is a
75 year old installation that was completely rerorated. My contract is
with Centre City Devele-ment Corp., Mr. Al Mercer, Senior Planner,
(619) 236-7101.
The schedule as outlined in Exhibit "A" is satisfactory however a little
more time would help insure for any unforseen delays.
I, Drew Imler would be the Project Engineer, Douglas baler, Technical
Assistant and CAD Operator as drawings would be on our CAD system,
Our Fixed Maximum Fee would be $33,000.00 . The Hourly Rate for Project
Engineer is $65.00 and Technical Assistant is $35.OG . We have made
arrangements with Registered Mechanical and Electrical Engineers to have
the drawings reviewed and stamped.

Regarding your insurance requirements, my Insurance Broker, Mr: Larry
Fills of R.D. Crowell Insurance Agency has been in contact with the City
regarding paragraph "8. Indemnification, Defense, Hold Harniess". The
language I understand is not acceptable to any insurance co. and that the
City Council is to review this requirement in early January. Therefore
this proposal is contingent upon obtaining mutually agreed upon insurance
language and could rewire an increase of fees.

section 5.1-8, 1 will apprEciate lour written agreement to an
exception to the insuc...ica certificate requirements for the
consultaat agreemient with S.T.V. for the Central Library
Pool/Fountain R ;!activation. This contract was awarded by the
City Council on January 6, 1986.
The contractor has executed the contract, prepared by the City
Attorney's office, and furnished a certificate of general
liability insurance in the amounts of $500,000 with an excess
umbrella of $1,000,000, together with statutory worker's
compensation. This certificate and the contract have been
approved by the City Attorney's office, and the certificate
has the hold harmless agreement executed. A copy is attached
for your, information.
The exception requested is to agree to accept the c,artificate
of professional liability which is on the Acord form. This
certificate is in the amount of $1 ,000,000# while the contract
requires $250,000. The standard cancellation clause was not
amended, and the insurance ccmpany has stated it will not
change the wording, thus it is not acceptable to the City
Attorney. I was also informed by the c,znLract3r that their
policy deductible is $250,000, equivalent to our requirement.
Therefore, I will appreciate your signifying agreement to
accept the Acocd Certificate as submitted by signing below,
and I will attach a copy to the contract for City execution.
