corporation, hereinafter referred to as CITY, and TELEDYNE GEOTRONICS, a
Division of Teledyne Industries, Inc., a California Corpora;-Ion , hereinafter referred to
as CONSULTANT,
RF_ CITALS:
1. The City Council of CITY desires ;o engage the -cervices of a topographic a
mapping service for the performance of certain mapping services for and on behalf of
CITY; and
2. The services to be performed for CITY as more specifically described in
The Aequest for Proposal for TOPOGRAPHICAL MAPPING , hereinafter referred to as
PROJECT. Said proposal is attached hereto, mar(ed Exhibit "A", and by this reference
incorporated herein and made a part hereof; and
3. CONSULTANT agrees to perform the services necessary for this

5. CIT', hereby employs CONSULTANT to perform the following services as
required by PROJECT and CONSULTANT agrees to provide those services in accordance
with recognized standards of the engineerir,- pro f,.ssion; and
6. No official or employee of CITY has a financial interest in the subject
matter of this agreement contemplated within -the provisions of California Government
Code Sections 1090-1092; and
7. CONSULTANT warrants that it s'.rail perform the services herein
contemplated in compliance with the California laws related to minimum hours and wages
(Cr';fornia Labor Code Section 1 171 et seq.), occupational hec Ith and safety (29 U.S.C.
651 et seq. and the California Labor Code Section 6300 et seq.), and fair employment
practicc-s (29 U.S.C. Section 201 et seq. and California Lab.-)r Code Section 1410 et seq.)

8. The parties hereto desire to set forth their rights, duties and liabilities in
connEwtion with the services to be performed ender this PROJECT,
NOW, THEREFORE, it is agreed by CITY cnd CONSULTAN i as follows:
SECTION 1, GENERAL DESCRIPTION OF WORK TO 3F_ DONE:
(-.J.) CONSULTANT shaM provide all engineering Services as described in
Exhibit "Atl including, but not limited to surveys, investigo;ions, consultations and advice,
preparation of detail design, construction plans, estimates of quantities and costs,
preparation of the spe-*(al provisions and any other miscellaneous engineering services
required to permit CITY to advertise for bids for construction PROAECT.
(b) CONSULTANT shall attend and assist in oil coordination meetinas.
(c) CONSULTANT shall designate a registered civil engineer who shall
represent it and be its sole contact and agent in all consultations with CITY during
-fulfillment of the terms of this agreement.

SECTION 2. DISPOSITION OF PLANS, ESTIMATES AND OTHER
DOCUMENTS:
CONSULTANT agrees thut all or"ginal drawings, reports, both field and office
noitzs, calculations, maps and other documents, shall be turned over to CITY upon
completion of PROJECT.
SECTION 3. DISCRIMINATION:
CONSULTANT agrees that ir+ +he performance of i;•ie terms of this cgreement;
it will not engage in, nor permit its agents to engage in, discrimination in err,oloyment of
persons because of race, religious creed, color, national origin, ancestry, physical
handicc,a, medical condition, marital status. or sex of Such persons, except as provided in
Section 1420. Violation of this provision may result it the imposition of penalties referred
to in Division 2, Part 7, Chapter I of the California Labor Code.
SECTION 4. INDEMNIFICATION, DEFENSE, HOLD HARMLESS:
CONSULTANT hereby agrees to defend, indemnify and hold harmless CITY, Its =
officers, agents and employees, from and against any and all liability, damages, costs,
losses, claims and expenses, however caused, resulting directly or indirectly from or
connected with CONSULTANT'S performance of tHi s agreement (including but not
limited to such liability, cost, damage, loss, claim, or expense arising from the death or
injury to an agent or employee of CONSULTANT, subcontractor, or of CITY or damage to
the property of CONSULTANT, subcontractor, or of CITY or of any agent or employee of
CONSULTANT, subcontractor, or of CITY), except where such liability, damages, costs,
losses, claims or expenses are ^aused solely by the negligent or wrongful acts of CITY or
any of its agents or employees including negligent omissions or commissions of CITY, its
agents or employees, in connection with the general supervision or direction of the work
to be performed herolinder.

SECTION 5. WORKERS' COMPENSATION:
CONSULTANT shall comply with all of the provisions of the Workers'
Compensdion Insurance and Safety Acts of the State of California, the applicable
provisions of Division 4 and of the California Labor Code and all amendments thereto;
and all similar State or Federal c,�ts or laws applicable; and shall indemnify, defend and
hold harmless CITY from and against all claims, demands, payments, suits, actions,
proceedings and judgments of every nature and description, including attorney's fees and
costs, presented, brcught or recovered against CITY, for or on account of any liability
under any of said acts which may be incurred by reason of any work to be performed by
CONSULTANT under this agreement.
SECTION 6. INSURANCE:
CONSULTANT agrees to furnish to CITY and maintain in force until the
completion of PROJECT a general liability insurance policy in which CITY is named as on
additional insured. The policy shall insure CITY, its officers and employees, while acting
within the scope of their duties, against all Claims arising out of or in connection with
PROJECT. The policy shall provide 'for not less than the following amounts: Combir4d
single limit bodily injury and/or property damage of $300,000 per occurrence. Such policy
of insurance shall specifically provide that any other insurance carried by CITY which
may be applicable shall be deemed excess and CONSULTANT'S insurance primary despite
any conflicting provisicas in CONSULTANT'S policy to the contrary.
SECTION 7. INDEPENDENT CONTRACTOR:
It is further und,,:,Mood ani agreed that CONSULTANT is, and shall be, acting
at all times as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its expense, and be responcib;e for any and 01 payment of

income tax, social security, state disabil'�'.y insurance compensation, unemployment
compensation and other payroll deductions for CONSULTANT and its officers, agents and
employees and all business licenses, if any, in connection with the services to be
performed herL;k;nder.
SEC i,JN 8. CITY STAF - ASSISTANCE:
CITY shall assign a staff coordinator to work directly wiih CONSULTANT in
connection with the work of this agreement.
SECTION 9. PROVISION FOR PAYMENT:
In consideration of the performance of the abe , described engineering
services, CITY agrees to pay CONSULTANT an amount be i upon the fee schedule
breakdown set forth below:.

Payment for engineering services shall be as set forth in this agreement and
outlined in the Request for Proposal and shall be based upon the following hourly rates,
but shall not exceed S

2. Goldenwest area from McFadden to PCH (23 sheets) 1,273.00 L.S.
3. Crystal St. area from Ernest to Main (4 sheep.= 222.00 L.S.
4. Warner Ave area from Beach to Goldenwest (7 sheets) 388.00 L.S.
5. Preparation of topographic mapping (35.64 acres-1150
x 1350' hounded by yorktown Ave. , Delaware St. ,
Utica Ave. and Huntington St.)at scale of 1" = 40'
with contours at an interval of 1' (1 mylar) 1,145,00 L.S.
TOTAL $3,803.00 L.S.
SECTION 10. EXTRA WORK:
(a) In the event of authorization, in writing by the City Engineer of changes
from the work as indicated in Exhibit "A" or for other written permission authorizing
ciditional work not contemplated herein, additional compensation shall be allowed for
such extra work, so long as the prior written approval of CITY is obtained.

(b) CONSULTANT shall submit monthly invoices which specify the area
where work was completed and the associated time for completion to the City Engineer
for approval. Work performed, at the request of CITY, outside the limit specified in this
agreement is io be designated as "EXTRA WORK" on monthly invoices. Work performed
in connection with an authorized writt m change order will be so designated on said
invoice.
SECTION 11. TERMINATION OF CONTRACT:
All work shall be done in a good and workmanlike manner and CITY reserves the
right to terminate services hereunder at any time with or without cause, and whether or
not PROJECT has been fully completed. Any termination hereof, and any special
instructions hereunder from CITY shall be made through the City Engineer, and in writing,
which may be delivered in person im CONSULTANT or mn'I.—I through the normal •.:ourse
of mail to its now-established business address. In the agreement is cancelled,
all drawings, designs, specifications and appurtenant doru -,, '.e used by CITY without
additional cost to CITY. Should CITY decide to terminate Vifs og�-eement f6r any reason,
CONSULTANT shall be entitled to payment, on an F-i-. ,: -g .n accordance with the
rate schedule herein, for work completed ,prior to writi ,Zation.
SECTION 12. SUBCONTRACTORS;
This agreement is a personal service contrc,�,t and the supervisory work
hereunder shall not be delegated to any person or entity without the consent of CITY.
SECTION 13. ADDITIONAL PROVISIONS:
CONSULTANT agrees that no regular emplo,,ee of CITY shall be employed by
its firm during the time that this agreement is in effect.

STATEME11T OF ISSUE:
In order to assist the City in performing stut iet. of the Ellis/Goidenwest
study area and the Talbert/Beach area aerial to )ographical surveys are
necessary due to the natural topographical featu.es of the two locations.
RECOMMENDATION:
Retain Teledyne Geotronics to perform aerial top-graphical surveys in the
amount of $6,259 . 00 per the attached proposal.
ANALYSIS:
Proposals from two consulting firms specializing in aerial surveys were
obtained for performing aerial topographical surveys of areas identified
on the attached map.
Teledyne Geotronics $6,259 . 00
Photometric Surveys $6, 275. 00
Altho,igh the two firms are relatively close in th( ir proposals, Teledyne
Geotronics is currently under contrwct with the City for other aerial
survey work and the proposed work could be included in order to save time.
Therefore, it is recommended that Teledyne Geotror_;ics be retained to
perform the proposed additianal services.
The use of aerial surveys to assist the staff in conducting the land use
studies, master planning for utilities and precise planning of streets
within the two study areas is the most effective a d efficient method of
obtaining the necessary data.
ALTERNATIVES:
1. Retain Photometric Surveys.
2. Reject both proposals.

y< In response to the Public Works Department, I am hereby submitting a Financial Impact
Report relative to the requested funding to accommodate the two aerial Surveys in
question. It has been suggested that appropriations in the aggregate of $6,259.00
will be adequate for this purpose.
Sufficient monies are available in the respective fund accounts for the requested
financing. Zhould the City Council choose to approve the surveys, the balance in
the Capital Outlay Fund will be reduced to $704,398, while the Housing and Community
^J Developmert Fund balance will be reduced to $15, 167. Neither balance has been adjusted
for final. FY1980-81 entries.

There is a need to obtain field surveys in order to complete construction
Tt plans for the various City projects and to enable the staff to complete
> an alignment study ,
l Recommendation:
It is recommended that Teledyne Geotronics be retained to perform the
necessary engineering aerial surveys for an amount of $3,803. 00 .
Analysis :
The staff is currently w-rking on several projects and one street align-
ment study. In order to complete these projects , it is necessary to
obtain field surveys . These projects are as follows :
1. Warner Ave. Widening - Gothard to Beach Blvd.
2. McCallen Park Site .
3. Goldenwest St. Bic -
cl - McFadden to P.C.H.
4. Newland St. Bicycle L. T;dinger to Garfield.
5 . Gothard St. Alignment - Earnesc to Main St.
Because of the topography and structures involved in each of triEse areas ,
the use of aerial photography is the most efficient method of obtaining
the needed field survey data. In addition, its the least costly, especial-
ly when all five projects can be done at one time . Proposals were
re-quested from two aerial photography firms . The following is a summary of
their proposals :

2. Robert J. Lung & Associates 4 ,900.00 & tax
The cost for this service is included in the budget amount for each
project and because jf the inrmat of the data, the information can be
t used for other purposes .
Alternate Actions :
Reject the proposal submitted by Teledyne Geotronics and perform the
work by the City Survey Crew.
