RECOMMENDATION: To award the contract to Vertical Management for the period March 2, 8 , t -ougFi—June 30, 1984, with the option for the City to extend the contract on a year to year basis to a maximum of three years. ANALYSIS: There were four companies that submitted proposals recently to provide Far� ing .Citation Processing Services for the City. The contract was awarded to the low bidder who has failed to perform under the contract. That contract has been terminated effective March 2, 1984 , and it is our recommendation that the contract be awarded1to the next low bidder from the prior RFQ process (Vertical Management) . Their cost..per year is an estimate based on the number of citations processed last year. (67,706) and the percentage of the total amount of monies collected from out- of-state violators last year. Stib-paragraph l (a) states that "Macrodata will provide the ,`required transmission equipment" for entry to the program ' s • -data `base . As of this date , apart of the necessary equip- ment is in place but the remainder has not been received and no definite date has'been given when we can expect it . ":Wit;iout this, equipment , we are unable to 'query :.the computer ' s �,.Aata `base to answer questions from the public or the court , but more importantly , we are unable to confirm outstanding violations to support the impounding of vehicles with 5 or more outstanding citations (22651 - i CVC) . 2 . 'Subparagraph 1 (c) states that "daily log files of all entries" will be provided as citations are processed . Ail Daily Entry Log reports received from Data- Com during the month of November were tallied in order toyverify the total number 'of citations Data Com hillcd the city for processing during this period . The total of 3 , 117 citations obtained from Data Cem ' s Drily En't-ry Logs in our possession did not equal the total of 6 , 231 citations for Vhich the city was billed. "Terry" from Data Com told me during her visit today that there was a "program error" which caused the discrepancy and that the programmer was work i;�g to corrtrct -'i t . She agreed that 'we hadn ' t received all of the Daily Entry 'Log reports for the month of November and brought with her the original citations in batch form so that the November total could be tallied from the original source docw+p.nts . . , "Sub-parag.�ap}rd) states that "monthly a`gement and °statistical reporting ''as :agreed .,upo+n" w ].1 be "provioed . r ;V .. Data Comas montly activity reports from September , October , and November reveal that no NOT notices Have been sent out . According to -Terry , none have been mailed during December , either. As a .result -of no NOT notices having gone out these past 4 months , deli'nquent . citations for this period subsequently submitted to the court for payment will be charged the basic bail amount with no Penalty assessment included . No microfisch or printout was received until December 12 , 1983. This came only after my telephone conversation with Mr. Ward. Since then, no more have been received. We were unable to accept pa}•nent from the defendants because we had nothing to check to see if they had indeed received a citation. The money room was holding thousands,of dollars because the defendants did not send in their citation and there was no way of checking -for correct amount due on the citation. h`tarlcrotrs times calls were ►� -rde to the computer comp.-rny end •Nnuld to put on hold for up to twenty minutes at a tine. Finally, we quit calling. Half of the tine their system was down or th-,�y could not. get into the corrlutcr. The cal is a long distance call for the Court. Instead of calling, Cora of our money room requested copies of the citations fron the Huntington Beach Police Department in order to Process manev or to check the-citations. The two s •:.tens `Secom and DataCom have not been combined therefore the current fische does not give a tr.ic picture of the present status of the citations. DatnCom does not use the date stamped on the citations as the disposition date. This creates problems for the Court in locating disposed cases. he ncetl to find these cases to answer the defendant's questions and for cashier's bad check' cases. s We did not receive any dispositions between CktoScr 20, 1983 and December 12 , Ils then' received a thousand at one time. 11iis creates a filing problem. Raring the period of time when fische are not received, warrants are issiled 11v the Court that should not have aeen issued. This was due to lack of correction information on fische. The Court must have ti;b copies of the fische an a regul;Ir weekly basis with the current information. The completed*cases. must be retuntird to the Court on a rcgtil.ar weekly basis. this is nccessar•y for the Court to seti,e the .public. It also appears to the Court from lack of correspondence from the ptibi tnkat n' tices 'are not being sent .in a timely manner. This will result in, a loss of . revenue for the City. Failure to,meet this requirement is attributed to programming problems in combining data baser. and obtaining certain "hardware" components. According to Data Corm, they expect to overcome these problems in January. 5. As 'a result of Item t4 , the city should be entitled to reimbursement for fees paid for the processing of all currently delinquent citations entered into the Data Coy system since September of 1983. (Per subparagraph 1 (e) (6) . 6. Sub-paragraph 4E requires Macrodata to maintain a policy of general liability insurance in which the city is named as an additional insured. To date, the city has not received notification that such an insurance policy exists. Under contract section 4A Miscellaneous Provisions , this agreement may be terminated by either party upon thirty 3days written noce to the other party, after ninety� ti (90) `days. from the execution of this agreement. Purchasing Manager RE: TERMINATION OF AGREEMENT �E7;1G Dear Mr. Amadril : -In response to your certified letter of January 16 , 1984 , post marked February 2 , 1984 and received February 31 1984 , I would like to . a'ddress your reasons for termination of our agreement. - However, prior to my response , it should be noted that Macrodata is a wholly owned company of Datacom Systems Corporation. I am now a Vice''President and Officer of Datacom with responsibilities for West Coast operations . ResL)onses L•o your reasons will be in relation to the numbered order you . have them listed in your letter. 1 . Sub-paragraph 1 (a) does provide for transmission equip- ment, but was not for entry to the system. All entry was to be provided by us which we have completed on schedule daily, throughout this period . The on-line equipment was provided for access only to the database for retrieval of citation information. According to your letter, the equipment "as of this date (January 16th) . . . A part of the necessary equipment is in place. . . But the remainder has not been received. . . " On December 150, 1983, I delivered a C .R.T. , telephone modem and cable to 'the Huntington Beach Police Department• , ;where it was installed and working . A couple of days afterward the :modem' malfunctioned and +t :had to be replaced On a January 3 , . 1984 , I installed a iew modem at the Police 'Department and explained the program to `Sgt. Dave Miller. - - Feb r'ur a y 14 , 1984 -2 :. 'Without this equipment it is not true that "We are unable to 'query , the computers 'database . . .We _are -unable to confirm outstanding violations to support. the impounding of vehicles . . . " The i3atabase .`has': always been accessible. `by 3ust calling our telephone n�.�mbe`r' and 'having one of our Clerks search the license numbers . . We have .,always provided this service to the City and on many 'occasians have .searched information for '--he Court and City when they 'had available 'to the both on paper and/or microfiche and a C..'R.T. , the information they were requesting. 2 . '9ub-paragraph :l (d) "Monthly management reporting. " During my meeting with Sgt . Miller on January 3 , 1984 , we went over the most recent Multiple Violator Report which he had just ''received. It was also explained at that time , and again -on January 4 , . 1984 to Lt. Reinholtz , that we were unable ` to provide the monthly management reports with year- to-date figures and that we would be going back to re-do all �the reports for January 1983 through December 1983 . Monthly Citation Activity Reports were not " . . . inexplicably changed for the month of November without consulting us . " Ye have not provided Citation Activity Reports at all since moving over the Seicom database on November 3 , 1983 . The reason we have not produced these reports is that when we merged this database with our new database , we discovered that the file storing the yea.-to-date figures had been deleted . . This meant we would have to do the entire year over, which we explained we were going to 'do. "This format is not acceptable to us" , is a format that goes with the documentation on the invoice . It is the same monthly data as on the Citation Activity Report, but was never meant to replace that report . Although . I did not receive a copy of the letter attached from Mr. Biggins with your letter of January 16 , 1984 , I am fully aware of . his position. I have talked to him on , the telephone and in person, and I ' m in possession of -.his letter to me about the situation. I met with Lt . Reinholtz on December 15 , 1983 and discussed the situation regarding failure on our part to give .the court adequate status reports and cross-reference reports . Our. Agreement with .the Ci�y states.. in sub-paragraph 1 (d) "MACRODATA will provide, monthly management and statistical reporting an agreed upon by both parties . " :When we started the Huntington ., Beach Police Uepartment ' processing, : as MACRODATA, August 1983 , , we decided to produce these monthly .reports' for the court . twice a -month. . Since the reports were small at 'first we also `decided to. print them on 'paper 'until they .were large enough to use microfiche. :These reports show the current processing status to help the court. as `they .collect the payments. We continued to. process the reports on paper, ' twice each month until��we merged the two databases in December. L .�3.. uaYy l4 , l 84 br On November 31 1983 we moved the :E#untington Beach Police Department `database from Seicom to our Orange 'off ice. We "ran ` the two. d3tabases separately as we began "our conversion .plan to:"merge them together. While we continued to rprocess paper reports on the Macrodata database, we produced `the Seicom :reports on, microfiche as follows : 10-26=83 (just Prior to moving) 12-12--83 During the last part of November and the first part of December.-we experienced some system hardware problems which contributed to our slow conversion and merge 'of the two databases . I talked with Mr. Biggins on the telephone and explained our :roblems to which he said they needed a Status report immediately and could not wait until the merge was completed. . We provided a microfiche report and I delivered it to him on December 14 , 1983 . Even though we did not have the , Seicom database merged with our current database we still were within our "monthly management" reporting requirements in our agreement . `On December 15 , 1983 1 met with Lt . Reinholtz and he told me the court would now keep all citations until they became .delinquent. They would then send them to us for processing. The -court would continue to do this until we exhibited our ability to give them adequate reports . I explained that I had just given Mr. Biggins a microfiche report and that we would complete our merge in 1 to 2 weeks . At that time we would be on schedule except for notices . He was also informed, as was Mr. Biggins , that we were com- bining all three of our clients in West Court to use one set of microfiche reports . These reports would be made available on a weekly basis , not just monthly. We completed our merge toward the end of December and have produced the status reports on a minimum of twice per month (12-27-83 , 1-20-84 , 1-27-84 and 2-7-84) . s . Since Huntington Beach Police Department was anew client for Macrodata in August, we only sent R/O requests on a monthly basis . As volume picked up we would go to a weekly schedule . When we sent requests in September and October we did not receive a tape back from Department of Motor Vehicles 'until the end of November. We 'did not send any requests . in November for two reasons : (1). We were waiting for return information, . and . (2) Our hardward problems were causing us to have shortage of disk storage space . When =we - fina1ly received the DMV tape at the end cf °November we'�.were in the middle of our conversion ."of the Seicom data base. We; experienced 'a disk head crash which wipe'd 'out : -the "DMV., R/O . information. So at the first of December we `had:.to send the R/O requests all over ; again. -4- February 14 , 1984 4 .Because of the reasons listed above "Notices `off Illegal Parkihc" were not 'mailed on schedtle. The reasons were 'not something we could control 'We cannot control the .,,Department 'of Motor Vehicles sending `back tapes with the wrong 'nuiaber: on .the label causing. it to 'sit at the local DMV office for over a month while tracers were put out . looking fog the right numbered tape . Yes , the disk 'crash - could be considered our fault. but it is an inherent uroblem in"'Ehis :'business . Unfortunately we lost the R/O data 1but we certainly did not do it with specific intent and ` it was `not 'our intent for the disk to crash. In my meeting with Lt . Reinholtz on January 4 , 1984 , he was informec: of our delivery of all of his equipment which was in working order . I told him the merge was completed and that the court had been given current combined micro- fiche .status reports . I told hire Sgt . Miller had his Multiple Violator reports and I showed him a new form of the Habituzl .Offender report with more information which lie said was . not necessary for tht►ir operatio:�. Again I explained to him that the reports he had gotten with the invoice were only documentation to support the bill . These reports were previously explained to Sgt. Miller and Lt . Reinholtz on December 28 , 1983 as well . I informed him .that we were going all the way back to January 1983 and produce all management reports over again ,"or the whole year. I explained that we hoped to send notices as soon as we received the DMV tape. Fie told me he had completed the paper work to cancel our Agreement . I asked him if we could get a couple more weeks to get the notices out since everything else was on schedule . He said he would give me until the middle of the month before he processed the paperwork. On January .10 , 1984 I met with Mr. Biggins and got his approval 'on a notice we wanted to use because we were waiting for a shipment of our regular notices , which were the ones we had used at Seicom and were already approved by the Huntington' Beach Police Department and the Court (please see attached photocopy of that notice initialed by Mr. Biggins as approved) . January 12 , 1984 I called Sgt. Miller to tell him we had received the tape 'from D►iV and estimated a total of 10 , 000 to : 15 ,000 , notices to be mailed . He said he wanted us to divide them up into three batches and mail them three to five 'days apart. We' processed the notices on January . 13 ,, . 1984 . Since the notice we used had ' a 'San Jose postal permit we . had­to . take them to San Jose for mailing. . On January 14 , 1984 ,we air expressed 4 , 000 notices to our San Jose office and:'mailed them on Monday, January 16 , '1984 . My wife drove up 'to; San Josey with -the other 6 , 000 notices . Three--thousand notices were mailed on January 19 , 1984 and the remaining 3,'000 °were mailed . on January :'3, 19840 _g_ bruary 14 , i984 I :.called Lt.. Reinholtz on January 231 1984 . ,:as a follow--up on';th•9 'mailings . He told me he had pro��essed `his 'paperwork to terminate . our Agreement 'and that he had `never said ` he wouA'd give. :use until 'the middle of the month . With reference to not collecting `delinquent bails , it has alway's 'been the policy of the court to collect the penalty } assessment. after the 15 day due date . They have never relied on our reports , �or that penalty amount . Not having a status. report has never prevented them from doing something they have always done . The city would not have experienced any loss of `,revenue. for that reason . 6 . At my meeting with Sgt. Miller on January 3 , 1984 1 gave him our ° insurance certificate we submit with all of our Agreements , a copy of which is submitted with this letter in cane you lost yours . If this i:� in the wrong format , I way never notified. • I personally feel terrible about any . termination of our Agreement . The City of Huntington Beach has been my client since April 1981 when Lt . Barry Price and Sgt . Dave Miller were willing to take a chance with me and a new venture . Since that time I have always tried to go out of rr.y way to provide the best service possible . I left Seicom in June 1984 because I could foresee management problems which were going to cause disruption of service to all of: our clients . Craig Wooldridge and Teri Helsel left for the same reasons and we formed a new company to minimize , if possible , some of these anticipated problems for our clients ; Ironic as it seems , we joined with Datacom Systems Corporation, the same company that dro.,e Huntington Beach to us back in 1981. We ended up purchasing Seicom on September 1 , 1983 , and actually moved the database and processing to our office in November 1983 . Had we not purchased Seicom and went about solving the many existing problems , the City of Huntington Beach would be in much worse shape. Sub-paragraph l (d) states that "monthly management and statistical reporting -as agreed upon" will be provided. : Receipt of specific. reports has been inconsistent or non-existent since September. The last multiple violator report we received was run on October 26th. Violation summary and revenue summary reports have not been received since June and August respectively. -.'Although monthly citation activity reports have been received for September and' October from Data Com, the reporting format was inekplicably changed for the month :of November without consulting with us. Neither. the court nor .We have seen or approved the Notice of Intent format intended for use by :Data Coot. Gata Com' s monthly activity 'reports from September, October, and November revedi ,that 'no .NOI notices `have been sent out. According to Data Com, none have been mailed during December, either. As a resul t of no 1101 notices having gone out these past 4 months , delinquent citations for this •period subsequently submitted to the court for payment will be chargers the basic bail amount with no penalty assessment included. This will result in a loss `of revenue for the City. Failure to meet this requirement is attributed to programming problems in combining data bases and obtaining certain "hardware" components . According to Data Com, they =:xpect to overcome these problems in January. 5. As a result of Item #4 , the city should be entitled to reirnbursemeot for fees paid for the processing of all currently delinquent citations entered into the Data Com system since September of 1983. (Per subparagraph 1 (e) (6) . 6. Sub-paragrarh 4E .requires Macrodata to maintain a policy of general liability insurance in which the city is named as an additional insured. To- date, the city has not received notification that such an insurance policy exists. (2) VMS will request Registered Owner ( R/0) informat ion . weekly from the California Department of Motor Vehicles ( DMV) . A minimum of two requests will be made for each license number in the system. t3) VMS wil: produce and mail a "Notice of Illegal. Parking" (NOI ) fors. to the R/O within thirty-five ( 35) to forty-five ( 45) days after the issuance date of the citation . The thirty-fifth ( 35th ) to the forty-fifth ( 45th ) day period shall eAclude holidays and weekends . The NOI form must be approved by the court/city , include. a nonpostpaid return envelope to the appropriate collecting agency , and show a new due date thirty . ( 30 ) days from the date of the NOI . ( 4 ) VMS will send a "Hold Notice" to DMV via 2. { magnetic ` to-pe , within five ( 5) to fifteen ( 15 ) days after . the due date "on the NOI if no disposition has been received by VMS by that date VMS will also have the ability to release "golds" via magnetic tape upon disposition of the citation . These disposi- tions can be made either . by the court or DMV and will be input into the system by VMS . All interfaces with DMV must meet the specifications dictated by DMV . ( 5 ) Open citations ( no disposition ) will by purged from the system three hundred sixty-five ( 365) days from the date of "DMV Hold" and that data will be returned to CITY in hard copy or 'magnetic tape media . ( 6 ) CITY may be entitled to reimbursement of fees paid . to VMS for any citations not processed by VMS wit., in the above described time parameters . VMS shall not be responsible for delays. due to situations beyond ir.s control , such as delay or, faulty information by the DMV, or a ,judicial district or issuing agency failure to provide citation or source documents in a timely manner for entry into the system. ( f) Citations issued to out-of-state license numbers will be entered and cleared on disposition the same; as in-state citations . When no disposition is received , these citations are processed separately from the in-state citations . Requests for R/O information'.will be sent to the appropriate out--of-state DMV . The NOI and follow-up notices will be generated to the R/0 and the bail amount requested . Return payments will be made to the collecting agency as designated by the court . All costs for this follow-up' processing , including out-of-state DMV charges r will ' be incurred by VMS . NMS will receive from CITY fifty percent ( So ) of the revenues. received from out-of-state citations after the . NOI . . - VMS ,will bill this amount monthly for _ the 'prior 'month . DESCRIPTION Vertical Management Systems , hereinafter referred to as VMS provides a complete service for the processing of parking citations. This service is accomplished through the use of data processing resources and skilled personnel. Our Multi- State Citation Management System (MCMS) currently is in place as our ON-LINE system using AM Jacquard equipment. VMS's existing configuration is capable of handling in excess of 400,000 active citations along with all associated soft- unre for accounting and revenue reporting. This section discusses the methods ;r and procedures employed by VHS to provide an integrated system for the City of Huntington Beach, California, hereinafter referred to as the CITY. VMS will provide pick-up and delivery services of new citations and reports from the CITY cr the Court . These pick-ups will be made on predefined schedules to be negotiated with the CITY and/or the Court. In addition to the new citations to be er.;.cred into the system, VMS will also pick up payment ,journals and data base change requests. These requests, when approved by an authorized representative of the citing authority, allow modifi- cations to the citation information maintained in the VMS data base. Change and deletion requests will be kept on file by VNS for one year or until the citation Is disposed of - not to exceed two (2) years. After pick up, the new citations, changes , and deletions are entered into the MCMS data base. VMS will resolve any problems which may arise when the cita- tions are entered. Should a problem b-! encountered w;iich cannot be resolved by V135 personnel (suers as bad violation numbers, or invalid information) , the citation will be returned with the. Citation Errors Audit Report (see Figure 2) to the CITY for correction or eldrif.ication. Each citation stands on its own in regard to bails/fines/fees collected or owed at any stage in the citation process. These amounts collected from the offender can be requested and displayed on a CRT screen or Printed Copy based on any one of up to 100 active bail schedules for the CITY. At any time during normal business hours , the CITY, or its fiscal agent may s�udiL the system in any number of ways. The status of citations may be reviewed individually, at random, on a CAT screen (see Figure 19) ; or ad hoc reports may be produced reflorting a range of periods or citation numbers. Therefore VMS, in conjunction with the courts , have established a set of codes over the past three years , giving citation visibility through the entire citation process (see Figure 4) . Twice each month a non-urgent request will be made on the DM%' files for regis- tered owners of vehicles who have not yet cleared their citation(s) . This inquiry will be made via magnetic tape per the specifications of the DMV , as outlined in the DMV publication: "DMV b EDP VcHICLE REGISTRATION Hon-Urgent Inquiry Manual. At least ten ( 10) attempts will be made by VMS to obtair: the 1>& information from the DMV. After three (3) attempts are mane to the DMV to ascertain the registered owner , the CITY will be notified ( in citation number order) of those delinquent citations. In addition, the CITY is provided (mini- mum monthly) a 11abitual Offender Report (see Figure 16) an an aid in parking citation enforcement. For out-of-:itate registered vehicles, the appropriate DMV will be contacted and a request made for registered owner information ( this feature has :always been an integral part of VMS's system) . When the registered owner information is returned from the appropriate .agency, it is entered into the MCMS data base for those citations which have not yet been disposed. If the response from the DMV indicates a problem with the license supplied ( ie: not on file or invalid configuration) , the DMV Inquiry Action Log (see Figure 20) will be produced for VMS and/or the Court in order that the information be corrected, or the citation be disposed of. .,'Upon receipt of the registered owner information VMS will prepare the following forms: 1 ) Notice of Illegal Parking (see Figure 5) - This form is used to notify �At�t!lArtttt#l4rAttAAAtttAtttlMRtAAAlAtttAAMaAA sea A*AAA4t40t0AaAAAR *too A!! This may be products individually by owner or a consolidated complaint report requiring one ( 1 ) signature. VMS is currently the ONLY Q vendor supplying the "Consolidated Complaint Form" to courts using outside automated systems . For those mailers returned from leasing companies and rental agencies , a new trailer will be prepared (at no charge) for the lessor or renter of the vehicle. These citations will be excluded from the following step in the system. MCMS provides for Registration Hold processing for all citations not disposed of within sixty (60) days from date of issuance pro- viding registered owner information is received from DMV. Should these vehicles put on HOLD be released by the DMV or by the Court (see Figure 9) , MCMS will change their disposition accordingly. From time to time, cases may be cleared by the Court in the following ways: 1 ) ?ayment is received by mail or at the counter. The court receipts three dollars for the DkV administrative fee , which is accumulated monthly and sent to the State. In the processing of parking citations, this can be 'a particularly frustrating problem to deal with as many contractors provide only minimal reporting M order to be cost competitive. • VMS feels that reporting is one of the most important requirements of any good data processing service. While the data processing solutir;;s addressed in this proposal are not new, this type of service has recently received a great deal of attention by many vendors of computer services. Some of these vendors are obviously more reputable than others. Several ISSUING AGENCIES have reduced their risk factor in contracting for this type of service by requesting contracts with cancellation rights of thirty (30) or sixty (60) days. While this does not guarantee success with a particular vendor , it does allow the ISSUING AGENCI more flexibility in dealing with problems which may arise. CALIFORNIA" , hereinafter referred to as "CUSTOMER" , and identified by its signature hereto. WHEREAS VMS is experienced in automatic computer billing and processing of amounts due for violation of vehicle infractions ; and WHEREAS CUSTOMER desires to make use of said services and experience of VMS; a TOW, THEREFORE, it is agreed between the parties thereto as follows : 1 . SUBJECT. During the term of this Agreement VMS will supply to CUSTOMER computerized services regarding : registered vehicles cited by CUSTOMER for parking violations . Said services will includo : o ON-LINE computerized retrieval system at VMS - 1 r , 0 facilities ; o automatic anforcemont notice mailing ; o report showing collection of violation bonds and reporting of same to the CUSTOMER as detailed in Exhibit . B attached hereto and hereby incorporated. o Verification of citations : cite nuri-her or license number as given by CUSTOMER with citations ; o Report of name or address information of a citee from DMV files; o Processing of BACKLOG CITATIONS as citations herein provided (which is defined as those citations written prior to the date this agreement becomes effective and provided to VMS within twenty ( 20 ) days after the date of last execution of this agreemert ) . VMS will provide the complete data processing sorvices required for above including all necessary systems analysis and design, computer programming , conversion of data, information storage and retrieval , data transmission, systems controls and all related man-machine interaction including data entry and verification necessary for the CUSTOMER . 2 . RELATIONSHIP OF CUSTOMER AND VMS VMS is not an employee of CUSTOMER . Rather , VMS is an independent contractor although VMS amployeas/agonts may work with CUSTOMER ' s employees and at times at the cite of CUSTOMER' S business location. CUSTOMER is contracting for results produced by VMS 2 a only and shall not determine how VMS internally performs its obligations under this Agreement . VMS shall bear all of its own expenses and disbursements for travel , maintenance , personnel , office, clerical , and overhead expensos . i 3 . SERVICES PERFORMED BY VMS a . VMS will pickup or caused to be `picked alp 'CUSTOMER' u citations , payment postings , file maintenance transactions , Court • actions regarding Dismissals, suspensions , 'fines , bails , master file data documenting status of citations , etc. on magnetic tape or other media acceptable to VMS from CUSTOMER at the following address : City of as necessary but no more than once per business day. • b. VMS agrees to process CUSTOMER ' s data within three ( 3 ) days of pick-up and pick=up times shall be mutually agreed upon . VMS • will process and record as stated in said Exhibit A, Citee ' s record of payment ( s ) received and Court dispositions . VMS will provide a Monthly ' Year-to-Date ' statistics report summarizing said information to CUSTOMER although eliminating reporting of citations from prior calendar years if more than eighteen ( 18 ) months after initial delivery to VMS . c. 'VMS agrees to provide, as requested, such additional services as are . set forth in Schedule "A" attached hereto. Agreed upon 3 delivery times by VMS are subject do delay for cauaes beyond those entieipate, by or within the control of VMS . VMS does not agree to assume responsibility for consequential damages to CUSTOMER if any for delay in VMS delivering specially requosted processed records or data to CUSTOMER. 4 . SERVICES BY CUSTOMER . S . PROPERTY OF VMS a . The parties hereto agree that VMS is the owner of and shall remain the owner of all of its concepts , approachos , trade secrets , computer programs , experience, written procedures , forms , magnetic tapes , punch cards , and sitt.Lliar computer materials . b . Trade secrets shall be defined by agreement batwecn the parties hereto to include without limitation, VMS Computer Software and ideas included therein . C . During the term of this Agreement and the relationship of the • partios , VMS may develop new and additional progrems , and methods of handling and proceastng the data which is the subject of this Agreement which programs and methods are agreed tr.► be the proporty of VMS . 6 . PROPERTY OF CUSTOMER All documents , records , tapos, information supplied by CUSTOMER to VMS .s agreed to ba and to remain the sole property of CUSTOMER and VMS agrees to return the physical evidence of same supplied by customer to CUSTOMER no later that Forty-f ivo ( 45 ) days following termination of this Agreement . Within such . . pmriod.. the CUSTOMER may make arrangements with VMS for the 5 R. transmission �of such data to the CUSTOMER upon payment `to VMS of the cost of recording such data -onto magnetic reps and shipping Y:. charges for such tape from VMS ' s computer facilities to CUSTOMER ' s designated point of delivery . If termination of this document is by VMS, VMS Will waive all costs seat out in this paragraph . 7 . STORAGE FOR CUSTOMER a . VMS agrees to store and have available its processing of W CUSTOMER' s data for a reasonable period of time , no longer than �r three hundred sixty--five ( 365 ) days and provide CUSTOMER reasonable retrieval of some during such period and CUSTOMER relieves VMS of all liability costs and loss for such storage or retrieval for CUSTOMER to any other person or entity using such data . b. Subsequent to said three hundred sixty-five ( 365 ) days . VMS will deliver to CUSTOMER, if requested, VMS ' a hard copy or magnetic tape of its processed data for the fine of Seventy-Five Dollars. 8 . EXCLUSIVITY The parties agree that the consideration to be paid to VMS is $ based in part upon VMS furthering and developing its good will as the . exclusive servicer of said services to CUSTOMER. CUSTOMER therefore agrees to utilize only the services of VMS during the 6 term of this Agreement for the processing of the citations referred to above . CUSTOMER agrees during the term of the Agreement to not directly or indirectly assist a competitor of :VMS i'n 'the performance of the services provided by VMS under this Agreement , and subsequent to ;19 term 'of this agreement to not e divulge the trade secrets or property of VMS to any entity other than VMS . 9 . PAYMENT TO VMS CUSTOMER agrees to pay VMS within fifteen ( 15 ) days of receipt of billing from VMS and to pay interest at twelve ( 12% ) percent par annum on any amounts unpaid within the fifteen ( 15 ) day period commencing with the sixteenth ( 16th ) day following said billing , its fees as set out in Schedule "C" , attached hereto and hereby incorporated . In addition to said rates set forth in Schedule "B" , CUSTOMER agrees to reimburse VMS ( subject to prior permission by said CUSTOMER for charges greeter then $50 . 00 ) for 4 all charges , if any, paid by VMS on behalf of CUSTOMER including without limitations , payments to departments of motor vehicles , and departments of vital statistics of various jurisdictions . 10 . CONFIDENTIALITY CUSTOMER agrees to keep confidential the procedures , approaches onel trade secrets of VMS . VMS agrees to keep confidential the data supplied it by CUSTOMER except if same is delivered to or released to a third party or parties at the request of . CUSTOMER . a 7 or as reasonably anticipated in order to supply the herein services to CUSTOMER, e .g . delivery of information to department of motor vehicles . VMS shall not be obligated to keep private 'data which has entered public knowledge 'or 'which may legally be obtained through third parties , or to keep confidential techniques developed solely by VMS or jointly with CUSTOMER regarding this subject of this Agreement . 11 . HOLD,HARMLESS VMS agree:s to use reasonable care in the processing of the data supplied by CUSTOMER and agrees to correct errors in its Stranscribing without charge . Neither party agrees to responsibility to any other party for the negligence of the other party to this agreement . Each party agrees to: 1 . Defend after reasonable notice and request suits brought against the other which are due to its own negligence ; and 2 . Pay any non-exemplary judgment against the requesting party resulting from the other party ' s negligence and reasonable opportunity to defend have been given . S CUSTOMER additionally agrees to hold VMS harmless from damages , if any, which flow necessarily from release of the herein data to VMS and VMS ' s performance of its duties as herein provided . M 12 . Tt»RM The term of this Agreement shall commence with tho date of the S 8 : last signature hereto and shall continue in full force and effect for 2 years at which time it shall automatically renew for l year periods unless 30 days prior to same either party notifies the other in writing of its election to NOT renew, and unless earlier terminated by the occurence of any of the following occasions : I . Thirty ( 30 ) days written notice served on the other party; or 2 . Breach 'of the Agreement by the other party upon written election based thereon served on the other party giving the other party thirty ( 30 ) days within which to cure such breech , if curable . 13 . INCORPORATORS The exhibits attached hereto labeled Exhibit A, B, C are hereby incorporatod by this reference with the same force and effect as if set forth in full in this placo . 14 . ATTORNEY ' S FEES If any action is filed in a Court of proper jurisdiction and is reasonably necessary to enforce the terms of this Agreement , the prevailing party shall be entitled to its reasonable attorney fees and reasonable disbursements in addition to any other relief to which the prevailing party may be entitled. 15 . CHOICE OF LAW This Agreement shall be governed by and construed in accordance 9 with the laws of California at the time of execution or renewal thereof wherein the consideration to VMS is payable and wherein this Agreement is accepted by 'VMS . 16 . PARTIAL INVALIDITY If any portion of this Agreement is declared invalid by Court of proper jurisdiction the remaining provisions shall be carried in effect as stated . ! 17 . ENTIRE AGREEMENT This Agreement constitutes the only Agreement of the parties hereto relating to the herein services and correctly sets forth their respective rights and duties . Any prior or concurrent representations , agreements , promises , negotiations not expressly set forth herein are agreed to be of no force or effect . CUSTOMER acknowledges that CARTER C .
