HomeMy WebLinkAboutVIDEO EQUIPMENT CORPORATION OF AMERICA - Vicor Inc / Telenetics - 1973-07-03 r r AGREEMENT This agreement is by and between VIGOR INC . , a California corporation and the CITY OF HUNTINGTON BEACH , a municipal corpo.vat'.on hereinafter referrer' to as "City" . WHEREAS the city desires to provide for a multi- media system in the new police facility and after review of several proposals has selected VICOR INC . , to provide ouch a system, NOW THEREFORE the parties hereto do agree as fol-- low$ 1. All i'.:ems of equipment as set out on the attached list marked Exhibit A shall be delivered to the Huntington Beach Police Department for acceptance and installation . Delivery shall. be made in sixty days of a written communi- cation from the Huntington Beach Police Department request- ing such delivery . All items of equipment shall be warranted for a period of ninety days ' labor and one year ' s parrs, from the date of acceptance . Acceptance by the Huntington Beach Police Department must be in writing. Equipment manufactured a;Id/or bu•11t by VICOR INC . , and all installa- tion shall be warranted for a period of one full year from date of acceptance . Any damage caused by misuse or an act of nature will constitute a breach of these warranty terms . ti 1 . 1' 2 . All equipment herein to be installed shali be dune in such a manner as to fulfill all obligations stated in V1COR 'S proposal set out in Exhibit B attached hereto and incorporated herein. All work will be neat and utilize all the latest of installation equipment , cables $ connectors , etc . Any damage done to said property during the installation will be repaired and/or replaced, no charge , by VICOR INC . Installation will commence within sixty days upon written notice by the Huntin-tan Beach Police Department . 3 . SYSTEM DESCRIPTION - All items of equipment shall be operational and in good working co>>di ion . All Items shall perform according to the submittal drawings let May 3 , 1973 . There are certain areas which require further explanation : a) Omni-dire ctIorial microphone - The audience microphones herein specified shall meet the requirements of the en- vironment ; if, in the opinion of both parties hey are insufficient , more shall be added , b ) Slave Podiam -- The slave podium shall have controls for one of the independent audio amplifiers built into the podium. c) 35nur, Projectors -- `.I'he 35nun projectors shall be ar- rr..nged to be used side-by-side in a Land m operation with- out excessive rearranging. 2 . ,i 1; �i d.) Backroom Consoles -- The tables which the equipment shall be placed on shall be sturdy enough to adequately support any and all projectors specified herein . Further- more , there shall be two of this type console which shall allow changing of equipment frow one table to another. The connectors for each shall be l.abelea and connect at each table through control boxes . Lines will be drawn to allow accurate placement of equipment for interchangeability. e) Large Screer. Projectors - The large screen projectors shall be positioned and mounted for optimum viewing. f) Audio Inter-Min Audio intercommunimation from podium to back room shall be provided. g) Projection System Thu 16mm film projector, the two (2) 35:nm random ac,;ess slide projectors , and the 35mm fill," strip projector will ordinarily be operated in the rear projection mode wit.iin the training facility environment . Each of the aforemen - tioned projectors shall be provi sled i'rith the appropriate Buhl rear proijection lens to facilitate its operation in this mode . Each of the aforementioned projectors sha-' l be fully remote controlled from the master podium. There shall also be provided two custom projection equipment benches , one for each of the two rear projection screens . Each bench shall include all of the necessary mountings and wiring 3 . ^r yy y F1. a ! ` terminals for each of the aforementioned p+,o j ectors , so that each projector may be set up for remote controlled operation from thf, master podiumonto either �;creen selected. The two (2) random access slide projectors and the 35MM film Strip protector shall by interfaced to the synchronous sound/Slide recorder/playback to facili- tate synchronous sound presentations . Operation in the synchronous sound mode shall be fully remote controlled from the master podium. The previously described operation of the two ( 2; 35mm random access slide projectors shall nermi v tanderi, side-by-side operation of both projeetovs onto the same rear screen . Further, in a sequential presentation of slides , the preceeding image would remain side--by--side to the next izuage accessed .nd would con-,tinue to remain until the second Succeeding image was projected . The tandem arrangement would create an alternating side-by-side advance of images . h) Audio Amplification -- public Address System There ,hall be two ( 2 ) complete parallel , independent audio amplification and public address systems . Each system shall be capable of selectively serving either the ;quad room bi-section , the training cl a,ssruum bi-section, or the entire training facility . One system shall, be fully controlled fpom the master podium, and the second 4 . r. 14 4 fully controlled from the slave podium. The apeakerlb voice audio picK-up shall be factli- tated by two (2) wireless lavaliere microphone sys•ter;s . M Audience voice audio pick-up shall be poovided by two ( 2) ceiling mounted omnidirectional microphones , installed in the squad roam and training classroom bi-sections , re- :,epctively .. The orwril.dire at ional microphones shall be capable of picking up voice audio from the audience areas and introducing that source .'_nto the audio amplification And public address system. Activation, sensitivity , and selection of the omnidirectional audience microphones shall be controlled from the master podium. The audio system shall include an audio cassette tape r-Aco.rder/pl?yback. The audio cassette tape reco.rde::/ playback shall be controllable from the raste�:, podium and shall be capable of recording the total audio portion of all multi--media presentations within the training facili- ty , including the speaker ' s voice audio and audience voice audio . Playback from the audio cassette tape recorder/playback shall be interfaced with the audio amplification and public address system for reproduction of recorded sound . The audio system shall include one ( 1) audio micro- phone mixer so that multiple audio sources may be blended and introduced into the audio amplification and public address sys . em. 5 • ri 11. The audio system shall utilize two column bpeakers , one for each bi-section of the training facility , and a sufficient and adequate number of ceiling speakers , The aforementioned speakers shall be interconnected in such a manner so as to constitute two independent systems , one in the squad room and training classroom bi-sections , re- spectively . The output of either of the dual audio ampli- fication and public address systems shall be selectively channelled to either speaker system or both . There shall also be included in the audio system a provision for intercormun cation of voice between the mccs 'er podium and the support console . i) Video System The video system shall include a 3/11 " color video cassette recorder/playback and a separate redundant 3/L' " color video cassette playback . The systemization of the two video cassette units shall facilitate simultaneous operation whereby the playback unit may be utilized to output previously recorded video tape and the vecorder/ playback may be used to record input from the video camera . The audio amplification and public address system shall be interfaced to the audio channels of the video recorder/ playback and the video playback, to facilitate the record- ing and reproduction of audio on video tape. . The video monitor system shall consist of .Four ( 4 ) ceiling mounted 25" diagonal screen color video monitor/re- I 1 1 • 1 St l,• 1 1 ceivers and two (2) ceiling mounted 50" diagonal large screen cu7.Dr video projectors . The installs*!.on of the video monitors and projectors shall be equally divided among the squad room and training classroom bi-sections . The video monitors and video projectors shall be mounted in such a manner as to facilitate their maximum effective use and also to preserve the esthetics of the training facility environment . Each of the video monitors and video projectorb shall be interfaced in such a manner so that they may be used to display video sources from the video recorder/playback, the video playback, clossd circuit , or broadcast si-nal . Video tape recording of live presentations on ene training facility stage shall be accomplished by means of a ceiling mounted, black and white video camera which shall be monitored from the master podium and remote con- trolled as to oa,13 tilt , and zoom. Dual parallel remote controls for the pan, tilt , and zoom of the video camera shall be provided at the support console . A video special effects generator shall be provided at the support console , which shall allow among its total capabilities the esthetic phase-in and phase-out when video tape recordings are produced, duplicated, or edited . 7 jF 7. i ! � ) Control and Equipment Support Systems The custom master podium shall feature remote con- trolled operation of virtually every element of the entire multi-media system. The custom slave podium shall feature only basic remote control of one independent audio ampli- fication and public address system. There shall be pro- vided at least two ( 2) terminal outlets on the stage at which either the master podium or the slave podium may be connected. All of the remote controlled elements of the multimedia system associated with the master podium shall be capable of functioning when the master podium is connected at either stage terminal . Likewise , the slave podium shall be capable of its total intended function when connected at either stage terminal . The support console shall .facilitate the direct control of virtually all of the video and audio elements of tie multi-media system and , in addition . parallel remote control of pan, tilt , and zoom of the video camera shall be provided . A mobile VTR, cart shall be provided to facilitate por- table utilization of `,.;he color video cassette recorder/play- back outside of the training facility environment . k) Miscei]&Aneous Complimentary Equipment Two ( 2 ) custom lighted Security display cases , as per submittal drawings , shall be furnished so as to provide a suitable environment for the advantageous exhibit of physical items which are of a sensitive nature . rY„ 1 :f I` Sufficient and adequate lighting for the operation . of the video camera shall be supplied to the stage: area. Ceiling- to-floor stage curtal-le with independent pulls for each bi- section of the stage , and also unison center pull for the entire stage , shall be provided. The stage curtains shall provide an attr\ictive , decorative background for the podiums . 1) Post-Installation Support Post-installation support for the multi--media train- ing facility shall include , but not necessarily be limited, to the following actilrities : ( 1) 100% warranteed repair, replacement , and service of all items Included herein, covering all equipment , parts , workmanship , and inst.al:l.ation for a period of one year from the date of acceritance of the completed system installation, and all labor for a period of ninety days from the same date . ( 2) Training of selected police personnel to an accept- able , competent level of proficiency in the proper operation and maintenance of all items of equipment and systems in- cl ided herein. 4 . For -the services and materials provided herein c:.ty sha11 pay VICOR INC . , the total sum of Twenty- Four Thousand Two Hundred Eighty Dollars and Twenty-Cents ($24 ,280 . 20) , said sum to be paid within thirty ( 30 ) days r 4 . For the services and materials provided herein city shall pay VICOR INC . , the total sum of Twenty- ?our Thousand Two Hundred Eighty Dollars and Twenty--Cents ($24,280 , 20) , said sum ,o be paid within thirty ( 30 ) days of the city ' s written acceptance of the work performed hereunder and acknowledgement of completion of the terms of this contract . 5 . The installation of all items of equipment shall be comnicte and inclusive of all cables, connectors, z- fitters, anc: miscalla- neous items needed to install. The installation shall in every case conform to all applicably: legal codas and restrictions, the approved recommendations of the equipment manufacturer (s) , and this agreement. The installation shall be 4ccocplished by wor.!=en skilled in this field o; woz-k, utilizing the latest of accepted techniques and procedures. The installation shall typify high caliber expert workmanship and shall be neat; all cables wi11 be hi:!ian and rv.i by conduit wherever possible, system corincc:tions shall utilize only approved plug connectors, shicldc4 cabin, and identified components. Acceptances Upon carnplttion of the installation, VIDEO EQUIPMENT CORPORATION OF AM-ERICA shall demonstrate to the satisfaction of the Huntington Beaoh PoliceDc:partmcnt taat the functioninq of all components fulfills or exceeds the operational requirements of the multi-media training facility system as des- aribed. herein. Acceptance of the installation by the Huntington Beach Police I)epartument shall follow the successful demonstration of the multi-media tr;;ininq facility system, and must be in wri- ting. 1.4. Payment: For the services and ;natgrials pro- vided herein, the CITY shall pay to VIDEO EQUIPMEMT CORPCPATION OF AMERZCA, the total sum, inclusive of applicable tax, of Twenty-Four Thousand, Two Hundred and Eighty u„llars and Twenty Cents ($24,280.20) . Palm.ent shall be lump sum of said, amount and paid within thirty (30) days of the CITY's written accep- tance of the multi-media training facility system, and acknow- ledgement of completion of the terms of this contra,ctural agree- :�enL. 1.5. All items of equipt;ent shall be fully warranted by VIDEO EQUIPMENT CORPORATION OF XMErRICA for a period of one (1) ycar pertaining to parts and ninety (90) days pertaining to labor, from the date of written acceptance of the multi-media training facility system by the Huntington Peach Police Department. WHEREAS the city desires to provide for a multi- media system in the new police facility and after review of several proposals has selected VIGOR INC . , to provide su--h a system, NOW' THEREFORE the parties hereto do :agree as fol- lows : 1 . All items of equipment as set out on the attached list marked Exhibit A shall be delivered to the Huntington Beach Police Department for acceptance and Installation . Deliver; shall be made in i t,y day.: of a written comr:iuni- cation from the Huntington Beach Police Department re quest- ing such delivery . All items of equipment :-hall be warran;ed for a period of ninety da;::> ' labor and (Dne year ' : parts from the date of acceptance . Equipment, manufactured and/or built by VIGOR INC . , and all Installa- tion shall be warranted for a period of one full year from date of acceptance . All equipment herein to b installed shall be done in such 'a manner as to fulfill all obligations stated in VICOR 'S proposal set. out in .Exhibit B attached hereto and incorporated herein . All work will be neat and utilize all the latest of installation equipment , cables , connectors , etc . Any damage done to said property during the installation will be repaired and/or replaced , no charge , by VICOR INC . Installation will commence within sixty days upon written notice by the Huntington Beach Police Department . 3 . SYSTEIM DESCRIPTION - All items of eairipment shall be operational and in good working condition . All items shall perform according; to the submittal drawings let ?Say 3 , 1973 . There are certain areas which require further explanation : a) Omni-directional microphone - The audience microphones hereir, specified shall meet the requlre 'tent:s f theen - vironment ; if, in the opinion of bo�:h partie.. they are Insufficient , more shall be added . b ) Slave Podium - The slave pod f urn: shall have controls for one of the independent audio amplifl.ers built into the podium. c) 35mm Projectors - The 35rr-.m projectors :shall be ar- .' .. ranged to be used side-by-side in a tandem operation with- out excessive rearranging. 2 . t t i d) Backroom Consoles - The tables ti'rhicti the equipment shall .be placed on shall be sturdy enough to adequately support any and all projectors specified herein . Further- more , there shall be two of this type console which shall allow changing of equipment from one table to another . The connectors for each shall be labeled and cont:ect at each table through control boxes .
