I r r _ LEAS. THIS LEASE is made and entered into this 19th c'<-1y of August , 1974, by and between WEST ORANGE COUNTY UNITED CRUSADE, hereinafter referred to as CRUSADE, and the CITY OF HUNTINGTON BEACH, a municipal corporation, hereinafter referred to as CITY. W s T N E S S E T H: TRHEREAS, the CITY is in control of certain real property as herinafter_ described which is not now r>eed.ed for CITY purposes; and WHEREAS, said property is iii an adequate and suitable location for use by CRUSADE. NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL 01"VENANTS AND PROMISES OF TEE PARTIES HERETO, IT IS HEREBY AGREED by and between therm as follo-, : 1. City hereby leases to CRUSADE acid CRUSADE leases from CITY on the terms and conditions hereinafter set forth, approximately 017 square feet of those certain premises situated at the old Huntington Beach City Hall location described as follows, to wit: those premises previously occupied by the offices of the City Clerk, Licensing, City Attorney, Economic Developm,,,nt Oftic r and Plann_.ng Departments, all of which premises are set forth. in thad plan marked and attached hereto and included herein. Specifically ex^ludin:g those premises previously occupied by the offices of the Public Information Officer, City Administrator and Building Departments. 1. r, 2. The rcerms of this lease stall be from A�zgust 15, 1.974 o June 30,, 1975. CRUSADE shall have the option to renew this lease for the fiscal years 1975/1976 and 1977, by giving written s 30 days notice to CITY within 30 days prior to end of the expiration term of said renewal. 3. The rent for the initial term shall be ONE AND N01100 ($1.00) DOLLAR payable at the commencement of the term. The rent for the opti-onal term for the fiscal years 1975/1976 and 1977 shall also be ONE AND N0/100 ($1.00) DOLLAR payable at the commencement of the optional term. 4. CITY shall prepare the premises for occupancy and shall keep and maintain zhe exterior including the grounds of the leased premises and CRUSADE shall maintain the interior_ of the leased premises subject to wear an6 tear. If CRUSADE does not maintain the interior of the leased premises, CITY may, at its option, enter and perform necessary maintenance and bill CRUSADE fo: the services rendered. 5. During the term of this lease CRUSADE agrees tr. idemnify, defend and save CITY harmless from and against any and all claims arising from arty act, omission or negligence of CRUSADE or its contractors, sublessees, licensees, ;gents, servants, employees, or ar'5ing from any accident, injury, or damage whatsoever caused to any person or property occur,ing in, on, or about the herein leased premises, and from and against all costs, expenses, and liabilities incurred in or in connection with any such claim or 2. proceeding brought thereon. CRUSADE ohall obtain for the entire term of this lease, minimum insurance liability limits as follows: Combined Single Limit Bodily Injury and/Qr Property Damage including Products Liability of ONE MILLION AND N0/100 ($1,000,000.001 DOLLARS. CRUSADE agrees that CITY'5 City Council, and/or all City Council -appointed groups, any other City Council --appointed body, and/or elective and appointive officers, servants or employees of CITY, when acting as such are additional assureds hereunder. CRUSADE shall provide CITY with a certificate of insurance on a form approved and provided by CITY. Such insurance shall b- primary to any insuz ance CITY has in effect. F During the term of this lease CRUSADE shall not make any alterations to the leased premises without the written consent of CIT`i. 7. CRUSADE shall pay promptly all utility balls applicable to th.: leased, premises during the term of }his ".ease. CITY shall provide water to the leased premises. Telephone bills will be separately charged to CRUSADE. Gas, electricity and any other utility not separately charged shall be prorated por floor space leased as determined by City Adittinistrator, 0. CITY will not make any improvements or repairs to the property except as called for by this Lease. 9. This lease may not be assigned by CRUSADE,. 10. CITY hereby ,,F�ser;vas the right to enter and inspect the premises at all reasonable times. 1 11. CRUSADE shall not permit any acts to be done on the leased premises which are in violation of any laws or ordinance nor to use or permit the use of said _premises for any use other than the use of CRUSADE or approved Human Service Agencies. 12. CRUSADE accepts the premises in its present condition A and hereby waives any claim against CITY for the ?resent condition or the future condition of the leased premises. 13. CRU:.-ADE agrees co pay taxes, if any, on its personal property in the leased premises and agroes to pay, if asseosed, any possessory interest taxes, if any. 14. Either party retains the right to terminate this lease by giving the other nineti (90) days prior written notice. After the expiration date of this lease, or renewal period thereof, it shall hold over only as a tenant at sufferance and hereby agrees to vacate tenancy of the premises at any time after a ten (10) day written notice to do so. 15. CRUSADE shall have the right of reasonable access to off --street parking _--rK.+tided within the leased premises in this lease and use of the 'Landscaped area in the general vicinity of the building. 16. CITY shall place the ceilings and air conditioning system ;into good repair and shall be responsible for the main- tenance and operation exclusive of utility costs for the air conditioning system.. 4. 17. CITY shall provide basic janitorial services including the furnishing of supplies to CRUSADE during its tenancy at a, cost determined by, City Administrator prorated based on leased floor space. CRUSADE shall pay it janitorial services on a monthly basis. The level of janitorial service may be increased with an appropriate adjustment in maintenance payments to CITY by CRUSADE. Therefore our Board of Directors at the June 16, 1977 meeting determined that it is not economically feasible to continue the current lease agreement with the city. Accordingly, pursuant to the provisions Of the lease entered into on August 19, 1974 between West Orange County United Crusade and the city of Huntington Beach for those certain premises situated at the old Huntington Beach City Hall, notice is hereby given to terminate said lease. The effective date of termination is October 1, 1977 or sooner if mutually satisfactory to bcth parties By separate correspondvnce,'those agencies with whom the Crusade has entered into a sub -lease agreement, have been notified of the above action. The City Council previously approved the expenditure of Housing and Community Development funds for the purpose of renovating the old Fire Station building in the former Civic Center site for use by the Feedback Foundation, Inc. for transportation, lunch and counseling (TLC). We are in the process of preparing a lease between the City and Feedback Foundation relating to the use of these premises. A copy of this lease was forwarded to the Feedback Foundation for their review and they responded that the lease is acceptable to them except that they would hope that. the City would consider paying the utility bills at that site. I have investigated this matter with the United Crusade who is respon- sible for administering the operational, costs at the entire complex and was informed that it was their estimate that $100 per month would. be a realistic estimate of the cost for providing electrical, gas and water services. A copy of a summary of City involvement in the TLC Program elsewhere in Orange County has been included to indicate what other cities are doing in this area. It is the contention of the Feed- back Foundation, Inc. that they would rather have the Cities provide the utilities so that they can utilize their funds for providing the neces- sary meals for senior citizens. Therefore, I am requesting direction from the City Council as to whether we should agrele to pay the utility bills at this facility or require the Feedback Foundation, Inc. to assume this additional, expense.
