Dear Sir:
At the regular meeting of the West Orange County Water
Board held Wednesday, July 24, 1968, the Consulting
Engineer for the firm pointed out that as a result of
increase in water use by your entity and increase in
rates for commercial water by the Metropolitan Water
District, it appears that the $6000.00 which the City
of Seal Beach has on deposit with the Board to cover
payment of monthly bills for water use is inadequate.
The Engineer, Mr. Woodside, recommended that the Board
request your entity to increase their deposit for the
purchase of water to $10,000.00, based on his projection
Dof future needs of your City.
You will recall that I discussed this matter with you
on the phone and we determined that due to a duplication
of payment of your June billing, you have a credit with
the Hest Orange County Water Board of $3,557.63. You
indicated in talking to me that you thought this amount
might be transferred into the deposit account, in which
case your Ctyy would only pay additionally the balance
of $442.37.
It is respectfully requested that you present this matter
to your City Council at their next meeting. If they pro-
pose to apply the $8,557.63 credit to this additional de-
posit, your letter sthdauthorize this also. We feel
sure that your water use for the month of July will exceed
the amount you presently have on deposit, so it is urgent
that your Council act on this matter prior to the next
meeting of the Board on August 28, 1968. Your co-operation
will be appreciated.

Dear Alex:
I am transmitting herewith a proposed draft of Resolution 65-69
which the West Orange County Water Board requested to be prepared
for adoption at their next meeting. They expressed a desire that
this proposed draft be sent to all West Orange County Water Board
entities as well as to other water directors taking water both
from Orange County Municipal Water District and from the Metropol-
itan Water District. I am also enclosing a rough draft of my
cover letter to both entities to whom we are sending the proposed
draft.
Will you please prepare a copy of this resolution with the number
as shown for adoption by the West Orange County Water Board at
their May meeting. We propose to mail these items to the various
entities on May 7, 1969. However, the copy which you are prepar-
ing is only for adoption by our own Soard.
In regard to the amendments to the Joint Powers Agreement which
you are going to prepare, you also might consider providing fQr
various expenses for the Board members to be permitted by resolu-
tion of the Board. I don't think it would do any harm to have a
position such as this incorporated at the time we are attempting
to change the setting of salaries for Directors, Secretary and
Assistant Secretary. Contact me if you have any-�que�rtions regard-
ing any of these items.

CONTRACT
THIS AGREEMENT, made and entered into this 1-17-1 day of
19LL, by and between the West Orange County Water
Boar a political subdivision of the State of California, hereinafter referred
to as First Party, and PMUCN, IN00EPOR.ATI'
hereinafter referred to as Second Party.
WITNESSETH:
1. Second Party, under the direction and to the satisfaction of First
Party will furnish all labor, materials, equipment, transportation and ser-
vices for the modification of existing pressure reducing station on West
Orange County Water Board Feeder No. 1, within Orange County, California,
in accordance with the plans and specifications, bid form, notice inviting
bids, wage scale and resolution of First Party, dated t1areh 25 ,
19 64 , all of which are incorporated herein and made a part hereo , as
though set out in full.
2. This Contract is to include all of the work, materials, transpor-
tation and services called for in the plans and specifications.
3. The Second Party agrees that he will pay to any laborer or
mechanic employed by him, the prevailing rate of hourly wages and rates
for legal holidays and overtime work, which rates are shown and set forth
in the Notice Inviting Bids. The Second Party shall as a penalty forfeit to
the First Party Ten Dollars ($10. 00) for each calendar day or portion there-
of for each workman paid less than the prevailing wage under this Contract,
by Second Party and by any Sub -Contractor under him.
4. Second Party agrees to commence construction of the work pro-
vided for herein within ten (10) days from the execution of this Contract and
to continue in a due and diligent workmanlike manner without interruption
and to complete construction thereof within the time limits specified (or
approved extensions thereof).
5. First Party agrees to pay to Second Party and Second Party agrees
to accept as work progresses according to specifications, subject to additions
and deductions provided therein, for the furnishing of all materials, equip-
ment, transportation and services for said construction, all in accordance
with the applicable provisions of Section 9, Measurement and Payment of
the General Provisions of the Project Specifications, which sums shall be
computed from the prices set forth in the bid submitted by Second Party.
6. Second Party agrees to use and supply only such unmanufactured
materials as have been produced in the United States, and only such manu-
factured materials as have been manufactured in the United States, substan-
tially all from materials produced in the United States.

7. Second Party shall forfeit as a penalty to the First Party, the
sum of Ten Dollars ($10. 00) for each alien knowingly employed in the execu-
tion of this Contract, for each calendar day or portion thereof during which
such alien shall be permitted or required to labor, in violation of Section
1853 of the Labor Code of the State of California.
IN WITNESS WHEREOF, the parties hereto have hereunto set their
hands and seals the day and year first hereinabove written.

complete operational and maintenance control of the -pressure
reducing»metering rate of flaw control structures, present and
future, at. all. take -of fs-� fro' m the We t • Qrange County 'dater Board
. feeders Nos. I and 2 to the.City of Westminster. This jurisdiction
shall extend from the Feeder to the downstream flange., outside and .
.downstream of the structure.
All final constructionplans and specifications for`'
additional take -offs and/err modifications of existing take -offs
from either feeder shall be the responsibility of the Board,
Manaagpt, and their Engineers.
Pricer to the -transfer -of West Orange . County Water Board
Feeder No. 1, Schedule IV, Lines No. 8, 8a and 9', to the : Ci.ty of
Westinster,.the West Orange County Qatar. Beard will design, con-
struct;inspect and supervise installation of.rage of flaw controls
and other appurtenant works at the foil,owing locations:
a; Westminster and.Nawiand.
b. Balsa, and Newland
Service• shah.. be permanently.discontinued at the existing
Willis Warner School structure.
Service shall be discontinued at the existing Hazard and
Newland structure, The existingstructure and installation shall
remain intact so as to serve as a -standby for emergency.service..
Al.l future use 'shall require the approval. of the West Orange County
Water Board,
Any changes in and/or additions to the delivery
capacities hetoinbefore mentioned shall be requested.'by letter and
shall require appropriate action by. the West'. Grange County Water
Board.
The total design capacity allotment from West Orange
County Water Beard Feeder= Nei, 1, from all take -offs to the City of

Westminster shall be 7.21 cfs and shall be received from take -offs
as follows:
5.21 cfs from Bolsa and Newland
2.00 cfs from Westminster and Newland
7.21-total design capacity
Any requests for additional take -offs from either Feeder,
not now in operation, but contemplated by the City of Westminster,
shall be submitted for the approval of the West Orange County
Water Board prior to the final planning state to allow the Board to
determine how such a take -off will effect the operation and
maintenance of the Feeder Systems.
All plans and specifications for proposed work involving
the West Orange -County Water Board facilities shall be submitted
to the Board's manager and Engineers for review, comments, and/or
approval in sufficient time prior to planned construction dates to
adequately review same.
All requests for changes in delivery pressure settings
shall be submitted to the Board's Manager and Engineers for approva
. The City of Westminster shall assume all maintenance,
operational and replacement costs on Lines No. 8, 8a and 9, in-
cluding responsibilities to the U.S. Navy.
Salvage of all materials from structures abandoned,
discontinued and/or modified at the request of the City of West-
minster are subject to the prior approval of the West Orange
County Water Board Manager.
It is understood that the Bolsa and Newland take -off is
presently planned to serve 5.21 cfs. Design has been made for a
total capacity of 7.21 cfs. In the future the City may request
utilization of the full capacity at Bolsa and Newland in which
event all other take -offs shall be disconnected.
All costs incurred by the West Orange County Water
Board for said design, construction, supervision and inspection

of the aforementioned installations shall be at the sole expense
of the City of Westminster.
The City hereby agrees to -indemnify and hold harmless
the Board from any and all claims asserted by reason of this
Agreement.
Each of the parties hereto has, by resolution of its
governing board, duly introduced, passed and adopted, certified
copies of which are hereto attached, authorized the chairman of
its'governing board and its secretary to execute and deliver to
the other party this Agreement executed in counter part.
This Agreement was executed the day and year first
above written.
