AMENDMENT NO. 2 TO CONSULTING AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND BOYLE ENGINEERING CORPORATION FOR RELOCATION OF THE 24" STEEL WATER LINE CROSSING THE SANTA ANA RIVER AT ADAMS AVENUE BRIDGE THIS AGREEMENT is made and entered into this 21st day of September , 1992, by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California, hereinafter referred to as "CITY," and BOYLE ENGINEERING CORPORATION, a California corporation, hereinafter referred to as "CONTRACTOR." WHEREAS, CITY and CONTRACTOR are parties to that certain Agreement, dated December 17, 1990, entitled "Consulting Agreement Between the City of Huntington Beach and Boyle Engineering Corporation for the Relocation of the 24" Steel Water Line Crossing the Santa Ana River at Adams Avenue Bridge," hereinafter referred to as "the Agreement;" and Since the adoption of the original Agreement, CITY has requested additional work from CONTRACTOR and CONTRACTOR has agreed to perform such work; and CITY and CONTRACTOR wish to further amend the Agreement to reflect the extra work to be performed by CONTRACTOR and the additional compensation to be paid in consideration thereof by CITY to CONTRACTOR, NOW, THEREFORE, it is agreed by and between CITY and CONTRACTOR as follows: AJFk 8/92343 1 • 1. ADDITIONAL WORK CONTRACTOR shall provide CITY such additional services as described in CONTRACTOR'S letters dated December 18, 1991 and August 11, 1992, copies of which are attached hereto as Exhibit "A" and made a part hereof by this reference. 2. ADDITIONAL COMPENSATION In consideration of the additional engineering design services referenced in Section 1 above, CITY agrees to pay CONTRACTOR, on a time and materials basis, a sum not to exceed Fifteen Thousand Dollars ($15,000.00). 3. ADDITIONAL TIME FOR COMPLETION OF TASKS All services described in the original Agreement and herein shall be completed on or before January 28, 1993. 4. REAFFIRMATION Except as specifically modified herein, all other terms and conditions of the Agreement shall remain in full force and effect. Our scope will remain as stated previously; our fee has been revised to reflect the rate schedules effective March 1992. We propose to provide these services on a time and materials basis in accordance with the attached updated rate schedule. We estimate our fee for the proposed scope of work to be approximately $14,200. Travel, photocopying and computer time will be billed at rates shown on the schedules for a combined sum not to exceed the $200 direct cost allowance, until additional authorization is given. We understand the City of Huntington Beach (City) will administer the construction contract and perform the construction inspection for the project. Our scope of work will consist of the following: Attend the pre -construction meeting. 2. Review shop drawings submitted by the contractor. Review will include pipeline layouts, pipeshell design, pipe joint details, dimensions and design of pipe specials, pipe supports, and appurtenances. Review of one resubmittal is included in the fee estimate. 5. Attend two progress meetings. 4. Attend three monthly field meetings with the City's representative. 5. Furnish consultation and advice to City staff as requested. We propose to provide these services on a time and materials basis in accordance with the attached rate schedule. We estimate our fee for the above scope of work to be approximately $13,400. However, since the extent of our effort is dependent upon the contractor's performance and beyond our control, we propose to provide these construction phase services until billings equal the City's allocation, at which time additional authorization will be required. In view of the pipe specials required to be fabricated for this project, we suggest in -plant inspection be performed at the pipe manufacturing plant to witness such items as the City of Huntington Beach Attn: Mr. Jeffrey R. Renna Page 2 December 18, 1991 hydrostatic test and the bend and tensile tests of production welds. We can provide these services on the same time and materials basis as above if desired by the City. We suggest an allowance of $5,000 be added to the above fee estimate if these services are desired. WHEREAS, CITY desires to engage the services of a civil engineering firm for the preparation of preliminary plans, final working drawings, contract specifications and other related documents as described in Exhibit "A" for the relocation of the 24" steel water line crossing the Santa Ana River at Adams Avenue Bridge in the City of Huntington Beach; and Pursuant to documentation on file in the office of the City Clerk, the provisions of H.B.M.C. Chapter 3.03, relating to procurement of professional service contracts, has been complied with; and CONTRACTOR has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as follows: 1. WORK STATEMENT CONTRACTOR shall provide all services as described in the Telemetry Systems Contract as Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference. Said services shall sometimes hereinafter be referred to as "PROJECT." CONTRACTOR hereby designates Phillip Stone, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. -1- 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONTRACTOR in the performance of this Agreement. 3. TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of the CONTRACTOR are to commence as soon as practicable after the execution of this Agreement which execution shall be considered Notice to Proceed and all tasks specified in Exhibit "A" shall be completed no later than September 9, 1991. These times may be extended with the written permission of the CITY. The time for performance of the tasks identified in Exhibit "A" are generally to be as shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the CITY and CONTRACTOR. However, notwithstanding the above, CONTRACTOR shall not be responsible for delays not within CONTRACTOR'S reasonable control. 4. COMPENSATION In consideration of the performance of the engineering services described in Section 1 above, CITY agrees to pay CONTRACTOR a fee of FIFTY-ONE THOUSAND THREE HUNDRED NINETY-NINE DOLLARS ($51,399.00). 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A," or changes in the scope of services described in Exhibit "A," CONTRACTOR will undertake such work after receiving written authorization from CITY. The scope fee and schedule for such extra work shall be set forth in change orders to this agreement, to be signed by both parties. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained, unless work is performed on an -2- 0 0 expedited basis. 6. METHOD OF PAYMENT A. CONTRACTOR shall be entitled to progress payments toward the fixed fee set forth in Section 4 herein in accordance with the progress and payment schedules set forth in "Exhibit A". B. Delivery of preliminary materials: A copy of every technical memo and report prepared by CONTRACTOR under this agreement shall be submitted to the CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such material, CITY shall identify specific requirements for satisfactory completion. Any such material which has not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONTRACTOR shall submit to the CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONTRACTOR'S firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONTRACTOR is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days' of receipt of the invoice by CITY. Such approval shall not be -3- 0 • unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify CONTRACTOR in writing of the reasons for non -approval, within seven (7) calendar days of receipt of the invoice, and -the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONTRACTOR is in, or has been brought into compliance, or until this Agreement is terminated pursuant to Section 12 hereof. D. Any billings for extra work or additional services authorized by the CITY shall be invoiced separately to the CITY. Such invoice shall contain all of the information required under paragraph 6C, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CITY acknowledges that CONTRACTOR'S plans and specifications are instruments of professional service; nevertheless CONTRACTOR agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notes, calculations, maps and other documents, shall be turned over to CITY upon termination of this Agreement or upon PROJECT completion, whichever shall occur first. In the event this Agreement is terminated, said materials may be used by CITY in the completion of PROJECT. Title to said materials shall pass to the CITY upon -4- payment of fees determined to be earned by CONTRACTOR to the point of termination or completion of the PROJECT, whichever is applicable. CONTRACTOR shall be entitled to retain copies of all data prepared hereunder. 8. INDEMNIFICATION AND HOLD HARMLESS CONTRACTOR hereby agrees to indemnify and hold and save harmless CITY, its officers and employees from any and all liability, including any claim of liability and any and all losses or costs arising out of the negligent performance of this agreement by CONTRACTOR, its officers or employees. 9. WORKERS' COMPENSATION CONTRACTOR shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney's fees and costs presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONTRACTOR under this Agreement. CONTRACTOR shall obtain and furnish evidence to CITY of maintenance of statutory workers' compensation insurance and employers' liability in an amount of not less than $100,000 bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each employee, and $250,000 bodily injury by disease, policy limit. -5- • 10. INSURANCE In addition to the workers' compensation insurance and CONTRACTOR'S covenant to indemnify CITY, CONTRACTOR shall obtain and furnish to CITY the following insurance policies covering the PROJECT: A. General Liability Insurance. A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify CONTRACTOR, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONTRACTOR'S insurance shall be primary. B. Professional Liability Insurance. CONTRACTOR shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONTRACTOR'S professional liability in an amount not less than $500,000 per claim. A claims made policy shall be acceptable. 0 0 11. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED ENDORSEMENTS Prior to commencing performance 'of the work hereunder, CONTRACTOR shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by Sections 9 and 10 herein; said certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force and shall promise to provide that such policies will not be cancelled or modified without thirty (30) days prior written notice to CITY. CONTRACTOR shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY BY CONTRACTOR under Section 8 of this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONTRACTOR shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. A separate copy of the additional insured endorsement to each of CONTRACTOR'S insurance policies, naming the CITY, its officers and employees as Additional Insureds shall be provided to the City Attorney for approval prior to any payment hereunder. 12. INDEPENDENT CONTRACTOR CONTRACTOR is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. CONTRACTOR shall secure at its expense, and be responsible for any and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll -7- 'I itial deductions for CONTRACTOR and its officers, .-bgw and employees and all business licenses, if any, in connection with the services to be performed hereunder. Any agents hired by CONTRACTOR will comply with this provision. 13. TERMINATION OF AGREEMENT All work required hereunder shall be performed in accordance with the standards of the profession for similar professionals performing services in this area at this time. CITY may terminate CONTRACTOR'S services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing through the City Engineer, notice of which shall be delivered to CONTRACTOR as provided in Section 16 herein. nitial 14. The existing water line must be replaced to accommodate the Corps of Engineers Santa Ana River and Greenville -Banning flood control channels' improvement project. It is the City's desire that the chosen project team be capable of: Reviewing all pertinent existing drawings. Performing all necessary field investigations and measurements. Formulating new options and making recommendations to the City with regard to the designated "Bridge Crossing Option" and the "Santa Ana River Crossing Option" (including evaluation of seismic stability, preparation of construction cost estimates, evaluation of the impact the option will have on the Army Corps of Engineers' Santa Ana River Project, evaluation of the impact the option will have on the City's maintenance operations, and evaluation of the extent and difficulty of repairs to the pipeline after a design earthquake and/or design flood). Preparing preliminary drawings. Providing assistance and completing all required forms during the environmental review process, if necessary. Preparing final working drawings (including project specifications and related documents). Providing calculations for the project. Designing a cathodic protection system. Acting as liaison between the relevant municipal agencies (to ensure approval during the permit process). Preparing construction cost estimates. In addition, the project team must be able to attend a minimum of ten meetings (a minimum of three meetings during the preliminary phase and a minimum of seven meetings during the final design phase) with the City Staff. Boyle's Oualificatlons Currently, four of Boyle's pipeline relocation projects are being constructed in coordination with the Corps. The plans and specifications we are preparing for the CSOOC and Mesa relocation projects will be incorporated with the Corps' construction documents. Another two of our pipeline relocation projects will be constructed prior to the Corps' construction of their reach. All of these projects stem from the Corps' Santa Ana River Project. Since our projects require close coordination with the Corps and the Orange County Environmental Agency, we are familiar with the involved people, process, and projects. We are also familiar with the Corps' time frame(s) for its reaches. Outline of How The Firm Will Handle the Project. Coordination with the Corps of Engineers Santa Ana River Project with construction on the Greenville -Banning Channel scheduled to begin in April 1991 and construction on the Santa Ana River scheduled to begin in April 1992 is an important element in implementing this project. Therefore, the preliminary engineering phase will serve to: Analyze alternative crossing options and select the preferred option for development in the final design phase. Identify schedule constraints and develop a project implementation schedule. In accordance with our projected time schedule (located in the "Scope" section of this proposal), we propose to begin the preliminary engineering design phase of this project in October, 1990. The projected completion date is May, 1991. We propose to begin the final engineering design phase of this project in February, 1991 and anticipate completion by August, 1991. The final design phase will: Provide the final analysis and design for the relocated pipeline facility. Prepare final construction plans and contract documents and receive bids. Complete coordination and permit processing for the construction. This is just a brief outline of how we plan to handle the proposed project. A detailed description of our approach can be found in the "Scope" section of this proposal. 2`1 • Sctpe of Work 1� The City's Request for Proposal (RFP) included a Scope of Work that separates the work into two phases, preliminary engineering and final design. We recognize the construction schedule of the Corps of Engineers (COE) Santa Ana River Project will have an impact on the implementation of this project. Currently, we understand, the COE is planning construction on the Greenville -Banning Channel to start in April 1991, with construction of the Santa Ana River improvements to begin in April 1992. Consequently, coordination of this project with the COE project is critical. The following is a detailed discussion of our approach to the Scope of Work. A. Preliminary Engineerin4 The preliminary engineering phase will formulate and investigate two alternative 7 concepts for relocating the pipeline across the two channels. The significant aspects of the preliminary engineering phase are as follows: 1. Review of Existing Documents gal Existing data pertaining to the current 24-inch water line, the Adams Avenue bridge, and the COE's Santa Ana River Project, other utilities and mi1 improvements within the project area will be researched and gathered. This involves making both field and office contacts with public and municipal utilities. Information such as the type of utility, material, size, ®� depth and horizontal locations (including main line facilities for such underground utilities as water, sewer, gas, telephone, electrical, storm — drain, television cable and traffic control systems) will be also be �l gathered. In addition, we will obtain the relevant right-of-way/easement documents and tract maps. The COE's current schedule will be obtained and reviewed with City Staff, and a project schedule developed to coordinate with the construction window set by the Orange County Environmental Management Agency (OCEMA) and the City. I J ri 7► 2. Field Investigations a. Design Field Surveys Design field surveys will be provided for vertical and horizontal control, and aerial topography and culture as required for design purposes in preparation of the plans and specifications. b. Soils Investigation We propose a soils investigation be performed only if the City selects the option of crossing beneath the Santa Ana River, in which case a soils investigation typical for this kind of pipeline facility will be provided. 3. Pipeline Crossing Alternatives The RFP has stipulated two pipeline crossing options be investigated. A comparison of the two options will be made and will consider such items as construction costs, seismic exposure, impact on the COE project with relation to location and scheduling, and operation and maintenance procedures. We will recommend a crossing option for development in the final design phase after reviewing our analysis with City Staff. a. Bridge Crossing This option involves supporting the pipeline from the existing Adams Avenue bridge across the Santa Ana River and Greenville - Banning channels. For analysis purposes, we will contact OCEMA to obtain available design information on the bridge. The seismic stability analysis will first identify the seismic event that will have the most impact on the bridge. This most likely is an event on the Newport -Inglewood fault. The movement of the bridge will be estimated and the ability of the proposed pipeline to accommodate the projected movement, particularly at the abutments, will be analyzed. A concept of this option will be developed. Access for maintenance functions and repair procedures will be evaluated and reviewed with City Staff. WI 5. C� b. Channel Crossing This option would entail constructing the new pipeline beneath the Santa Ana River and the Greenville -Banning Channels. Construction across the Santa Ana River could be accomplished in an open trench during the non -storm portion. of the year. The Corps of Engineers current schedule for this reach of the Santa Ana River calls for construction to begin in April 1992. Therefore, coordination will be required to accomplish this relocation prior to the river improvement project. Since the COE's Greenville -Banning Channel construction is scheduled to begin in April 1991, this option will consider crossing an existing rectangular concrete channel. The concept will be developed and evaluated with relation to possible damage resulting from such elements as buoyancy and scour during floods, and exposure to soil liquefaction during seismic activity. Preliminary Drawings and Report The alternative crossing analysis will be summarized in a report to the City for review and approval prior to proceeding with final design. Preliminary drawings will be prepared in sufficient detail to illustrate the concept of the recommended option. Environmental Processing Assistance It is our understanding that the COE Environmental Impact Report sufficiently covers the relocation of existing utilities. Boyle will prepare the negative declaration forms for the City. Meetings This proposal includes an allowance for three progress meetings during the preliminary engineering phase. B. Final Design The final design phase will culminate in the preparation of construction contract documents based upon the crossing alternative approved by the City. 1. Plans and Specifications The plans and specifications will be prepared as outlined in the RFP to cover construction of the pipeline relocation. Boyle will prepare the special and technical provisions of the specification for inclusion with the City's' standard contract documents. 2. Calculations The relevant calculations will be provided. 3. Cathodic Protection System A soil corrosivity study will be made for the selected crossing alternative and, if necessary, a cathodic protection system for the relocated portion of the pipeline will be designed. 4. Permit Processing Preliminary and final plans and specifications will be reviewed with the various jurisdictional agencies (including the Orange County Environmental Management Agency, the City of Costa Mesa, and the City of Huntington Beach) and the required permit applications will be processed. In addition, preliminary plans will be processed through all affected utilities. The project plans will be transmitted to each utility. The utility, in turn, will be requested to review the accuracy of the plotting of their facilities, both live and abandoned. S. Construction Cost Estimate A construction cost estimate will be prepared to accompany the 90% completion submittal. 6. Bidding Period Support The City will be administering the advertising and award of the construction contract. Boyle will provide the assistance during the bidding period as outlined in the RFP. 41 i 7. Design Submittals In addition to the coordination meetings mentioned below, drawings will be submitted in the final design phase at the 25%, 50%, and 90% completion stages. The specifications will be submitted at the 50% and 90% completion stages. 8. Meetings Timely meetings will be held with City staff to review the progress of the work. As requested in the RFP's, we will attend a minimum of seven meetings, including the pre -construction and pre -bid meetings as outlined in the RFP. 9. This has now been accomplished and the agreement must be approved by the Council in order to proceed. ecommendation: Authorize the Mayor and City Clerk to execute the attached Amendment No. 1 to Consultant Contract with Boyle Engineering Corporation. Analysis: In December, 1990, the City Council entered into an agreement with Boyle Engineering Corporation (BEC) to design a pipeline relocation for the City's twenty-four inch water transmission main crossing the Santa Ana River in Adams Avenue. This pipeline must be relocated from the bed of the river to the interior of the Adams Avenue Bridge structure because of the work being done to the river channel by the U.S. Army Corps of Engineers. BEC's contract price for this work was $51,399.00. BEC completed this work and on October 7, 1991, the City Council authorized a call for bids for the project. The estimated cost was $400,000.00. Bids were received on November 20, 1991, and were substantially more than the estimated amount due to an addendum issued by the City on the advice of BEC. The addendum required a change in the pipe wall thickness which increased the cost of the pipe required to complete this project. Consequently, on December 16, 1991, City Council rejected all bids and directed staff to negotiate with BEC to modify the design to reduce the overall construction cost of the project. The negotiations have now been completed. The City Council is requested to authorize the additional work, authorize a $5,000 increase in cost, and execute corresponding Amendment No. 1 to the original contract. Funding Source• Fiscal Year 1991-92 Water Fund Capital Improvement Project Account E-EW-PC-804-6-29-00. Alternative Actions: 1. Do not approve the amendment and forego the project. This option will have an adverse impact on the Army Corps of Engineers Santa Ana River Project and could involve litigation with the Army Corps of Engineers and the County of Orange. 2. Do not approve the amendment and direct staff on how to proceed. This option will delay the project and possibly involve litigation with the Army Corps of Engineers and the County of Orange. Recommendations: 1. Approve the selection of Boyle Engineering Corporation to perform the Engineering Services for this project. 2. Authorize the Mayor and City Clerk to execute the attached Consultant Agreement with Boyle Engineering Corporation for a fee not to exceed $51,399. Analysis: The 24-inch Water Transmission Main to be relocated is the last reach of a major pipeline between Huntington Beach and Metropolitan Water District Connection OC-44, located at the San Joaquin Reservoir in Newport Beach. This portion of the pipeline crosses the Santa Ana River at Adams Avenue and requires relocation due to the Army Corps of Engineers Santa Ana River Project. The Santa Ana River Project involves major improvement work to the River proper. The portion needing relocation is approximately 600 feet in length. This water main is owned by the City and operated under a permit granted by the County of Orange which requires the Permittee, the City of Huntington Beach, to modify and/or relocate this facility at City expense whenever required by the County. PI O 5/85 LJ Page two 24-inch Water Transmission Main Relocation at Adams Avenue and the Santa Ana River: CC-804 The County of Orange has given notice to the City that this 24-inch Water Transmission Main will require relocation as a result of the Army Corps of Engineers lowering of the Santa Ana River by approximately ten feet in the area of our pipeline. The work to be performed involves thorough analyses of the seismic stability of various options for relocating the 24-inch Water Transmission Main. In addition, the contract will include the preparation of contract drawings, contract specifications and cost estimate for bidding. Therefore, pursuant to Chapter 3.03 "Professional Services" of the Municipal Code, proposals were solicited from seven qualified civil engineering firms. Five proposals were received on August 14, 1990. Staff reviewed each proposal received, evaluated each firm's qualifications to do the work, and recommends the selection of Boyle Engineering Corporation based on the approach outlined in their proposal, experience in working with the Army Corps of Engineers on similar relocation projects, and the structural engineer assigned to this project was the project engineer on the design of the Adams Avenue Bridge for the County of Orange. The Scope of Work for which proposals are being solicited includes the following tasks: PRELIMINARY ENGINEERING: 1. Review all existing drawings, including the Adams Avenue Bridge drawings, the 24" water transmission pipeline drawings and the Army Corps of Engineers' Santa Ana River Project drawings. 2. Perform all necessary field investigations and measurements, including field survey, geotechnical, etc., to design the complete project. 3. Formulate new options and make recommendations to the City on the following: A. Bridge Crossing Option: Evaluate the seismic stability of this option, prepare a preliminary cost estimate for construction, evaluate impacts this option may have on the Army Corps of Engineers' Santa Ana River Project, evaluate the impact this option may have on our maintenance operations, and evaluate the extent and difficulty of repairs to the pipeline after a design earthquake and design flood. Santa Ana River Crossing Option: Prepare a preliminary construction cost estimate, evaluate the seismic stability of this option, evaluate impacts on the Army Corps of Engineers' Santa Ana River Project, evaluate the impacts this option has on our maicitenance operations, and evaluate the extent and difficulty of repairs to the pipeline after a design earthquake and design flood. 4. Prepare preliminary drawings on the final selected option of task three above. 5. Provide assistance and complete all required forms during the environmental review process, if necessary. An Environmental Impact Report has been adopted for the Army Corps of Engineers' Santa Ana River Project. 6. Attend a minimum of three (3) meetings with City Staff during the preliminary phase. FINAL DESIGN: 1. Prepare final working drawings, project specifications and other related documents necessary for bidding, based on decisions made during the preliminary design phase. Final drawings shall be on City -furnished mylars with no "sticky backs." Final drawings and other related documents shall be delivered to and become property of the City of Huntington Beach at the conclusion of this contract. 2. Provide all calculations for the relocation project. 3. Design a cathodic protection system for the final selected option. 4. Coordinate with the Orange County Environmental Management Agency, the City of Costa Mesa and the City of Huntington Beach to ensure approval during the permit process. 5. Prepare a construction cost estimate to be used for requesting funds. 6. Provide support to the City during the bidding period on the following: A. Attendance at the Pre -bid Meeting. B. Submit drawings for review at the 25%, 50% and 90% completion stages, and submit specifications at the 50% and 90% completion stages. The City will furnish the standard boiler plate specifications which include: Notice Inviting Sealed Bids; Sample Construction Contract; and the NPDES Permit. Consultant will prepare the special and technical provisions for the project. 8. Attend a minimum of seven (7) meetings with City staff, two of which will be the aforementioned pre -construction meeting and pre -bid meeting. 9. Based on approval of drawings, specifications and cost estimate, the consultant shall provide forty (40) sets of the following for use in the bidding process: A. Final construction drawings; B. All other contract documents required for bidding. GENERAL REQUIREMENTS: Furnish proof of the following minimum insurance requirements with the proposal: 1. General Liability coverage - $1,000,000 CSL per occurrence. (Note: If provided coverage is under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000). 2. Professional Liability coverage - $500,000 per occurrence. (Note: A Claims -made Policy is acceptable). 3. Workers' Compensation coverage in an amount of not less than $100,000 bodily injury by accident, each accident $100,000 bodily injury by disease, each employee $250,000 bodily injury by disease, policy limit. The advertising for bids and awarding of a construction contract for this project will be administered by City staff. In addition, City personnel will control contract administration and perform required construction inspections. The consultant shall recommend any special inspection procedures to be used. Proposals for this project must be submitted to my attention no later than 4:00 P.M. on August 14, 1990, with 24" Waterline Relocation noted on the envelope. A list of personnel, including the proposed project manager, who will be assigned to design team on this project along with their brief resumes. The Project Manager shall attend each meeting. 5. A detailed listing of each task to be performed and the corresponding man hours and costs for each task. Number each task as outlined. This will be used as the progress payment form. 6. Your fee based on an hourly rate. A maximum not -to -exceed fee should also be specified. Submit Item No. 6 in a separate sealed attached envelope with the notation "fees." After the receipt of proposals, proposals will be screened and ranked relevant to: 1. Expertise and experience; 2. The approach to be used as outlined in the proposal; 3. Ability to complete the project in a timely and consistent manner; 4. Strength of seismic evaluation background. The most qualified consultants may be interviewed prior to the final evaluation. Consequently, we are familiar with the people, process, and projects involved with the River project, as well as the Corps' reach time frame(s). We are also familiar with the project site. Our bridge design experience includes the $2.6 million Adams Avenue Bridge. Key factors to consider when reviewing Boyle's qualifications: * Proposal Contents -- We have taken great care in developing this proposal. In the sections which follow, you will find: 1) Introduction -- An overview of Boyle's understanding, capabilities, and approach regarding this project. 2) Scope -- A detailed explanation of each task to be performed, and the corresponding man-hours and costs for each task. Also included in this section is Boyle's projected time schedule for completing the project. 3) Staff -- An organizational chart and resumes for the proposed key staff members assigned to this project. Please note: The organizational chart has been designed to fold out so that you may reference it as you read about the project team. 4) Experience -- Brief descriptions of our current, relevant pipeline projects. * Boyle's Prior Experience -- As stated above, we are currently working with the Corps of Engineers on various pipeline relocation projects stemming from the Santa Ana River Project. Additionally, our experience includes over 45 years of designing water lines for municipal agencies. Our proposed project manager, Philip Stone, has over 27 years of experience in the design of pipelines, and is the project manager for the CSDOC "Modification to Four Trunk Sewer Crossings of Santa Ana River' project. Our proposed project engineer, Russell Hulse, has over 28 years of experience in pipeline design and is the project manager for the Mesa Consolidated Water District "Relocation of 30-Inch North -South Pipeline" project. Both projects are a direct result of the Santa Ana River Project and are being constructed in coordination with the Corps of Engineers. Our structural engineer, David Scherschel, has over 31 years of experience in bridge design and was the structural engineer on the Adams Avenue Bridge project. * General Liability, Professional Liability, and Worker's Compensation Coverage -- Upon - being selected, Boyle will provide the City with the required insurance certificates. In addition, per your request, enclosed is a separate sealed envelope marked "fees" which contains our fee based on an hourly rate and which specifies a maximum not -to -exceed fee. Vi r., P.E. c p �j Project Manager Vice President Enclosure O.P-37.90 OG899-197-00/Mw Understanding of the Project It is our understanding that the City of Huntington Beach seeks an engineering firm, with proven knowledge and experience in the area of pipeline design, to relocate a 24" water line at the intersection of the Adams Avenue Bridge and the Santa Ana River. The existing water line must be replaced to accommodate the Corps of Engineers Santa Ana River and Greenville -Banning flood control channels' improvement project. It is the City's desire that the chosen project team be capable of: Reviewing all pertinent existing drawings. Performing all necessary field investigations and measurements. - Formulating new options and making recommendations to the City with regard to the designated "Bridge Crossing Option" and the "Santa Ana River Crossing Option" (including evaluation of seismic stability, preparation of construction cost estimates, evaluation of the impact the option will have on the Army Corps of Engineers' Santa Ana River Project, evaluation of the impact the option will have on the City's maintenance operations, and evaluation of the extent and difficulty of repairs to the pipeline after a design earthquake and/or design flood). - Preparing preliminary drawings. Providing assistance and completing all required forms during the environmental review process, if necessary. Preparing final working drawings (including project specifications and related documents). Providing calculations for the project. - Designing a cathodic protection system. - Acting as liaison between the relevant municipal agencies (to ensure approval � J during the permit process). 1 - Preparing construction cost estimates. �i In addition, the project team must be able to attend a minimum of ten meetings (a minimum of three meetings during the preliminary phase and a minimum of seven meetings during the final design phase) with the City Staff. • Boyle's Ouallfications Currently, four of Boyle's pipeline relocation projects are being constructed in coordination with the Corps. The plans and specifications we are preparing for the CSDOC and Mesa relocation projects will be incorporated with the Corps' construction documents. Another two of our pipeline relocation projects will be constructed prior to the Corps' construction of their reach. All of these projects stem from the Corps' Santa Ana River Project. Since our projects require dose coordination with the Corps and the Orange County Environmental Agency, we are familiar with the involved people, process, and projects. We are also familiar with the Corps' time frame(s) for its reaches. Outline of How The Firm Will Handle the Project. Coordination with the Corps of Engineers Santa Ana River Project with construction on the Greenville -Banning Channel scheduled to begin in April 1991 and construction on the Santa Ana River scheduled to begin in April 1992 is an important element in implementing this project. Therefore, the preliminary engineering phase will serve to: Analyze alternative crossing options and select the preferred option for development in the final design phase. - Identify schedule constraints and develop a project implementation schedule. In accordance with our projected time schedule (located in the 'Scope' section of this proposal), we propose to begin the preliminary engineering design phase of this project in October, 1990. The projected completion date is May, 1991. We propose to begin the final engineering design phase of this project in February, 1991 and anticipate completion by August, 1991. The final design phase will: - Provide the final analysis and design for the relocated pipeline facility. - Prepare final construction plans and contract documents and receive bids. - Complete coordination and permit processing for the construction. This is just a brief outline of how we plan to handle the proposed project. A detailed description of our approach can be found in the 'Scope` section of this proposal. a 0 The City's Request for Proposal (RFP) included a Scope of Work that separates the work into two phases, preliminary engineering and final design. We recognize the construction schedule of the Corps of Engineers (COE) Santa Ana River Project will have an impact on the implementation of this project. Currently, we understand, the COE is planning construction on the Greenville -Banning Channel to start in April 1991, with construction of the Santa Ana River improvements to begin in April 1992. Consequently, coordination of this project with the COE project is critical. The following is a detailed discussion of our approach to the Scope of Work. A. Preliminary( Engineering The preliminary engineering phase will formulate and investigate two alternative concepts for relocating the pipeline across the two channels. The significant aspects of the preliminary engineering phase are as follows: 1. Review of Existing Documents Existing data pertaining to the current 24-inch water line, the Adams Avenue bridge, and the COE's Santa Ana River Project, other utilities and lei improvements within the project area will be researched and gathered. This involves making both field and office contacts with public an municipal utilities. Information such as the type of utility, material, size, depth and horizontal locations (including main line facilities for such underground utilities as water, sewer, gas, telephone, electrical, storm drain, television cable and traffic control systems) will be also be gathered. In addition, we will obtain the relevant right-of-way/easement documents and tract maps. The COE's current schedule will be obtained and reviewed with City Staff, and a project schedule developed to coordinate with the construction window set by the Orange County Environmental Management Agency (OCEMA) and the City. I J � J a 2. Field Investigations a. Design Field Sun✓eys Design field surveys will be provided for vertical and horizontal control, and aerial topography and culture as required for design purposes in preparation of the plans and specifications. We propose a soils investigation be performed only if the City selects the option of crossing beneath the Santa Ana River, in which case a soils investigation typical for this kind of pipeline facility will be provided. 3. Pipeline Crossing Alternatives The RFP has stipulated two pipeline crossing options be investigated. A comparison of the two options will be made and will consider such items as construction costs, seismic exposure, impact on the COE project with relation to location and scheduling, and operation and maintenance procedures. We will recommend a crossing option for development in the final design phase after reviewing our analysis with City Staff. ..: This option involves supporting the pipeline from the existing Adams Avenue bridge across the Santa Ana River and Greenville - Banning channels. For analysis purposes, we will contact OCEMA to obtain available design information on the bridge. The seismic stability analysis will first identify the seismic event that will have the most impact on the bridge. This most likely is an event on the Newport -Inglewood fault. The movement of the bridge will be estimated and the ability of the proposed pipeline to accommodate the projected movement, particularly at the abutments, will be analyzed. A concept of this option will be developed. Access for maintenance functions and repair procedures will be evaluated and reviewed with City Staff. I b. Channel Crossina This option would entail constructing the new pipeline beneath the Santa Ana River and the Greenville -Banning Channels. Construction across the Santa Ana River could be accomplished in an open trench during the non -storm portion. of the year. The Corps of Engineers current schedule for this reach of the Santa Ana River calls for construction to begin in April 1992. Therefore, coordination will be required to accomplish this relocation prior to the river improvement project. Since .the COE's Greenville -Banning Channel construction is 1� scheduled to begin in April 1991, this option will consider crossing an existing rectangular concrete channel. The concept will be developed and evaluated with relation to possible damage resulting from such elements as buoyancy and scour during floods, and exposure to soil liquefaction during seismic activity. 4. Preliminary Drawings and Report •' The alternative crossing analysis will be summarized in a report to the 1 City for review and approval prior to proceeding with final design. IPreliminary drawings will be prepared in sufficient detail to illustrate the concept of the recommended option. I� 5. Environmental Processing Assistance IN It is our understanding that the COE Environmental Impact Report it sufficiently covers the relocation of existing utilities. Boyle will prepare the negative declaration forms for the City. I 6. Meetings m This proposal includes an allowance for three progress meetings during ^I the preliminary engineering phase. MJ 1 0 B. Final Design The final design phase will culminate in the preparation of construction contract documents based upon the crossing alternative approved by the City. 1. Plans and SpecMcatlons The plans and specifications will be prepared as outlined in the RFP to cover construction of the pipeline relocation. Boyle will prepare the special and technical provisions of the specification for inclusion with the City's' standard contract documents. 2. Calculations The relevant calculations will be provided. 3. Cathodic Protection System A soil corrosivity study will be made for the selected crossing alternative and, if necessary, a cathodic protection system for the relocated portion of the pipeline will be designed. 4. Permit Processing Preliminary and final plans and specifications will be reviewed with the various jurisdictional agencies (including the Orange County Environmental Management Agency, the City of Costa Mesa, and the City of Huntington Beach) and the required permit applications will be processed. In addition, preliminary plans will be processed through all affected utilities. The project plans will be transmitted to each utility. The utility, in turn, will be requested to review the accuracy of the plotting of their facilities, both live and abandoned. 5. Construction Cost Estimate A construction cost estimate will be prepared to accompany the 90% completion submittal. 6. Bidding Period Support The City will be administering the advertising and award of the construction contract. Boyle will provide the assistance during the bidding period as outlined in the RFP. 0 0 7. Design Submittals In addition to the coordination meetings mentioned below, drawings will be submitted in the final design phase at the 25%, 50%, and 90% completion stages. The specifications will be submitted at the 50% and 90% completion stages. e. Meetings Timely meetings will be held with City staff to review the progress of the work. As requested in the RFP's, we will attend a minimum of seven meetings, including the pre -construction and pre -bid meetings as outlined in the RFP. 9. Recommendations: Approve the contract amendment and authorize the expenditure of an amount not to exceed $15,000 for Boyle Engineering Corporation to provide these services. Analysis: Boyle Engineering Corporation (BEC) provided the design engineering services for this project. As such, they have an intimate knowledge of the project, and its specific design criteria. The required support expertise and number of dedicated hours required for a project of this magnitude is not available from City staff members. Construction support involves the intimate review of construction shop drawings, calculations and details specific to the Contractor's chosen method of construction. All of these must be consistent with the Design Engineer's original concepts. The project consists of the relocation of the twenty-four inch line which crosses the Santa Ana River at Adams Avenue.
