SUBJECT: Recordation of Grant Deeds and Memorandum of Environmental
Indemnification Agreement for Peter Green Neighborhood Park
On October 21,2002,the City Council approved acceptance of a park parcel and environmental
indemnification agreement for Holmby Park(subsequently renamed Peter Green Neighborhood
Park). The agreement required that portions of the park property be conveyed to the City via a
grant deed or easement and that a memorandum of environmental indemnification agreement
also be executed once the area had been remediated and the park improvements were complete.
Both of these conditions have been satisfied and the grant deeds, easement and agreement may
be signed and recorded. Accordingly, attached are the following documents to be recorded in the
order listed below:
D-1: Grant Deed conveying property from PLC to Mansion Properties, Inc. (This
document does not require City signatures but is ready for recordation.)
D-2: Grant Deed conveying property from Mansion Properties, Inc.to City of
Huntington Beach. (Please complete Deed Certification on second page.)
E: Easement Agreement (Requires signatures, completion of the Certificate of
Acceptance and notarization.)
F: Memorandum of Environmental Indemnification Agreement. (Requires
signatures and notarization.)
The four documents have been reviewed and approved by the City Attorney's office and have all
other required signatures. The documents do not require City Council action as they were
attached to the City Council-approved agreement of 2002. Please notify me when the documents
have been recorded and send conformed copies to my attention as soon as they are available.

EASEMENT AGREEMENT a
This Easement Agreement(the "Agreement")is entered into as of Ap r7i
2005, by and between Mansion Properties, Inc., a California corporation (the "Grantor"), 9
and the City of Huntington Beach, a municipal corporation of the State of California (the
"Grantee"), who agree as follows:
1. Recitals. This Agreement is made with reference to the following facts and
circumstances:
(a) The Grantor is the owner of certain real property situated in the City of
Huntington Beach, County of Orange, California(the "Easement Property"), and more
particularly described on Exhibit"A" and as depicted on Exhibit "B",both attached to
this Agreement and incorporated by this reference.
(b) The Easement Property is subject to Development Agreement No. 90-1,
recorded November 14, 1990, as Document No. 90-599766 in the Official Records of
Orange County, California(the "Development Agreement").
(c) Pursuant to the Development Agreement, the Grantor is obligated to
dedicate the Easement Property to the Grantee.
(d) The Grantee has determined that the Easement Property should be
conveyed to the Grantee through the grant of an.easement, and the Grantor, for good and
valuable consideration, the receipt and sufficiency of which is acknowledged, has agreed
to and is willing to grant that easement to the Grantee, all as more particularly set forth in
this Agreement.
2. Grant of Easement. The Grantor grants to the Grantee, for the benefit of the
Grantee and its successors, assigns,licensees,permittees and invitees, an irrevocable,
perpetual and exclusive easement in, over,upon, and across the Easement Property for
the purpose of using the Easement Property for public recreation purposes, including,
without limitation, as a public park, and maintaining thereon A facilities and

improvements necessary for such purposes. The easement granted in this Section 2 is in
gross.
3. Limitations on Grant. The Grantee acknowledges the terms and provisions of the
Environmental Indemnification Agreement(the "Environmental Agreement"), dated as
of October 21,2002,by and between PLC,a California General partnership and Chevron
Land and Development Company ("CL&D") and acknowledges that pursuant to the
Environmental Agreement certain investigatory,remedial and monitoring activities will
be ongoing concerning the environmental condition of the Easement Property, all as more
particularly described in the Environmental Agreement. The Grantee understands and
agrees that the easement granted under this Agreement and the Grantee's rights with
respect to that easement are subject to the terms and provisions of the Environmental
Agreement.
4. Additional Rights. Subject to the provisions of Section 3,the easement granted
in this Agreement includes the grant of all rights incidental or reasonably necessary to the
Grantee's complete use and enjoyment of the easement, including, without limitation: the
right of access, ingress and egress to and from the Easement Property; the right to alter or
modify the Easement Property;the right to penetrate the surface of the Easement
Property and to make excavations and fills and to change the grade of the Easement
Property,including,without limitation, the right of the Grantee to use any clean fill
placed over the contamination barrier that is installed by CL&D (as defined in.Section 3
of this Agreement) so long as there is no physical intrusion into the barrier by Grantee,
Grantee's representatives or any other party, and the right to install,construct and
reconstruct on the Easement Property, and the right to remove from the Easement
Property all such improvements, fixtures,equipment and other property as the Grantee
from time to time deems appropriate in its sole discretion.
5. Other Provisions. This Agreement is to be construed and enforced in
accordance with the internal laws of the State of California,without regard to principles
of conflicts of law. Venue for any disputes regarding this Agreement shall be Orange
County, California. No term or provision of this Agreement can be amended or waived
orally or by a course of conduct, but only by an instrument in writing executed by the
duly authorized representatives of the parties. This Agreement is binding upon and
inures to the benefit of the successors and assigns of the parties.

THIS MEMORANDUM OF ENVIRONMENTAL INDEMNIFICATION
AGREEMENT (the "Memorandum") is made as of\ SEoMr 6e-P— /3 , 2006'by and
between CHEVRON LAND AND DEVELOPMENT COMPANY, a Delaware corporation
("CL&D"), PLC, a California general partnership, and the CITY OF HUNTINGTON BEACH, a
municipal corporation of the State of California("City").
1. CL&D, PLC and City have entered into that certain Environmental
Indemnification Agreement dated as of October 21, 2002 (the "Agreement") pursuant to which,
among other things, Mansion Properties, Inc.,a California corporation("Mansion")has agreed to
convey to City fee title to certain real property which is described in the Agreement, and
Mansion has also agreed to grant City an easement respecting the real property located in the
City of Huntington Beach, County of Orange, State of California, described in Exhibit "A"
attached hereto and incorporated herein by this reference (the real property described on Exhibit
"A"being referred to herein as the "Easement Property"), all as more particularly provided in the
Agreement.
2. The Agreement further provides that City may at any time require that the
Easement Property, or any parts thereof, be conveyed to City by grant deed(s) without payment
of any consideration by and at no cost to City.
3. The purpose of this Memorandum is to give notice of the existence of the
Agreement and of the rights of City referred to in paragraph 2 above. To the extent that any
provision of this Memorandum conflicts with any provision of the Agreement, the Agreement
shall control.
4. This Memorandum may be executed in counterparts, each of which shall be
deemed an original,but all of which,together shall constitute one and the same instrument.

Statement of Issue: There is a need for Council to approve the recommended names for
the four-acre park being developed at Seagate and Promenade, and the new junior lifeguard
facility.
Funding Source: N/A
Recommended Actions: Motion to:
1. Approve naming the park at Seagate and Promenade, previously referred to as Holmby
or Promenade Park, the "Peter Green Park", as recommended by the Community
Services Commission, and
2. Approve naming the new junior lifeguard facility on the city beach the "Marine Safety
Educational Center, Home of the Junior Lifeguards", as recommended by the
Community Services Commission.
Alternative Action(s):
1. Do not approve naming the park at Seagate and Promenade, the "Peter Green Park";
2. Do not approve naming the new junior lifeguard facility the "Marine Safety Educational
Center, Home of the Junior Lifeguards";
3. Recommend other names for the facilities; or
4. Refer the issue back to the Community Services Commission.
Analysis: Construction is currently in progress on a four-acre park at the intersection of
Seagate and Promenade (Attachment 1), and on a new facility for the Junior Guard Program
within the South Beach Phase II project. At its January 14, 2004 meeting, the Community
Services Commission approved recommending names for both the park and the junior guard
facility.

The four-acre park at Promenade and Seagate has been unofficially referred to as Holmby or
Promenade Park during its design phase. The park is tentatively scheduled for completion in
July 2004. Based on current park naming policy (Attachment 2), the Park Naming and
Memorials Committee of the Community Services Commission voted in favor of officially
naming the park "Peter Green Park". Under the current policy, parks not adjacent to a school
nor donated, all or in part, shall be named after former Huntington Beach mayors who are no
longer serving on the City Council. Priority is given to those oldest mayors who are still
living. Peter Green is the oldest former mayor not currently on Council. The Commission
approved naming the four-acre park "Peter Green Park".
The South Beach Phase II project includes the construction of a new junior lifeguard
headquarters building for the Junior Guard Program. The junior guard facility was never
officially named and, therefore, it went through the park naming process of the Community
Services Commission. Because the new junior lifeguard facility will serve the Junior Guard
Program as well as serve as an extension of the Marine Safety Operation for educational
purposes, Marine Safety staff and Junior Lifeguard Program staff recommended that the
facility be named, "The City of Huntington Beach Marine Safety and Education Facility, Home
of the Junior Lifeguards". Staff felt that this name was appropriate because the facility would
provide for lifeguard training and certification, educational classes on ocean safety, CPR and
First Aid classes, as well as emergency safety classes in addition to serving as the
headquarters for the Junior Guard Program.
The Park Naming and Memorials Committee recommended changing the word "facility" to
"center', and that the title be limited to "Marine Safety Educational Center, Home of the
Junior Lifeguards". A sample rendering of the proposed Junior Lifeguard Headquarters sign
is attached. (Attachment 3). The Community Services Commission approved this
recommendation at its January 14, 2004 meeting.
