Doyle Miller , City Administrator Gentlemen: In accordance with your instructions , given me at the meeting of December 7 , 1970, I attended 'the hearing held by the Senate Committee 4n Elections and Reapportionment in Los Angeles on December 14, 1970, on Senate Constitutional Amendment No. 21. The hearing was attended by all members of the Legislative Action Committee of the Southern California City Clerks Asso- ciation , the County Clerk of Ventura County, the Registrar of Voters of Los Angeles County, the Elections Officer for the City of Los Angeles , Mr. Max L. Berg, City Clerk of San Clemente , Chairman of the League of California Cities Committee on Elections , and about a dozen City Clerks representing various cities in the area . I attended through your authorization and as President of the SCCCA and a member of the League of California Cities Committee on Elections`. Apparently, SCA No. 21 was composed and introduced by Robert L. Hamm, County Clerk and Recorder , Ventura County, through Senator Robert J. Lagomarsino of Ventura. It is a bill which was thought to be dead for all purposes in the 1970 session, and would have to be reintroduced as a new bill at the 1971 session of the Legis- lature . However, it was found that said bill had been put in a status where it could be continued to the next session of the Legislature . Mr. Hamm made a statement in support of SCA No. 21, a copy of which I am attaching to this letter . Mrs . I am also attaching a copy of her presentation. Mr . Walter Peterson, Jr. , Elections Officer for the City of Los Angeles , presented testimony regarding the problems that would be created for the City of Los Angeles on the adoption of the bill. He was followed by Mr . Ray Lee , Registrar of Voters in Los Angeles County, who gave further testimony on the problems that would be created for that jurisdiction, if additional cities and districts were added to an already large State ' and General Election ballot . Mr. Lee testified that, with their County-wide system of using Votamatic voting equipment, it could double the number of candidates and measures to be voted on by citizens of . the County, which in the last general election were already 350. Mr . Max Berg, Chairman of the League of California Cities Committee on Elections , informed the Senate Committee that the League of California Cities had gone on record at the Bi-Annual Convocation in Palm Springs in 1970, in opposition to SCA No. 21 . The City Clerk of Pasadena and the City Clerk of Monterey Park also testified concerning the opposition of their City Councils to the adoption of the bill. I was called upon to testify for the -SCCCA and the City of Huntington Beach. I informed the Committee that your Honorable Body had taken no action directly concerning the bill but had requested that I be present to get more information concerning same. I further informed them that I believed some changes were needed in the bill before adoption -- and that savings which might be effected in the combining of elections , could possibly be off-set by the additional precincts which would have to be created within cities having more than one school district because they would then have to be broken down along school district boundaries as they are now broken along Super- visorial Districts . I stated that it was my feeling that there was considerable work to be done in the field of election codes before any bill of this type could be made workable , and that the League 's Committee had been attempting, for the past ten years or more , to get the Legislature to order a study for the consolidation of all election codes into one . As it pre- sently stands , Cities , Counties, and State operate under the California Election Code ; school districts operate under the code contained in the Education Code ; various districts oper- ate under codes contained in the Streets and Highways Code ; and there are even other election procedures spread throughout various other State Codes . It is my impression that certain salient points were made by those testifying, and I believe that the Committee is more aware of the problems which would be created by the passage of SCA No . 21; and that the problems created in the combining of elections as created by said bill would , in many cases , ` Page 43 - Honorable Mayor and City Council - 12/18/74 outweigh the savings which might be effected therein. I would like to point out that under this bill, these com- bined elections might be held in the odd-numbered years , and testimony that was given indicated that any City Council- man, who might desire to run for a County or State office , could not run for re-election to his present office at the time of filing. It was further pointed out that, in the average larger County, using automated election equipment , returns would not be available to the City involved until at least the next day , and in some cases , where there is an equipment breakdown, even two or three days later. Another point that was made was that , in a combined election, even though voter turnout might be greater , City candidates would be listed at the end of the ballot and in the case of a long ballot , many voters would fail to complete same , which would mean that votes would not be cast for municipal offices . Senator Whetmore conducted the hearing in an excellent manner and is to be commended for the interest that is being taken in this bill. Sacramento, Ca. 95814 Dece�aber 29, 1969 DISCLOSURE OF ASSETS On or before April 14, 1970, or within 10 days of filing nomination papers for a local public office, all elected and appointed public' officers- an certa n emp oyees must file a-statement disclosing investments in real property., ownership of shares in corporations and. ownership of financial interests in business entities. The 1969 legislation requiring the filing of such statements is ambiguous at best, and there is no-general- agreement on .interpretation of all or even most: of ;the provisions of .AB 32.5 (Chap. 1512, Stats., 1969). This .analysis.represents: the views. of the writer, although it takes into consideration several discussions and conferences with city attorneys and other public law officers. The Attorney General is considering a. request for :an opinion on about thirty questions raised -by state and local public officials. That opinion will not be ready for several weeks. The Attorney General's opinion may very well 'differ from some of -,our conclusions and, if so, his opinion will be brought,to your attention when issued. A copy of the new law is attached. If the application of the bill .as herein .viewed appears overly broad, it is because the new law requires its provisions '.'to be construed. liberally." If the act and its application will restrain citizen-officials from accepting, seeking or retaining local office, then _every.member of the Assembly and Senate should be so advised so that a bi-partisan measure can be introduced, considered and enacted in January to restrict the application of the .law to.the disclosure of assets of those public officers who have a direct financial interest in real property, eorporations. or busi- ness entities over which they have direct control as public officers. The shotgun approach,of this law.does not, in our opinion, serve the public interest and in most cases 'is an unnecessary invasion of the .rights. of persons to keep their financial affairs private. We believe that local public officials -- mayors and councilmen, .planning commis- sioners., members of other boards and commissions and other citizen-off-icials who serve their community -- should assume the responsibility of now. discussing with their legislators the immediate need in January of 1970 of clarifying this law. If remedial legislation becomes a;partisan political issue or is viewed ,as a watering down of conflict of interest laws, it will be very difficult to obtain any; relief or clarifying legislation before filing date deadlines.. We emphasize at the outset that this analysis is a "liberal" construction of the disclosure of financial interests requirements of the law.: We have no alternative 'in determining who must file, what must be filed, when and where the statement shall be filed and what are the penalties for failure to file. A suggested form is at- tached for use of officers. or employees covered ,by Chap. 1512 (Secs. 3660-3754 of the Gov.C.). With slight revision it also can be used by candidates for municipal office. 12/29/69 t Disclosure Of All Finant_sl Interests Required t . The key provision of the disclosure law is Section 3700 which provides: "Prior to the 15th of April of each year, every public officer shall file, as a public record, a statement describing the nature and extent of his investments, including the ownership of shares in any corporation or the ownership of a financial interest in any business entity, which is subject to regulation by any state or local public agency, if such investment is in excess of ten thousand dollars ($10,000) in value at the time of the statement." Who Must File We can'determine "who" must file with somewhat more assurance than' we can say "what" must -be- filed. The act provides that "every public officer shall file" and Section .3605 defines "public officer" to mean "c:. and'any other�.officer of a public agency; and includes . . . the appointive or civil servant employee of the"highest` class- or'- grade in each -department, bureau, division, or other administrative subdivision of a public agency, as defined in regulations adopted by, the public agency, but does not include other civil servants" in a'public' agency."" For the-purpose of our analysis, we refer only to city officers. "Public agency1° means the city`and-all its boards -and commissions excepting 'only' those whose functions are purely advisory. Few, if_any, 'boards and commissions serve in a_ purely advisory capacity. Charters and ordinances must be examined to determine whether boaid' or commission members- have administrative, quasi-judicial or legis lative functions. We do not believe that the law requires each local public agency to adopt regulations to determine the appointive- officers and employees who are included or excluded. On' the contrary, the quoted language refers to positions or offices that­gerieraily can be determined by examining statutes,- charters, 'ordinances, rules, regulations, budgets, classification and salary plans, etc. The language "as defined in regu- lations adopted by the'public 'agency". refers to existing regulations �or modifications thereof and not to those adopted for the purpose of determining -those appointive officers or employees covered by the law. It is, of course, clear that mayors and=councilmen, planning commissi:one' rs,' librak borard members, civil service -comet ssioners and all elected officers are included. It is equally clear that city managers, c ty attorneys city clerks, -city-treasurers and _heads of departments, bureaus, divisions and other administrative subdivisions also must file. We emphasize that charters, ordininces, .iesolutions and rules and regulations will- have to be examined-by the- city attorney in -order to 'determine application of the •law-to other individuals. Candidates who seek nomination or election to municipal office must file a statement identical to the `statement-required by Section 3700.•= As noted, with very 'slight revision, the suggested form may also,be used by a*-candidate for municipal .office. It is our"view that a statement need not- be filed "by an officer -or employee unless the officer or employee has assets in excess of $10,000 in real property held for income or gain or shares• in a corporation or.a financial interest-.in a business en- ._ tity. If no statement is filed, it will be assumed that the public officer or em- ployee does not have assets sufficient to- require disclosure. What Must Be Filed. Assuming you are a public officer, you will have to file a statement of financial interests if - 2 - 12/29/69 tj You own real propel ,, which you hold for income or b -,a;, or ` 2) You own shares in a corporation, or 3) .;You own a financial interest in any business entity; and 4) The real property, corporation or business entity is regulated either by the state or any local public agency; -and 5) Your ownership of each separate interest in real property,. of shares in each corporation and financial interest in each separate business entity exceeds $10,000.. If a public officer owns 20 separate parcels of land valued at $9,000 each, he need not file. If he owns shares of stock in 10 separate corporations and his ownership of stock in each corporation is not in excess of $10,000, he need not file. Similarly, if he owns a financial interest in 30 business entities but his interest in any one of the 30 never exceeds °$10,000, he need not file. The law•defines "investments" to mean;".. . real property held for income or gain, and does -not include !a home or property used primarily for- personal or recreational pur- poses:" It is our view that a home or property used by the owner for personal or recreational use need not be included in the statement, but that property used primarily for .recreational use by others and held by the owner for income or gain must be listed. The treatment by the owner of such property for income tax purposes will be helpful in determining whether he holds it for income or gain. Real property includes an' Option to purchase such property. The act also uses the term "investments" to include financial interests of a spouse or minor child and provides in Section 3604 that: "As used in this division, the term `ownership of shares' and the .term 'investments, ' respectively, include shares and investments owned by either spouse or by a minor child thereof, by a corporation in which the ownership of shares exceeds 25%, or by a trust under which either spouse, or a minor child thereof, is trustor if the trust is revocable, is a beneficiary, or holds a reversionary interest." We believe that-"ownership of shares" includes all common and preferred stocks, con- vertible bonds, warrants, options and all other. types of- securities that involve an ownership of, or call upon the ownership of, a corporation. . Bank deposits are not included and, except in a few rare cases, neither are savings and loan deposits be- cause they are not a financial interest in a business entity.- An officer must include in his statement financial interests of-his .wife or his minor child, financial interests of a corporation in which he owns 252 of the shares, or shares and investments of a trust under which the wife, or minor child, is trustor if the trust 1s revocable, is a beneficiary, or holds a reversionary interest. The assets of the corporation or the interest in the trust must-exceed $10,000. Ownership of a financial interest in excess of $10,000 in "any business entity" must also be disclosed, and Section 3606 provides: "As used in this division,- the term ,'business entity' in- cludes any partnership, joint venture, sole proprietorship or any other corporate or noncorporate enterprise, other than a charitable corporation described in Section -3602:6.' Only charitable corporations exempt from the corporation tax under Section 23701d of the Revenue and Taxation Code are excluded. Thus, any financial interest in any business of any kind whatsoever if regulated by a state or local public agency and if in excess of $10,000, must be disclosed. - 3 - 12/29/69 r It is our view that all ,al property,,--and every corporal- -,n -arid_business entity'not y only is subject to regulation but is actually regulated in abroad 'and ''liberal" sense by.,:the state or by some county, city or•district �and that it will be difficult, and perhaps impossible, to determine-that-the- real property, the corporation or busi- ness entity is not regulated by the state or one of its agencies or' by' a city or county. Without e,.definition of "regulation," and the act contains none, we con- clude that all-real- property in Calfornia=:and all corporations and business entities doing business in California are regulated by the state or a local public agency (city, county or district). The .act provides that the-filed statement describe the "nature and extent" of the officer's real property, ownership of shares ,in.a• corporation or-financial -interest in any business entity.-. In our-opinion, this requires the public..officer .to place' a dollar value on each such interest.- . We do. -believe that the...statement can merely :. disclose that he.owns "in excess of $10,000" of certain property, shares in a corpo- -ration or financial interest -in a business entity* -Neither do we- 'bel eve'that he can state that he owns 25% of the A-2-partnershiplor other business entity and comply.. with the law. It will be possible to simply list shares of stock owned if the value . ;. of: ea,ch _such share is a matter of public information or can be readily ascertained. If.the public officer has -only an..•equity. interes:it the value. of. his equity must ex- •ceed $10,000 to require him to- disclose his tnteikest:- The- asset -must be disclosed- if "in excess;of $10,000, in value at the:time.of-.the- statement.'.' ":Value".-is not de- fined; but we believe that a workable.definition for,-.most:­finaricial interests would be market value. .When And Where Statements Filed Statements must be filed by. state public officers with the Secretary of State and by local public officials with- the county clerk.-. An argument can be made that some city_ candidates and elected officials..must' file-with the city clerk, particularly.in char- ter cities, but such' s construction would have candidates -and elected city o fic a s filing with the city clerk and .all other city:-appointed ,officers and employees filing with the county-clerk. It is our recommendation that all city officers or employees .or candidates for citSr.:office file with thi7cotinty.-dleik. Section 3702 requires" filing- by candidates ". .. -within. 10.days• after•he files his. declaration of..candidacy or declaration of 'acceptance, . . ." This..language is not- applicabXe.to. general law city elections and may not be applicable .to many charter city elections. Under these eircumstances; .we.•believe. that candidates.-.for:municipal election should file their statement:-within 10 -days after the filing of nomination_.. papers, as prescribed by general law or by charter. Conflict With Similar Haws And Ordinances It is -possible that in -dome cities the city-may have by charter- or ordinance adopted more stringent disclosure of assets provisions or more stringent disclosure of polit- ical contribution provisions. The City of San Jose, for example, has a strict ordinance with respect .to disclosure of -assets.. The-new law provides. in Section 3607 that the most stringent provisions apply-whether state or local. . - -.ANNUAL STATEMENTS Statements of- financial interests must be filed.annualiy.. Any off.icer .or:.employee who has filed a statement in the preceding•:year may subsequently in:the -following year comply with the requirements by listing only the changes or stating that no changes have occurred. Penalties _ . Penalties for failure to file are severe. Section 3704 provides: 12/29/69 - 4 - "Any; person,,..,o violates a provision of. this. t-dapter is guilty .of a misdemeanor, and any person who- violates a. pro- vision of. this chapter. with the.knowledge.of the unlawfulness of such act or omission is guilty of a felony.".. Any violation of the act is a misdemeanor. Failure by the public officer to report financial interests which he knows must be disclosed is a felony. POLITICAL CONTRIBUTIONS_ In reviewing and analyzing the provisions of Chap. . 1512, .little mention is made of. the provisions relating to political contributions because.these;are of far. less general interest- than are the provisions.with_,respect to disclosure of assets. . Each candidate for municipal ,office .and each political committee supporting .such:,candidate must..'file two cumulative -statements naming each person or organization from..:whgm:.a contribution has been received in excess of. $500 and' that has been or will,%_., e ;ex- pended on behalf.of the campaign. The. specific amounts-contributed must be''stated. The statements must be filed .with the county clerk. The. two cumulative statements must be filed as follows: A) Between 20 and 25 days prior to'.the election, and B) Between 30 and 35 days after the election. The latter statement may be combined with 'the statement defined in Section. 11503. of, the Elections Code. The law defines the terms "contribution, expenditure, and political committee" .as . follows: ' "(a) The term 'contribution' means a gift, subscription, loan, advance, or deposit of money or anything of value and includes a contract, promise, or agreement, whether or not legally enforceable, to make a contribution. The term 'contri- bution' includes the services of an employee donated by an employer, in which case the contribution shall. be listed.In the name of the employer. "(b) The term 'expenditure' means a payment, distribution, loan, advance, deposit, or gift of money or anything of value, and includes a contract, promise, or agreement, whether or not legally enforceable, to make an expenditure. "(c) The term 'political committee' means any committee, association, or organization which accepts contributions or makes expenditures for the purpose of influenc- ing or attempting to influence the election of candidates, or any duly author- ized committee or subcommittee of a political party whether national, state, or local." The penalties for failure to disclose political contributions are prescribed in Section 3754 as follows: "Any person who violates a provision of this chapter is guilty of a misdemeanor and any person who violates a provision of this chapter with the knowledge of the unlawfulness of such act or omission is guilty of a felony." h CONCLUSION We wish to again emphasize that the new law is not clear and unambiguous and that your own city attorney may disagree with our interpretation of the act. We strongly urge each city official who has any doubt as to whether he should file a statement 5 - 12/29/69 to discuss the matter with his city attorney. We also recommend that the law be ' brought to the attention of appointive or civil servant employees of the highest class or grade in each department, bureau, division or other administrative sub- division of the city. These officers or employees as' well as all department heads will be required to file and may not be aware of the applicability of the law to them. Prospects for clarifying or remedial legislation are not good. This is an election year and this is a sensitive subject. Unless there is bi-partisan support for cor- rective legislation, the subject could become a political issue, in which event there is little chance of any legislation during 1970. It is for this reason that. each local public officer should discuss the subject with his legislator if he' feels that the existing; act will keep qualified and successful -people. from accepting public office. It is extremely important that the subject be labeled "disclosure of assets" rather than "conflict 'of interests".. The act is a disclosure of assets law and not a conflict of interests law and we can only hope that the news media will recognize the-distinction. Existing conflict of interest laws are broad -And all inclusive with respect to local government officials. Interpretation of the law by the Attorney General or by the courts ultimately may be of assistance but probably will come too late to help the hundreds of candidates who will be running for office in more than 325 general law cities and who will be required to file_ financial statements during February of 1970. It should be clear to those of- you who read the attached act that we. have not answered or attempted to answer all of the questions that can be raised with re- spect to the interpretation of the act. Your city attorney is in the best position to answer your questions on the basis .of the .complete. factual situation. you present to him. SECTION 1. Division 4..5 (commencing with Section "3600) is added to Title l of the Government Code,. .to- read:., DIVISION .4."5. _CONFLICTS: OF INTEREST. CHAPTER. 1. GENERAL. RROVISIONS. . 3600. The. Legislature finds and, declares..as follows: (a) The people haves right 'to expect from their elected and appointed represen- tatives. at all levels of government assurances of ."the utmost in integrity, honesty andfairness .in .their, dealings; (b) The people further have a, right .to b'e assured .to' the -fullest .extent possible that the private financial dealings 'of their governmental representatives, and of candidates for those offices, present--no _conflict of. interest. between the public trust and private gain; and (c);•". The .representative form of, government is founded upon -a belief that those entrusted: with..the offices of. government have nothing to _fear from full' public dis- closure of. their. financial and business, tioldings, provided those officials deal honestly and. fairly with the people:: To these ends, the Legislature enacts this division. The term "public agency" does not include a commission or board - the functions of -which are. purely. advisory.in nature. - 3602., As used ,in. this division, the term."corporat.ion"_does .not include".a charitable corporation which qualifies for exemption from the ,corporation tax under Section .R 23701d of. theegenue and Taxation Code. 3603. As used in this division, the 'term "investments" means real property held `for income or gain, andedoes. no_t include• a .home .or property used primarily for personal or. recreational. .p.urposes. 3604. As used in this division, the term "owne rah ip of shares"" and the term "invest- ments," respectively, include shares and investments owned by either spouse or by a minor child thereof, by a corporation in which the ownership of shares exceeds 25%, or by a trust under which either spouse, .or. a minor .child thereof, is trustor if the trust is revocable, is a beneficiary, or holds a reversionary interest. 3605. As used in this division, "public officer" means a Member of the Legislature, a Secretary of the Governor, the .Chief Clerk and the. Sergeant at Arms of the Assembly, the Secretary and the Sergeant at Arms of the Senate, an administrative aide or com- mittee consultant of .the Legislature, a constitutional officer, and any other officer of a public agency; and includes .civil servants in a public agency who are classified as career executives,' and the appointive' or civil servant employee of the highest class or grade in each department, bureau, division, or other administrative sub- division of a public agency, as defined in regulations adopted by the public agency, but does not include other civil servants in a public agency. 3606. As used in this division, the term "business entity" includes any partnership, joint venture, sole proprietorship or any other corporate or noncorporate enterprise, other than a charitable corporation described in Section 3602. 3607. To the extent that any provision of this division imposes stricter limitations on the disclosure of ownership of shares in a corporation, or the disclosure of political contributions, than provided elsewhere with regard to particular public offices or public agencies, the provisions of this division shall prevail. To the extent that any other provision of law imposes stricter limitations on the disclosure of ownership of shares in a corporation, or the disclosure of political contributions, with regard to particular public offices or public agencies, than provided in this division, such provision of law shall prevail'. CHAPTER 2. DISCLOSURE OF FINANCIAL INTERESTS 3700. Prior to the 15th of April of each year, every public officer shall.file, as a public record, a statement describing the nature and extent of his investments, in- cluding the ownership of shares in any corporation or the ownership of a financial interest in any business entity, which- is subject to regulation by any state or local public agency, if such investment is in excess of ten thousand dollars ($10,000) in value at, the time of the statement. 3701. Any person who filed a statement under Section 3700 in' the preceding year may comply with the requirements of Section 3700' by filing a supplemental statent list- ing only the changes in the nature, including the extent of his investments nd ownership of shares in any corporation or the ownership of a financial interest in any business entity, or stating that no changes occurred if such is the case. 3702. Each candidate as defined in Section 3753 for state or local public office, within 10 days after he files his, declaration of .candidacy or declaration of accept- ance., shall file, as a' public record, a statement identical to the statement re- quired by Section 3700. 3703. Candidates and elected officials required to file statements under this chapter shall file in the same place specified in Section 6550 of the Elections Code for the 'filing of nomination papers. Other state officials and employees required to file statements under this chapter shall file with the` Secretary of State. Other local officials and employees required to file statements under this-'chapter shall file with the county clerk in the county .in which they reside. 3704. Any person who violates a provision of this chapter is guilty of a,mis- demeanor, and any person who violates a provision of this chapter with the knowledge of.the unlawfulness of such act or omission is guilty of a felony. _ .2 _ I CHAPTER 3. POLITICAL CONTRIBUTIONS 3750. Each candidate for state or local public office, and each political com- mittee supporting such candidate, shall file, as a public record, two cumulative statements naming each person or organization from whom a contribution or contri- butions have been received that total more than five hundred dollars ($500) and that have been or may be expended on behalf of his campaign, together with the specific amounts contributed by each person or organization. Statements for candidates for state office shall be filed with the Secretary of State, and statements for candidates for local office shall be filed with the county clerk of the county in which the candidate resides. 3751. Statements required under Section 3750 shall be filed at the following times: (a) Between 20 and 25 days prior to the election. (b) Between 30 and 35 days after the election. 3752. A statement required under subdivision (b) of Section 3751 may be combined with a campaign statement as defined in Section 11503 of the Elections Code. 3753. As used in this chapter: (a) The term 11contribution" means a gift, subscription, loan, advance, or de- posit of money or anything of value and includes a contract, promise, or agreement, whether or not legally enforceable, to make a contribution. The term "contribution" includes the services of an employee donated by an employer, in which case the con- tribution shall be listed in the name of the employer. (b) The term "expenditure" means a payment, distribution, loan, advance, de- posit, or gift of money or anything of value, and includes a contract, promise, or agreement, whether or not legally enforceable, to make an expenditure. (c) The term "political committee" means any committee, association, or organi- zation which accepts contributions or makes expenditures for the purpose of in- fluencing or attempting to influence the election of candidates, or any duly author- ized committee or subcommittee of a political party whether national, state, or local. The term "political committee" does not include any committee formed by a busi- ness corporation or enterprise, or group of business corporations or enterprises, which regularly solicits political contributions from officers or employees and which makes such contributions available to political candidates on a bipartisan basis, provided that the amounts contributed by it to each political candidate shall be set forth by the candidate in his statements required under Section 3751. (d) The term 11candidate" means any person who seeks nomination or election to a state, county, judicial, or district office, or to a municipal office in a general law or chartered city, at any election or primary conducted within this state. "Can- didate" also includes persons seeking election to a county central committee at the direct primary election. 3754. Any person who violates a provision of this chapter is guilty of a misdemeanor and any person who violates a provision of this chapter with the knowledge of the un- lawfulness of such act or omission is guilty of a felony. This section relates to the con- solidation of election precincts insofar es local, special, or consolidated elections are concerned. By amendment in 1963, Section 22030 was amended to limit precinct con- solidation to three precincts, and no consolidated precinct can exceed 600 voters. On the other hand, Section 22804 of the Elections Code permits unlimited consolidation and provides in part that "The voting precincts for a municipal election may consist of either the regular election precincts established for holding state or county elections or a consolidation of any or all of the regular election precincts establish- ed. " (emphas s added There has been an uncertainty as to whether Section 22804 or Section 22030 applies to the consolidation of election precincts in municipal elections. We are of the opinion that Section 22804, allowing unlimited consolidation, applies to municipal elections in general law cities and to elections in chartered cities where the provisions of the general law are made applicable by charter-provision. An examination of several code sections would appear to support this conclusion. Section 34050 of the Government ,6dde provides that "Elections in cities . . . shall be held pursuant to the provisionsidf the Elections Code 6bncerning municipal elections except as otherwise specifical]yf provided." The provisions of * Election•- Code which relate to municipal elections specifically are found in Part 2, Division 1�, in which is found Secti(* 22804. Section 22030 is not in that Part. Section 22601 declares that the provisions of Part 2, Division 12, shall apply to all municipal elections except where of rwise provided for-in the constitution or city charter. Because Section 22804, which perms unlimited consolidation of election precincts, is contained in the chapter relating solely to municipal elections, it is our opinion that it prevails as a specific regui tion of municipal election precinct consolidation and that Section 22030 would not be applicable. Counsel for A. Carlisle and Co., an election house in San Francisco, agrees with this opinion. `'Martin and Chapman, an election house in southern California, has been advised by their counsel that Section 22.030 is binding upon all general law cities and upon all charter cities which follow the provisions of the general law with respect to municipal elections. Because of this diversity of opinion, we hope to clarify these sections at the next Regular, Session of the Legislature.. Meanwhile, if the question arises, the consolidation procedure to be followed will, of course, be that which is in accordance with the indivi- dual opinion of the City Attorney as the legal adviser of the city.
