THIS AGREEMENT is entp-•ed into this day of 9 -m r
19 by and between the CITY OF IIUNTINGTO14 BEACP, a municipal
corporation of the State of California*., hereinafter referred to
as "CITY, " and David D. Dahl and Pona J. Dahl, individuals,

hereinafter referred to as "SUBDIVIDER. "
WITNESSET►+:

WHEREAS, SUBDIVIDER is subdividing that: certain parccl of
+ land shown within the subdivision boundaries of Tentative Tract
+ Map 11473 (herein as "reap") and,
i
4 CITY has imposed certain on-site and off--site development
improvement requirements (harein as "improvements") ugoa SUBDI-
VIDER, which conditions must be fulfilled prior to recordation of
a final map, a.nd,
i
f Exigent circumstances have made it impossible for SUBDIVIDER
t,3 construct such improvements prior to the filing of said final
! map, and
SUBDIVIDED. desires to post security with CITY to insure that
iall improvements will be completed after such recordation, and
CITY is willing to accept such security in lieu of present
compliance with the conditions of the maps.
NOW, THEREFORE, the parties covenant and agree as follows:

1. WORK STATEMENT - SUBDIVIDER TO CONSTRUCT IMPROVEMENTS
+ SUBDIVIDER agrees that it will, within two (2) years

from Lhe date above first written, cumplete to CITY'S satis-
faction unfulfi lod conditions of the map and that all works of
construction and improvement shall be finally offered to and
accepted by CITY.
2. PLANS, SPECIFICATIONS, REQUIREMENTS OF CITY
All improvements will be constructed in accordance with
the CITY'F plans, •-aecifications and requirements applicable to
similar work usuf-Ally pearforned under contract to CITY and which
are in effect at the time of their construction.
3. INSPECTION
CITY shall control work in all public job sites and
dedicated areab. CITY may inspect the construction of improve-
ments at all reasonable times. CITY will cooperate with SUBDI-
VIDER to provide access to CITY owned utilities and allow all
necessary encroachments to public or CITY owned property,
provided, however, tha- they entire cost thereof shall bo borne by
SUBDIVIDER.
4, WARRANTY
All improvements shall be fully and absolutely war- j
ranted by SUBDIVIDER as to materials and workmanship for one (1 )
year after the date of acceptance by CITY.
5. GENERAL PUBLIC LIABILITY INSURANCE
SUBDIVIDER will maintain in force during the construe -
Lion period, and until CITY'S final acceptance of the work at

SUBDIVIDERIS sole expense, a general public liability policy in 11,

which CITY is an additional nanead insured. Such policy shall
insure CITY, its officers and employees against any and all loss,

damage or expense by reason of any suits, claims, demands,
judgments and causes of action arising out of or in consequence
of SUBDIVIDER'S performance of the agreement, except where such
loss, damage or expense is caused solely by 3 wrongful act of
CITY'S officers or employees in connection with the general

supervision or direction of the work to be performed under this
agreement. The policy shall provide for not less than the
following amounts: .
Combined single limit bodily Injury and/or

property damage including ptiducrs lia-
bility: $300,000 combined single limit per
occurrence.
Such policy shall provide coverage at least as broad as
that provided in the Standard Form approved by the National
Bureau of Casualty underwriters, together with such endorsements
as are required to cover the risks involved.
SUBDIVIDER shall arrange for the policies to be so
conditioned as to cover the performance of extra or unto.eseen
work should such work become necessary.
Evidence of such insurance shall be furnished to CITY
on the CITY'S farm and shall be approved by the City Attorney.
Any such policy must contain a provision of •bitten notice to the
CITY of the expiration or cancellation of any of the insurance
policies required hereunder not less than thirty (30) days before
each expiration or cancellation is effective.

6. WORKERS ' COMPENSATION
SUBDIVIDER shall comply with all of the provisions of
the Workers' Compensation Insurance and Safety Acts of the State
of California, and shall indemnify, defend and hold harmless CITY
from and against all claims, demands, payments, suits, actions,
proceedings and judgments of every nature and description,
including attorney's fees and casts, presented, brought or
recovered against CITY, for or on account of any liability under
any of si id acts which may be incurred by reason of any work to
be performed by SUBDIVIDER under this agreement, and shall
provide to CITY evidence of Workers' Compensation Insurancc or
self-insurance satisfactory to the City Attorney on CITY'S form
if required.
7. LIABILITY FOR WORK

In addition to the covenant to hold and save harmless
i
and to provide insurance, the parties agree that neither the CITY �
nor any officer or employee thereof shall be liable or respon-
sible for any accident, loss or damage happening or occurring to .•
the work specified in this contract prior to the completion and
acceptance of the same by CITY, nor shall CITY or any officer or
employee thereof be liable for any person or property injured by
reason of the nature of said work, but all of said liabilities
shall be assumed by SUBDIVIDER. SUBDIVIDER further agrees to
protect and defend CITY and the officers thereof from all
liability or claim because of, or arising out of, the use o;` any
patent or unpatented article in the construction of said work.

8. PUBLIC WARNING AND PROTECTION.
SUBDIVIDER shall at all times until CITY'S final
acceptance of the works of improvement give goad and adequate
warning to the traveling public of each and every dangerous
condition within said streets and highways or any of them within
the subdivision, and will protect the traveling public from such

defective or dangerous conditions. It is understood and agreed i
that until the completion of all the improvements herein agreed
to De performed, each of said streets and highways not accepted
as improved, shall be under the exclusive control of SUBDIVIDER
for the purpose of this contract. With the consent of the City
Engineer, SUBDIVIDER may close all or a portion of any street
whenever it is necessary te. peatect the traveling public during
the making of the improvements herein agreed to be made. SUBDI-
VIDER hereby agrees to pay for such inspection of streets and
highways as may be required by the City Engineer.
9. INDEMNIFICATF.Ti-COVENANT TO SAVE AND HOLD HARMLESS
SUBDIVIDER shall fully indemnify and save and hold
harmless CITY, its ufficers, agents and employees from any and

all liability, losses and costs imposed for injury occurring by
reason of anything done or omitted to by done by SUBDIVIDER in
performance of this agreement and in construction of the improve-
ments excepting when such erro_ or omission is solely the fault
of the CITY, regardless of :he active or passive negligence of
CITY, its officers, agents or employees, and SUBDIVIDER agrees to
enter and defen.. any suit or action brought or arising out of its i
performance of this agreement against CITY, its officers, agents 11(

10. ATTORNEY'S FEE
In the event suit is hrought by CITY to enforce the
terms and provisions of this agreement or any bond given to
secure the performance hereof, a reasonable attorney 's fee, to be
fixed by the court, shall be paid by SUBDIVIDER in CITY'S favor.
11. GENERAL STREET CONSTRUCTION
SUBDIVIDER agrees to perform the following work:
Construction of streets ( including excavation, saving, curbs,

utters, Sidewalks, trees and landscaping) , sewvrs (including
construction of main lines and lot laterals and ;structures, )
street lights, street signs, domestic water systems, eater mains,
lot 1 : cerals and installation of meters; engineering costs; and

any miscellaneous requirements as may be set forth in Chapter 99
of CITY'S ordinance code. Such work which shall ba done and
performed in accordance with plans, specifications and profiles
which have been approved by the City Engineer and filed in the
office of the City Engineer and which are in effect when the work
is to be performed a-id all of which work shall be done at the
sole cost and expense of SUBDIVIDER, and all lauor and material
bills shall be paid.
SUBDIVIDER agrees to complete all public street
improvements, including perimeter walls and landscaping, prior to
release or connection of utilities for occupanny for any lot in
the Tract.
12. IMPROVEMENT SECURITY
Upon execution hereof SUBDIVIDER will deliver to CITY

security is given to CITY to insure faithful performance of this
agreement. At any time, CITY, at its sole option, may require
any surety to enter upon the job site and complete the impre-ve -
ment project, or the CITY may, at its sole option, invade any
r
deposit given it or utilize any other form of security deposited
or made available to it to commence and/or complete the project.
All bonds and other forms of deposit shall be approved by the
City Attorney prior to their acceptance bar CITY. SUBDIVIDER may,
during the term of this agreement, substitute improvement secur-
ity provided that the substituted security is acceptable to they

STATEMENT OF ISSUEt
The final maps of Tracts Psubmitted
and 11805, being all of Tenta ee—'
Tract No. 11473, have bee to the City for approval.
Also, Section 66499 of the Subdivision Map Act requires the local
agency to approve bonds and agreements for new subdivisions.
RECOMMENDATIONt
f1. Approve the mapo pursuant to the required finding set forth
in Section 66458 of the Government Code.
2. Approve the maps subject to the finding that the maps are in
sunlit-intiml compliance with the previously approved tentative
map pursuant to the mandatory findings established by the
Planning Commission as set forth by Section 66464 of the
Government Code.
3. Accept the offer of dedication and improvements subject to
completion of requirements shown.
4. Instruct the City Clerk to not affix her signature to the
maps nor , r•!.ease theta for preliminary processing by the
County of grange or for recordation until the following
conditions have been complied with:
a. Deco-sit of fees for water, sewer, drainage, engineering
�.•�' inspections.
L. certificate of Insurance.
c. Subdivision Agreement.
d. The final maps shall be recorded prior to the expiration
of Tentative 'bract No. 11473 on April 6, 1984.

e. Drainage for the subdivisions shall be approved by the
Department of Public Works prior to the recordation of a
final map.
f. A 25 percent credit against the Park and pecreation fees
for Tracts 11473 and 11805 shall be granted for private
open space within the subdivisions.
Park and recreation fees for Tracts 11473 anti 11805 may be
deferred until the issuance of a Certificate of occupancy or final
inspection of the first unit of the first phase, whichever comes
first. Neither a Certificate of Occupancy nor inspection of the
first unit shall be granted until the in-lieu fares are paid by the
developer.
It is also recommended thit the City Council accept the following
bonds and two copies of the Subdivision Agreements:

DISCUSSION:
The °iars have been examined and certified by the Director of
Publi, :Works and the Secretary to the Planning Commission as being
substantially in accordance with the tentative map as tiled with,
amended and approved by the Planning Commission.
As indicated in the attached communication, the oubdivider has
requested that a 25 percent credit ac,ainst the Park and Recreation
fees for Tracts 11473 and 11805 be 9 anted for private open space
within the subdivisions used for park and recreational purposes.
This request is pursuant to Section 9961.11 of Article 996 (Park
and Recreational Facilities) of the City Ordinance Code. The
intent of this section of the ordinance code in to provide credit
for private open space amenities in addition to the open apace
provided for each lot (e.g. , golf courses, greenbelts, etc:. ) . The
proposed equestrian facility would qualify for such a credit.

The park dedication requirement for the two tracts would be .43
acre according to the adopted formula in Section 9961.4 of
Article 996. The proposed equestrian facility will comprise .87
acres. Staff, therefore, recommends that the requested 25 percent
credit be granted. Required Park and Recreation dedication will
then be .32 acre and the in--lieu fee will be 444,682.
ENVIRONMENTAL STATUS :

Tentative Tract 11473 (Edwards Street)
Dear Mr. Palin,
The fifteen acre subdivision of Tentative Tract #11473, located on
Editards Street (South of Ellis Streetl, will consist of the street and
utility improvements for 35 Lots (Final Tracts 11805 and 11473) .
Our loan with San Marino Savings for the improvements of said tracts
will record this week.
The improvements of the subdivision will also include a public street
dedication, equestrian trail, equestrian stable lot consisting of
horse stable stalls, riding ring, exercise area and wash racks, and a
private open space (approximately 100' x 6601 ) containing a natural
drainage swaie and landscaping. J
Pursuant to Section 9961. 11 of Article 996 (Park and Recreational
Facilities), a credit up to fifty percent may be given for private
open space within a subdivision used for park and recreational
purposes.
We hereby request a twenty-five percent credit against the Park and
Recreation Fee for tracts 11805 and 11473 because of our providing
equestrian facilities, equestrian trails and restricted open space for
landscaping use for the future owners of the Lots within said tracts.
