WHEREAS, SUBDIVIDER is subdividing that certain parcel of land shown w;thin the subdivision boundaries of Tentative Tract Map 10068 (herein as "map") and, CITY has imposed certain on-site and off-site development improvement requirea,ents (hereir. as "improvements") upou SUBDI- VIDER, which conditions must be fulfilled prior to recordation of a final map, and Exigent circumstances have made it impossible for SUBDIVIDER to construct such improvements prior to the filing of said final map, and SUBDIVIDER desires to post security with CITY to insure that I all improvements will be rnmpleted after such recordation, and J CITY is willing to accept such security in lieu of present compliance with the conditions of the maps. - 1 • t NOW9 THEREFORE, the parties covenant and agree ar, follows: 1 . WORK .4 IEMENI - :!U1DIVIDE8 TO C�N�' R 1 T I_ .M�ROYEMENTs i SUBDIVIDER agrees that it will , within tro (2) years from the date above first written, complete to CITY'S satis- faction unfulfilled conditions of the map and that all works of construction and improvement shall be finally offered to and accepted by CITY. 1 2• P.L&Ma,._AP&r jEjQAjjQNA, fiEQUIBEMEH15 0.Q T-TY All improvements will be constructed in accordance with the CITY'S plans, specifications and requirements applicable to similar work usually performed under contract to CITY and which are in effect at the time of their construction. 3• INARECUON CITY shall control work in all pt!blic ,fob sites and dedicated areas. CITY may inspect the construction of improve- sments at all reasonable times. CITY will cooperate with SUBDI- VIDEA to provide access to CITY owned utilities and allow all I � necessary encroachments to public or CITY owned property, provided, however, that the entire cost thereof shall, be borne by i SUBDIVIDER. 4. All improvements shall be fully and absolutely i warranted by SUBDIVIDER as to materials and Workmanship for one ( 1 ) year after tha date of acceptance by CITY. 5. GENERAL E=jQ LIABILITY INSURANCE i SUBDIVIDER will i,aintai.n in force durit;g the _ 2 _ a I II I construction period, and until CITY'S final acceptance of the work at SUBDIVIDER'S sale expanse, a general public liability j policy in which CITY is an additional named insured. Such policy i shall insure CITY, its officers and employees against any and all �! loss, damage or expense by reason of any suits, claims, demands, ,judgments and causes of action aris:.ng out of or in consequenep � of SUBDIVIDE-R'S performance of the agreement, except where tiurh i loss, damage or expense is caused solely by a woongful act of CITY'S officers or employees in connection with the general .i supervJ i!oii or direction of the work to be performed under this agreement. The policy shall provide for not leas than the following amounts: Combined singl-, limit bodily injury and/or property damage ineludinR products lia- bility: $300,000 combined single limit per occurrence. Such policy shall provide coverage at least as broad as ,j that provided in the Standa.•d Form approved by the National. Bureau of Casualty underwriters, together with such endorsements f ! as are required to cover the risks involved . SUBDIVIDER shall arrange for the policies to be so conditioned as to cover the performance of extra or unforeseen work, should such work become necessary. Evidence of such insurance shall be furnished to CITY ! 7 on the CITY'S form and shall ba approved by the City Attorney. F Any such policy must contain a provision of Written notice to the .. 3 _ r CITY of the expiration or cancellation of any of the insurance policies required hereunder not less than thirty (30) days before j each expiration or cancellation is effective. b. EPEKER51 SOJIPEKERTI.QN l SUBDIVIDER shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Act- of the Stats of California, and shall indemnify, defend and hold of CITY 1 from and against all claims, demands, payments, suits, actions, proceedings and ,judgments of every nature and description, including attorney s fees and costs, presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by SUBDIVIDER under this agreeuent, and shall provide to CITY evidence of Workers' Pompensation Insurance or self-insurance satisfactory to the City Attorney on CITY 'S form, ,a if required. 7., LIALLITY FOR WORK f . i In addition to the covenant to hold and save harmless: and to provide insurance the i parties agree that neither the CITY nor any officer or employee thereof shall be liable or reason- `. sible for are, acciugnt, loss or damage happening or occurring to the work specified in this contract prior to t;-le completion and acceptance of the same by CITY, nor shall CIT" or any officer or employee thereof be liable for any person or property injured by reason of the nature of said Work, but all of said liabilities i shall be assumed by SUBDIVIDER. SUBDIVIDER further agrees to I i Frutect and defend CIT! and the officers thereof from all liability or claim because of, or &rising out of, the use of any patent ^r unpaterted article in the construction of said work. 8. EM LIC WARNING AND PROTECTION. SUBDIVIDER btiall at all time3 until �. .TY'S final acceptance of the works of improvement give good and adequate warning to the traveling public oP each and every dangerous condition wP'' "n said streets and highways or any of them within the subdi�iision, and will protect the traveling public from such defective or dangerous conditions. It is understood anC agreed that: until the completion of all the Improvement3 herein agreed tv be performed, each of ,Raid streets and highways not accepted as improved, shall be under the exclusive control of SUBDIVIDER for the purpose of thin contract. With the consent of the City Engineer, SUBDIVIDER may close all or a portion of any street whenever it is necessary to protect the traveling public during the making of the improvements herein agreed to be made. SUBDI- i VI!,::.:. hereby agrees to pay for such inspection cf streets and highways as may be required by the City Engineer. 9. ;,NDF�MN�F,�,�AT.;ONOVNA_,NT,�TO SAKE AND HOLD HARtLE,^ SUBDIVIDER shall fully indemnify and save and hold harmless CITY, its officers, agents and employees trom any and all liability, losses and costs imposed for injury occurring by reason of anything done or omitted to be done by SUBDIVIDER in performance of this agreement and in construction of the improve- ments excepting when such error or omission is solely the fault 5 - of the CITY, its officers, agents or employees, and SUBDIVIDER agrees to enter and defend any suit or action brought or arising out of its performance of this agreement against CITY, its officers, agents or employees. 10. AT%, ORNEY 4..EE2 In the event suit is brought by CITY to enforce the terms and provisions of this agreement or any bond gil►en to secure the performance hereof, a reasonable atturney 's fee, to be i fixed by the court, shall be paid by SUBDIVIDER in CITY'S favor. 11. GENIAL STREET CONSIOUGUM SUBDIVIDER agrees to perform the following work: Construction of streets (including excavation, paving, curbs, gutters, sidewalks, trees and landscaping) , sewers (including construction of main lines and lot laterals and structures, ) I street lights, street signs, domestic water systems, water mains, lot laterals and installation of meters; engineering costs; and any misoellaneous requirements as may be set forth in Chapter 99 of CITY'S ordinance code . Such work which shall be dore snd performed in accordance wJth plans, specifications and profileu I : which have been approved by the City Engineer and filed in the office of the City Engineer and which are in effect when the work is to be performed and all of which work shall be done at the sole cost and expense of SUBDIVIDER, and all labor and material bills shall be paid. SUBDIVIDER agrees to complete all public street improvements, including perimeter walls and landscaping, prior to b - • release or connection of utilities for occupancy for any lot in the Tract. 12. IMPR_OYEMENT SECURrTY Upon execution hereof SUBDIVIDER will deliver to CITY bonds or other approved forms of improvement .security, which i security is given to CITY to insure faithful performance of this agreement. At any time, CITY, at its sole option, may require 1 � any surety to enter upon the ,job site and complete the improve- ' I went project, or the CITY may, at its sole option , invade any depcsit given it or utilize any other form of security deposited >I� or made available to it to commence and/or complete the project. All bonds and other forms of deposit shall be approved by the J City Attorney prior to their acceptance by CITY. Section 66499.7 of the Subdivision Map Act allows the legislative body to provide for the p partial release of the security upon the partial performance of the Act. RECOMMENDATION: r. Re ace the faithful performance portion of the "set--asi,ie letter" from $540,000.00 to $135,000.00. This represents a 75% completion of the public improvements. 2. Instruct the City Clerk to notify the developer and the City Treasurer to notify the bank of this action. Palin, Director City Administrator Development Services Subject SEACLIFF PHASE IV Date February 3, 1984 PARK DEDICATIONS I r r ' The Seacliff Phase IV development contains three approved tracts an,! I one 450 unit parcel which meets the Coastal Commission' s affordability requirements but is not yet an approved tract with the City. Tract 10067 contains 194 single family detached units. Tract 10068 contains 186 townhouse units of which 149 are two--bedroom units and 37 are three-bedroom units. Tract 10069 contains 153 single family detached units. The 450 affordable units are proposed to be two-bedroom condominiums. According to the City' s Park Dedication formula which was in effect when the tracts were approved, the following acreages should be i { dedicated: Tract 10067 3.44 acres Tact 10068 2.30 acres ".Tact 10069 2.72 acres ; 9.49 acres ' To date, 10.28 acres have been set aside for dedication for the first three tracts. Thin amounts to a 1.82 acre surplus over the 8.46 ucrea which are required by the formula. Staff is recommending that this I• ' •sur lus dedication count toward the park dedication which will be requiad with the development of Parcel 4. The park dedication requirement for Parce will e e erm .ned at the time of a project j proposal on the site. RECOMMENDATION: 1. Approve the map p pursuant to the required findings set forth in Section 66458 of the Government Code. 2. Approve the map subject to the finding that the map is in substantial compliance with the previously approved tentative map pursuant to the mandatory findings established by the Planning Commission as set Forth by Section 66474 of the Government Code. 3. Accept the offer of dedication and improvements subject to completion of the requirements shown. 4. ENVIRONMENTAL STATUS: Environmental Impact Report No. 77-6 was approved by the Planning Commission on February 20, 1979, therefore no additional environ- mental review is necessary at this time.
