AGREEMENT FOR SALT: OIl EXCHANGE OP REAL PROPERTY This agreement, made and entLred into at Huntington Reach, California, on the 41 day of r�3n1,�,.v 1982, by and between THE CITY OF HUNTINGTON BEACH, a muni--ipal corporation of the State of California, P.O. pax 190, Huntington Beach, C.-i1ifornia, 92648, hereinafter callee "CITY" and MCLA DEVELOPMENT CORPOIATION, a California corporation, 808 Adams Avenue, Huntington Beach, California, 92549, hereinafter called "MOLA, " -s as folloks: WHEREAS, the CITY desires to sel.� or exchange the real property hereinafter called "SAID PROPERTY, " in the City of Huntington Beach, Orange County, California, described as stated � (AIL in Cxhibit "A, " and WHEREAS, MOLA presently owns the real property contiguous to and northerly of sair3 property and this sale or � exchange shall allow consolidation of these parcels to the mutual henefit of the parties, and on the following terms and conditions: 1. PURCHASE PRICE: A. The purchase price for said property will be determined in the following manner: The parties may agree upon one appraiser from a list of appraisers which shall be furnishers by the CITY, but in the event they cannot agree, there shall be three chosen from this list, - 1 - i one named in writing by each of the parties w4.thin 5 days of the signing of this agreement, and s third chosen by the two appointed. The appraisal prepared p:arsuant to this agreement shall determine the o-irchase price. Regardless of the value per the appraisal, the CITY shall receive ao less than $30,000 nor more than $221,000. If the appraisal exceeds the max).mum as states above the parties shall be excused from performance of this agreement and the Parties shall perform all acts necessary to return each ( party tc the status that existed prior to this agreement. B. Payment and close of escrow shall be within 1 120 days from the determination of the purchase price or at any i other time agreeable to the parties. 2. RESTRICTION ON PROPERTY The property shall be conveyed by CITY to MOLA under the following conditions: A. Parcels A, B, and C, as shown on the attached map, Exhibit "B", are to be conveyed to MOLA subject to existing encumbrances of record. I B. MOLA agrees that the CCfiR's which shall be filed with the CITY for Tract IJ474 shall contain the following provisions: ' (1) That Parcels A and B, as shown on Exhibit `Br shall have no fence over forty-two (42) inches in height ,`hereto, .4 constructed closer than twenty-five (25) feet from either Algonquin or Warner Streets and, further, any fence erected 2 - over forty-two (42) inches must be set back from the aiorecrentiared streets fifty (50) feet. (2) That on Parcels A, B and C, as shown on Exhibit "A" attached hecero, no buildings shall be placed or crnstructed on these parcels and these parcels shall be f landscaped. 1 i (3) That Parcels A and B, as s,town on Exhibit "B" attached hereto, shall be maintained as landscape area at the owners' , his heirs' , successors' , administrators' or assigns' i 'expense. 3. ESCROW A. Opening Escrow An escrow shall be opened, to coneumate the sale of the property within ten (10) days of the execution of this agreement, at Orange Coast Titic Company of Santa Ana. B. Conditions of Escrow The close of such escrow and NOLA'S obligation to purchase said property pursuant to this Contract are conditioned t on: ' (1) The conveyance to (IOTA or his nominee of good and i marketable title to said property, as evidenced by a standard form CLTA title insurance policy in the full amount oC the purchase price subject only to such liens, encumbrances, clouds,. or conditions as may be approved in writing by MOLA, or contained in this Agreement. i 1 • (2) Delivery of possession of said property tr MOLP. or his nominee, immediately on close of escrow free and clear of all uses and occupancies except as MOLA may waive in writing. C. Expense of Escrow All expense of the escrow uhall be paid by CITY and MOLA in equal proportions except that CITY agrees to pay for a CTLA title policy. 4. ENTRY ON PROPERTY MOLA, his agents, employees, servants, or nominees, are hereby granted the right to immediately enter upon the property for the purpose of engineering, geological, or surveying work as may be required for the preparation by them of plans and maps for the development of said property for residential and other uses; and may perform grading and land preparation upon approval of the Director of Public Works and the Director of Development Services of the CITY. S. INDEMNIEICATION F Neither CITY nor any of its officers, agents or employees shall assume any liability by reason of anything done or omitted to be done by MOLA or by MOLA'S officers, agents and employees under or in connection with any work performed pursuant + I to the Entry Provision of this agreement. MOLA shall fully indLmnify, defend and hold harmless CIxY, its officers, agents , and employees from any and all liability, losses and costs 4 - imposed for, injury ocCurri.ng by reason of anything done or omitted to be done by 110LA1 and MOLA agrees to enter and defend any suit or action brought or arising out of the Entry Provision of this agreement against CITY, its officers, agents or employees. 6. ATrORNEY'S FEE I ,n the event suit is brought by CITY to enforce the terms and provisions of this agreement or in any bond given to secure the performance hereof, a reasonable attorney's fee, to be fixed by the court, shall be paid by MOLA. 7. NOTICES i Any and all notices or other communications required or permitted by this Contract or by law to be served on or given to either party hereto, CITY or MOLA, by the other party hereto or by the escrcw holder• shall by in writing and shall be deemed duly served and given when personally delivered to any of the parties, CITY OR MOLA, to whom it is directed, or in lieu of such personal service when deposited in the United State.? mail, 1 �I first-class iiostagu prepaid, addressed to MOLA at 800 Adams Avenue, Huntington Beach, CA 92648, or to CITY at P.O. ENTIRE AGRECIICNT This in5truinent contains the entire agreement between MOLA AND CITY respecting said property, and any- agreement or representation respecting said property or the duties of either MOLA OR CITY in relation thereto not expressly set forth in this instrument is null and void. October, 1982, by and between CITY OF HUNTINGTO►V REACH, a municipal corporation of the State nf California, hereinafter referred to as CITY and MOLA DEVELOMENT CORPORATION hereinafter referred to � I as SUBDIVIDER. 1 RECI`!'ALS A. WFEREAS, SUBDIVIDEn is the owner of a tract of land in CITY, and it is seeking to subdivide the land into lots and dedicate certain streets, alleys, and other improvemekstR therein to `he public use, and 'is about to f- Ae with CITY a map of the rrt :.t of land known as Tract No. i1/►74, and H. As a condition if the approval of said subdivision map and the acceptance of the dedication of the streets, alleys, and j other improvements in said subdivision, SUBDIVIDER is required to i enter into an agreement with CITY to do and perform the work hereinafter specified and to zxecute and deliver to CITY bonds for the faithful performance of raid agreement, for the payment of all labor and material in connection the*:ewith, and for the .guarantee and warranty of the work for a period of one (1) year following completion and acceptance thereof against any defect in work or labor done, or defective materialq furnished. res:kdl 11/19/82 U I NOW, THEREFORE, in consideration of the promises and agree- ments of the parties as herein set forth, the parties agrgn. as follows: 1. General Street Construction. SUBDIVIDER does hereby agree to do and perform. the following work, the core of which has been estimated by the City Engineer to be the aiproximate sum of Twenty Two Thousand Five Hundred dollars. 1 ,1 Construction of streets, including excavation , paving, (� curbs, 'gutters, sidewalks, trees, landf�caping, etc. , sewers, !, i including construction of main lines and lot laterals and structures; street lights, street signs, construction of domestic water system including the construction of water mains, lot laterals and installation of meters; ennineering costs= and any miscellaneous requirements as may be_ set forth in Chapter 99 of CITY'S ordinance r.ode. The work shall be done and performed in I i accordance with plans, specifications and profiles which have been approved by the Director of Public Works, and filed in the office of tt.e City Engineer and all•of -4hich work shall be done at the sole cost and expense of SUBDIVIDER and as a condition for the approval of said map and the acceptance of the dedication of I s.•Ld streets, alleys and other improvements. said work shall be completed on or before two ( 2) years from the date hereof, and all labor and material bills shall be paid. 2. Arterial Highway Improvement. SUBDIVIDER agrees to complete all arterial highway i improvements, including perimeter walls and landscaping, prior to i „ ?. _ I re.Lease or connection of utilities for occupancy for any lot in the Tract. 3. Inspection. CITY shall control work in all public job sites and dedicated areas. CITY may inspect the construction of improve- ments at all reasonable times. CITY will cooperate with SUB- DIVIDEP to'close streets, provide access to CITY owned utilities and allow all necessary encroachments to public or CITY owned property provided, however, that the entire coat thereof shall be borne by SUBDIVIDER. 4. Disposition of Flans, Estimates and other Documents. SUBDIVIDER agrees that Upon completion of the work to be performed hetiunder z�r upon earlier termination of this agree- ment, all original drawings, repo-:ts, calcul, -ions, maps and other documents pertaining to said contract, shall be delivered to CITY and become its sole property at no further cost. 5. Guarantee. SUBDIVIDER shall guarantee all work and material required to fulfill his obligation as stated rein for period q g he of one (1) year following the date of City Council acceptance of same. i 6. Faithful Performance. SUBDIVIDER shall faithfully perform all of the work agreed herein to be done by SUBDIVIDER and shall fully indemnify and save ; armless CITY from all cost and damage which it may suffer by reason of failure so to do and shall fully reimburse 3 and repay CITY all outlay and expense which CITY may incur in making good any such default. 7. Bcnds. SUBDIVIDER shall , prior to entering upon the perform- ance of this agreement, furnish security meeting the requirements of Government Code 566499, et seq. , and Arcicle 997 of the city's ordinance code, and approved by the City Atto.,ney: one in the amount of one hundred percent (100t) of the cost of the work to guarantee Subcontractor's and his subcontractors' faithful per- formance of thp: work and to warrant such performance for a period of one (1) year after CITY's acceptance thereof; and one in the amount of at least fifty percent (50;0 of the cost of the work, to guarantee payment of all claims for labor and materials furnished. 8. Insurance. SUBDIVIDER agrees to furnish to CITY and maintain in force until the completion of the work herein agreed to be done by SUBDIVIDER at SUBDIVIDER'S sole expense, a public liability policy in which CITY is iiamed as an additional insured. The policy shall insure CITY, its officers dnd employees against loss, damage or expense by reason of any suits, claims, demands, judgments and causes of action caused by SUBDIVIDER, his employe- es, agents, subcontractor.,, or by any third party arising out of or in consequence of 5UBDIVIDER'S performance r . the agreement, except where such loss, damage or expensa is caused solely by the wrongful acts of CITY, its agents, officers or employees in - 4 i 1 i i I i connection with the general supervision or direction of the work to be performed under this agree.,-.ent. The policy shall provide for not less than the following amounts: i i I Combined single limit bodily injury and/or i property damage including productu lia- bility: $1,000,000 combined single limit per occurrence. Such policy shall provide coverage at least as broad as that provided in the Standard Form approved by the National Bureau of Casualty underwriters, together with such endorsements as are required to cover the risks involved. SUBDIVIDER shall arrange for the policies to be so conditioned as to cover the performance of e.:tra or unforeseen work, should such work become necessary. Prior to the recordation of the Final Tract Map, i evidence of insurance shall be furnished in a form satisfactory to CITY. In addition, SUBDIVIDER shall furnish evidence of a I commitment by the insurance company to notify CITY of the,expira- tion or cancellation of any of the insurance policies required hereunder not less than thirty (30) days before each Expiration ,or canzellation is effective . 9. Workers' Compensation SU9UIVIDER shall comply with all of the provisions of the Workers' Compensation I^surance and Safety Acts of the State - 5 - w. • 1 1 from and against all claims, demands, payments, snits, actions, proceedings and judgments of every nature and description, including attorney's fees and costs, presented, brought or recov- ered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by SUBDIVIDErR under this agreement, and shall provide to CITY evidence of Workers' Compensation Insurance satisfactory to the City littorney. 10. Liability for Work. CITY shall not, nor shall any officer or employee thereof, be liable or responsible for any accident, loss or damage happening or occurring to the work specified in this contract prior to the completion and acceptance of the same, nor shall CITY nor any officer or employe , thereof he liable for any person or property injured by reason of the nature of said work, but all of said liabilities shall be assumed by SUES DIVIDER. SUBDIVIDF:2 further agrees to protect CITY and the officers there- of from all liability or claim because of, or arising out of, the use of any patent oL unpatented article in the construction of k r said work. 11. Public Warning and Protection. SUBDIVIDER shall at all times from and after the acceptance by City Council of the highways offered for dedication in said work or improvement by said Council, give good and adequate warning to the traveling public of each and every dangero.s condition existent in said highways or any of them, and W 6 r f� I I A protect the travelivq public from such defective or dangerous cc:ditions. That it is understood and agreed that until the I completion of all the improvements herein agreed to be performed, each of said highways not accepted as improved shall be under the charge of SUBDIVIDER for the purpose of this contract, and SUBDIVIDER may close all or a portion of any street whenever it is necessary to protect the ;..raveling public during the making of the improvements herein agreed to be made. SUBDIVIDER hereby agrees to r,o., for such inspection of highways as may be required by the City Engineer or CITY. 12. indemnification. Neither CITY nor any of its officers, agents or employees shall assume any liability by reason of anything done or omitted to be done by SUBDIVIDER or by SUBDIJIDER'5 officers, agents and employees under or in connection with any work pets- }f formed pursuant to this agreement. SUBDIVIDER shall fully ! indemnify, defend and hold harmless CITY, its officers, agent, and employees prom any and all liability, losses and costs imposed for injury occurring by mason of anythinn done or omit- I ted to be done by SUBDIVIDER, and SUBDIVIDER agrees to enter and i defend any suit or action brought or arising out of this agreement against CITY, its officers, agents or employees. 13. Attorneys Fee. In the event suit is brought by CITY to enforce the terms and provisions of this agreement or in any bond given to secure the performance hereof, a reasonable attorney's fee, to be fixed by the court, shall be paid by SUBDIVIDER. !
