THIS AGREEMENT is made and entered into this day of
June 1884, by rid between CITY OF HUNTINGTON BEACH, j
a municipal corporation o.: the State of California, herei.-after
referred to as "CITY, " and MOLA DEVELOPMENT CORPORATION, a
California corporation, hereinafter referred to as "SUBDIVIDER".
WITNESSETH: ,

WHEREAU, SUBDIVIDER is subdividing that certain parcel of land
shown within the subdivision boundaries of Tentative Tract Map '
11886 (hereinafter as "map" ) and
CITY has imposed certain on site and off site development
improvement requirements (hereinafter as '-improvements" ) upon
SUBDIVIDER, which conditions must be fulfilled prior to recor-
dation of a final map, and
Exigent circumstances have made it impossible for SUBDIVIDER
to construct such improvements prior to the filing of said final
map, and

SUBDIVIDER desires to post secur?,ty with CITY to insure that
all improvemen.:s will b - completed after such recordation, and
CITY is willing to accc,c such security in lieu of present }
compliance with the condi ti .a of the reaps.

NOW, THEF,EFORE, the parties covenant and agree an folLowes
1. WORK STATEMENT, SUBDIVIDER TO CONSTRUCT IMFkOVEMENTS
SUBDIVIDER agrees that it will, withia two 12) years from
the date above first written, complete to CITY'G satisfaction
unfulfilled conditions of the mvp and that all works of
construction and improvement shall be finally offered to and
accepted by CITY.
2. PLANS, SPECIFICATIONS, REQUIREMENTS OF CITY
All improvements will be constructed in accordance with
the CITY'S plans, specifications and requirements applicable to
similar work usually performed under contract to CITY and which
are in effect at the time of their construction.
3. INSPECTION
CITY shr,..l control work in all public job sites and
dedicated areas. CITY may inspect the construction of improve-
ments at all reasonable tinges. CITY will cooperate with

SUBDIVIDER to provide access to CITY owned utilities and allow all
necessary encroachments to public or CITY owned property,
provided, however, that the entire Cost thereof shall be borne by
SUBDIVIDER.
4. WARRANTY
All improvements shall be fully and absolutely warranted
by SUBDIVIDER as to materials and workmanship for o-e (1) year
after the date of acceptance by CITY.
5. GENERAL PUBLIC LIABILITY INSURANCE
SUBDIVIDER will maintain in force during the construction

period and until CITY'S Final acceptance of the work at

SUBDIVIDER'S sole expense, a general public liability policy in
which CITY is an additional named insured. Such policy shall
Insure CITY, its officers and empioyee� against any and all loss,
damage or expense by reason of any suits, claimr, demands, judg-
ments and causes of action arising out of or in consequence of
SUBDIVIDER'] performance of the agreement, except where such loss,
I damage or expense is caused solely by a wrongful act of CITY'S
officers or employees in connection with the general supervision
or direction of the wort; to be performed under this agreement.
The policy shall provide for not less than the following amounts:
Combined si:.gle limit bodily injury and/or
roperty damage including products liability:
300,000 combined single limit per occurrence.
4 Such policy shall provide coverage at least as broad as
that provided ifi the Standard Form approved by the National Bureau
4 of Casualty Uplerwriters, together with such enec)rsementa as are
required to cover the risks involved.
! SUBDIVIDER shall arrange for the policies to be so
' conditioned as to cover the performance of extra or unforeseen
work, should such work beco:re necessary.
1 Evidence of such insurance shall be furnished to CITY on
the CITI •S form and shall be approved by the City Attorney. Any
such policy :rust contain a provision of written notice to the CITY
of the expiration or cancellation of any of the insurance policies
required hereunder not less than thirty (30) days before each
expiration or cancellation is effective.

I8. PUBLIC WAR14ING AND PROTECTION
SUBDIVIDER shn) 1 at all times until CITY'S final
acceptance of the works of improvement give good and adequate
warning to the traveling public of each and every dangerous
condition within said streets and highways or any of there within
the subdivision, and will protect the travelling public from such

defective or dangerous coniitions. It is understood and agreed
that until the completion of all the improvements herein agreed to
11 be performed, each of said streets and highways not accepted as
Is improved shall be under the exclusive control of SUBDIVIDER for
the purpose of this contract. With the consent of the City
Engineer., SUBDIVIDER may close all or a portion of any street
whenever it is necessary to protect the travelling public during
the making of the improvements herein agreed to be made_. SUBDI-
VIDER hereby agrees to pay for such inspection of streets and
higt:�ays as may be required by the City Engineer.
9. INDEMNIFICATION, COVENANT TO SAVE AND HOLD HARMLESS
SUBDIVIDER shall fully indemnify and save and hold harm-
less CITY, its officers, agents and employees from any and all
liability, losses and costs imposed for injur;,► occurring by reason
i of anything done or ovitted to be done by :UBDIVIDER in perfor-
mance of this agreement and in construction of the improvements
regardless of any active or passive negligence of CITY, except
when such error or omission is solely the fault of the CITY, its
officers, agents or employees, and SUBDIVIDER agreeb to enter and
defend any suit or action brought or arising out of its performance

10. ATTC:NEY'S FEE
In the event suit is brought by CITY to enforce the terms
and provisions of thib agreement or at,y bond given to nec,ire the
performance hereof, a reasonable attorney's fee, to be fixed by
the court, shall be paid by JUBDIVIDER in CITY'S favor.
ll,. GENERAL STREET CONSTRUCTION
SUBDIVIDER agrees to perform the following work:
Construction of streete (fi►cluding excavr.tion, paving, %:urba,
gutters, sidewalks, trees and landscaping) , sewers, (including
construction of main lines and lot laterals and structures) street
lights, strc• signs, domestic water systems, water mains, lot
laterals and installation of meters; engineering costs; and tiny
miscellaneous requirements as may be set forth in Chapter 99 of

CITY'S ordinance code. Such work which scull be done and
' performed in accordance with plans, specifications and profiles
which have been approved by the City Engineer and filed in the
cffice of thr• City Engineer and which arL- in effect when the work
is to be performed and all of which work shall bf: done at th.- sole
cost and expense of SUBDIVIDE: ;t�.Zd all labor and material bills
shall be paid.

SUBDIVIDER agrees to complete all public street improve-
ments! including perimeter walls and landa.:aping, prior to release

or connection of utilities for occupancy for any lot in the ...-Lt.

6.
6. WORKERS' COMPENSATION
SUBDIVIDER shall comply with all cf the provisions of the
Workers ' Compansation Insurance and Safety Acts of the State of
California, and shall indemnify, defend and hold ;armless CITY
from and against all claims, demands, payments, suits, ac'.:ions,
proceedings and judgments of every nature and description,
including attorrey's fees and costs, presented, brought or
recovered Against CITY, for or on account of any liability urd3r
any of said acts which may be incurred by reason of any work to be
performed by SUBDIVIDER under this agreement, and shall provide to
CITY evidence of Workers ' Compensation Insurance or self-insurances
satisfactozy to the City Attorney on CITY'S form if required.
7 . LIABILITY FOR WORK
In addition to the covenant to hcc:u and save harmless and
to provide insurance, the parties agree that neither the CITY nor
any officer or employee thereof shall be liable or responsible for
any accident, loss o•r damage happening or occurring to the work
specified in this contract prior to the completion and acceptance
of the same by CITY, nor shall CITY or any officer or employee
thereof be liable for any person or proparty insured by reason of
the nature: of said work, but all cf said liabilities shall be
assumed by SUBDIVIDER. SUBDIVIDER further agrees to protect and
defend C.171 and the officers thereof from all liability or claim
because of, or arjsinq out of, the use of any patent or unpatented

article in the construction of said work.

12. IMPROVEMENT SECURITY
Upon execution hereof SUBDIVIDER will deliver to CITY
bonds or other approved forms of improvement security, which

security is given to CITY to insure faithful performance of this
agreement. At any time, CITY, at its sole option, ray require any
surety to enter upon the job site and coml ete the improvement
project, or the CITY may, at its soli• option, invade any deposit
given it or utilize any other form of security deposited or made
,available to it to commence and/or complete the project. All
bonds, and other forms of deposit shall be approved by the City
Attorney prior to their acceptance by CITY. SUBDIVIDER may,
during the term of this agreement, substitute improvement security
provided that the substituted security is acceptable to the City

Nutter 11886, approved July 12t1h, 1984, and instruct the City Clerk to ratify the
Developer and the City Treosutor of this action.
It is further riecomnehded that the City Council accept the substitute Subdivision
Agrem ant and instruct the City Clerk to file it with their office.
AWASIS:
Nola Development Corporation has ompleted the majority of their required inprovements
per the Agreanent, tnc?lxiing streets, sheer, water and stone drain. They have not
been ab?.3 to emplete the perimeter wall, nor the cul-de--sa.s of :.our (4) external
straets which currently dead-end to the south and east of this project. wherefore,
they are requesting an extension on their Subdivision Agreement:.

All imprvvenents will be constructed in arcordanee with the CITY'S plans,

under contract to CITY and which are in effect at the time of their construction.

CITY shall control work in all public job sites and dedicated areas. CITY
may inspect the construction of i.mprovc-mentrs at all reasonable times. CITY
will cooperate with SUBDIVIDER to provide access to CITY owned utilities and
allow all necessary encnx-chments to public or CITY a,med property, provided,
however, that the entire cost thereof shall be borne by SUBDIVIDER.
4. WARRANN
All improvcanents shall be fully and absolutely warranted by SUBDIVIDER as
to materials and workmanship for one (1) year after the date of aoccptance by �
CITY.
5. GEMM PUB.AC LIABILITY ItZSURM7,
SUBDIVIDFR will maintain in force during the corawiction period and until
CITY'S final acceptance of the worts at SLMDIVIDER': sole expense, a mneral
public: Liability policy in which CITY is an additional named insured. Such {�
policy shall insure CITY, its officers and employees against any and all loss, �
datwe or expense by reason or any suits, claims, demands, judgments and
causes of action arising out of or in consequence of SUBDIVIDER'S performance
of the agreement, except where such Loss, damage or expanse is mused solely l)
by a wrongful act of CITY'S officers or anployees in connection wit2i the general
supervision or diraction of the work to be performed under this agreement. Zhe I

Such policy shall provide coverage at least as broad as that provided

cover the performance of extra or unforeseen work, should sur-h work become rl&:-
essary.
Evidence of such insurance shall be furnished to CITY on the CITY'S
Perm and shall be a pm%ed by the City Attorney. Any sudi policy mmt contain
a provision of written notice to the CITY of the expiration or cancellation of

In addition to the covenant to hold and save harmless and to provide insurance, I'
the pizrties agree tbat neither the CITY nor any officer or employee thereof :mall
be liable or responsible for any accident, loss of damage happening or occurring
to the aiork specified in this contract prior to the completion and aoceptancia
of the same by CITY, nor shall CITY or any officer or employee thereof be liable
for any person or property injured by reason of the nature of said work, but `
all of said liabilities shall be assumed by SUBDIVIDER. SUF3DIVIDE.R further
agrees to protect and defend CITY and the officers thereof from all liability
or claim because of, or arising out of, the use of a,:y patent or unpatented
article in the construction of said work.
$. PUBMC WARNIM AND PFCMUMON
SUBDIVIDER shall at all time, until CITY'S final acoapt -M of the works of
inpnovenent give goad and adcquat.e warning to the traveling puuli.c of each and
every darnerous condition within said s treets and highways or any of thc-.t within
the subdivision, and will protect the travelling public from such defective or
dangerous conditions. It is understood and agreed that until the completion
of all the inprovernents herein agreed to ba perforrrP4, each of said streets
and highways not accepted as i nprov d shall be under the exclusive control of
SU9DIVIDF2 for the purpose of this contract. With the consent of the City
Engineer, 5LODIVIDER may close all or a portion of any street whenever it is
necessary to protect the travelling public during the rraki.ng of the irprovemants
hez-�;.n agreed to be made. SUBDIVIDER heresy agrees to pe7y .for such inspection
of stints and highways as nay be required by the City Engineer.

9. INDMI rICATION, OJVF3VWr TO SAVE AND HOLD tMMS
SUBDIVIDER shall fully indemnifj* and save and hold harmless CITY, its
officers, agents and aw)loyees from any and all liability, losses and costs
imposed for injury occurring try reason of anything dale or omitted to be done
by SUBDIVIDER in performance or this agreement and in construction of the im-
pmvamnts regardless of any active or passive mgligenca- of CITY, except when
such error or omission is solely the fault of the CITY, its off oars, agents
or employees, and SUBDIVIDER agrees to enter and defend any suit or action
btought or arising out of its perfor:nce of this agreement against CITY, its
officers, agents or u_tplayees.
10. AMR EY'S F'EL:
In the event suit is br>ougiht by CITY to enforce the terms and provisions
of this agreement or any bond given to secure the performance hereof, a
reasonable attorncy's fee, to be fixed try the court, shall be paid by SUB-
DIVIDER in CM IS favor.
11. GENERAL SFFM CONSTRLICTION
SUBDIVIDER agrms to :srform the following work: Construction of streets
{ (including exc;�,%ration, paving, curbs, gutters, sidewalks, trees ary3 landscaping) ,
sewers, (including construction of main lines and lot laterals and structures)
I street lights, street signs, do►mstic water systems, water mxi.ns, lot laterals
and installation of miters; engineering costs; and wiy m:ccellaneous rr--
quirarents as may be set forth i.n OWter 99 of CITY'S ordinance code. Such
work which shall be dorms and perform►-xi in accordance with plans, specifications
! and prof)les which have been approved by the City Engineer and filed in the

formed and all of which work :shall be core at the sole cost and expense of

SUBDIVIDER agrees to amplete all public street improvements, including
perimeter walls and landscaping, prior to release or connection of utilities

12. IMPIUVD= SECURITY
Upon execution hereof SUBDIVIDER will deliver to CITY bonds or other approved
fo=s of inprovwient security, which security is given to CITY to insure faith-
ful perforrkance of this agreement. At any time, CITY, at its sole option, may

Bank agrees that the funds in said amount are for the payment of Park and
Recreation Fees for Tract 11886 to the City and that said funds will be disbursed
for the above mentioned payment of fees and for no other purr Go, So long as

STATEMENT OF ISSUE:
The final map of Tract 1.1886, being a portion of Tentative Tract
No. 11673, has been submitted to the City for approval. Also,
Section 66499 of the Subdivision Map Act requires the local rgency
to approve bonds and agreements for new subdivisions.
RECONDATION t
1. Approve the map pursuant to the required findings set forth
in Section 66458 of the Government Code.
2. Approve the map subject to the finding that the map is in
substantial compliance with the previously approved tentative
map pursuant to the mandatory findings established by the
Planning Commission as set forth by Section 66474 of the
Government Coda.
3. Accept the offer of dedication and improvements subject to
completion of requirements.
4. Instruct the City Clerk to not afix her signature to the map
nor release it for preliminary processing by the County of
Orange or for recordation until the following conditions have
been complied with:
a. Deposit of fees for water, sewer, drainage, engineering
and inspections.
b. Certificate of insurance.
c. Subdivision agreement.
d. Drainage for the subdivision shall be approved by the
Department of Public Works prior to the recordation of a
final map.

e. Park and Recreation fees shall be paid prior to
recordation of a final reap.
{ f. A copy of the Orange County Flood Control District
approval for the bridge design shall be su:Jmitted to the
Department of Development Services prior to the
recordation of the final map, or sufficient security
shall be filed with the Department of Development.
Services to insure construction of the bridge.
It is also recommended that the City Council accept the following
bonds and two conies of the Subdivision Agreement:

2. Guarantee and Warrantee Bond No. SE 00417
3. Labor and Material Bond No. SB 00416
4. Faithful Performance Bond No. SB 00416
and instruct the City Clerk to file them with the City Treasurer.
It is further recommended that the City Council accept the
subdivision agreements and instruct the City Clerk to file one
copy and return the ,.second to the subdivider. All of the bonds
have been approved for amount by the Department of Public Works
and as to form by the City Attorney's office.

Although the Seabridge Specific Plan was approved by the City
Council on April 51 1902, the ordinance did not become effective
until thirvy days later on May 5, 1982. Because of this, the
effective date of Ordinance No. 2550 extended the expiration date
of Tentative Tra-:t No. 11673 to May 5, 1984.

Provisions exist within the State Subdivision Map Act that provide
1 for extensions of time; Section 66452.6 (f) of the Map Act states
in part that: a development moratorium shall include a water or
sewer moratorium or a water and sewer moratorium as well. as otter
actions of public agencies which regulate land user development or
the provisions of services to the land, other than the public

approval of a final map. The developer has been negotiating in
good faith with the Orange County Flood Control District regarding
a bridge across the existing flood control channel whicvj has
delayed the processing of a final snap for the subject property.
Therefore, based on Section 66452.6 (f) of the State Subdivision
Map Act, the tentative map is still considered acLive. Vje to the
f technical, nature of this item, staff will be processing an
+i extension of time for Tentative Tract No. 11673 te, clarify our
t recordg. This item is scheduled for the June 19, 1984 Planning
Commission meeting.
ENVIRONMENTAL STATUS:
Environmental Impact Report No. 81-3 was certified as being
adequate by the Planning Commission on February 2, 1982.
