STATEMENT OF ISSUE:
The final map of Tract No. 12532 being a portion of Tentative Tract
No. %has been submitted to the City Council for approval. Also
Section499 of the Subdivision Map Act requires the local agency to
approve bonds and agreements for new subdivisions. Tentative Tract
No. 10"4 will expire on November 28, 1986.
RECOMMENDATION:
1 . Approve the map pursuant to the required findings set forth in
Section 66458 of the Government Coda.
2. Approve the map subject to the finding that the map is in
substantial compliance with the previously approved tentative map
pursuant to the mandatory findings established by the Planning
Commission as set forth by Section 66474 of the Government Code. t
3. Accapt the offer of dedication and improvements subject to
completion of requirements shown.
4. Instruct the City Clerk to not affix her signature to the map nor
release it for preliminary processing by the County of Orange or
for recordation until the following conditions have been complied
with:
a. A Certificate of Insurance shall be submitted;
b. Subdivision Agreement;
c. Drainage for the subdivision shall be approved by the
Department of Public Works prior to recordation of the final
map.
d. The Declaration of Covenants, Conditions, and Restrictions
shall be reviewed and approved by the Department of
Development Services and "approved as to form" by the City
Attorney prior to the recordation of the final map.

5. Park and recreation dedication may be postponed subject to
conveyance by grant Jeea of the bluff park acreage for the
proposed linear park.
6. It is also recommended thet the City Council accept a letter of
credit in lieu of the Faithful performance, Guaranty and
Warranty, Tabor and Material, and Monument bonds, and instruct
the City Clerk to file them with the City Treasurer. It is
further recommended that the City Council accept the subdivision
agreements and instruct the City Clerk to file one copy and
return the second to the subdivider .

ENDORSEMENT OF APPROVAL TO LETTER AGREEMENT
The within letter agreement, dated May 2, 1986 to the City of Huntington
Beach from Bank of America concerning certain assurances for the completion
of monument, 'mprovements, guarantee and warranty for the Seacliff Estates
project as morn particularly described in said letter is approved as to
form on the following conditions.
The parties agree and the City of Huntington Beach ("City") reserves the
right to:
a) Upon City's request, review in advance all payments to
contractors, subcontractors, laborers and materialmen.
b) Oelcare a default after construction of the work of improve-w nt
has ceased for a period of six (6) consecutive months unless
construction has ceased because of &cts or conditions not within
the control of Seacliff Estates, its assigns or contractors. No
default can be declared until thirty (30) days after such acts or
conditions end and City gives to Seacliff Estates, its assigns or
contractors, written notice that City will declare a default
unless construction resum-es within thirt;f (301 days from the date
of such notice.
c) Charge back against the set aside funds City's cost of contract
administration which are reasonably incurred and attributable to
this agreement, provided that such cost shall not exceed Five
Hundred Dollars ($500.00).

SUBDIVISION IMPROVEMENT SECURITY AGREEMENT

THIS AGREEMENT is entered into this__,,2/.3r day of ,
19 , by and between the CITY OF HUNTINGTON BEACH, a municipa
corporation of the State o.: California, hereinafter referred to as
"CITY, " and SEACLIFF ESTATES, a paitnership, MANSION PROPERTIES,
INC. , hereinafter referred tc as "SUBDIVIDER."
WITNESSETH:
WHEREAS, SUBDIVIDER is subdividing that certoir parcel of

land shown within the subdivision boundaries of T*_-n%,afi4*e Tract
Map 12532 (herein as "map" ) ; and,
CITY has impoxed certain on-site and off-site development
improvement requirements (herein as "improvements" ) upon
SUBDIVIDER, which conditions must be: fulfilled prior to recorda-
tion of a final neap; and,
Exigent circumstances have made it impossible for
SUBDIVIDER to construct such improvements prior to the filing of
said final map; and,
SUBDIVIDER desires to post security with CITY to insure
that all improvements will be completed after such recorda
tion,
and CITY is willing to accept such security pursuant to California
i
Government Ccde Section 66499.3 .
NOW, THEREFORE, the parties hereto covenant and agree as
follows:
1 . WORK STATEMENT - SUBDIVIDER TO CONSTRUCT IMPROVEMENTS
SUBDI171DER agrees that it will, within ninety (901
days of written notice to proceed from City's Director of Public
Works and, in any case, no later than two (2) years from the date
:above first written, complete to CITY'S specifications and to the
satisfaction of its inspectors all unfulfilled conditions of the

map. Subdivider shall Womplete within such time period in a
manner acceptable to City, all improvements mentioned herein.
2. IMPROVEMENT SECURITY
In accordance with Huntington teach Ordinance Code
(11BOC) , Article 997, upon execution hereof SUBDIVIDER shall
deposit with the City Treasurer the sum of $216, 338.00, as
1 prescribed by 100C Section 9970, which security is given to CITY
to insure faithful performance of this Agreement. The deposit may
be by corporate surety bond, cash or other approved form of
improvement security. All bonds and other forms of deposit shall
be approved by the City Attorney prior to their acceptance by
CITY. SUBDIVIDE* may, during the term of this Agreement,
substitute improvement security provided that the substituted
security is acceptable to the City Attorney.
3 . GENERAL STREET CONSTRUCTION
SUBDIVIDER agrees to perform the following works of
improvements Construction of streets ( including excavation,
i paving, curbs, gutters, sidewalks, trees and landscaping) , sewers
(including constriction of main linee and lot laterals and
structures, ) street lights, street signs, domestic water systems,
water mains, lot laterals and installation of meter; engineering
costs; and any miscellaneous requirements as may be set forth in
11W2C Chapter 99. Such work shall be done and performed in
accordance with plans, specifications and profiles which have Leen
approved by the City Engineer and filed in the office of the City
Engineer according t.� 11BOC provisions and which are in effect when
the work is to be performed; all of said work shall be done at
the sole cost and expense of SUBDIVIDER, and all labor and
material bills shall be paid by it in a good and timely manner.
SUBDIVIDER agrees to complete all public street
improvements, including perimeter walls and landscaping, prior to
release or connection of utilities for occupancy for any lot in
the= Tract.

4. ACCEPTANCE OF IMPROVEMENTS - RETURN OF CASH DEPOSIT
If SUBDIVIDER has made cashdeposit with the City
Treasurer under Section ? hereof, upon CITY's acceptance of the
improvements the SUBDIVIDER may demand return of said deposit
which shall be returned, within 50 d ,ys ol' said demand.

i 5. SUBDIVIDER DREACH OF COVENANT TO COUSTRUCT
In the event that SUBDIVIDER fails to satisfactorily
complete construction of the improvements within ninety days after
C;TY's notice to proceed, CITY, at its sole option, may invade and
use the deposit in order to complete theconstruction of
improvements hereunder. Any raonies remaining unspent upon
completion of improvements shall 'We returned to SUBDIVIDER as
provided in Section 4 hereof.
6. PLANS, SPECIFICATIONS, REQUIr:MENTS OF CITY: All.
improvements .:ill be constructed in accordance with the CITY' s
plans, specificaticno and requirements applicable to similar work
usually performed under contract to CITY and which are in effect
at the time of their construction.
7. INSPECTION: CITY shall control work in all public
job sites and dedicated areas. CITY may inspect the construc-
tion of improvements at all reasonable ticea. CITY will cooperate
with SUBDIVIDER to provide access to CITY-owned utilities and
allow all necessary encroachments to publicor CITY-owned
property; provided, however, that the entire cost thereof shall be
borne by SUBDIVIDER.
B. WARRANTY: All improvements shall be fully and
abanlutely warranted by SUBDIVIDER as to materials and workman-
ship inr one (1) year after the date of acceptance by CITY.
9. GENERAL PUBLIC LIABILITY INSUPUMCEs SUBDIVIDER will
maintain in force during the construction period and until CITY's
final acceptance of the work, at SUBDIVIDER's sole expense, a

general public liability policy in which CITY is named as an
Additional. Insured. Such policy shall indemnity CITY, its
officers and employees, against any and all lz)sa, damage or
expense by reason of any suits, claims, demands, judgments and
causes of action arising out of or in consequence of SUBDIVIDER' s
performance of this Agreement. The policy shall provide for not
less than the following amounts:
Combined single limit bodily injury and/or
property damage including products liability:
$1,000,000 combined single limit per occurrence .

Such policy shall provide coverage at least as broad as
that provided in the Standard Form approved by the National
Board of Casualty Underwriters, together with such endorse-
ments as are required to ever the risks involved. SUBDIVIDER
shall arrange for the policies to be so conditioned as to
cover the performance of extra or unforeseen work, should such
work become necessary.
Evidence of such insurance shall be furnished to CITY
on the CITY's form and shall be approved by the City
Attorney. Any such policy must contain a provision of written
notice to the CITY of the expiration or cancellation of Pny of
the insurance policies required hereunder not less than thirty
(30) days before each expiration or cancellation is effective .
10. WORKERS COMPENSATION: SUBDIVIDER shall comply
with all of the provinions of the Worker' s Compansation
Insurance and Safety Acts of the State of rilifornia, and
shall indemnif,t defend and hold harmless L:ITY from and
against all claims, demands, payments, suits, actions,
prcceedings and judgments of every nature and description,
including attorney's fees and costs, preaanted, wrought or
recovered against CITY, for or on account of any liability
under any of, said acts which may be incurred by reason of any
work to be performed by SUBDIVIDER under this Agreement.;

SUBDIVIDER shall provide to CITY evidence of Workers '
Compensation insurance, or self-insurance satisfactory to the
City Attorney.
11 . PUBLIC WARNING AND PROTECTION: SUBDIVIDER. shall
j at all times until CITY' s final acceptance of the works of
1 improvement give good and adequate warning to the traveling
public of each and every dangerous condition within said
streets and highways, and will protect the traveling public
from such defective or dangerous conditions. It is understood
and agreed that until the completion of all the improvements

herein agreed to be performed, each of said streets and
highways not accepted as improved shall be under the exclusive
j .control of SUBDIVIDER for the purpose of this Agreement. With
the consent of the City Engineer, SUBDIVIDER may close all or
a portion of any street Whenever it is necessary to protect
the traveling public during the making of the improvements
herein agreed upon. SUBDIVIDER hereby agrees to pay for such
inspection of streets and highways as may be required by the
City Engineer.
12. INDEMNIFICATION-COVENANT TO SAVE AND FOLD HARMLESS:
SUBDIVIDER shall fully indemnify and save and hold
harmless CITY, its officers, agents and employees from any and
all liability, losses and costs imposed for injury occurring
by reason of anything done or omitted to be done by SUBDIVIDER
in performance of this Agreement and in construction of the
improvements, excepting when aucl-i error or ou.ission is solely
the fault of the CITY, its officers, agents or employees, and
SUBDIVIDER agrees to enter and defend any suit or action
brought or arising out of its performance of this Agreement
against CITY, its officers, agents or employees.
13. LIABILITY FOR WORK: In addition tc the covenants
to hold and save harmless and to provide innurance, the
parties agree that neither CITY nor any officer or employee
thereof shall be liable or responsible for any accident, loss

or damage happening or occurring to the work specified in this
Agreement prior to the completion and acceptance of the same
by CITY, nor shall CITY or any officer or employee thereof be
liable for any person or property injured by reason of the
nature of said work, but all of said liabilities shall be
assumed by SUBDIVIDER. SUBDIVIDER further agrees to protect
and defend CITY and the officera thereof from all liability or
claim because of, or arising out of, the use of any patent or
unpatented article in the construction of niid work.
14. ATTORNEY'S FEE: In the event suit is brought by
CITY to enforce thn terms and provisions of this Agreement or
any bond given to secure the performance hereof, a reasonable
attorney's fee; to be, fixed by the court, shall be paid by
SUBDIVIDER in CITY's favor.
