WRZRZAS, Subdivider is the owner of a tract of land in the City
of Huntington Peach, California, which it is seektig to subdivide into
lots and to dedicate certain streets, rlleys, and Gther improvements
thcrain to the public use, and is sbou. ,c file With said City a map
of the Tract of lsnd known as Tract No.8005 , and
iiH"EAS, as a condition to the approval of said subdivision map
and the acceptance of the dedication of the streets, alleys, and other
improvements in said subdivision, said s!.jbdivider is required to enter
into an agreement with the City of Huntington Beach to do and perforce the
work hereinafter specified and to execute and deliver to the City of
Wintington Reach, bonds for the faithful ptrfaivance of said agreement
and for the payment of .:ll ,labor ::r4 material in connection therewith,
as required by Sections 11611 and 11612 of the Business and Pro&'essions
Code of the State of California and Sections 9931. 15, 9931. 16, 9931. 17,
and 9931. 18 of the Huntington Beach Ordinance Code;
N(Al THERE ORE, in consideration of the promises and agreements of
the parties as here W set forth, the parties agree as followst
1. Subdivider does hereby Pg ree to do and perform the following
work, the cost of which has been us timated by the City Engineer to be
the sum of 0 301 ,000.00) Three Hundred Eighty One Thousand Dollars
For the construction of ittces-ts, including excavation, paving,
curbs, Suttera, sidewalks, t c ves, landscaping, ets. , sewers,
includi«g construction of main iitces and lot laterals and atruruc rv.,;
street lights, street signs; construction of domestic water sys ter:
including the construction of water mains, lot laterals and installation
of meters= engineering costal and any miscellaneous requiremer.'.s as may
be set forth in Chapters 99, 34, and 35 of the Huntington Beach Ordinance
Code, and

ail of which said work shall be done and porfc-rmed In Accordance with
pleas, specifications and profiles which have been approved by the City
Engineer and filed in tna office of tier City Bnginsor and all of whitb
work shell be done atthe sole cost and expense of the Subdivider and
{ es a condition for the approval of raid map and the acceptance of tho
de-liLation of said streets, allays and othav improvements, and asid
work shall be completed on or before two (2) years from the date hurenf,
and P11 labor and material bills rhall be paid.
2. Subdivider agrees to complete all Arterial Highway Improvements
including perimeter Malls prior to City final.L.S of any lol.
9. Subdivider shall, guarantee all work and material required to
fulfill his obligation as stated herein for a period of one year foilowing
the date of City Council acceptance of satcee*.

4. Said Subdivider shall faithfully perform all of the work agreed
herein to be done by Subdivider and shall fully ineamenify and save harmless
the City of Huntington beach from all coat and damage which it may suffer
by reason of failure so to do and 91u211 fully reimburse and repay the
City all outlay and expense which the City may incur in making good an,
such deFault.
5. The Subdivider agrees to furnish tv the City and rnafntaiee in
force- until the completion of the work herein agreed La be done by
Subdivider, at Subdivider'* expenses, a protec�Live !.ability policy it,
Which the City is named as an additional insurett. They policy she 11
insure the City, its officers and employees white acting within the scope
of their duties, against all clairas arising out of or in connection with

Such polity shall provide co-!+erage at least as broad a:, that Ftoeided
in the Standard Form approved by the Motional Bureau of Casualty Underwriters
together with such endorsements as are required to cover the risks involved.
The Subdivider shall arranges for the policies to be go conditioned
as to cover the performance of extra or unforeseen work, ;.should such work
become neceshary.
PrSoY to the racordation of the Final Tract Map, evidence of insicanct
shall be furnished in a farw aatiefactory to the City. In addition, the
Subdivider shall furnish evidence of a corwitment by the insurance company
to ratify the City of the expiration o,_ cancellation of any of the insurance �I
policies required hereeunde: not lose than 34 days before each expiration .

6. That *aid City shall not, nor shall tiny officer or employee thereof,
be 1 iobir or responsible for any accident, loss or damage happ cite ug or

snd acceptance of the sane, not shall saV City no: any offi-:er or ernployet
thereof to liable for any persons or property injured by reason of the
nature of said work, but all of said liabilities shall be assumed by said
Subdivider. Said Subdivider furthe agrees te. protect said City ,and the
officers thereof from all liability or claim because of, or arising out
• of, the uqe of any patent or patented artiste in the construction of said
•irk.
7. That it is further agreed that said Subdivider gill st all times
from the acceptance by City Council of the highways offered for dedication
In said tract up to tha cwwpletion and acceptance of said work or inrprove-
m6at by said Council, give good and adequate varr.:ng to be traveling public
of each sad every dangerous condition existrnt in said highways or any of
them, and will protect the traveling public from such defective or dangernu!t
conditions. That it is understood and agreed that until the completion of
all the improveawnts horein agreed to be performed each of said highwdyf
not accepted as improved aball be under the charge of said Subdivider for
the purpose of this contract, and sold Subdivider maw close all or a
portion of any street whenever it is necessary to protect the travelinL
public during the making of the imprawwonts herein, agreed to be made.
Lud the Subdivider hereby agrees to pay for such inspection of highways sa may
be req!Ared by the City Engineer of the City of Huntington Leach.
8. That in the event suit is bromght by the City to enforce the terns
and provisions of this Agreement or in ;,ny bond given to secure the per-
formance hereof, a reasonable attorneys fee, to be fixed by the Court,

municipal norporation,
GRANTEE
Legal Description: Tract No. 8005 in the
Ciiy of Huntington Beach, County of Grange,
State of California.
THIS AGREEMENT , dated this 26th day of February ,
1973, at Huntington Beach, California, by and between
HARBOUR-PACII^+IC , LTD. , a limited partnership , Subdivider,
hereinafter called GRANTOR, and the CITY OF HUNTINGTON BEACH ,
a municipal corporation, hereinafter called GRANTEE .
In consideration of approval of Final Tract Map
No . 8005 and in connection with and on condition. of GRANTOR' S
developm.nt of Tract 8005 , GRANTOR and GRANTEE agree as
:allows :

1. ORMTOR shall install a sang tax=Y sewer system
for each boat slip within Tract 8005 per approval of the �
Department of Public works and Department of Beaches and
Harbors . Such system is not in existence; however, the i
GRANTORwill install a pilot system within six (6) months
and if successful, the design will be used in `tract 8005
provided, however, the cost to install said system does not
exceed SIXTY THOUSAND DOLLARS ($60 ,000 . 00) . If not feasible ,
GRANTOR will install one pump-out facility in Tract 8005
as approved by the Department of Public Works and the
Department of Be.aches and Harbors .
2 . GRANTOR shall comply with all orders and supple-
ments applicable to GRANTOR heretofore issued by the Santa
Ana Regional hater Quality Control Board at sash times as
required by said Board , This provision is not intended to
enlarge the obligations otherwise impos-ed by said orders
and supplements .
3 . GRANTOR shall complete the entire new channel
connectingVictoria Passage with Discover Channel substan-
tially as shoon on the map attached hereto and made a part
hereof, prior to January 1, 1916 ; provided , however, all �
necessary governmental approvals are re-MIved in sufficient
time and further provided that QRANTEE permit the property
adjoining *aid channel to be reasonably developed in
keeping with the present plan of overall development of
Huntington iiarbor . Within three ( 3) inont:hs after recording

Tract Map No. 8005, GRANTOR shall post a bond or instrument
of credit, subject to approval as to form by the City Attorney,
in the sum of FIVE HUNDRED THOUSAND DOLLARS 0500000) ,
guaranteeing the completion of such entire new channel .
4, GRANTOR shall. install and hereby warrants and
guarantees the design and operability of the lagoon water
exchange system, per Order No. 72- 46 of the Santa Ana
Regional Water Quality Control Board, as it now exists for
a period of five (5) years from and after the date of th s
agreer.ient . GRANTOR shall include in the condition3 , covenants
and restrictions for Tract 8005 a requirement that the
Home Own%ra Association shall continue the operation and
mainteMance of said system to the satisfaction of GRANTEE
in perpetuity . GRANTOR agrees to maintain said system until
it is turned over to the Home Owners Association .
5. In addition to the foregoing, GRANTOR agrees to
cooperate with GRANTEE to accomplish all other recommenda-
tions and the intent of the Environmental Impact Report of
the Environmental Review Board of the City of Huntington
Beach for Tract 8005 .
d. The City Coun0.1 of the City of Huntington
Beach shall amend the conditions of Final Tract 8005 as
contained in letter, dated December 26, 1972 to the
Honorable Mayor and City Cosncil from the Manning nommission,
to add the Following as conditiun No . 8 thereof :

accordance with such terms and conditions
and within the times stipL-lated in said
agreement but this condition will not prevent
the recording of the map .
7 . Conditioned on approvFLl of Department of Real
Estate, this agreement shall be part of the official Real
Estate Commissioner' s urinal report on the Property affected
by this agreement , and GRANTOR shall, transmi-*%; a copy of this
agreement to the Real Estate Commissioner requesting in--
clulsion hereof in said final report . If the Real Estate
Commissioner does not approve the inclusion of the agreement
in said final report , GRANTOR agrees to deliver a copy of

this agreement to prospective purchasers of units in Tract l
8005 and obtain a receipt therefor to deliver to GRANTEE.
8 . GRANTOR represents that it is the owner m-lf the
land in Tract 8005 and the land in which the channel de-
scribed above is to be contt:�ucted .
9 . GRANTOR agrees that this agreement will be

Subject RESOLUTION NO. 3682 pate May 1 , 1973
At the March S . 1973 City Council meeting the City Council
considered a request from Huntington Harbour Corporation
for 501 credit on park and recreation fees for Tract 8005
pursuant to Section 9981 . 8 of the Ordinance Code . At that
time the City Council was advised that prior to granting
credit for a special facility, a resolution must be adopted
setting forth standards respecting the size, shape and
locaV.on of such special facility before any credit may be
granted. As a result, the City Council directed that a
resolution be drafted pursuant to the provisions of the
Code .
The attached resolution incorporates the ideas which were
p:7eviously discussed by the committee formed to study the
amount of credit which should be given toward special
facilities in the Huntington Harbour and Huntington Beach
Company developments .
Rercommendntion:
I would like to recommend that the City Council adopt
Resolution No. 3682 .

Pursuant to Sec::i.cn 9981 . 1 of. the Huntington beach ardi a
Code , Huntington Harbour Corporation has requested that they
be granted 504 credit on their park and recreational fees ,
for all units abutting the public navigable channel in this
development .
The provisions of the Code are such that the developer may
be credited for supplying a portion of the requirements of
Article 998 , Park and Recreational Facilities , not to exceed
504 credit on residential units that abut such Nle
ecial
facility only. The Code further provides that City
Council shall adopt by Resolut.io'n criteria which shall set
forth standards respecting the size , shape and location of
such special facility before any credit may be given pursuant
to the Code .
This matter was to have been heard in conjunction with
Tract 800S , however, it was inadvertantly left off the Council
Agenda when the final map was considered.
Recommendation:
It is soy recommendation that a resolution be drafted setting
forth criteria for allowin* credit for such special facilities
prior to allowing any credit and that the fees for Tract 8005
be adjusted according to the terms of the resolution. It is
further recommended rhat the resolution deal with the question
of credit for the special facilities within that property
resently owned �y the Huntington Beach Company so that this
ssue may be resolved before Council consideration is required.

In view of the requirements of the Code and of the agreement by
Huntington Harbour to Fay any fee as subsequently determined by �

record after acceptance of such tract by the City Council. . With j
regard to the resolution to be adopted setting forth standards
to allow credit for such special facility_,, the matter will be
referred to the subcommittee charged with the initial responsibility
for their report on the matter.
As you know , Final Tract" 8005 is a portion of Tentative Tract 7850
which has been continued by the City Council pending submission of
an Environmental Impact Report. No action may be taken on the
�j final tract until an EIR is submitted f�nr consideration along with
the final tract map .

At the February 5 , 1973 meeting, the City Council will, consider
the reque'st from Huntington Harbour Corporation to accept Final
Tract 8005 , a portion of Tentative Tract 7850 . The final
Environmental Impact Report should also be considered at this
time .
Section 9721 . 8 of the Huntington Beach Ordinance Code requires
that the Environmental Review Board include in the Environmental
Impact Report findings supported by the information and data
I contained in the report . The Board is also required to find
whether the proposed project is likely to cause substantial
environmental damage . In the event that the project will likely
cause substantial damage , the Board must: find whether such damage
is outweighed by substantial benefits to the community . Section
9721.9 also treats the subject of substantiul benefits to the
cemmun:Lty in further detail.
The procedures for adopting an Environmental Impact Report are as
follows :
1 . Notice that the Environmental Impact Statement has been filed,
and
j 2 . That an Environmental Impact Report will be prepared by the
Board.
3. That the Environmental Review Board soli,--its input from the
public and interested parties within the 30 day period , i
Although there is no procedure for public hearing , the Environmental
Reviow Board held a public hearing after the expiration of the 30
+ day posting period.
The final Environmental Impact Report submitted by i�'TN, Orange
County, contains a great deal of information not Included in the
original Impact Statement . - Because of this , additional time is
needed for the Environmental Review Board t-o xeview the report
so that an equitable recommendation may be made to the City Council .
Also, additional time should be granted to allow the public an
opportunity to provide further comment concerning the final Environ-
mental Impact Report .

Recommendation
The City Council should continue action on Final Tract 800S to
the February 20th meeting. During this time, the public will be
provided an opportunity to review the document and submit comments
in writing prior to a deadline of February 9 , 1973 . These
comments will be consideTed by the Environmorital Review Board
at their February 213th meeting and will be incorporated as supple-
ments to their recommendation to the City Council on February 20th ,

Tract 7850 and a grief report of 4.1 a �zdditionzl requirements
that must be met :
1. An Environmental. imp%ct Statement was submitted by
Bnvixonental Impact Rnport.s , Inc. on Novwmber 28 , 1972.
2 . The Environmental Impact Statement was posted for a 30
day period for public in-..iut December B . 1972. The period
for public input expired" an January P , 1973.
'3. Supplemental information was submitted by environmental
Impact Reports , Inc . on December 18 , 1972.
The Environmental Review Board accepted the supplemental
information with thti- understanding that if this caused any
difficulty to obtain public input , the tiva limit would be
.extended. There were no protests filed,
4 , Notice was sent to the federa:111 state and count agencies
advising of the filing of the Environm�en.tal. Impact Statement.
S. Notice of public hearing was given that the Environmental
Review Board would be conducting o public hearing to consider
public input on Tentative Tract 7850. Notice of the hearing
w,tis posted on January X2 , 1973.
6. Voorheis , Trindle and Nelson was aired as the Cit 's consultant
to prepare the final impact report for Tentative Tract 7850 on
January 15 , 1973,
7. A public hearing was Meld on January 23rd to receive public
:input on subject tentative tract, .

The Huntington Beach Planning Commission , at aneetin,g held
January 23 , 1973 , unanimously approved a motion to send the
attached letter to the Corps of Engineers , a copy L•o the
City Council , and this memorandum requesting the City
Wanc.il to take no action on Tentative Tract No . 7850
prior to completion of the Corps of Engineers ' evaluation
and determination .
Although it was not a part of the minute action of the
Planning Commission, concern was expressed that the City
Council may be under some pressure to approve this tract
prior to the effective date of Proposition 20 . It is the
Commission ' s position that this is a matter of vital and
continued Interest -to the Planning Commission andthat no
action shou.ld be taken by the City of Huntington Beach
prior to a full and objective environmental impact, state-
ment being prepared by the Corps of Engineers .

In response to your public notice: regarding Huntington Harbour
Tract 7850 , the Huntington Beach Planning* Commission submits the
following comment .
It is our belief that a full and objective environmental impact state -
ment prepared by the Corps prior to 'the issuance of any permits for
this project would be in the best interest of the City of Huntington
Beach.
'r Because of the unique lagoon , the new navigable channel , the addi -
tional boat basins , possible similar development of adjacent
properties and current water quality problems in the harbor ,
Tract 7850 has generated persistant community reaction as expressed
before this Commission and the Santa Ana Regional Water Quality Board .
' despite concerns raised, particularly on matters of water circula-
tion and water quality mointe,iance during the public hearing of
7 May 16 , 1972 , the Planning Commission approved the tentative tract map
and the use permit . However , Commission approval was contingent on
the project receiving approval from all federal and state agencies
involved in the "permitting" process , From the outset , it was
obvious that expertise beyond the scope of Commission members would
.� be necessary in evaluating and setting requirements for this project .
Consequently , the Commission anticipated that the Army Corps of
Engineers would assume an early and active role in establishing and
enforcing the necessary requirements .
It is our hope that after due deliberation you will determine a Corps
environmental impact statement to be essential . Such a statement with
its recommendations could resolve the concerns of the public andoauld
conceivably insure a more healthful living environment for present and
future residents .
