STATEMENT OF ISSUE.
The City Council initially appointed all of the individual members
of the General Plan Advisory Committee by formal minute action. The
RCA for that meeting is attached to this report . In order to change
memberships on the GPAC, it is necessary for the City Council to-
take formal action- to appoint the new members . Six new members are
proposed at this time for appointment to the GPAC and three other
members should be officially recognized.

ANALYSIS•
On January 6, 1992 the City Council appointed the General Plan
Advisory Committee by formal minute action. This action included
appointment of not only a list of organizations to be represented,
but also individuals to represent those organizations as either
Primary or Alternate members . 28 people representing 15 boards and
organizations were appointed.
When the GPAC was first established it was recognized that for their
work to have credibility, the members would need to develop
considerable expertise in planning issues . In order to develop that
expertise, the Committee received presentations from economic and
planning experts as well as from many property and business owners
in the City. All of the voting which the GPAC has done has been
based on the information they previously received. That extensive
background of knowledge and dialogue is what establishes the
credibility of the GPAC' s actions .
When the GPAC first met, they voted to approve by-laws governing the
procedures and responsibilities of the Committee. Their own by-laws
recognized the importance of continuity of membership. The
following pertinent by-laws were adopted:
- Membership is appointed by the Mayor and City Council .
- GPAC members are expected to attend all officially
scheduled meetings of the full Committee and subcommittee.
- A Committee member shall be automatically removed from the
Committee after the third unexcused absence.
- The Mayor and City Council may appoint a new Committee
member to replace a member removed due to absence.
- The terms of the individual Committee members shall run
with the life of the Committee.

Under the. above by-laws, several Committee members have been removed
from the Committee due to non-attendance. The ASCON Ad-Hoc
Committee is no longer represented, and recently, two school
district members were removed.
Also under the above by-laws, any appointment of new members must be
made by the Mayor and City Council, not by the GPAC. For this
reason, staff has forwarded the names of six individuals who desire
to become voting members of the GPAC. Those individuals are:

Tom Livengood, Primary for Amigos de Bolsa Chica
Aileen Manley, Primary for Westminster School District
Bob Dettloff, Alternate for Amigos de Bolsa Chica
Shirley Dettloff, Alternate for Planning Commission
Jan Shomaker, Alternate for City Council (Jim Silva)
The City Council needs to consider these individuals and make
appointments as they deem appropriate. Staff is recommending that
the six nominees be appointed by the City Council since the names
were submitted by the organizations which they wish to represent.
All of the organizations were previously represented on the GPAC by
Council appointment . In addition, the City Council may wish to
consider reappointing a member to represent the ASCON Ad-HOC
Committee which is no longer represented.
Additionally, three other individuals were unofficially added to the
GPAC during some of the early meetings . Those individuals could be
formalized as voting members of the GPAC now as well . Staff did not
raise the issue previously because those individuals came on early
enough in the process that they had not missed a significant amount
of the background discussions . Those individuals were:
George Cross, Primary replacement for Council Representative
Roger Slates
Chris Christie, Alternate for Council representative Dick Kelter
Loretta Wolff, Alternate for Council representative Debbie Cook
Lastly, due to the previously-stated staff concerns pertaining to
GPAC credibility, the City Council may wish to consider direction
regarding rules for prior knowledge of issues before voting is
allowed by new members . Staff is suggesting a policy similar to
that which the Planning Commission and City Council follow which
requires that members who have not been present for previous
testimony and discussion must review tapes and minutes before
voting. It is staff ' s suggestion that the Council direct the GPAC
to incorporate this requirement into their by-laws .

Future Actions by the GPAC:
At this point in time, approximately half of the work of the GPAC is
completed. The Committee has reviewed land use issues City-wide and
has incrementally voted on a new land use plan for the City. That
plan is undergoing traffic and fiscal impact analysis and will be
presented to the public for input at a Public Workshop to be held on
February 24, 1993 at City Hall .
Over the next several months the GPAC will begin review of the
various other Elements of the General Plan, including Circulation,
Economic Development, Urban Design, Recreation, Public Facilities
and other issues . New technical knowledge will be necessary for the
members to accrue in order to act with credibility on the various
Elements . It is therefore important that continuity of membership
remain an important criteria for GPAC members to adhere to. Staff
recommends that the City Council retain authority for consideration
and appointment of any new members who may request admittance to the
GPAC.
FUNDING SOURCE:
No funds are required for the appointment of new members, though the
operation of the GPAC itself is a significant portion of the overall
cost of the General Plan Update. This project was contracted by the
City Council in September 1991.
ALTERNATIVE ACTION:
The City Council may delegate appointment of new members to the GPAC
itself .

appointments to the General Plan Advisory Committee .
RECOMMENDATION:
Motion to :
"Appoint the attached list of proposed members and alternates to the
'PAC .
ANALYSIS :
On December 2 , 1991 , the City approved the formation of a 22 member
General Plan Advisory Committee (GPAC) to help guide the
comprehensive General Plan Update .
The City Council requested that the chair and one ( 1) alternate be
appointed to the GPAC from the attached list of 15 boards ,
commissions and associations . The remaining 7 members of the GPAC
will be appointed by the City Council members themselves . Staff is
in the process of contacting the various boards , commission and
associations . The preliminary contacts indicate that in some cases
the chairperson for these organizations may not be the chosen
representative .
The first meeting of the GPAC will be on January 8 , 1992 at 7 : 00
P .M. in Room B-8 .
FUNDING SOURCE:
The contract with ENVICOM CORPORATION was previously approved by the
City Council on September 23 , 1991 .
ALTERNATIVE ACTION:
As an alternative, Council may continue action to appoint members to
the Gendral Plan Advisory Committee and direct staff to repost
vacancies .

GENERAL PLAN ADVISORY -COMMITTEE
ROLES AND PROCEDURES
MEMBERSHIP
• Appointed by the Mayor and City Council.
QUORUM
• Constituted by a majority of the current membership.
• A quorum is required to convene all officially scheduled meetings and for
votes.
• Once a meeting is officially convened, should attendance fall below a quorum
due to the departure of Committee members, the meeting may be continued
to adjournment.
COMMITTEE OFFICERS
• The Committee shall appoint the following officers for the duration of the
General Plan program:
a. Chairperson
This person shall act as their Chair of the GPAC, convening and
adjourning meetings, effectuating the agenda, conducting votes of the
Committee, and acting as spokesperson for the Committee before the
Mayor and City Council, Planning Commission, and other relevant
meetings.
h Vice-Chairperson
This person shall assume the responsibilities of the Chairperson in his or
her absence or as authorized by the Chairperson and/or GPAC.

c. 'Secretary
This person shall sign and maintain a file of all meeting summaries (to be
prepared by City staff), attendance, and work products and maintain the
master schedule of GPAC and subcommittee meetings (in collaboration
with the City staff and consultant).
• The above officers shall be elected at the first or second meetings, provided that
there is a quorum, and assume their-responsibilities thereafter.
• Candidates for each office shall be nominated by members of the GPAC.
• There shall be no limit on the number of individuals nominated for each office,
unless a limit is established by vote of the GPAC.
• Voting shall be conducted by show of hands.
• The candidate for each office receiving the greatest number of votes (a simple
plurality) shall be elected to office. If there are four or more candidates for an
office, the GPAC may conduct a runoff among the top two finishers if agreed
upon by a majority of the GPAC attendees.
j5 • Officers may be removed by a two-thirds vote of the GPAC attendees, provided
that there is a quorum.
GENERAL RESPONSIBILITIES
• The Committee shall provide input and advice to the planning consultant
during the preparation of the General Plan. This will include:
a. Review of background data and analyses compiled by the consultant.
b. Assist in the identification of major streets, problems, and opportunities.
c. Identify values and goals in respect to the defined issues.
d. Assist in the identification of alternative policies.
e. Comment on alternatives and identify preferred policies.
f. Review and comment on final Draft General Plan elements.
• Advise the Planning Commission and Mayor and City Council regarding its
position on the Draft General Plan.
•. The GPAC is an advisory body, with no legislative responsibilities.

The Committee will conduct its meetings as a working representative group
1 rather than in an open public forum. The Committee meetings will be open
to the public. Comments from the public to the Committee may be submitted
in writing or may be presented orally during the meeting at an established
time designated by the General Plan Advisory Committee.
ATTENDANCE
• GPAC members are expected to attend all officially scheduled meetings of the
full committee and subcommittees.
• GPAC members are encouraged to attend city-wide and district workshops
and meetings of the Planning Commission and Mayor and City Council
which address the General Plan.
ABSENCES
• A Committee member may be absent for two consecutive meetings without
an excused absence. The member shall be automatically removed from the ,
Committee after the third consecutive absence.
• A member may be granted an excused absence by the Chairperson upon an
oral or written request by the Committee member or another Committee
member.
• The Mayor and City Council may appoint a new Committee member to
replace a member removed due to absence.
VOTING PROCEDURES
• All motions shall be passed by a simple plurality (the most affirmative votes
cast) of the voting members of the GPAC, when a quorum is present.
• When attendance is less than a quorum after a regular business meeting has
been convened, all motions shall be passed by a majority (more than 50% of
the votes cast) of the quorum.
CONDUCT OF MEETINGS
• GPAC members should abstain from votes only when there is a conflict of
interest.
• A motion may be made by any member of the GPAC. The motion must be
seconded by another member of the GPAC for the conduct of a vote. Failure
to receive a second shall constitute failure of the motion.
• The Chair shall permit discussion of the motion following the second. The
time allowed for discussion shall be at the discretion of the Chair, as

established by vote or concurrence of the GPAC, and/or on "Call of the
Question."
• An amendment to the primary motion may be made if accepted by the author
and seconder of the motion. If the amendment fails to be accepted, it may be
considered as a secondary motion, provided that it receives a second from the
GPAC membership. The secondary motion shall be voted on prior. to the
primary motion.
• Supplemental motions may be made on secondary motions, provided that
the motion receives a second, for which the vote shall precede the vote on
the secondary motions.
MEETING DATE AND TIME
• The date and time for convening and adjournment of the meeting shall be
established by the GPAC, provided that such does not inhibit the completion
of the General Plan work program by the consultant in a timely manner.
• The date and time for the next GPAC meeting shall be confirmed at the close
of each meeting.
• The hour of adjournment of a meeting may be extended by vote of the
Committee.
RELATIONSHIP TO CITY STAFF AND THE CONSULTANT
• The consultant shall be responsible for the final content of the Draft General
Plan.
• The consultant and/or the City shall establish the agenda for each meeting, in
coordination with the GPAC Chair.
• Additional items may be placed on the next agenda on approval of the GPAC
attendees.
• Where staff and the Committee's opinion differ on matters regarding the
Draft General Plan, staff may forward separate recommendations to the
Planning Commission and City Council.
TERM OF COMMITTEE
• The Committee will automatically disband upon final adoption of an updated
General Plan by the City Council.
• The terms of the individual Committee members shall run with the life of
the Committee.

During the next 18 months, Envicom Corporation will be working with
City staff on the Comprehensive General Plan Update. As part of
this process, a General Plan Advisory Committee (GPAC) will be
formed to insure a cross section of citizen participation in
developing a new General Plan. The staff is suggesting that a
representative from each City Commission, Board or Task Force be
appointed to the GPAC. In addition, representation from civic
organizations would provide a good variety of representation. It is
anticipated that GPAC will meet approximately 25 times during the
next 18 months with a tentative start date of January 9 , 1991.
Attachment No. 1 is a list of groups which the Council may use to
form the GPAC. If the City Council approves the recommended action,
staff will forward a letter advising each group to select two
members to be appointed to the GPAC.
FUNDING SOURCE:
The contract with ENVICOM CORPORATION was previously approved by the
City Council on September 23 , 1991.
