Enclosed are an original and two duplicates of the form Grant Deed
which should be executed by the City in order to convey the 100 foot
strip of land on the east side of our plant to us.
I concur with your feelings that this transaction should be deferred
until such time as the County makes a settlement with the City and with
R. B. Walkins et al.
I have also discussed this with Russ's attorney, Mr. Dolley; and
Mr. Dolley also feels that this is the best way to effect a fair settle-
ment from the County.
I'd be most appreciative if you'd keep me posted on the progress
you are able to make with the County, so I will be able to close this
transaction and make payment for the property.
May I extend, on behalf of myself and the Edison Company, the

Gentlemen:
Pursuant to your request of August 16th, 1960, that our firm
estimate the value of that certain remaining property, owned
by the City of Huntington Beach, adjoining the Southern California
Edison Company Steam Plant on the East, please be advised as
follows:
The subject 2 4 Acre property is irregular in shape, below sea
level, and is landlocked by reason of the Orange County Flood
Control Channel which bisects the property diagonally on the North.
The property would, in light of the above facts, have value only
to an adjoining owner and would require considerable fill before
it could be properly utilized. After considering all pertinent
facts, our estimate of value of the subject property is $1,000.00.
It is noted that said remaining property, which is at this time
legally a part of a larger 5.6 acre holding owned b the Cit ,
would market for an estimated $8,000.00 (2 acres n OOO.00T as
part of the entire holding. Said entire property is now subject
to a condemnation suit initiated by the Orange County Flood Control
for a channel which will in effect isolate the property under
appraisement herein.

Dear Sir:
Pursuant to your authorization, I have made an investigation of
the above property for the purpose of estimating its Fair Market Value
as of this date, under two premises. In each case, the value excludes
the value of subsurface mineral rights, and excludes the effect on the
surface value of existing oil and gas leases.
The conclusions:
Premise No. 1: The larger parcel consists of all of
that land owned by the City of Huntington Beach abutting
the north and east lines of the Southern California Edison
RC- C E i V E D Company Huntington Beach Steam Plant site. The Orange
County Flood Control District has not taken any land affecting

Value Conclusion - $ 4, 150
Premise No. 2: The parcel sought consists of a 1. 99 Ac.
site, valued as now legally and physically separated from
the larger parcel by an Orange County Flood Control District
channel known as the Huntington Beach Channel.
Value Conclusion - $ 500
Since Premise No. 1 is a partial taking, 'Before" and "After"
valuations are made, as follow:

Premise No. 2 is a full taking:

Premise No. 1 Reasons
The Nly. 2.30 Ac, is at a higher grade than the Sly. 3.33 Ac., by
several feet. It is 2001 wide so that an on-site road to serve its rear portions
need occupy only 10% of the gross area. The Sly. 3.33 Ac., being 1001 wide,
must lose about 20% of its gross area for an on-site road to reach and use
the Sly, end.
The cost of filling the Sly. 3.33 Ac, to the same grade as the Nly.
2. 30 Ac, portion, calculating fill at $0,75 per cubic yard, amounts to $4, 840
per acre.
The center of the subject sought (1, 99 Ac. ) lies 0. 4 mile from Newland
St. ; the center of tlL- Nly, 2. 30 Ac. lies only 0. 2 mile from Newland St.
The values used in Premise No. 1 are derived from the most recent
sales in this part of ®range County, of which only one provided substantial
help. The latter was the sale by the City of Huntington Beach to Garrish (for
Cree) of 1. 82 Ac, adjoining the plant on the north and the transmission line
on the east. It is highly comparable to that portion of the larger parcel lying
north of the steam plant.
This parcel lacked frontage on a public street and lacked legal access,
except for prescriptive right to use 'Edison" St. to reach Newland St. It lay
slightly below maximum tide level but was free from the hazard of frequent
or major inundation, The subject lies several feet lower and is marsh land,

The property was improved and the buyer attributed a value of '"$1, 000 to
$1, 50011to the improvements. The sale took place in November, 1959.
Allowing only $1, 000 to improvements, the land then brought $9, 000,
or $4, 945 per acre,
Current escrows involving land east of the subject are of little help,
as they are conditioned on residential subdivision use. If the escrows are
completed, it is believed the land involved (three parcels) will have sold
at an average of about $8, 500 per acre.
The subject would not be approved as part of a residential subdivision.
As an entity, its physical characteristics and esthetic features are such that
no one would attempt to use it for residential purposes.
The sale of 97. 69 acres at the S. E. corner of Hamilton St. and the
Santa Ana River in March of 1958 offers little help. The price level change
since then has been tremendous. It sold for $2,692 per acre, but at current
levels, it might bring two and one-half times that price.
Other sales, of which a number were checked, all involve potential
subdivision land, or were located far from the subject and were almost totally
lacking in comparability.
Premise No. 2 Reasons
The land has no access.
It has no present valuable use.
It can only be put to value-giving use by combination with adjoining
land.
The property abuts three ownerships by which it could be absorbed:
1. The Southern California Edison Co. plant. A
purchase for incorporation into plant use would
not be an open-market transaction. It would be
based on condemnation rights, and the value
could not include or be based on its value to the
condemnor.
2. The 3. 5 acre parcel adjoining to the east is itself
lacking frontage on any public right-of-way, and
appears to lack legal access of any kind. Its value
is therefore very low. To its Owner, the subject
would have no more value than it would itself
have, and the owner would readily note that he
and he alone could make use of the subject
(excepting Southern California Edison Co. by
condemnation). The owner of the adjoining land
would virtually have the owner of this parcel at
his economic mercy, except as follows.
3. The land adjoining to the south could make scant
use of the subject because of its shape and location.
The 1.99 acres would extend at an awkward angle
away from the main body. This ,owner would readily
note the owner of the subject would have to sell to
the owner of the access-less 3. 5-acre parcel, who
could not afford much above a nominal pricey or
to him (owner of Sly. holding), He would utilize his
bargaining position and pay but a small fraction of
the going value for fully usable normally shaped land.
The value is purely speculative in character. Coupled with the fill
cost required to put it above tidal levels and to permit drainage,' this 1.99
acres would only sell at a price at which the buyer would be willing to await
a purchaser who, in the unforeseeable future, might pay a token amount for
the land.

CITY OF HUNTINGTON BEACH, a municipal corporation of the State
of California, County of Orange, does hereby grant to SOUTHERN CALIFOR-
NIA EDISON COMPANY, a corporation, its successors and assigns, the
right to 'construct, use ? maintain, alter, add to, repair, replace,
inspect and/or remove , in, on and over the real property hereinafter
described, situated in the County of Orange, State of California, an
electric line , consisting of poles, necessary guys and anchors, cross-
arms, wires and other fixtures and appliances, for conveying electric
energy to be used for light, heat, power, telephone and/or other pur-

That portion of the East 500 feet of the North 200 feet of the South
half of the Northwest quarter of the Southeast quarter of Section 13
in Township 6 South, Range 11 West, S.B.B.& M. , and more particular-
ly described as: Beginning at a point in the West line of the here-
inabove described real property of the Grantor, said point being at
the intersection thereof with a line that is parallel with and 10 feet
Southerly, measured at right angles, from the North line of the South
half of the Northwest quarter of the Southeast quarter of said Section;
thence Easterly along said parallel lire 390 feet, more or less, to a
point that is 110 feet Westerly, measured along said parallel line,
from the Easterly line of the real property hereinabove described

and every part, thereof, at all times, for the purpose of exercising
the rights herein granted, and shall have the right to keep free from
brush, or any accumulation of inflammable material, all of the land
within 10 feet of the above described line. And 'the Grantor covenants
for itself, its successors and assigns, that it or they will not erect,
place or maintain, or permit to be erected, placed or maintained, with-
in a distance of 10` feet from the a bove described line , any building
or other structure without first securing the written, permission of
the Grentee thereto, and that it will not plant or maintain, or permit
to be planted or maintained, any tree or trees, or shrubs, so that they,
or any of theme will interfere with or endanger the wires, structures
or appurtenances of the Grantee , its successors or assigns, and agrees
that if any tree or shrub shall grow or be so near to any of said

Gentlemen:
The Southern California Edison Company is seeking to acquire a
parcel of land within the city limits of the City of Huntington
Beach for the purpose of a development of an electric steam
generating station to serve electricity for the rapidly develop-
ing Orange County and Southern California areas.
Preliminary title reports indicate that the City of Huntington
Beach is the record owner of an approximate 40-acre parcel of
land, being a portion of the W 1/2 of the SE-17AT"of. Sec.:13,
T6S, R11W, S.B.B. & M.
The Southern California Edison Company is desirous of opening
negotiations with the City of Huntington Beach to effect a sale
of this parcel to this Company.
As a multimillion dollar investment is contemplated, it will be
necessary for us to acquire the unencumbered fee title to the
land with the surface free from all right of entry to a depth
of 500 feet.
We shall appreciate it if you will advise this Company at your
early convenience when and with whom negotiations can be com-
menced.

CANCELLATION OF LEASE
WHEREAS, the City of Huntington Beach did on the 1st day
of January, 1946, enter into a lease with Georgiana W. Garrish on
property described as:
The South one-half (S*) of the Northwest Quarter
(NW ) of the Southeast Quarter (SE-J) and all that
portion of the Southwest Quarter (all) of the South-
east Quarter (SE4) of Section Thirteen (13) , Township
Six (6) South Range Eleven (11) West, S .B.B.& M. ,
lying North of the Southerly line of the land conveyed
by Willow Land Company to A. C. Thorpe by Deed recorded
June 13, 1917, in Book 302, page 69 of Deeds, Records
of Orange County, California;
EXCEPTING THEREFROM the West 500 feet of the North
400 feet thereof, upon which the sewage disposal plant
is located, together with roadways leading thereto;
said lease to continue for a term of ten (10) years; and
WHEREAS, it is mutually agreed by and between the parties
thereto that said lease should be cancelled and terminated effec-
tive as of the 1st day of November, 1952; and
WHEREAS , the City Council of the City of Huntington Beach
has found and declared that it is for the best interests of the
city that said lease should be cancelled:
NOW THEREFORE, in consideration of the premises and other
valuable consideration, receipt of which is hereby acknowledged,
the parties agree as follows:
That that certain lease above referred to, covering prop-
erty above described, be and the same is hereby cancelled as of the
lst day of November, 1952;
That said Georgiana W. Garrish and all parties holding
under or through her as lessee of said premises do hereby sur-
render said land to the City of Huntington Beach and the city
accepts said surrender;

4 the purpose of maintaining thereon and providing an airport, and
5 facilities for the repair, renting, storage and sale of airplanes,
6 and for instruction of students and for other purposes incidental
7 to the operation of an airport, and that the said property shall
8 be improved in accordance with plans set forth upon a map attached
9 hereto and made a part hereof, which improvements the Lessee agrees
10 to construct and maintain; and the Lessee agrees to operate said
11 airport and provide such accommodations and facilities as may be
12 reasonably required to meet the demand.
13 2. That the rental shall be as follows:

26 other public utilities charge, license fees, taxes, special
27 assessments and other public charges prior to delinquency, accruing
28 or payable in connection with the use of said premises -by the
29 Lessee during the term hereof.
30 4. Lessee agrees not to mortgage or hypothecate this
31 Lease on any interest herein, nor to assign this Lease, without
32 first obtaining the written consent of the City.

1 5. Lessee shall have the right to place on said
2 premises such buildings and improvements as may be desirable and

3 necessary to the operation of an airport thereon; and City shall
4 not be called upon to make any improvements, replacements or
5 repairs on said premises. Lessee accepts the premises in their
g present condition, and agrees at his own cost and expense to keep
7 the same in good condition and repair, reasonable wear and tear
8 by the elements excepted, aid Lessee shall keep all the property
9 covered hereby free and clear of weeds. Lessee agrees not to
10 commit, suffer, or permit any waste on the premises.
11 6. Lessee agrees to indemnify and hold City.. harmless
12 from any loss or damage including public liability and property
13 damage resulting from the use or misuse of said premises, including
14 damage to the sewage disposal plant .oirrned and operated by City
15 on adjoining land, and Lessee hereby releases City from any and
16 all liability for damages which might be sustained by Lessee
17 in connection with the use and occupation of said premises. And
18 Lessee agrees to carry public liability insurance in the sum of
19 Fifty Thousand ($50,000) - - - - - - Dollars for any one person
20 and One Hundred Thousand ($100,000) - Dollars for any one accident,
21 and property damage in the sum of Five Thousand ($5,000) - - - -
22 Dollars. Said insurance policies shall inure jointly to the
23 benefit of the City and the Lessee herein.
24 7. Lessee agrees to pay to City all costs and expenses
25 including a reasonable attorney' s fee in any action brought by
26 the City to recover any rent due and unpaid, or for the breach
27 of any of the covenants or agreements contained in this Lease, or I
28 to recover possession of said premises, whether such action
29 progress to ,judgment or not. i
30 B. Lessee agrees to promptly observe, comply with,
31 and execute, at his cost and expense, all present and future laws,
32 reules, requirements, orders, directions, ordinances and regulationsi

3 authorities or agencies, and of all municipal departments, bureaus,

17 benefit of the creditors, or if any execution shall issue against
18 the Lessee or any of the Lessee 's property whatsoever, whereby
19 the demised premises shall be taken or attempted to be taken, or
20 if a receiver or trustee shall be appointed of the Lessee's
21 property or if this Lease shall, by operation of law devolve upon
extent by descent,

6 pipe lines shall not cross runways unless other arrangement is
7 impractical.
8 12. Lessee agrees that if any rent shall be due and
9 unpaid, or if default should be made in any of the covenants,
10 conditions or agreements on the part of the Lessee contained in
11I this Lease, City may at tis option at any time after such default
121 or breach, and after giving written notice to the Lessee of such
13 default or breach, and upon failure of Lessee to remedy the same
14 within fifteen (15) days from date of such notice , then City may
15 re-enter said premises and take possession and remove all persons,
16 therefrom, and any rents theretofore paid shall be retained by
17 City.
18 13. At the expiration of said term, or any sooner ter--
19 mination of this Lease, Lessee agrees to quit and surrender pos-
20 session of said premises and its appurtenances to City in as good
21 condition as reasonable use and wear will permit, damage by the
22 elements or other casualty excepted.
23 14. If Lessee holds over after the termination hereof,
24 with the consent of the City express or implied, such tenancy shall
25 be from month to month only, and not a renewal thereof, and Lessee
26 agrees to pay rent at the rate prevailing at the expiration of
27 said term, and all of the charges as herei nbefore provided, and
28 also to comply with all conditions, covenants and agreements of
29 this Lease for the time that he so holds over.
30 15. It is agreed that in the event Lessee shall faith-
31 fully perform all the terms and conditions of this Lease, Lessee
32 shall have the right to remove all buildings and improvements

1I placed on said premises by Lessee, upon termination of this
2 Lease, or termination of any extension or renewal of this Lease,
3 provided, that City may purchase same at a reasonable price to be
4 agreed upon at that time.
5 16. It is understood and agreed by and between the
6 parties hereto that there is an effluent drainage disposal line
7 running southeasterly across said premises, and City reserves
8 the right to maintain and repair said line at any time that it may
9 be necessary so to do. City, however, agrees to promptly restore
10 the surface of the ground as nearly as possible to the same con-
11 dition as before such repairs.
12 17. City may from time to time at its option exercise
13 all rights or remedies, which it may have either at law or in
14 equity, including the right of eminent domain, and nothing herein
15 contained shall be construed as in any way abridging or waiving
16 such rights and/or remedies; consent, waiver, or compromise by
17 City of or under any of the provisions of this Lease, or as to
18 any breach or default hereof by Lessee, shall not constitute or be
19 construed as a waiver of City 's rights to enforce strict compliance
20 with the conditions and terms hereof by the Lessee at all other
21 times, as to the same as and all other matters herein contained.
22 � 18. Should public moneys become available for the
23 development and extension of public runway, take off and landing
24 strips, the City may at its option, acquire the additional
25 property owned by the Lessee included within the said airstrip
26 either by purchase or by lease, and repossess the property covered
27 by this Lease included within said airstrip; and the City agrees
28 to expend such available money in development, and extension there-•
29 of; that the Lessee herein agrees to operate said airstrip for
30 the remainder of the term hereof as part consideration of this
31 Lease; that the rents reserved in this Lease shall be modified
32 and adjusted and thereafter be based upon a percentage of the

1 gross income derived from the use and occupation of the remaining
2 property covered vy this Lease, of not less than four percent
3 (416) of such gross income.
4 19. Each and all of the agreements, covenants and
5 conditions herein contained shall inure to the benefit of, and
6 be binding upon the City, its successors and assigns, and the
7 Lessee, her heirs, successors, assigns, subtenants, employees
8 and agents.
9 IN WITNESS WHEREOF, the City has caused its corporate
10 name and seal to be hereunto annexed by its Mayor and attested
11 by its City Clerl� thereto duly authorized, and Lessee has hereunto
12 set her hand as of the day and year in this Lease first above
