I concur with your feelings that this transaction should be deferred until such time as the County makes a settlement with the City and with R. B. Walkins et al. I have also discussed this with Russ's attorney, Mr. Dolley; and Mr. Dolley also feels that this is the best way to effect a fair settle- ment from the County. Gentlemen: Pursuant to your request of August 16th, 1960, that our firm estimate the value of that certain remaining property, owned by the City of Huntington Beach, adjoining the Southern California Edison Company Steam Plant on the East, please be advised as follows: The subject 2 4 Acre property is irregular in shape, below sea level, and is landlocked by reason of the Orange County Flood Control Channel which bisects the property diagonally on the North. The property would, in light of the above facts, have value only to an adjoining owner and would require considerable fill before it could be properly utilized. After considering all pertinent facts, our estimate of value of the subject property is $1,000.00. Barry, III Assistant Counsel Dear Sir: Pursuant to your authorization, I have made an investigation of the above property for the purpose of estimating its Fair Market Value as of this date, under two premises. In each case, the value excludes the value of subsurface mineral rights, and excludes the effect on the surface value of existing oil and gas leases. The conclusions: Premise No. 1: The larger parcel consists of all of that land owned by the City of Huntington Beach abutting the north and east lines of the Southern California Edison RC- C E i V E D Company Huntington Beach Steam Plant site. Value Conclusion - $ 4, 150 Premise No. 2: The parcel sought consists of a 1. 99 Ac. site, valued as now legally and physically separated from the larger parcel by an Orange County Flood Control District channel known as the Huntington Beach Channel. It is 2001 wide so that an on-site road to serve its rear portions need occupy only 10% of the gross area. The Sly. 3.33 Ac., being 1001 wide, must lose about 20% of its gross area for an on-site road to reach and use the Sly, end. The cost of filling the Sly. 3.33 Ac, to the same grade as the Nly. 2. 30 Ac, portion, calculating fill at $0,75 per cubic yard, amounts to $4, 840 per acre. The center of the subject sought (1, 99 Ac. ) lies 0. 4 mile from Newland St. ; the center of tlL- Nly, 2. 30 Ac. lies only 0. 2 mile from Newland St. The values used in Premise No. 1 are derived from the most recent sales in this part of ®range County, of which only one provided substantial help. The latter was the sale by the City of Huntington Beach to Garrish (for Cree) of 1. 82 Ac, adjoining the plant on the north and the transmission line on the east. It is highly comparable to that portion of the larger parcel lying north of the steam plant. This parcel lacked frontage on a public street and lacked legal access, except for prescriptive right to use 'Edison" St. to reach Newland St. It lay slightly below maximum tide level but was free from the hazard of frequent or major inundation, The subject lies several feet lower and is marsh land, i The property was improved and the buyer attributed a value of '"$1, 000 to $1, 50011to the improvements. The sale took place in November, 1959. Allowing only $1, 000 to improvements, the land then brought $9, 000, or $4, 945 per acre, Current escrows involving land east of the subject are of little help, as they are conditioned on residential subdivision use. If the escrows are completed, it is believed the land involved (three parcels) will have sold at an average of about $8, 500 per acre. The subject would not be approved as part of a residential subdivision. As an entity, its physical characteristics and esthetic features are such that no one would attempt to use it for residential purposes. The sale of 97. 69 acres at the S. E. corner of Hamilton St. and the Santa Ana River in March of 1958 offers little help. The price level change since then has been tremendous. It sold for $2,692 per acre, but at current levels, it might bring two and one-half times that price. Other sales, of which a number were checked, all involve potential subdivision land, or were located far from the subject and were almost totally lacking in comparability. Premise No. 2 Reasons The land has no access. It has no present valuable use. It can only be put to value-giving use by combination with adjoining land. The property abuts three ownerships by which it could be absorbed: 1. The Southern California Edison Co. plant. A purchase for incorporation into plant use would not be an open-market transaction. It would be based on condemnation rights, and the value could not include or be based on its value to the condemnor. 2. The 3. 5 acre parcel adjoining to the east is itself lacking frontage on any public right-of-way, and appears to lack legal access of any kind. Its value is therefore very low. To its Owner, the subject would have no more value than it would itself have, and the owner would readily note that he and he alone could make use of the subject (excepting Southern California Edison Co. by condemnation). The owner of the adjoining land would virtually have the owner of this parcel at his economic mercy, except as follows. 3. The land adjoining to the south could make scant use of the subject because of its shape and location. The 1.99 acres would extend at an awkward angle away from the main body. This ,owner would readily note the owner of the subject would have to sell to the owner of the access-less 3. 5-acre parcel, who could not afford much above a nominal pricey or to him (owner of Sly. holding), He would utilize his bargaining position and pay but a small fraction of the going value for fully usable normally shaped land. The value is purely speculative in character. Coupled with the fill cost required to put it above tidal levels and to permit drainage,' this 1.99 acres would only sell at a price at which the buyer would be willing to await a purchaser who, in the unforeseeable future, might pay a token amount for the land. Lessee agrees that if any rent shall be due and 9 unpaid, or if default should be made in any of the covenants, 10 conditions or agreements on the part of the Lessee contained in 11I this Lease, City may at tis option at any time after such default 121 or breach, and after giving written notice to the Lessee of such 13 default or breach, and upon failure of Lessee to remedy the same 14 within fifteen (15) days from date of such notice , then City may 15 re-enter said premises and take possession and remove all persons, 16 therefrom, and any rents theretofore paid shall be retained by 17 City. 18 13. At the expiration of said term, or any sooner ter-- 19 mination of this Lease, Lessee agrees to quit and surrender pos- 20 session of said premises and its appurtenances to City in as good 21 condition as reasonable use and wear will permit, damage by the 22 elements or other casualty excepted. 23 14. If Lessee holds over after the termination hereof, 24 with the consent of the City express or implied, such tenancy shall 25 be from month to month only, and not a renewal thereof, and Lessee 26 agrees to pay rent at the rate prevailing at the expiration of 27 said term, and all of the charges as herei nbefore provided, and 28 also to comply with all conditions, covenants and agreements of 29 this Lease for the time that he so holds over. 30 15. It is agreed that in the event Lessee shall faith- 31 fully perform all the terms and conditions of this Lease, Lessee 32 shall have the right to remove all buildings and improvements 5 i 1I placed on said premises by Lessee, upon termination of this 2 Lease, or termination of any extension or renewal of this Lease, 3 provided, that City may purchase same at a reasonable price to be 4 agreed upon at that time. 5 16. It is understood and agreed by and between the 6 parties hereto that there is an effluent drainage disposal line 7 running southeasterly across said premises, and City reserves 8 the right to maintain and repair said line at any time that it may 9 be necessary so to do. City, however, agrees to promptly restore 10 the surface of the ground as nearly as possible to the same con- 11 dition as before such repairs. 12 17. City may from time to time at its option exercise 13 all rights or remedies, which it may have either at law or in 14 equity, including the right of eminent domain, and nothing herein 15 contained shall be construed as in any way abridging or waiving 16 such rights and/or remedies; consent, waiver, or compromise by 17 City of or under any of the provisions of this Lease, or as to 18 any breach or default hereof by Lessee, shall not constitute or be 19 construed as a waiver of City 's rights to enforce strict compliance 20 with the conditions and terms hereof by the Lessee at all other 21 times, as to the same as and all other matters herein contained. 22 � 18. Should public moneys become available for the 23 development and extension of public runway, take off and landing 24 strips, the City may at its option, acquire the additional 25 property owned by the Lessee included within the said airstrip 26 either by purchase or by lease, and repossess the property covered 27 by this Lease included within said airstrip; and the City agrees 28 to expend such available money in development, and extension there-• 29 of; that the Lessee herein agrees to operate said airstrip for 30 the remainder of the term hereof as part consideration of this 31 Lease; that the rents reserved in this Lease shall be modified 32 and adjusted and thereafter be based upon a percentage of the 6 I 1 gross income derived from the use and occupation of the remaining 2 property covered vy this Lease, of not less than four percent 3 (416) of such gross income. 4 19.
