CORPORATION GRANT DEED
FOR GOOD AND VALUABLE CONSIDERATION, RECEIPT OF WHICH IS
HEREBY ACKNOWLEDGED, SEACLIFF PARTNERS, a California general partnership,
("Grantor"), hereby grants to CITY OF HUNTINGTON BEACH, a California municipal
corporation, ("Grantee"), conditioned upon such Property, as defined below, being used as
open space,_public park or recreational purposes for the period of fifty (50) years from the
date hereof, that certain real property located in the City of Huntington Beach, County of
Orange, State of California (the "Property"), described as follows:
Lot 1 and Lot A of Tract No. 14042 as shown on said Tract Map recorded February
25, 1993 in Book 695 Pages 44 and 45, miscellaneous maps of the official records of the
County of Orange, State of California.
SUBJECT TO:
(a) Easements, liens, charges, covenants restrictions, reservations and other
matters of record, encumbrances, and any and all amendments, modifications and/or
supplements thereto recorded in the Office of the County Recorder, Orange County
California.
(b) Matters that can be ascertained by a reasonable inspection and/or survey of
the Property.
EXCEPTING THEREFROM all oil, gas and other hydrocarbons, geothermal
resources, and all other minerals, whether similar to those herein specified or not, within
or that may be produced from said Property.
FURTHER EXCEPTING AND RESERVING THEREFROM the sole and
exclusive right from time to time to drill and maintain wells or other works into or through
said Property and the adjoining streets, roads an highways and to produce, inject, store and
remove from and through such wells or works oil, gas, water and other substances of
whatever nature, including the right to perform any and all operations deemed necessary
to convenient for the exercise of such rights.

FURTHER EXCEPTING AND RESERVING THEREFROM any and all water rights or
interests therein, together with the right to grant and transfer all or a portion of the same, no
matter how acquired by Grantor, owned or used by Grantor in connection with or with respect to
the Property, together with the right and power to explore, drill, redrill, remove and store the
same from the Property or to divert or otherwise utilize such water rights or interests on any other
property, whether such water rights or interests shall be riparian, overlying, appropriative, littoral,
percolating, prescriptive, adjudicated, statutory or contractual; but without, however, any right to
enter upon the surface of the-Property in the exercise of such rights or upon the upper thirty(30)
feet of the subsurface of the Property, and also without any right to enter upon the subsurface of
the Property in such manner as to materially impair the support or stability of any structures or
improvements from time to time located on the Property.
The rights hereinabove excepted and reserved do not include and do not except or reserve
any right to use the surface of the Property or the first 500 feet below the surface of the Property
or to conduct any operations thereon or therein. Unless hereinafter specifically excepted and
reserved, all rights and interests in the surface of the Property are hereby conveyed to Grantee.
IN WITNESS WHEREOF, Grantor has executed this Corporation Grant Deed this 26
day of April, 1995.

This is to certify that the interest in real property conveyed by the deed dated
April 26, 1995 from Seacliff Partners, to the CITY OF HUNTINGTON BEACH,
A MUNICIPAL CORPORATION, a municipal corporation, is hereby accepted by
the undersigned officer or agent on behalf of the City Council of the City of
Huntington Beach, pursuant to the authority conferred by Resolution No. 3537
of the City Council of the City of Huntington Beach adopted on August 7, 1972,
and the grantee consents to the recordation thereof by its duly authorized
officer.

Statement of Issue:
Seacliff Partners is requesting that the greenbelt area shown as Lot "1" and Lot "A" of Tract
No. 14042 be re-dedicated to the City in fee title.
Funding Source:
Not applicable
Recommended Action:
Accept the Corporation Grant Deed from Seacliff Partners and instruct the City Clerk to have
the document recorded with the County Recorder.
Alternative Action(s):
Deny the recommended action.

Analysis:
The Planning Commission, on January 28, 1992, approved Tentative Tract No. 14042 with a
condition that two greenbelt areas identified as Lot "1" and Lot "A" be dedicated "in fee title"
to the City of Huntington Beach. Upon recordation of Tract No. 14042, it was discovered that
the phrase "dedicate in fee" was not used on the final map creating a situation whereby
Seacliff Partners retained title to Lots "1" and "A". The recordation of this document will grant
"fee title" to the City of Huntington Beach which is in compliance with the condition of
approval.
Environmental Status:
This project is covered by Negative Declaration No. 90-28 which was approved by the City
Council on May 16, 1991.
