Staff report prepared by Economic Development
Joint public hearing pursuant to the requirements of Section 33433 of the California Health
and Safety Code for the purpose of transferring title of several of the Redevelopment
Agency parcels located in the Main-Pier and Yorktown-Lake project areas to the City. The
Main-Pier parcel is a public walk-through, the Yorktown-Lake parcels are Civic Center
Parking areas. The joint public hearing is also held for the purpose of transferring city-
owned parcels in Emerald Cove(Talbert-Beach Project Areal to the Redevelopment
Agency.

A RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE
CITY OF HUNTINGTON BEACH APPROVING AND
AUTHORIZING EXECUTION AND DELIVERY OF
FINANCING AGREEMENT WITH RESPECT TO CIVIC CENTER
IMPROVEMENTS BETWEEN THE AGENCY AND THE
CITY OF HUNTINGTON BEACH, AND MAKING FINDINGS
WITH RESPECT THERETO
WHEREAS, the City of Huntington Beach (the "City") is considering undertaking
certain improvements to the existing civic center of the City, including but not limited to
additional office space, additional meeting space, expanded police facilities and parking
facilities (the "Civic Center Improvements"); and
The existing civic center of the City is owned by the City of Huntington Beach
Civic Improvements Corporation (the "Corporation") and is leased by the Corporation to
the City, and it is the intention of the City and the Agency that the financing of the Civic
Center Improvements will be accomplished through a lease-purchase financing vehicle
whereby the City agrees to make periodic lease payments from the General Fund of the
City which support payment of debt service on the obligations which are issued to
finance the Civic Center Improvements; and
The Redevelopment Agency of the City of Huntington Beach (the "Agency")
currently administers a redevelopment project in the City of Huntington Beach known as
the Yorktown-Lake Redevelopment Project Area (the 'Redevelopment Project"), and the
Agency is permitted under the laws of the State of California and under the
redevelopment plan for the Redevelopment Project to apply the tax increment revenues
from the Redevelopment Project to reimburse the City for the lease payments relating to
the Civic Center Improvements; and
The City and the Agency have proposed to enter into that certain Financing
Agreement with Respect to Civic Center Improvements (the "Financing Agreement') for
the purpose of formally obligating the City to proceed with the development and

financing plan for the Civic Center Improvements and obligating the Agency to apply tax
increment revenues from the Redevelopment Project for the purpose of reimbursing the
City for its lease payments relating thereto; and
The City Council has conducted a public hearing, at which all interested persons
were given an opportunity to be heard, on the Financing Agreement and the financial
obligations of the Agency thereunder, in accordance with Section 33679 of the Health
and Safety Code of the State of California;
NOW, THEREFORE, BE IT RESOLVED by the Redevelopment Agency of the
City of Huntington Beach as follows:
Section 1. Findings and Determinations.
The Agency hereby finds and determines, in accordance with Section 33445 of
the Health and Safety Code of the State of California, that (a) the buildings, facilities,

structures and other improvements which constitute and which will constitute the Civic
{ Center Improvements are of benefit to the Redevelopment Project, and (b) there are no
reasonable means available to the City of financing such buildings, facilities, structures
and other improvements, other than from the tax increment revenues derived from the
Redevelopment Project in accordance with the Financing Agreement. The Agency
further finds and determines that the acquisition and construction of each item of the
Civic Center Improvements are provided for in the Redevelopment Plan.
Section 2. Approval of Financing Agreement.
The Agency hereby approves the Financing Agreement in substantially the form
on file with the Secretary of the Agency together with any immaterial changes therein or
additions thereto deemed advisable by the Executive Director and approved by the
Agency Attorney. The Agency hereby authorizes and directs the Chairman and the
Executive Director to execute, and the Secretary of the Agency to attest and affix the
seal of the Agency to, said form of the Financing Agreement for and in the name of the
Agency.

Section 3. Effective Date.
This Resolution shall take effect from and after the date of its passage and
adoption.

WHEREAS, the Redevelopment Agency of the City of Huntington Beach
(the "Agency") is authorized to conduct redevelopment activities within the Main-
Pier Redevelopment Project Area (the "Project Area"), which activities include the
disposition of real property for repayment of Agency debt; and
The disposition was found to be in conformance with the General Plan on
July 20, 1993; and
The Agency and the City Council of the City of Huntington Beach ("City
Council") have conducted a duly noticed joint public hearing regarding the

proposed transaction in accordance with California Health and Safety Code Sections
33431 and 33433; and
The staff report pertaining to the property disposition which has been on
display prior to the joint public hearing in accordance with Section 33433 of the
California Health and Safety Code, contains a detailed description of the
transaction; and
The acquisition of the Agency's property by the City will facilitate
redevelopment efforts within the Main-Pier Redevelopment Project Area.
NOW, THEREFORE, the City Council of the City of Huntington Beach does
hereby resolve as follows:
Section 1, The City of Huntington Beach hereby approves the transfer of
the property identified by Assessor's Parcel number 024-147-33, Lot#11, Block
204 in the Huntington Beach tract recorded in Book 3 of the Miscellaneous Maps

of Orange County, located generally between Main, 5th, Walnut and Olive Streets,
in the City of Huntington Beach, from the Agency to the City.
Section 2, The City Council of the City of Huntington Beach finds and
determines, based upon the testimony and information presented during the public
hearing with respect to the disposition that the consideration for the real property to
be transferred to the City by Deed constitutes the fair-market value thereof
determined by the highest use permitted under the Redevelopment Plan for the
Project Area and based upon the covenants and restrictions previously established.
The City Council further finds that the disposition is necesary to effectuate the
purpose of the Redevelopment Plan applicable to the Project Area.
Section 3. Pursuant to Section 15326 of the Guidelines to the California
Environmental Quality Act, the transfer is categorically exempt under CEQA.

Statement of Issue:
The Redevelopment Agency completed public improvement projects on several
downtown and Civic Center`parcels which need to be transferred to the City. The
Redevelopment Agency is requesting payment for the acquisition and public
improvements costs and may use this program income to repay Agency debt.
Additionally, three Emerald Cove parcels need to be transferred to the
Redevelopment Agency from the City. Per California Health and Safety Code
33433, the Agency is required to hold a public hearing when disposing of property
acquired with tax increment.

the Public Walk Through (Main-Pier) and the Civic Center Parking Parcels
(Yorktown Lake) be used as payment of $1,071,421 .83 towards its Main-Pier
debt.
Analysis:
The Redevelopment Agency completed public improvement projects on several
parcels which need to be transferred to the City of Huntington Beach. The
Planning Commission determined that these transfers are in conformance with the
General Plan on July 20, 1993 (General Plan Conformance. No. 93-5 & No. 93-6).
DOWNTOWN PARCEL:
The public walk though leading from the alley to Fifth Street in Block 204 (AP
#024-147-33) was acquired by the Redevelopment Agency on a willing seller basis
for $125,783 in 1988. Again, using the same interest rates the City charges the
Agency on land debt, the acquisition value is now $197,000.83 ($71,217.83 is
increased value due to imputed interest). As part of the Second Block alley and
street improvement project $109,000 was spent on demolition, design, and
construction of the public walk through which features a fountain, benches, paving
and landscaping. This parcel will continue in public use and no further
redevelopment activities are anticipated on this site. The Agency will receive
$306,000.83 in program income from the sale and shall apply the revenue to
reduce its Main-Pier debt by $306,000.83. It should be noted that the transfer of
property is based upon actual costs incurred in property acquisition and
development and is not based on current market value typical of private exchange
of property.
CIVIC CENTER PARCELS:
1 . In November 1991 the Redevelopment Agency acquired the Civic Center
parking.lot parcel AP #023-041-06, a .770 net acre parcel valued at $671,000, in
a property exchange agreement with Pacific Coast Homes. The City had sold its
0.281 net acre parcel valued at $245,000 to the Agency and has charged the
Agency interest of $29,547.00 on the land. The Agency subsequently exchanged
this parcel plus the monetary consideration of a $426,000 promissory note at 10%
interest per annum -- a total accrued interest of $64,874. Other than the
acquisition, the Redevelopment Agency did not participate in the parking lot
expansion project. The City will purchase the parcel from the Agency and
reimburse the Agency for imputed interest costs and public improvement costs,
totaling $765,421 .00. The Agency will then use this program income in the
Yorktown-Lake Project area and transfer it to the Main-Pier Project Area which can
use the revenue to repay debt. It should be noted that the transfer of property is
based upon actual costs incurred in property acquisition and development and is
not based on current market value typical of private exchange of property.
2. In November 1991, a remnant Civic Center parking lot parcel (AP #013-041-04,
a portion) was granted from Pacific Coast Homes to the City for no paymQnt;
however, the parcel was titled to the Redevelopment Agency in error. Staff
recommends that this parcel be transferred to the City of.Huntington Beach. The
Redevelopment Agency will not receive any consideration for this transfer.

EMERALD COVE PARCELS:
All Emerald Cove property except for three parcels, AP #159-141-01, 02, & 03, are
held in fee by the Redevelopment Agency and were acquired in 1983. By Agency
Resolution No. 56, the acquisition of these three parcels was approved through a
resolution of necessity and the parcels were subsequently titled to the City in error.
As a correction, staff requests that these parcels be titled to the Redevelopment
Agency. The parcels were acquired through redevelopment financing; therefore,
the Redevelopment Agency will not incur additional debt through the transfer of
these properties.
DEBT REDUCTION SUMMARY:
The Main-Pier debt reduction of $1,071,421.83 will be achieved by expending
program income from the following property transfers and reimbursement costs:
Public Walk Through $306,000.83
Civic Center Parcel $765,421.00
Total $1,071,421.83
The Main-Pier repayment of debt of $1,071,421.83 shall be credited in the FY 93-
94 Operative Agreement between the Redevelopment Agency and the City.
As required by California Health and Safety Code 33433, a notice of the time and
place of this hearing was published for at least two successive weeks prior to this
date. The 33433 report was available at the time of first publication and is
attached to this report as required.

RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE
CITY OF HUNTINGTON BEACH APPROVING THE
CONVEYANCE OF REAL PROPERTY BETWEEN
THE REDEVELOPMENT AGENCY OF THE CITY OF
HUNTINGTON BEACH AND THE CITY OF HUNTINGTON BEACH
WHEREAS, the Redevelopment Agency of the City of Huntington Beach
(the "Agency") is authorized to conduct redevelopment activities within the Main-
Pier Redevelopment Project Area (the "Project Area"), which activities include the
disposition of real property for repayment of Agency debt; and
The disposition was found to be in conformance with the General Plan on
July 20, 1993; and
The Agency and the City Council of the City of Huntington Beach ("City
Council") have conducted a duly noticed joint public hearing regarding the
proposed transaction in accordance with California Health and Safety Code Sections
33431 and 33433; and
The staff report pertaining to the property disposition which has been on
display prior to the joint public hearing in accordance with Section 33433 of the
California Health and Safety Code, contains a detailed description of the
transaction; and
The acquisition of the Agency's property by the City will facilitate
redevelopment efforts within the Main-Pier Redevelopment Project Area.
NOW, THEREFORE, the Redevelopment Agency of the City of Huntington
Beach does hereby resolve as follows:
Section 1• The Agency hereby approves the transfer of the property
Identified by Assessor's Parcel number 024-147-33, Lot#iz , Block 204 in the
Huntington Beach tract recorded in Book 3 of the Miscellaneous Maps of Orange
County, located generally between Main, 5th, Walnut and Olive Streets, in the City .
of Huntington Beach, from the Agency to the City.
Section 2. The Redevelopment Agency finds and determines, based upon
the testimony and information presented during the public hearing with respect to
the disposition that the consideration for the real property to be transferred to the
City by Deed constitutes the fair-market value thereof determined by the highest use
permitted under the Redevelopment Plan for the Project Area and based upon the
covenants and restrictions previously established. The Redevelopment Agency
further finds that the disposition is necesary to effectuate the purpose of the
Redevelopment Plan applicable to the Project Area.
Section 3. Pursuant to Section 15326 of the Guidelines to the California
Environmental Quality Act, the transfer is categorically exempt under CEQA.
Section 4. The Agency hereby authorizes the Chairman or the Executive
Director to execute all documents necessary to effectuate the transfer.

This summary report has been prepared for the Huntington Beach
Redevelopment Agency ("Agency") pursuant to Section 33433 of the
California Health and Safety Code. This report sets forth certain
details of the proposed Disposition Agreement ("Agreement") between
the Agency and the City of Huntington Beach ("City") . The
Agreement requires the Agency to- transfer the 2, 675 square foot
Agency owned parcel (024-147-33) located at 212 Fifth Street in
return for consideration of a $306, 001. This report describes and
specifies:
1. The cost of the proposed agreement to the Agency,
including relocation costs, site clearance costs, toxic
remediation costs, infrastructure costs and public
parking costs;
2 . The estimated value of the interests conveyed, determined
at the highest used permitted under the Redevelopment
Plan; and
3 . The purchase price to be paid by the City for the
interests being conveyed.
This report and the proposed Agreement are to be made available for
public inspection prior to the approval of the Agreement.
A. SALIENT POINTS OF THE AGREEMENT
1. City Responsibilities
Under -the proposed Agreement, the City has the following
responsibilities:
a. The City must continue to maintain the property as
a public walkway.
b. The City must reduce the Agency's outstanding debt
- balance owed to the City by $306, 001 as

compensation for the Agency transferring the 2, 675
square foot parcel to the City.
2 . Agency Responsibilities
The Agency is responsible for transferring the 2, 675
square foot Agency-owned parcel to the City lien free.
B. COST OF AGREEMENT TO AGENCY
The estimated costs of the Agreement to the Agency are as
follows:
Total Land Acquisition Cost $ 125,783
Imputed Interest Cost 71, 218
Construction of Improvements 109 , 000
Total Costs to Agency $ 306, 001
C. ESTIMATED VALUE OF THE INTERESTS TO BE CONVEYED TO THE CITY
DETERMINED AT THE. HIGHEST USE PERMITTED UNDER THE
REDEVELOPMENT PLAN
The use of the subject site is limited to that of a public
walkway, and therefore, public walkway represents the highest
use permitted under the Redevelopment Plan. The property
value has been set equal to the total of the land acquisition
costs, the demolition of existing improvements, the costs to
construct the walkway, a fountain, benches and landscaping and
the imputed interest accrued during the period the Agency has
owned the parcel. The total costs are $306, 001.
D. PURCHASE PRICE PAID BY THE CITY AND REASONS FOR DIFFERENCE IN
FAIR MARKET VALUE FOR THE HIGHEST USE UNDER THE REDEVELOPMENT
PLAN
The purchase price is set at $306,001, which represents the
established market value of the property at its highest and
best use. Therefore, the Agency. is receiving fair
compensation for the 2, 675 square foot subject site.

to the City of Huntington Beach Civic Improvements
Corporation lien. free.
B. COST OF AGREEMENT TO AGENCY
The estimated costs of the Agreement to the Agency are as
follows:

C. ESTIMATED VALUE OF THE INTERESTS TO BE CONVEYED TO THE CITY

The use of the subject site is limited to public parking. As
such, the allowed use represents the highest use permitted
under the Redevelopment Plan. The property value has been set
equal to the land assemblage costs plus interest paid on the
acquisition note. These costs total $765,421, or $22.82 per
square foot of land area.
D. PURCHASE PRICE PAID BY THE CITY AND REASONS. FOR DIFFERENCE IN
FAIR MARKET VALUE FOR THE HIGHEST USE UNDER THE REDEVELOPMENT
PLAN
The purchase price is set at $765,421. This represents the
established value of the property at the highest and best use.
Therefore, there is no difference between the compensation
being received by the Agency and the fair market value of the
property.

A RESOLUTION OF THE -HUNTINGTON BEACH REDEVELOP-
MENT AGENCY FINDING PUBLIC INTEREST AND NECESSITY
TO ACQUIRE REAL PROPERTY IN THE TALBERT-BEACH
PROJECT AREA IN THE CITY OF HUNTINGTON BEACH FOR
.REDEVELOPMENT PURPOSES, AND AUTHORIZING THE
ACQUISITION OF SUCH PROPERTY BY EMINENT DOMAIN
WHEREAS, the Redevelopment Agency of the City of Huntington
Beach is proposing a redevelopment project for the Talbert-Beach
area; and
Acquisition of the real property referred to hereinbelow is
necessary for implementing this public project; and
California Health and Safety Code §33391 authorizes the Agency
to acquire by eminent domain any property necessary to carry out
any redevelopment purpose, and redevelopment is an essential Agency
function,
NOW, THEREFORE, the Redevelopment Agency of the City of
Huntington Beach finds, determines- and resolves as follows:
1 . The public interest and necessity require that the
Redevelopment Agency of the City of Huntington Beach acquire the
real property described herein for public use for redevelopment
purposes pursuant to the authorization of Health and Safety Code
§33391 .
2. The real properties or interests in real properties,
described herein and graphically depicted in Exhibit "A" attached
hereto and incorporated herein by reference, are more particularly
-described as follows :

shown .on a map recorded in Book 12, page 22
of Miscellaneous Maps in the Office of the
County Recorder of Orange County, California;

Lots, 1 , 2, 3, 8, 9, 13, 15, 21 , 27, 33, 39,
45, 51, 57 and 63 of Block A of Tract No. 172
as shown on a map recorded in Book 12, page
22 of Miscellaneous t4aps in the Office of the
County Recorder of Orange County, California;
and

3.. All persons .with an ownership interest in the property
and whose name and address appear on the last equalized county
assessment roll were duly given notice and an opportunity to be
heard pursuant to Code of Civil Procedure §1245. 235.
4. A hearing on the matters set forth in Code of Civil
Procedure §1240. 030 was duly held by the Redevelopment Agency on
December 20, 1982

project.
6. The proposed project is planned and located in the manner
that will be most compatible with the greatest public good and the
least private injury.
7. The property described herein is necessary for the pro-
posed project.
8. It is necessary that the taking of said property or
interest in said real property be in fee simple, and acquisition of
the property in fee ownership is in the manner which will be most
compatible with the greatest public good and the least private
injury.
9. The Chief Executive Officer of the Redevelopment Agency,
or his designee , and the Legal Counsel are hereby authorized ,
directed and empowered to acquire in the name of the Redevelopment
Agency of the City of Huntington Beach a fee simple estate in and
to the above described real property or interest in real property
' by condemnation under the laws of the State of California relating

to eminent domain and such .other statutes of the State as may be
applicable, to commence such proceedings as are necessary for the
acquisition of said property, and to do all things reasonably
necessary for the acquisition of the property, including applying
for an order fixing the amount of security by way of money deposits
as the court may direct and for an order permitting the city to
take possession and use of the property for the uses and purposes
described herein.
10. - The real property or interest in real property which is
authorized for condemnation by this resolution is situated in the
redevelopment project area of the City of Huntington Beach, County
of Orange, State of California.

RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE
CITY OF HUNTINGTON BEACH APPROVING THE
CONVEYANCE OF REAL PROPERTY BETWEEN
THE REDEVELOPMENT AGENCY OF THE CITY OF
'HUNTINGTON, BEACH AND THE CITY OF HUNTINGTON BEACH
WHEREAS, the Redevelopment Agency of the City of Huntington Beach
(the "Agency") is authorized to conduct redevelopment activities within the
Yorktown-Lake Redevelopment Project Area (the "Project Area"), which activities
include the disposition of real property for repayment of Agency debt; and
The disposition, which is the subject of this resolution, was found to be in
conformance with the General Plan on July 20, 1993; and
The Agency and the City Council of the City of Huntington Beach ("City
Council") have conducted a duly noticed joint public hearing regarding the
proposed transaction in accordance with California Health and Safety Code sections
33431 and 33433; and
The report pertaining to the property disposition which has been on display
prior to the joint public hearing in accordance with section 33433 of the California
Health and Safety Code, contains a detailed description of the transaction; and
The acquisition of the Agency's property by the City will facilitate
redevelopment efforts within the Main-Pier Redevelopment Project Area;
NOW, THEREFORE, the Redevelopment Agency of the City of Huntington
Beach does hereby resolve as follows:
Section 1. The Agency hereby a2proves the transfer of the property

Statement of Issue:
The Redevelopment Agency completed public improvement projects on several
downtown and Civic Center parcels which need to be transferred to the City. The
Redevelopment Agency is requesting payment for the acquisition and public
improvements costs and may use this program income to repay Agency debt.
Additionally, three Emerald Cove parcels need to be transferred to the
Redevelopment Agency from the City. Per California Health and Safety Code
33433, the Agency is required to hold a public hearing when disposing of property
acquired with tax increment.
Recommended Agency Actions:
1 . Hold the Public Hearing
2. Approve Agency Resolution Qq7 and City Resolution to transfer the
Public walk-through, AP #024-147-33, to the City for the acquisition and public
improvement costs of $306,000.83 crediting the program income to the Main-

the Public Walk Through (Main-Pier) and the Civic Center Parking Parcels
(Yorktown Lake) be used as payment of $1,071,421 .83 towards its Main-Pier
debt.
Analysis:
The Redevelopment Agency completed public improvement projects on several
parcels which need to be transferred to the City of Huntington Beach. The
Planning Commission determined that these transfers are in conformance with the
General Plan on July 20, 1993 (General Plan Conformance No. 93-5 & No. 93-6).
DOWNTOWN PARCEL:
The public walk through leading from the alley to Fifth Street in Block 204 (AP
#024-147-33) was acquired by the Redevelopment Agency on a willing seller basis
for $125,783 in 1988. Again, using the same interest rates the City charges the
Agency on land debt, the acquisition value is now $197,000.83 ($71,217.83 is
increased value due to imputed interest). As part of the Second Block alley and
street improvement project $109,000 was spent on demolition, design, and
construction of the public walk through which features a fountain, benches, paving
and landscaping. This parcel will continue in public use and no further
redevelopment activities are anticipated on this site. The Agency will receive
$306,000.83 in program income from the sale and shall apply the revenue to
reduce its Main-Pier debt by $306,000.83. It should be noted that the transfer of
property is based upon actual costs incurred in property acquisition and
development and is not based on current market value typical of private exchange
of property.
CIVIC CENTER PARCELS:
1 . In November 1991 the Redevelopment Agency acquired the Civic Center
parking lot parcel AP #023-041-06, a .770 net acre parcel valued at $671,000, in
a property exchange agreement with Pacific Coast Homes. The City had sold its
0.281 net acre parcel valued at $245,000 to the Agency and has charged the
Agency interest of $29,547.00 on the land. The Agency subsequently exchanged
this parcel plus the monetary consideration of a $426,000 promissory note at 10%
interest per annum -- a total accrued interest of $64,874. Other than the
acquisition, the Redevelopment Agency did not participate in the parking lot
expansion project. The City will purchase the parcel from the Agency and
reimburse the Agency for imputed interest costs and public improvement costs,
totaling $765,421 .00. The Agency will then use this program income in the
Yorktown-Lake Project area and transfer it to the Main-Pier Project Area which can
use the revenue to repay debt. It should be noted that the transfer of property is
based upon actual costs incurred in property acquisition and development and is
not based on current market value typical of private exchange of property.

2. In November 1991, a remnant Civic Center parking lot parcel (AP #0Y,3-041-04,
a portion) was granted from Pacific Coast Homes to the City for no payment;
however, the parcel was titled to the Redevelopment Agency in error. Staff
recommends that this parcel be transferred to the City of Huntington-Beach. The
Redevelopment Agency will not receive any consideration for this transfer.
EMERALD COVE PARCELS:
All Emerald Cove property except for three parcels, AP #159-141-01, 02, & 03, are
held in fee by the Redevelopment Agency and were acquired in 1983. By Agency
Resolution No. 56, the acquisition of these three parcels was approved through a
resolution of necessity and the parcels were subsequently titled to the City in error.
As a correction, staff requests that these parcels be titled to the Redevelopment
Agency. The parcels were acquired through redevelopment financing; therefore,
the Redevelopment Agency will not incur additional debt through the transfer of
these properties.
DEBT REDUCTION SUMMARY:
The Main-Pier debt reduction of $1,071,421 .83 will be achieved by expending
program income from th-e following property transfers and reimbursement costs:
Public Walk Through $306,000.83
Civic Center Parcel $765,421 .00
Total $1,071,421 .83
The Main-Pier repayment of debt of $1,071,421.83 shall be credited in the FY 93-
94 Operative Agreement between the Redevelopment Agency and the City.
As required by California Health and Safety Code 33433, a notice of the time and
place of this hearing was published for at least two successive weeks prior to this
date. The 33433 report was available at the time of first publication and is
attached to this report as required.

Whereas, California Heath and Safety Code Section 33220 provides
authority for the City to aid and cooperate in the planning, undertaking,
construction or operation of redevelopment projects by selling any of its property
to a redevelopment agency or by loaning money for any authorized purposes of
the Agency; and
The transaction herein is not a surplus property transaction within the
meaning of Huntington Beach Ordinance Code Chapter 3.06 nor California
Government Code Section 54220; and
The sale of the City's property to the Agency will facilitate redevelopment
within the Talbert Beach Project Area; and
The Agency has agreed to pay to the City and the City agrees to accept
as payment the fair market appraisal value of the property; and
The Agency is authorized under Section 33421 of the Health and Safety
Code to construct public improvements necessary to carry out the
redevelopment plan and under Section 33440 of the Health and Safety Code is
authorized to construct foundations, platforms and other like structural forms
necessary for the utilization of air rights.

THE CITY OF HUNTINGTON BEACH
ACCEPTING CONVEYANCE OF PARCELS WITHIN EMERALD COVE
FROM THE CITY OF HUNTINGTON BEACH
Whereas, California Health and Safety Code Section 33220 provides
authority for the City to aid and cooperate in the planning, undertaking,
construction or operation of redevelopment projects by selling any of its property to
a redevelopment agency or by loaning money for any authorized purposes of the
Agency; and
The transaction herein is not a surplus property transaction within the
meaning of Hunti , on Beach Ordinance Code Chapter 3.06 nor California
Government Code Section 54220; and
The sale of the City's property to the Agency will facillitate redevelopment
within the Talbert Beach Project Area; and
The Agency has agreed to pay to the City and the City agrees to accept as
payment the fair market appraisal value of the property; and
The Agency is authorized under Section 33421 of the Health and Safety
Code to construct public improvements necessary to carry out the redevelopment
plan and under Section 33440 of the Health and Safety Code is authorized to
construct foundations, platforms and other like structural forms necessary for the
utilization of air rights.
NOW, THEREFORE, the Redevelopment Agency of City of Huntington
Beach does resolve as follows:

hereby agrees to accept the Grant Deed for the following parcels:

within the City of Huntington Beach, commonly known as Emerald Cove Senior
Development Project.
SECTION 2. The chairman of the Redevelopment Agency is authorized to
execute all documents and perform those acts necessary to effectuate this
transaction.

This summary report has been prepared for the Huntington Beach
Redevelopment Agency ("Agency") pursuant to Section 33433 of the
California Health and Safety Code. This report sets forth certain
details of the proposed Disposition Agreement ("Agreement") between
the Agency and the City of Huntington Beach ("City") . The
Agreement requires the Agency to transfer the 2 , 675 square foot
Agency owned parcel (024-147-33) located at 212 Fifth Street in
return for consideration of a $306, 001. This report describes and
specifies:
1. The cost of the proposed agreement to the Agency,
including relocation costs, site clearance costs, toxic
remediation costs, infrastructure costs and public
parking costs;
2 . The estimated value of the interests conveyed, determined
at the highest used permitted under the Redevelopment
Plan; and
3 . The purchase price to be paid by the City for the
interests being conveyed.
This report and the proposed Agreement are to be made available for
public inspection prior to the approval of the Agreement.
A. SALIENT POINTS OF THE AGREEMENT
1. City Responsibilities
Under the proposed Agreement, the City has the following
responsibilities:
a. The City must continue to maintain the property as
a public walkway.
b. The City must reduce the Agency's outstanding debt
balance owed to the City by $306, 001 as

compensation for the Agency transferring the 2 , 675
square foot parcel to the City.
2. Agency Responsibilities
The Agency is responsible for transferring the 2, 675
square foot Agency-owned parcel to the City lien free.
B. COST OF AGREEMENT TO AGENCY
The estimated costs of the Agreement to the Agency are as
follows:
Total Land Acquisition Cost $ 125, 783
Imputed Interest Cost 71, 218
Construction of Improvements 109 , 000
Total Costs to Agency $ 306, 001
C. ESTIMATED VALUE OF THE INTERESTS TO BE CONVEYED TO THE CITY
DETERMINED AT THE HIGHEST USE PERMITTED UNDER THE
REDEVELOPMENT PLAN
The use of the subject site is limited to that of a public
walkway, and therefore, public walkway represents the highest
use permitted under the Redevelopment Plan. The property
value has been set equal to the total of the land acquisition
costs, the demolition of existing improvements, the costs to
construct the walkway, a fountain, benches and landscaping and
the imputed interest accrued during the period the Agency has
owned the parcel. The total costs are $306, 001.
D. PURCHASE PRICE PAID BY THE CITY AND REASONS FOR DIFFERENCE IN
FAIR MARKET VALUE FOR THE HIGHEST USE UNDER THE REDEVELOPMENT
PLAN
The purchase price is set at $306, 001, which represents the
established market value of the property at its highest and
best use. Therefore, the Agency is receiving fair
compensation for the 2, 675 square foot subject site.

its current use as a public parking lot. The City
of Huntington Beach Civic Improvements District
must continue to operate and maintain the parking lot.

b. As consideration for the transfer of the parcels,
the City of Huntington Beach must reduce the
outstanding debt balance on the City loan to the
Agency by $765,421.
2. Agency Responsibilities
The Agency must transfer the .77 acre Agency-owned parcel
to the City of Huntington Beach Civic Improvements
Corporation lien free.
B. COST OF AGREEMENT TO AGENCY
The estimated costs of the Agreement to the Agency are as
follows:

Interest Paid on Acquisition Note 64,874
Imputed Interest on Land 29, 547
Total Costs to Agency $ 765,421
C. ESTIMATED VALUE OF THE INTERESTS TO BE CONVEYED TO THE CITY
DETERMINED AT THE HIGHEST USE PERMITTED UNDER THE
REDEVELOPMENT PLAN
The use of the subject site is limited to public parking. As
such, the allowed use represents the highest use permitted
under the Redevelopment Plan. The property value has been set
equal to the land assemblage costs plus interest paid on the
acquisition note. These costs total $765,421, or $22 .82 per
square foot of land area.
D. PURCHASE PRICE PAID BY THE CITY AND REASONS FOR DIFFERENCE IN
FAIR MARKET VALUE FOR THE HIGHEST USE UNDER THE REDEVELOPMENT
PLAN
The purchase price is set at $765,421. This represents the
established value of the property at the highest and best use.
Therefore, there is no difference between the compensation
being received by the Agency and the fair market value of the
property.

A RESOLUTION OF THE HUNTINGTON BEACH REDEVELOP-
MENT AGENCY FINDING PUBLIC INTEREST AND NECESSITY
TO ACQUIRE REAL PROPERTY IN THE TALBERT-BEACH
PROJECT AREA IN THE CITY OF HUNTINGTON BEACH FOR
REDEVELOPMENT PURPOSES, AND AUTHORIZING THE
ACQUISITION OF SUCH PROPERTY BY EMINENT DOMAIN
WHEREAS, the Redevelopment Agency of the City of Huntington
Beach is proposing a redevelopment project for the Talbert-Beach
area; and
Acquisition of the real property referred to hereinbelow is
necessary for implementing this public project; and
California Health and Safety Code §33391 authorizes the Agency
to acquire by eminent domain any property necessary to .carry out
any redevelopment purpose, and redevelopment is an essential Agency
function,
NOW, THEREFORE, the Redevelopment Agency of the City of
Huntington Beach finds, determines and resolves as follows: .
1 . The public interest and necessity require that the
Redevelopment Agency of the City of Huntington Beach acquire the
real property described herein for public use for redevelopment
purposes pursuant to the authorization of Health and Safety Code
§33391 .
2. The real properties or interests in real properties,
described herein and graphically depicted in Exhibit "A" attached
hereto and incorporated herein by 'reference, are more particularly
described as follows:
Lots 1 and 6 of Block E of Tract No. 172 as
shown on a map recorded in Book 12, page 22
of Miscellaneous Maps in the Office of the
County Recorder of Orange County, California;
and
Lots, 1 , 2, 3, 8, 9, 13, 15, 21 , 27, 33, 39,
45, 51, 57 and 63 of Block A of Tract No. 172
as shown on a map recorded in Book 12, page
22 of [Miscellaneous Maps in the Office of the
County Recorder of Orange County, California;
and

3. All persons .with an ownership interest in the property
and whose name and address appear on the last equalized county
assessment roll were duly given notice and an opportunity to be
heard pursuant to Code of Civil Procedure §1245. 235.
4. A hearing on the matters set forth in Code of Civil
Procedure §1240. 030 was duly held by the Redevelopment Agency on
December 20, 1982
-� 5. The public interest and necessity require the proposed
project.
6. The proposed project is planned and located in the manner
that will be most compatible with the greatest public good and the
least private injury.
7. The property described herei.n is necessary for the pro-
posed project.
8. It is necessary that the taking of said property or
interest in said real property be in fee simple, and acquisition of
the property in fee ownership is in the manner which will be most
. compatible with the greatest public good and the least private
injury.
9: The Chief Executive Officer of the Redevelopment Agency,
or his designee , and the Legal Counsel are hereby authorized ,
directed and empowered to acquire in the name of the Redevelopment
Agency of the City of Huntington Beach a fee simple estate in and
om to the above described real property or interest in real property

to eminent domain and such .other statutes of the State as may be
applicable, to commence such proceedings as are necessary for the
' acquisition of said property, and to do all things reasonably
necessary for the acquisition of the property, including applying
for an order fixing the amount of security by way of money deposits
as the court may direct and for an order permitting the city to
take possession and use of the property for the uses and purposes
described herein.

authorized for condemnation by this resolution is situated in the
redevelopment project area of the City of Huntington Beach,. County

Huntington Beach pursuant to the requirements of Section 33433 of the
California Health and Safety Code on Monday, December 6, 1993, at 7:00
