REIMBURSEMENT AGREEMENT BETWEEN THE REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH AND D;W LAEUA P n R'rT� /BELLA TERRA ASSOCIATES, LLC FOR COSTS INCURRED FOR PARKING STRUCTURE AMENITIES THIS AGREEMENT ("Agreement") is made and entered into by and between the REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH, a corporate politic of the State of California, hereinafter referred to as "AGENCY," and DTNr1C7T=L PAWTNtRS»/ BELLA TERRA ASSOCIATES, LLC, a limited liability company hereinafter referred to as"DEVELOPER." WHEREAS, DEVELOPER is currently developing a shopping mall area within the City of Huntington Beach known as Bella Terra; and DEVELOPER proposes additional improvements to the public parking structure within Bella Terra ("Parking Structure") including upgraded service of eighteen additional cameras, and installation of a traffic counter feature (collectively "Improvements"); and AGENCY desires to reimburse DEVELOPER for 25% of the cost of the Improvements, NOW, THEREFORE, in consideration of the promises and agreements hereinafter made and exchanged, the parties agree as follows: 1. IMPROVEMENTS DEVELOPER will install the 18 additional cameras in the Parking Structure increasing the total to 48 cameras within the Parking Structure and a traffic counter feature that directs visitors to the appropriate floor level of the Parking Structure. A complete list of the Improvements is set forth in Exhibit A. 06agree/bella terra parking amenities 1 2. INSTALLATION All installations shall be completed to the approval and satisfaction of the CITY's Department of Building & Safety. 3. PAYMENT Upon completion of all Improvements, including purchase and installation of a total 48 security cameras and traffic counter features, and upon approval by the CITY's Department of Building and Safety, and upon obtaining unconditional lien releases from all contractors and subcontractors involved with this project, DEVELOPER shall bill AGENCY for reimbursement of twenty-five percent (25%) of the total of$248,700.90, or a total billing of $62,175.23. Payment for the sum of$62,175.23 shall be processed in accordance with standard CITY procedures. 4. STATEMENT OF INTENT The amounts reimbursed to DEVELOPER pursuant to this Agreement will help defray DEVELOPER'S added parking structure amenities. 5. AGENCY EMPLOYEES AND OFFICIALS DEVELOPER shall employ no AGENCY or CITY official nor any regular AGENCY employee in the work performed pursuant to this Agreement. No officer or employee of AGENCY shall have any direct financial interest in this Agreement. 6. TIME IS OF THE ESSENCE AGENCY agrees that time is of the essence for the performance of the work to be funded pursuant to this Agreement and therefore, DEVELOPER shall submit a work schedule and timeline to AGENCY for approval by the Deputy Executive Director. 06agree/bella terra parking amenities 2 7. TERMINATION OF AGREEMENT Either party may terminate this Agreement at any time with or without cause, upon ten (10) days prior written notice to the other party. DEVELOPER shall be responsible for all costs incurred prior to termination, including any and all costs incurred after notice of termination has been given. 8. TERM This Agreement shall be effective on the date of its approval by AGENCY. This Agreement shall expire when terminated as provided herein. 9. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to DEVELOPER's agent or to AGENCY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 06agree/bells terra parking amenities 3 11. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 12. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 14. IMMIGRATION DEVELOPER shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 15. LEGAL SERVICES SUBCONTRACTING PROHIBITED DEVELOPER and AGENCY agree that AGENCY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. DEVELOPER understands that pursuant to Huntington Beach City Charter Section 309, the Agency Counsel is the exclusive legal counsel for AGENCY; and AGENCY shall not be liable for payment of any legal services expenses incurred by DEVELOPER. 15. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees. 17. This would increase the total number to 48 cameras. In addition, we also believe the traffic counters feature, directing visitors to the appropriate floor level of the structure, would be a significant help in encouraging visitors to use the parking structure. I am requesting 248 700.90 to come out of the 1.5 million general fund that was q g $ $ provided to the City of Huntington Beach last month. It seems appropriate that the money should go towards the Parking Structure at Bella Terra. Additional improvements to the Bella Terra Parking Structure in the amount of $62,175.23 (25% of the total cost of $248,700.90); and equipment and supplies for the Bella Terra Police Substation in the amount of$45,000 are being requested towards completion of this project. REQUEST FOR ACTION MEETING DATE: 11/7/2005 DEPARTMENT ID NUMBERED 05-33 Analysis: On August 1, 2005, the City Council/ Redevelopment Agency approved agreements for Bella Terra Associates, LLC to assume transfer of the Bella Terra site and operation of the parking structure. Bella Terra Associates proposes additional improvements to the Bella Terra Parking Structure including upgraded service of an additional 18 cameras, increasing the total to 48 cameras, and installation of a traffic counter feature, directing visitors to the appropriate floor level of the structure. These improvements would increase security, reduce traffic congestion, and encourage visitors to use the parking structure. The Huntington Beach Police Department has met with the new owners and supports these improvements. Total cost for the improvements is estimated at $248,700.90, and staff recommendation is that the Redevelopment Agency reimburse Bella Terra Associates 25% ($62,175.23) of the total cost, payable after the work has been completed, approved by the City of Huntington Beach Building Department, and unconditional lien releases have been secured from all contractors and subcontractors associated with this project. Further, an appropriate reimbursement agreement with Bella Terra Associates will be approved by the City Attorney and executed by the Executive Director. In addition, under the terms of the agreements, Bella Terra Associates will construct an approximately 3,000 square foot Police Department Substation (Bella Terra Substation) within the mall area. Plans are to have unformed police officers and/ or Retired Senior Volunteer Program (RSVP) members staff the Substation during mall hours of operation. This Huntington Beach Police Department presence will greatly enhance security efforts and effectiveness at Bella Terra. Cost for furniture and equipment for the Bella Terra Substation is estimated at $45,000. This is an eligible Redevelopment Agency expense, and staff recommendation is that the cost for the furniture and equipment necessary to make the Substation operational be supported by the Redevelopment Agency fund balance.
