RESOLUTION NO. 4782
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF HUNTINGTON BEACH "A.UTHORIZING FINAL PAY-
MENT ON REIMBURSEMENT AGREEMENT NO. 76-S2
WHEREAS, the City Council of the City of Huntington Beach
adopted. a. budget for fiscal -year 1979-1980 by Resolution
No. 4772; and
Section 5 of said Resolution No. 4772 specifies the pro-
cedure for authorizing expenditures from special funds ; and
The City Administrator and Director of Finance have rec-
ommended an expenditure, and the City Council hereby approves
said recommendation,
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Huntington Beach that final payment on Reimbursement
Agreement No.- 76-S2 in the sum of $3,399.09 from the Sewer
Fund is hereby authorized to be made to Classic Development
Corporation for construction of a sewer main.
PASSED AND ADOPTED by the City Council of the City of
Huntington Beach at a regular meeting .thereof held on the 6th
day of August 1979.

REIMBURSEMENT AGREEMENT 76-S2
OFFSITE - OVERSIZE SEWER MAIN CONSTRUCTION
THIS AGREEMENT entered into by and between the CITY OF HUNTINGTON BEACH, a municipal
corporation, hereinafter for convenience referred to as "CITY' and CLASSIC DEVELOP-
MENT CORPORATION, hereinafter for .convenience referred to as "BUILDER."
WHEREAS, Builder,. pursuant to agreement with CITY has, at his own cost and expense,
constructed 1289 lineal feet of 12" sewer main hereinafter referred to as Facilities.,
to serve Builder's subdivision Tract No. 7628 and adjacent properties on the west 'side
of Newland Avenue between Garfield Avenue and Modale Drive, and said Facilities have
been constructed in conformity with the plans and specifications approved by the
Director of Public Works of City, and have been dedicated to City; and City desires
to reimburse Builder .for the offsite cost of the construction of .said Facilities less
Builder' s. cost for required 8" of said sewer main, as provided by the municipal code.
NOW THEREFORE, in consideration of the covenants and agreements herein contained, the
parties hereto agree as follows:
Builder has .constructed, at a total cost of $8997.22 an offsite oversize sewer main
line and appurtenances. Exhibit "A", attached hereto and made a part hereof, is a
map of the area served.
The refund to be paid to Builder, out. of available funds, under this agreement is as
follows:
Total job -cost of facilities . $. 8.,997.22
Less Builder's. costs for required 8" sewer main 5,.220.45
Gross refundab-le $ 3,776:77
Less 10% per Huntington Beach Municipal Code 377.68
Section 14.44.090(C)
Net Refundable $ 1,399.09
No refund shall be made by .City to Builder until the Director of Public Works shall
certify in writing, to the Finance Director, that Builder is entitled to a. refund
by reason of connection having been ma4d. io Facilities in accordance with the
Huntington Beach Municipal Code, and that City has received the sewer service fees
from such connection. Refunds shall be made by City to Builder on the condition that,
and to the extent that, funds are available in the district's fund.
City shall not be liable for payment of refund by reason of its failure to collect
or receive from any person or entity .the sewer service fee. If a developer who develops
property served by the Facility constructed by Builder is required as a condition
Of development to construct additional facilities, City may allow said developer
credit toward the per acreage fee and no fees shall be due Builder by reason of such
construction. Refunds should be payable for a period of five years from the 'date of
applicant's application.
In the event Ctiy does not require a developer to deposit the sewer service fees with
the City prior to or concurrent with development, City may enter into an agreement with
said developer stating that said developer is obligated, not only to the City, but
to Builder., to deposit said fee with. City. The City shall not be required to pay
attorney's fees or court costs for any breach' of this agreement. Refunds s-hall bear
no interest: Refunds shall not exceed 90% of off-site construction costs. There
shall be no refund for on-site construction costs.*
It is understood that it is not mandatory that the City institute legal .proceedings
to .protect the interest of the Builder.

REIMBURSEMENT AGREEMENT 76-S2
OVERSIZE SEWER MAIN CONSTRUCTION
THIS AGREEMENT entered into by and between the CITY OF HUNTINGTON
BEACH, a municipal corporation, hereinafter for convenience referred
to as "CITY" , and CLASSIC DEVELOPMENT CORPORATION, hereinafter for
convenience referred to as "BUILDER" .
WHEREAS, Builder, pursuant to agreement with CITY has , at his own
cost and expense, constructed 1289 lineal feet of 12" sewer main here-
inafter referred to as Facilities, to serve Builder 's subdivision
Tract No. 7628 and adjacent properties on the eas.tside of Newland
Avenue between Garfield Avenue. and Modale Drive, and said Facilities
have been constructed in conformity with the plans and specifications
approved by the Director of Public Works of .City, and have been dedicated
to City, and City desires .to reimburse Builder for the cost of the
construction of said Facilities less Builder' s cost for required 8" of
said sewer main, as provided by the municipal code. -
NOW THEREFORE, in consideration of the covenants and agreements
herein contained, the .parties hereto agree as follows :
Builder has constructed, at a total cost of $8997. 22 an oversize
sewer main line and appurtenances to serve Tract 7628 and adjacent
properties . Exhibit "A", attached hereto and made a part hereof, is a
map of the area served. Builder has. dedicated said Facilities to City.
The refund to be paid to Builder, out of available funds, under
this agreement is as follows:
Total job cost of facilities $8, 997.22
Less Builder ' s costs for required 8 " sewer main 5, 220 .45
Gross refundable 3, 776 . 77
Less 10% per Huntington Beach Municipal Code 377. 68
Section 14. 44 . 090 (C)
Net Refundable $3 , 399 . 09
No refund shall be made by City to Builder until the Director of
Public Works shall certify in writing, to the .Finance Director, that
Builder is entitled . to a refund by reason of connection having been
made to Facilities in accordance with the Huntington Beach Municipal
Code, and that City has received the sewer service fees from the area
served.
City shall not be liable for payment of refund by reason of its
failure to collect or receive from any person or entity the sewer
service fee. City agrees to use good faith to protect the interest of
developers, either individuals, or entities, who have previously con-
structed similar facilities, by the collecting fees, either prior to .
or concurrent with the development, or any property served by the
facility constructed under this agreement. If a developer who develops
property served by the Facility constructed by Builder is required as
a condition of development to construct additional facilities, City may
allow said developer credit toward the per acreage fee consistent with
this said agreement; and no fees shall be due Builder by reason of such
construction. City further agrees to furnish a copy of this agreement
to the developer of any properties served by the facilities described
herein.
In the event City does not require a developer to deposit the
sewer service fees with the City prior to or concurrent with development,
City will enter into an agreement with said developer stating that said
developer is obligated, not only to the City,_ but to' Builder, and to
developers who have previously contributed to the cost of construction
of facilities constructed hereunder to deposit said fee with City.
The City shall. not be required to pay attorney' s fees or court costs
for any breacIT of this agreement.

It is understood that it is not mandatory that the City institute
legal proceedings to .protect the interest of the Builder.

Re: Tract #7628 - sewer reimbursement
Gentlemen:
We 'have installed, at our cost, 1289 -l.f. of 12" VCP mainline sewer
on Newland Street, south of Modale. This line ties into 12" VCP
north of Modale, providing service for upstream developments. A
portion of this cost should be reimbursable to us by the City.
Please find enclosed the following items relevant to this letter:
1) copy of bids reviewed for the sewer system by Classic.
2) copy of contract with Thorco to construct sewer system.
3) copy of paid invoice, including unit prices, for 12" VCP
and 8" VCP per the contract.
We 'feel that the amount due Classic Development Corporation is the
additional cost to us for installation of oversized 12" VCP, versus
811 VCP, which is $2877.05.
Per previous conversations with John Whipple and Walt Hurtienne 'of
your department, we would like to enter into a reimbursement agree-
ment for the above mentioned sewer line. In August of 1972, the City
agreed with our engineer (verbally) to enter into such an agreement
with Classic Development Corporation.
We will be happy to provide any further information required to es-
tablish said agreement..

The parties hereto mutually agree as follows:
1. Sub-Contractor shall perform and finish in a thorough workmanlike manner and to the satisfaction of Contractor,
the work hereinafter described. Sub-Contractor shall provide and furnish, at the Sub-Contractor's expense, all labor and
materials, ladders, scaffolding, tools, implements, apparatus, molds, models, hoisting and cartage incidental or necessary
for the full performance and completion of said work and shall pay all taxes incidental or applicable thereto.
2. (a) Said work shall be performed and completed and materials furnished in full and strict conformity with the
drawings, plans and specifications which are on file at the Contractor's office at 8550 Garden Grove Blvd., Garden Grove,
California, and to the dimensions and explanations contained therein and to the terms of this agreement and/or amendments.
(b) In the performance of this contract, Sub-Contractor shall observe and comply with all applicable laws,
ordinances and regulations of all constituted authorities relating to the manner of doing the work under this contract and to

Sub-contractor is required to contact this office or superintendent for plans of
ewistiug underground services. Classic will not assume any responsibility for
damage caused by sub-contractor.
No extras will be paid without a PURCHASS$ ORHBR issued by Classic Develop*ent Corp.
Extras will be paid with retentions. Please submit a ,separate retention billing with
yoar regular contract billing.
DUO= DURING CONSTRUCTION: in the event sub-contractor's work is damaged by other trade
it will be the sub-contractor's obligation to resolve the cost of repairs of said damage
with responsible sub-contractor.

4. Sub-Contractor shall commence said work within three (3) days after Contractor has given Sub-Contractor written
notice to commence, and shall proceed with said work promptly and diligently and shall do the several parts thereof at such
1 times and in such order as Contractor may direct and shall complete the same in every part and detail thereof in accordance
with the drawings, plans and specifications and the terms of this agreement on or before days from the date
of said written notice.
5. As full compensation and payment for said work, Contractor agrees to pay Sub-Contractor, and Sub-Contractor
agrees to accept, the sum of subject to the additions and deductions as herein provided, payable
as follows:

� 6. From time to time, at the request of the contractor, Sub-Contractor shall submit evidence satisfactory to Contractor
! that all labor, material bills and other indebtedness connected with the work of Sub-Contractor hereunder have been paid.
7. No alterations' shall be made in the work or materials described in the drawings, plans and specifications and
j described herein or extra work done unless agreed to in writing before the alterations are made or the extra work done in
which writing shall be specified in detail the alterations or extra work desired and the price to be paid or the amount to be
deducted, should said alterations decrease the amount to be paid hereunder. Any alterations made or extra work done by
Sub-Contractor without the written authorization of Contractor,shall be made or done at the risk and expense of Sub-Contractor.
8. Should the Sub-Contractor at any time refuse or neglect to supply sufficient properly skilled workmen or materials
of the proper quality, or fail in any respect to proceed with the work with promptness and diligence or fail in the performance
of any of the agreements herein contained, Contractor, in addition to and without prejudice to any other remedy it may have,
may at its option, after two (2) days' written notice to Sub-Contractor, provide any such labor or materials and deduct the
cost thereof from any money due or thereafter to become due to the Sub-Contractor under this contract; or Contractor, in
addition to and without prejudice to any other remedy it may have, may at its option, after two(2) days' written notice to
sub-Contractor terminate the employment of the Sub-Contractor for said work and enter upon the premises and take posses-
sion, for the purpose of completing the work included under this contract, of all materials, tools, and appliances thereon, and
to employ any other person, firm or organization to finish the work and to provide the materials therefor; in the case of such
discontinuance of the employment of the sub-Contractor, Sub-Contractor shall not be entitled to receive any further payment
under this contract until said work shall be completely finished, at which time, if the unpaid balance of the amount to be
paid under this contract shall exceed the expenses incurred by the Contractor in finishing the work such excess shall be paid by the
tractor to the Sub-Contractor, but if such expense shall exceed such unpaid balance, Sub-Contractor shall pay the differ-
e to the Contractor. If Sub-Contractor shall cease work for any one day after commencement without Contractor's written
mission, the Contractor has the right to exercise the above.
