be made aware of any passible hidden utility lines; i .e., Edison,
Telephone,. Water, etc . that may exist but are not shown on plans .
Subcontractor shall assume responsibility for the above.
11. PAYMENT SCHEDULE: Contractor agrees to pay the Subcontractor for the faithful completion of the escribecl above to
the full satisfaction and acceptance of the Owner and Contractor the following total amount including all taxes: FO THREE

Progressive payments will be made on invoices submitted in duplicate, accompanied by required notarized releases properly completed and
received at Contractor's office twenty (20) days prior to date of payment, for work accepted at stages as shown below, less ten percent reten-
tion, payable thirty-five days after notice of completion.

show FAMILY HOME BUILDERS, INC. as additionally named insured indicating all operations. State of

EXHIBIT „A„
It is the intention of all parties to have a complete and
thorough job of WATER, SEWER & STOP"A DRAINS as per plans and
specifications of RMG ENGINEERING and specifications and re-
quirements of FkMILY HOME BUILDERS , INC. , the County of Orange,
and all governing agencies , including the City of Huntington Beach.
Subcontractor acknowledges he is familiar with the construction
set of drawings and with job conditions as they now exist.
Work to include , but not be limited to the following:
1. Furnish all labor, material and equipment to completely
inatall all water, sewer, & storm drains for complete project
with approval of the City of Huntington Beach.
2 . Permits are not included in this contract.
3 . Excavation of all trenches and any unusable debris from
same shall be removed from jobsite; removal shall -be..negotiate&.`_. '
4. All trenches shall be backfilled and compacted, to the
satisfaction of the City of Huntington Beach.
5. Water installation shall include the following:
a. construction of 515 l.f. . of 6" A.C.P.
b. installation of 405 l.f, of 8" A.C.P.
c. installation of 11 ea. 1 1/2" service w/m4ters
and boxes .
d. installation of 1 ea. 6" gate valve.
e. installation of 1 ea. 8" gate valve.
f, installation of 3 ea. fire hydrant assamblies .
g, installation of 2" blow off assembly.
h, installation of 1 ea. 8 x 6 hot tap w/sleeve &
valve complete.
6. All water meter boxes shall be set to grade and approved
by the City of Huntington Beach.
7, Sewer installation shall include the following for on.-
site: _
a. installation of 655 l. f. of 8" V.C.P.
b. installation of 445 l.f. of 6" V.C.P.
c. installation of 4 ea. standard manholes .
8 . Storm drain installation shall include the following:

11. There shall be 1' of sand bedding under all sewer and
storm drain pipes .
12 . Subcontractor shall remove and haul away from jobsite
all extra pipe, debris and all other materials and supplies , etc.
13 . All manholes and cleanouts shall be brought to finish
grade of street or paved areas and patch paved as required.
14. Should sand or rock be required for backfilling to
achieve compac if n soil will not compact , it will
be priced at , 5 . 50. anc(-,,'$8. 75 er ton-respectively.
5 . There shal no extra charge for 2nd move- s to
complete this job.
16 . Subcontractor will be responsible for the security. of
all materials and equipment brought to the jobsite until installed.
17 . Subcontractor shall provide safe and healthful working
conditions for all persons and shall at all times be governed by
the Williams/Steiger Occupational Safety and Health Act of 1970
as amended to date. In the event Subcontractor, after notification
by the Owner, does not correct and/or- repair an unsafe condition
or practice which results in a violation and subsequent- fine by
O.S .H.A, against FAMILY HOME BUILDERS , INC. , all monies involved
in said fine and/or penalties will be baekcharged against said
Subcontractor.
18 . It is herein mutually agreed and understood THERE WILL
BE NO CHANGES IN THE WORK COVERED UNDER TERMS AND CONDITIONS OF {
THIS AGREEMENT UNLESS AUTHORIZED BY FAMILY HOME BUILDERS., INC ON
A PROPERLY EXECUTED CHANGE ORDER AND/OR PURCHASE ORDER. ANY IN-
VOICES SUBMITTED BY SUBCONTRACTOR SHOWING AND EXTRA FOR MATERIALS
OR LABOR WILL NOT BE PROCESSED UNLESS PROPERLY AUTHORIZED 'BY THIS
OFFICE. FIELD SUPERINTENDENTS' CAN NOT AUTHORIZE AND EXTRA WORK.
19. Although this agreement attempts to list and detail all
of the items to be furnished and installed by Subcontractor, Sub-
contractor agrees that all items , materials and labor usually
included under the scope -of WATER, SEWER AND STORM DRAINS- are
included herein so the end result is to relieve owner of any
further costs or expense of providing and installing materials
and supplies WATER, SEWER AND STORM DRAINS on the job . (Within
the scope of work of the original contract. )
20. Subcontractor shall supply names of all material :
suppliers providing materials for work covered under this contract.
21 . Any changes or additions instituted by the architect
or Owner will be negotiated at the current union labor wage only.
22 . Subcontractor agrees that time is of the essence and
warrants that he will keep enough personnel on the job at all
times to meet or exceed production requirements of Owner' s schedule
and failure on my part to fulfill this schedule will cause my con-
tract to be cancelled and/or delay in payments of invoices as.
follows : One day delay in production will cause five days relay
in payment of invoices . . I further understand that delays that
are not caused by myself will not cause me to be penalized. I
further agree that all my pick-up and/or service work will com
mence in two working days after notification except pick-up
during production which will be done within one day after not-
ification.

The City entered into the subject agreement in March, 1970 wit
Doyle Develol5ment Co. for the construction of a retaining wall along
the east border of Tract 6181 adjacent to the C5-SC2 channel. Said
agreement was written against districts 5 and 5-C, both of which had . ,
fees of $600/ac. A summary of financial transactions is as follows: :
Total fees received (1-76) $316 ,143.12
Expenditures:
1. CC-096 C5-SC2 lining $ 83,649 .40
2 . CC-219 C5-SC2 (Center Dr. ) 35,633. 00
3 . CC-253 C5-SC2 lining 31,161.56
4 . CC-262 C5-SC2 lining 178 ,873.50
$329 ,317.46
Expenditures requiring additional research:
1. Sher Ln. storm drain (March, 1966)
2 . Sher Ln. storm drain extension (August, 1969)
3 . Edinger Ave. storm drain
District 5-C has been "built out" , however, large partials remain
undeveloped in district 5 which will generate revenues at $2000/ac.
Additional channel work and storm drain installations will be required
in connection with this future development.
At the present time, no monies are available for payment and
future fees will most likely be directly absorbed into future construc-
tion. It seems that the subject agreement will be at the end of the
payoff line.

Jess Arujo Masonry Co. has submitted a figure of $11,658
to construct 1790' of block wall along the easterly boundary
Y r; of Tract 6181 adjacent to the channel. The retaining wall
portion varies inrheight, however it is to be constructed to
water surface elevations as designated by plans submitted
to us. Additional courses of 4" block will be added to bring
the final fence height to 6' above existing ground surface
" at property lines. This wall will eliminate the necessity of
a chain link fence and will reduce the cost of the channel
lining. The extra cost of this type wall over and above the
.: normal block wall we had intended to install is $,,966 or
__-$3-.33 per lineal foot. These prices are predicated on our
installing the retaining wall portion prior to your lining
the channel.

11 WHEREAS, Developer, at his own cost and expense, has
12 constructed a special retaining wall in the city of Huntington
13 Beach in conjunction with the development of the city-owned
14 C5-SC2 Drainage Channel as delineated on the Master .Plan Drainage

15 Study in Drainage Areas I,Ios . 5 and 5c, in conformity with plans ,
16 specifications and provisions approved by the Director of Public
17 Works of City , and in conformity with applicable ordinances of
18 City, and
19 Pursuant to ordinance, Developer is entitled to reim-
20 bursement of the costs and expenses of constructing; said retaining
21 wall ,
22 NOW, THEREFORE, in consideration of the premises and
23 agreements herein contained, the parties do hereby agree as
24 follows :
25 1 . Upon completion of the retaining wall hereinabove
26 described in accordance wit',,) plans approved by the Director
27 of Public Works and the acceptance of such retaining wall by
28 the city of Huntington Beach , Developer shall be reimbursed the
29 costs and expenses of construction of said retaining wall .
30 2 . The amount of reimburse:ient to Developer pursuant

17 uted to developers, individuals or entities that have previously

19 in proportion to the costs borne by each such developer, individ-
20 ual or entity .
21 5. Reimbursement, shall be made by the Finance Director
22 of City upon certification by the Director of Public Works as
23 the work progresses, to the extent that funds are available from
24 drainage fees collected as hereinal-ove provided.
25 6 . City shall not be liable for reimbursement by reason

26 of, City's failure to collect or receive from any developer, '
27 individual or entity any drainage fee . However, City agrees
28 that as an administrative, legislative or quasi-,judicial body, it g
29 will protect the interest of developers who have prevlously
30 constructed drainage facilities by collecting the drainage fees ,

area. City further agrees to furnish a copy of this agreement
2 to any subsequent developer of properties in the drainage areas .
3 7 . In the event City does not require a developer within
4 the drainage areas to deposit the drainage fee with the City,
5 subject to the limitation in Paragraph 4 , City will provide in
6 an agreement with said developer that developer is obligated not
7 only to the City but also to Developer who has previously' contrib-
8 uted to the cost of construction of drainage facilities within
9 the drainage area. Said agreement will further provide that in
. 10 the event it becomes necessary to institute legal proceedings
. 11 to enforce the rights of the -parties thereunder, the prevailing
12 party shall be entitled to reasonable attorneys fees , provided -
13 however, that the City shallrot. be required to pay the attorneys
14 fees for any of the parties . It is understood that City is not
15 required to institute legal proceedings to protect the interests
16 of Developer, but may do so .
17 8. In the event City must construct additional drainage
18 - facilities. within this drainage area, City may use funds avail-
19 able or be reimbursed from drainage fees collected i%ithin
20 Drainage Areas 5 and 5C for construction of said additional
21 drainage facilities prior to fulfilling this agreement .
