Dear Bill:
Reference is made to our letter of November 1 1 , 1977, regarding the
subject agreement. It has been brought to our attention that the drainage
fee paid was stated to be $215, 176.00. This figure was in error in that
the fee paid was $25, 176.00. Please excuse this error.

Family Home Builders
Dear Bill:
In August we requested approval from your office of the dollar value of
Master Plan Drainage Facilities constructed by Family Home Builders
in Huntington Street in order that credit could be made to the drainage
fee payment by the adjacent project (see attached letter). Sometime
thereafter in a conversation with Mr. John Wipple of your office, we
were advised that a credit toward fees would not be possible and a re-
imbursement agreement would be required due to some inter-city pro-
cedures. Since, Family Home Builders has paid the total drainage fee
obligation for the development $2,t 5, 176.00.
Last week we received the attached reimbursement agreement. It has
been our intent to request refund of the $3,384.35 cost of Master Plan
Facilities from the$215,176.00 fees paid to the City per the reimbursement
agreement. However, in reviewing the attached agreement we question
the fo l lowing points.
1. Page 1 - next to last paragraph - Refunds should be payable until
completely refunded. Builder should not be liable for refunds not made
in a five year period.
2. Page 1 - last paragraph - The City has previously refunded 100% of
cost. of Master Plan facilities considered in establishing the District
Drainage Fee. There doesn't appear to be any reason for the Builder
to pay 10% of the cost.
3. Page 2 - paragraph 3 - implies there will not be sufficient funds to
reimburse all agreements.
4. Page 2 - paragraph 4 - states "City may allow said developer credit
toward the per acreage fee . . 11 therefore, Family Home Builders

refund due by reason of its failure to collect the fee from another party
connecting to the facility, then the Builder could be liable in that they
would no.t get their refund. Since the City has the right to regulate
connections they should be the party liable for collecting fees and refund-
ing same.
6. Page 2 - paragraph 7 - public agencies should not be exempt unless the
facility connecting is only for the benefit of those in the district and
all who participate in the construction cost are refunded all cost over
their fair share.
7. Page 2 - paragraph 8 - If fees are collected from a project connecting
to or being directly served by the facilities-cons tructed by 8uilde►^ s =he
should be reimbursed. Any other use of the fees would be unfair to
Builder.
Since Family Home Builders can be reimbursed immediately from the fees
they paid, many of the above comments don't apply to this situation. How-
ever, we wish to receive your assurance that a refund will be made within
30 to 60 days following a written request for same accompanied by the
executed agreement.

conjunction with Tract 9578. ./

the project. If you desire to award the contract to anyone
other than the lowest. bidder, pleasA .indica'te your reasons.
After the project is completed, please contact me and I
will arrange a ,aeeting where we will discuss the cost differences
between an eightinch and the required sixteen inch . line;' Reim=
bursement will be :aide for ninety (90) percent: of...tlie difference
in accordance with Section 3454 (c) of the Huntington Beach Ordin-
ance Code.
Participation by the owner of the property on the west
ride of Brroo?:hurst will not be. required by the City. Such.
participation is required where the property is developed and
the line to be built will save such development or. where simul-
taneous development on both sides of a street occurs. Since
there are no foreseeable plans for such development . in• this- ca$e,.
the cost of the eight inch line will have to be born by' Covington.

In accordance with instructions stipulated in your letter

CONDITJONS OF PROPOSAL AND CONTRACT
1. MATERIALS: Unless otherwise specified in the plans and specifications, contractor shall have
the right to select all materials. When specified materials are unavailable, contractor shall have
the right to substitute for such specified materials other materials of equal or better quality.
2. ADDITIONAL WORK: Additions, alterations, or deviations shall be charged-to the owner at'cost
of labor and materials plus %. Labor shall be charged at S per hour and
materials at published price without discounts plus sales tax.
3. CONTRACT PAYMENTS: The contractor shall not be required to proceed with the installation of
the work if the payments applying on same.have not been,made as specified in the contract.
4. UNAVOIDABLE INTERRUPTIONS: It is Hereby mutually agreed that the contractor 'shall not be
held responsiblc or liable for any. loss,damage or..delay caused by fire, strikes, civil or.military
authority, or by any other causebeyond its control.
S. TRANSFER OF TITLE: If the customer shall enter into a sale or, shall sell, all, or any part of
the premises herein involved, the full amount remaining unpaid on this contract becomes due and
payable within 48 hours after date of such sale or agreement of sale at the option:of the'con-
tractor.
6. In the event any process of law is resorted to by the contractor to collect any monies due here-
under, the buyer agrees to pay all costs, interest, and attorney's fees incurred.
7. Title to any of the material sold or installed hereunder by the contractor shall remain in the con-
tractor until all the terns hereof have been complied with, and in the event such materials are
affixed to realty it is expressly understood and agreed that they shall remain personally subject
to removal as hereinunder provided, and further that the owner and/or buyer/or customer here-
by waives any and all claims.for.damage to said.realty of building caused by the removal of said
materials or any part hereof. i
8. Contractor reserves the right to`adjust all prices for any materials required for the work to be done
under this proposal and contract to its established prices in effect at the time of shipment or
delivery of materials to the job (provided that such adjusted prices shall not exceed applicable
maximum prices, if any, estobliished by Government authority.) Should construction labor rates be
increased prior to or during the performance of any work under this contract, contractor reserves
the right to charge and the owner or buyer or customer hereunder shall pay for the amount of such
increases paid by contractor plus pet cent ( 7i) for insurance.

10. Requirements of Governmental Building Codes or Officials of Governmental Building Departments,
not provided for in the plans and specifications, shall be considered as additional work and shall

(b)Subcontractor agrees to furnish, five(5) days in advance of any payment request, in form and text satisfactory to Contractor and the lending institution, receipts
for materials,material release waivers. labor releases showing that all costs of labor,materials.*equipment and other costs have been paid for in full.Where applicable, union benefit
trust payments in form and text satisfactory to the Contractor,shall be furnished as proof of payment of such benetifts to the local governing Union Trust.
(C)Liquidated Damages. Time is of the essence of this contract. Inasmuch as the amount of damages which Owner will suffer by reason of Contractor's breach of this
contract cannot be fairly or reasonably computed and ascertained,the parties do hereby agree that the sum of E--_-------per day shall become due and payable for each

Subcontractor and/or a third party or third parties,or against Contractor by Subcontractor and/or a third party or third parties,or if Contractor is made a party to ary such action•or it any
disputed matter arising out of this Contract is referred by the Contractor to his attorney for settlement,Contractor shall be entitled to receive from Subcontractor his costs and expenses in
connection with such referrals,action or actions,and attorney's fees in a reasonable amount,and if Contractor recovers judgment in any such action,such costs and expenses and attorney's
fees shall be included in any such judgment. - --
ARTICLE 5.CHANGES IN CONTRACT WORK.
(a)Subcontractor shall not be entitled to any additional compansntion for any extras unless the extras have been ordered in writing by the Contractor and the cost thereof to the
Contractor has been agreed upon in writing.Any extras furnished by Sub.contractor except In accordance with the foregoing will be so done at Subcontractor's sole cost and expense.
Contractor shall be entitled to omit from the work such portions of the work as Contractor may Soo fit,by instructions in writing to the Subcontractor.Contractor shall be entitled to deduct from
any subsequent payment due on account of the Contract Price,an amount equal to the reasonable value of such work omitted.
(b)In the event Contractor elects to add to or deduct from the work to be performed by Subcontractor,and unit prices are set forth on the face of this contract,then tho addition
or deduction to the Contract Price shall be based on the unit prices so Sol forth,and such unit prices shall include all items specified in Article 1,above,and all overhead and pfolit.
(c)Subcontractor agrees at no additional cost to Contractor to make any changes or modifications,ordered by Contractor,which do not mvolvo extra cost to Subcontractor.
(d)All clauses of this contract Shall apply to any changes.or extras in like manner and to the same extent as though said changes or extras were incorporated herein.
