Subject: Reimbursement Agreements
Tracts 6904, 6453 and 7421
Gentlemen:
This is in reference to an accounting of cost of off-site sanitary sewer
and water mains for the development of your properties in the vicinity of
Goldenwest Street. We wish to reach a final conclusion of fees versus off-
site cost of those lines previously constructed. Secondly, we wish to firm
up the policy of allowance of credit for future utilities required in your
development. /
1. Water
Please refer to your letter of July 18, 1968. You constructed a water
main in Palm Avenue from Goldenwest Street westerly to a point south of the
Clubhouse. We agreed that this would be reimbursable as an off-site line.
Your Exhibit "A" provided information that the refund should be in the amount
of $21.879.83. This is agreeable to this office.
You were allowed a credit of $3,294.60 for water fees in Tract 6904
reducing the credit to $18,585.23. This amount can be credited towards the
water fee ($150/acre) for the golf course which hk*s not been collected. Water
fees for Tract 7656, amounting to $2,314.20, are presently due.
2. Sanitary Sewer`s
Please 'rstix,�o,yoar letter of July 18, 1968. You constructed a sewer
line from the lvtfe";4ttlon of Orange Avenue and the alley east of Goldenwest
Street to the CtiAhouse. We agreed that a portion of this would be reimburs-
able (deducting the fa;Alities serving the Clubhouse only). Your Exhibit `19"
reflects a figure of $19,587.62 which is agreeable to this office.
You have been credited with sewer fees as follows:

Tract 6453 8,331.30
Tract 7656 4,628.40

The difference between the reimburse ount ($19,587.62) and the
credited fees ($19,548.90) amounting tp,138.72 i owed to you and�ca► be
credited to a future tract.
Regarding allowance of credit for off-site or oversize sewer or water
mains, our policy is that these utilities must be installed by the developer
and of a size to provide service for those areas being developed.x The connec-
tion fees, per the ordinance, are for the purpose of reimbursing the City for
' the cost of the present system and future replacements and extensions. In
other words, water and sewer mains to be constructed within your property to
accomodate development thereon will be entirely at your expense. If you are
required to construct lines off-site from your property or an oversize line
along the periphery, you will be entitled to a reimbursement. X .

Gentlemen:
This is with .reference to the .sewer .connection .fees applicable to Tract 7473.
You will recall that in a confirmation letter -from-Huntington Beach Company
to your office dated July 18, 1968, a reimbursable amount of $17,628.86 was
established for the Orange .Avenue .Sewer Extension which ,was .constructed'by
this Company. It is -our understanding -that this amount is approved by the
City and awaits only the execution of a .reimbursement agreement for final
confirmation. It is still .our intention to enter into .such.an agreement.
An amount .of .$3,141.75 from a-portion of the Tract 6904..sewer .fee has previously
been credited toward this -reimbursement, -leaving a balance of .$14,487.11.
This .letter is to .request that the Tract •7473 .sewer fee be credited against
the above-noted Muntington.Beach Company .sewer .reimbursement inasmuch as .the
sewer for this Tract will connect to that sewer system. If you are agreeable
to this .request, please advise the .actual amount of the credit.

This is with reference to the $6,589.20 sewer fee for Tract 6904 as
established in your letter of January 23, 1970, to R. M. Galloway
and Associates.
In a letter dated February 25, 1970, subject "Reimbursable Construction
Costs, Onsite and Offsite Sewer, Tract 6453", we submitted information
to establish reimbursable sewer costs for Tract 6453. We further
indicated that Mansion Properties, Inc. intended to apply for this reim-
bursement in its name and enter into a reimbursement agreement with the

6904 be credited against the balance of the Tract 6453 sewer reimburse-

Gentlemen:
This is with reference to the $6,589.20 sewer fee and $3,294.60 water
fee for Tract 6904 as established in your letter of January 23, 1970
to R. M. Galloway and Associates.
You will recall in a confirmation letter from Huntington Beach Company
to your office 'dated July 18, 1968 (copy enclosed) , reimbursable amounts
o.f,$17,906.93 for the Orange Avenue Sewer Extension, and $19,691.85 for
the Palm Avenue Water Main, both constructed by this company, were
established. It is our understanding that these amounts are approved by
the City and await only the execution of reimbursement agreements for
final confirmation. It is still our intention to enter into such agree-
ments.
This letter is to request that a portion of the Tract 6904 -sewer fee-
(that portion remaining after crediting the portion toward the Tract
6453 reimbursement due our subsidiary Mansion Properties,, Inc.) and the
Q�Tract 6904 water fee be credited against the above-noted Huntington Beach
Company sewer and water -reimbursements.

Gentlemen:
This is with reference to the onsite oversize and offsite sanitary sewers
installed by Lusk Homes-Huntington Seacliff for Tract 6453.
We are enclosing for your review an outline prepared by R. M. Galloway
and Associates which establishes the amounts proposed for reimbursement
for construction of these facilities. The oversize facilities were
installed to serve areas of the Huntington Seacliff Development to be
developed in the near future. A copy of the contract agreement between
Lusk Homes-Huntington Seacliff and the sewer contractor is also enclosed.
You will recall that the $8,331.30 sewer fee for Tract 6453 was credited
against this anticipated reimbursement and, therefore, was not paid to the
City. Your approval of the proposed reimbursement amount will leave a
balance refundable by the City toward which we will request, by separate
letter, a credit of a portion of the sewer fee for Tract 6904.
As a partner of Lusk Homes-Huntington Seacliff, Mansion Properties , Inc.
requests the City's approval of the enclosed figures. It is our intent
that Mansion Properties will then enter into an agreement with the City
to cover these facilities and reimbursements.

. THIS AGREEMENT made and entered into this 8th day of November
by and between Lusk Homes-Huntington 5eacliff , party of the first
part and sometimes hereinafter called the "Owner" and Plumbing Contractors 1r.
Sanitary Division party of the second part and sometimes hereinafter
called the ."Contractor"
WITNESSETH:
That the Owner and the Contractor for the consideration hereinafter provided
hereby agree as follows:
1. SCOPE OF WORK
The Contractor agrees to furnish all tools, equipment, apparatus , facilities ,
transportation, labor and materials necessary to perform and complete in a good
and workmanlike manner the installation of sewer and water mains and utility
trenching
and attached hereto and made a part hereof, and signed by the parties, to per-
form and complete said work, under the direction of the Owner or his authorized
agent, on such parcels of real property described as Tract 6453
situated in the City of Huntington Beach Orange County, all
in accordance with this Agreement, the regulations , specifications and require-
ments of the City, the drawings and specifications of the Owner and to complete
such work with the approval of the City securing thei.r final acceptance of the
work.
2. COMMENCEMENT AND COMPLETION
The Contractor agrees to commence the work herein on or before
and diligently prosecute the work called for in this
Contract maintaining the schedules established by the Owner, however, the work
shall be fully completed within 50 days from the date of this
Agreement. Time is of the essence hereof. Contractor shall coordinate the work
to be done by him with all other Contractors of the Owner.
3. CONTRACT PRICE
The Owner shall pay to the Contractors for the performance of the Contract the
amounts determined for the total number of each of the following units of work
completed at the unit price stated thereafter. The number of units contained
In this schedule are estimates only, and the final payment shall be made for
the actual number of units that are incorporated in or made necessary by the
Work' covered by the Contract. .

The Contractor shall not assign this Contract or any payments becoming due hereunder
without the written consent obtained in advance of the Owner, and any such purported
assignment not having said prior written consent shall be void. This Contract shall
inure to the benefit of and shall be binding upon any assignee of Owner.

Gentlemen:
This is with reference to the water main installed by us in Palm Avenue, extended,
in 1966 and the sanitary sewer installed by us in 1967 as an extension of the Orange'
Avenue sewer. You will recall from conversations and correspondence over the past
several months that these two facilities are intended to serve large portions of our
master-planned community, formerly called "The Twenty Third Street Project" and now
known as "Huntington Seacliff Development". Our intent, therefore, has been and still
is to dedicate these facilities to the City. It is planned to accomplish this in the
near future.
With dedication of these facilities to the City and upon execution of reimbursement
agreements between our Company and the City, we understand that our Company will receive
reimbursement of up to 90% of the construction costs from sewer and water connection
fees collected from developers who connect to these lines in the future. In view of
this, a meeting was held on July 16, 1968, attended by Mr. H. E. Hartge of,.your office,
Mr. J. K. Mandrell of R. M. Galloway & Associates,and Mr. R, A. King of our Company, with
the-purpose of establishing the construction costs which would be acceptable to the City
as reimbursable. It was our intent in requesting this meeting that the preparation of
the agreements at some point in the future would thereby be greatly simplified. We,
therefore, submit for your consideration the construction costs agreed upon at the meeting
and we request your confirmation of same. The summary of costs with supporting invoices
and comments are attached as Exhibit "A" for the water main and Exhibit "B" for the sewer.
We understand that the reimbursement agreements, as referred to above, normally would
carry a 5-year limitation. This causes us more than a little concern in that the
Seacliff Development is scheduled to be developed in phases over the next ten or so years.
It is quite possible, therefore, that portions of the area to be ultimately served by- the
subject facilities might not be developed by the time the 5-year agreement expires and we
would suffer the loss of reimbursements. We, therefore, request your consideration of

the below-listed alternate additions to the proposed agreements. Mr. Hartge indicated
that there was a good possibility of at least one of them being acceptable to the City
at the time the agreements are prepared.
1) Writing the agreements with a time limit greater than five years;
2) Writing the agreements with a clause allowing extension of the
5-year limit, should such an extension be required to fully realize
the expected reimbursements;
3) Writing the agreements so as to begin the 5-year period at the point
of filing the Tract Map covering the last portion of the Seacliff
area to be developed, or, possibly, the last area to be developed
which could be served by the subject facilities.
Although it might possibly be a little more difficult in administering over the years,
we tend to prefer alternate number 3 as fitting most closely within the intent of
Ordinances S-3454 and S-3545.

It was agreed that since this figure represented considerably greater
work than actually required for this particular section of sewer the
entire amount could not be included for reimbursement. However, it
was agreed that this section of sewer was sufficiently unique and a
greater than normal amount of engineering was required so that an
engineering figure of 10% was justifiable and would be allowed. It
was further agreed that on future development sewers tying to this line,
an engineering amount of 5% of construction cost would be allowed which
would take into consideration the overall sewer master planning work
already accomplished. This figure would be for a "normal" sewer
installation, assuming no unusual features such as pumping stations.

Gentlemen:
This is with reference to the sewer connection fees applicable to Tract 7656,
in the amount of $4,627.50.
You will recall that in a confirmation letter from Huntington Beach Company
to your office dated July 18, 1968, a .reimbursable amount of $17,628.86 was
established for the Orange Avenue Sewer Extension which was constructed by
this Company. It is .our understanding that this amount is approved by the
City and awaits only the execution of a reimbursement agreement for final
confirmation. It is still our intention to enter into such an agreement.
An amount of $3,141.75 from a portion of the Tract 6904 sewer fee has prev-
iously been credited toward this reimbursement. Additionally, in our letter
of December 16, 1971, we requested that the sewer fees for Tract 7473 be so
credited. We have yet to receive confirmation from your office nor the amount
of the fee. We believe, however, that there should be a reimbursement balance
well in excess of the Tract 7656 sewer fees. '
This letter is to request that the Tract 7656 sewer .fee be credited against
the above noted Huntington Beach Company sewer reimbursement inasmuch as the
sewer for this Tract will connect to that sewer system. If you are agreeable
to this request, please so ,advise.

No refund shall be made by City to Builder until the Director of Public
Works shall certify in writing, to the Finance Director that Builder is
entitled to a refund by reason of connection having been made to facilities
in accordance with the Huntington Beach Ordinance Code, and that City has
received the fee for such connection.
City shall not be liable for payment of refund by reason of its failure
to collect or receive from any person or entity the connection fee. However,
City agrees from an administrative, legislative or quasi judicial procedure
to protect the interest of developers, either individuals or entities, who
have previously constructed similar facilities, by the collecting fees, either
prior to or concurrent with the development, or any property served by the v
facility constructed under this agreement. If a developer who develops property
served by the facility constructed by Builder is required as a condition of
development to construct additional facilities, City may allow said developer
credit toward the per acreage fee consistent with this said agreement; and no
fees shall be due Builder by reason of such construction City further agrees
to furnish a copy of this agreement to the developer of any properties served
by the facilities described herein.
In the event City does not require a developer to deposit the connection
fee with the City prior to or concurrent with development, City will provide
an agreement with said developer that said developer is obligated, not only
to the City, .but to Builder, and to .developers who have previously contributed
to the cost of construction of facilities constructed hereunder to deposit
said fee with City; said agreement will further provide that in the event
that it becomes necessary to institute legal proceedings, either by the City .
or by Builder or developers, who have previously contributed to the cost of
such facilities, to enforce the rights of the parties thereunder, that the
prevailing party shall be entitled to reasonable attorney fees; provided,
however, that the City shall not be required to pay the attorney fees for any
of the parties.
