Pursuant to request we have examined certified copies
of proceedings taken for the issuance of bonds of the City of
Huntington Beach, California, in the amount of $860,000 and sale
to you of said bonds. We have also examined supplementary docu-
ments furnished us and executed bonds Nos, 230, 720 and 860 of
said issue. Said bonds are designated "Water Bonds, 1955" and
consist of eight hundred sixty bonds numbered 1 to 860, both
inclusive, of the denomination of $1,000 each, dated August 1,
1955, bear interest at the rate of 5-1/2% per annum on bonds
maturing in the years 1956 to 1962, both inclusive, at the rate
of 3% per annum on bonds maturing in the years 1963 to 1976, both
inclusive, and at the rate of 2% per annum on bonds maturing in
the years 1977 to 1980, both inclusive, all interest payable
annually for the first year and semiannually thereafter, and
mature in consecutive numerical order $30,000 on August 1 in each
of the years 1956 to 1958, both inclusive, and $35,000 on August
1 in each of the years 1959 to 1980, both inclusive.
From this examination we are of the opinion that the
proceedings have been taken in accordance with the laws and
Constitution of the State of California and that said bonds,
having been issued in duly authorized form and executed by the
proper officials and delivered to and paid for by you, consti-
tute the legal and binding obligations of said city and are
payable, both principal and interest, from ad valorem taxes
which, under the laws now in force, may be levied without
limitation as to rate or amount upon all of the taxable
property, except certain personal property, in said city.

The first annexation, was made under.the Uninhabited
Territory Act and took in certain, territory between the easterly
city limits and the Santa,Ana river. There were and are at the.
present time less than six registered voters in that area:
In 1950 the -city annexed certain ocean area known as the
Northwest Extension: There were then and now are no registered
voters in that territory.: This annexation is now in.litigation.
In 1951 the city annexed certain ocean area'known as
the Southeast Extension.. There was not at that time nor at the'
present time any.•registered.voters in the area. The Attorney
General has filed a quo Warranto action testing the validity of
the annexation but the complaint has not been served.

There is certain additional infortiati.on concerning your
report that we need to complete our work. We have listed our needs
below and would be most grateful if you would enter the information

1. Bond Funds m You have reported that bonds totalling
;�860,000 were issued by the city during fiscal 1956. Would you
please briefly describe the municipal purpose or purposes for
which these bonds were issued, and the amounts, if any, disbursed
from the bond proceeds during fiscal 1956.
Bonds were issued to finance the cost of bringing
Metropolitan Water to Huntington Beach. Amount paid
out fiscal year ending June 30,1956 was $685,510.93
2. Contributions to Retirement System - Would you please

We have issued our preliminary opinion cover-
ing the above entitled bonds. They may be delivered to
the purchasers as soon as arrangements can be made.
We enclose herewith three copies each of the
Signature Certificate and Treasurer's Receipt. The
Signature Certificate should be signed by the city
officers as indicated and left undated. The signatures
should be certified to by A.bank officer in the space
indicated.
The Treasurer or his deputy will come up to
Los Angeles bringing with him the three executed copies
of the Signature Certificate and the three copies of
the Treasurer's Receipt. In the Treasurer's Receipt
the amount of accrued interest (to be agreed upon with
the bank) will be filled in and the amount of the total
payment will be inserted in the indicated blanks. The
date of delivery will be inserted at the time the
Treasurer signs the receipt and receives the money.
The bank has done this many times.
Please be sure that two executed copies of
each of these documents are delivered to the bank at
the time of the delivery of the bonds.

you one copy each of the following items relating to
your water bonds:
1. Ordinance of issuance.
2. Resolution ordering sale.
3. Calendar for sale.
I believe the instructions on the calendar
are clear and that they require no explanation.
Your City Clerk or Administrative Officer
should prepare the financial data -relating to the
city and have one or more sheets which will show
the population, assessed valuation for the last five
years, amount of annual tax levy, copy of the latest
financial statement, and if the bonds are to be�paid
from the revenues of the Water Department some showing
as to what those revenues have been for the last five
years. He may want to call us for some suggestions
and we will be happy to assist him.
If you have any question regarding the
schedule please telephone or writ us at once.
