ASSIGNMENT OF LEASE
That we, SOUTHERN CALIFORNIA WATER COMPANY, lessees of that certain lease
dated January 1, 1961, entered into by and between SOUTHERN CALIFORNIA
WATER COMPANY, as the lessees, and MC CALLEN REALTY SYNDICATE, as the
lessors, covering the premises situated at 220 Main Street in the City of
Huntington Beach, County of Orange, State of California, do hereby assign
and transfer to the CITY OF HUNTINGTON BEACH, all of our right, title and
interest in and to said lease as of the below date.

Re: Main EXtension Refund Agreement
Dear Ralph:
As a result of your telephone conversation we have checked into
our contract of purchase with the Southern California Water Co.
and have determined the following:
The 1956 agreement for a 20 year amortization covers an invest-
ment of $61, 500.00, $17,825.34 of which has been paid leaving
a balance of $43, 674.66 as of December 31, 1962. Under our
purchase contract we find that the 1963 installments are the
obligation of the City of Huntington Beach and we are proceeding
to calculate the earnings for that calendar year, 22%, of. which
will be refunded to the Edison Company.
We appreciate your calling our attention to this. oversight and
we will proceed with payment in the very near future.

ESCROW INSTRUCTIONS
TITLE INSURANCE AND TRUST COMPANY:
on or before JanuarY: 3, 1964, 1 will hand you
$10225,0000 subject to possible adjustment as stated
below,, whieh you will deliver when you obtain from
Southern California Water Company for my account in fully
executed form the Bill of Sale, Deed and Quitclaim (the
"Deed") attached hereto,, and when you can issue your usual
form CLTA Owner's policy of title insurance with liability
not exceeding V0 on the real property
situated in the County of Orange, State of California, and
described as Parcels 1 and 2 in the Deed showing title
vested in the City of Huntington Beach, a municipal aorpo-
ration.
SMJECT ONLY TO (1) All taxes for the fiscal
year 1965-1964 and those matters referred to in the Deed
and (2) Covenants, conditions., restrictions and easements
of record.
The following matters are understood and agreed
between the parties heretot
(1) The above stated purchase price of
$1*225000 is subject to possible adjustment as provided
in the agreement referred to in Section 3 hereof. You
will be advised in Writing by the parties hereto as to
the amount of any such adjustment or that no such adjust-
ment is to be made.
(2) - General and special taxes and assessments
for the fiscal year 1963-1964 will be pro-rated through
the close of escrow*
(3) These escrow instructions shall in no way
modify the terms and conditions of that certain agreement
dated September 12, 1963, between the parties hereto pro-
viding for the sale to the City of Huntington Beach of
the properties or Southern California Water Company
described or referred to in the Deed. . This escrow is
entered Into for the purpose of carrying out said agreement
to the extent of the matters covered by these Instructions.
All the other terms and conditions of said agreement will
be complied with between the parties hereto outside of
this escrow,
GENERAL PROVISIONS
All funds received in this escrow shall be do-
posited with other escrow funds in a general escrow account
or accounts of Title Insurance and Trust Company with any
State or National bank, doing business in the state of
California and may be transfarredto any other such general.

made by check of Title Insurance and Trust Company.

Any commitment made in writing 'to Title Insurance
and Trust Company by a bank, trust company,, insurance
company, or building and loan or savings and loan assoe;i-

Company, be treated as the equivalent of a -deposit herein
of the amount hereof.
All adjustments to be rude on a basis of 30-day
