Ocean View Channel - Excess Land
OFFER. AND AGREEMENT TO PURCHASE REAL PROPERTY
SELLER: ORAINGE COUNTY FLOOD CONTROL DISTRICT, hereinafter referred to as "SELLER"
BUYER: CITY OF HUN INGTON BEACH, hereinafter referr'Ld to Gs "3UYFR"
BUYER offers to purchase the real property described and shown on Exhibit A., attached
hereto and made a part hereof by reference, for the sum of Forty-one Thousand Collars
($41 ,000) , hereinafter referred to as purchase price.
This offer is conditioned upon and made wish the understanding that:
1 . BUYER agrees not to withdraw this offer for a period of forty-fiife •(45) days com-
mencing from the date said offer has been delivered to SELLER'S GSA/Rea' Estate
Division.
2. SELLER shall consider this offer and accept or reject said offer within forty-five
(45) days from the date said offer has been delivered to SELLER'S GSA/Real Estate
Division.
:1. Should this offer be rejected by SELLER or should SELLER fail to. accept or reject
this offer within the time period set forth in Clause 2 above, BUYER may withdraw
this offer.
4. If this offer is accepted by SELLER, the purchase price adjusted in accordance
with Clause 8 below, hereinafter referred to as adjusted purchase price, shall be due
within sixty (60) days of acceptance of tzis offer by SELLER. Said adjusted purchase
price shall be delivered to SELLER'S GSA/Real Estate Division.
5. Upon acceptance of the offer by SELLER, and delivery of the adjusted purchase
price by BUYER SELLER'S uSA/P,eal Estate Division is authorized to do the following:
A. Hold the executed Grant Deed until said Division is in a position to request
recordation of thc, deed by First American Title Insurance Company in accordance
with R and C below.
B. Provide BUYER with a copy of the executed Grant Deed and obtain a certificate
of acceptance of the deed from BUYER.
C. After acceptance of the deed by BUYER, deliver the deed to First American Title
Insurance Company, Santa Ara, withinstructions to record the deed when they are
in a position to issue ;:heir standard owner's policy in the amount of $41 ,000.
Such policy shall vest title: in BUYER Gnu be subject to the exceptions shown in Pre-
liminary Title Report 1306386 dated October 6, 1980, attached hereto as Exhibit A,
and the fallowing reservation and restriction contained in the Grant Deed:
(1 ) "Reserving therefrom unto Grantor an easement for ingress and
egress for access purposes over the east 1£.00 feet of hereinabove
described land.

(2) "The grantee herein agrees to provide a gate or gates, not less
than twenty-five feet (25' ) wide, to allow ingress and egress from
Warner Avenue to District's flood control facilities on the north."
6. If SELLER is unable to deliver title as specified herein, BUYER shall have the
option to:
A. Accept title in the condition in which .it exists. Acceptance of such title
by BUYER shall constitute full satisfaction of the terms of this agreement as
they relate to title, and SELLER shall in no way be liable for its failure to
deliver title as set forth herein; or
B. Terminate this agreement by delivering .written notice thereof to SELLER'S:
GSA/Real Estate Division

Thereupon, all monies paid by BUYER to SELLER hereunder shall be refunded to BUYER,
and SELLER and BUYER shall be relieved of further obligation to one another. In
the event of termination as provided in this paragraph, all title fees incurred
shall be paid by SELLER, and BUYER shall not be liable therefor.
Neither Paragraphs 6A nor 6B hereinabove shall apply if SELLER delivers better title
than set out in Exhibit A.
7. BUYER, agrees to pay directly to First American Title Insurance Company the total
cost 'of title insurance or other charges which may be imposed by said company.
8. SELLER. agrees that BUYER will receive a credit of one-half of the appraisal fee
against the purchase price herein as follows:
Purchase Price $41 ,000
One-half of Appraisal Cost - 131250
Adjusted Purchase Price $39,750
9. BUYER is aware that the purchase of the subject property may constitute a subdi-
vision within the meaning of Government Code Section 66424 and that it may be. required
to prepare and file for record a parcel map pursuant to Government Code Section 66428.
BUYER agrees to be solely responsible for the preparation and filing of said parcel map
if required, and all costs thereof, and BUYER agrees to hold SELLER harmless with re-
gards to the cost of such separation and filing in the event that such is required of
BUYER or any successor in interest.
10. All documents, correspondence, and communications concerning this tran3action
shall be directed as follows:

Statement of Issue: u
On October 61 1980 Council directed staff to pursue acquisition of a
10, 280 square foot parcel of land which has been declared surplus by
Orange County Flood Control District.
Recommended Action:
Approve the attached agreement between the City and the County of Orange
to purchase the land for the proposed water well for $39,750. 00.
Analysis:
The attached agreement effectuates the purchase of the County surplus land
at the appraised fair market value of $41, 000, less one-half of the appraisal
fee- of $,2, 500, for a total purchase price of $39 ,750. 00. The site has been
determined to be a good location for the proposed water well.
Funding Source:
Water Division Capital Outlay Account No. 920901.

Statement of Issue:
Projected water demands indicate that an additional water well is needed.
Council approval is sought to purchase land, adjacent to a flood control
channel, from the Orange County Flood Control District.
Recommendation:
Purchase 10,280 s. f. of surplus land from Orange County Flood Control
District for $39,750 ($41, 000 appraised value less one-half of appraiser' s
fee: $2,500); . Said purchase subject to receipt of an acceptable prelimi-
nary title report.
Analysis:
A triangular-shaped piece of land with an area of 10,280 s. f. , adjacent
to the Ocean View Flood Control Channel, has been declared surplus by the
Orange County Flood Control District. The site is a good location for a
water well. An appraisal of the land was completed Sept. 17 , 1980 by '
Mr. Joseph A. Hennessey, Real Estate Appraiser, who states that the fair
market value of the land is $41, 000. 00.
Funding Source:
Water Division Capital Outlay Account No. 920901, leaving an account
balance of $139 , 000. 00.

Charles, attached is an executed copy of the agreement and a
resolution for sale of the above referenced parcel from the
Flood Control District to. the City of Huntington Beach.
We are also sending a copy of the executed Grant Deed from
the District to the City. We hereby certify that the attached
copy of the Grant Deed is • a true and accurate copy of the
executed original.
Please have the appropriate official -of the City accept the
Grant Deed on behalf of the City. Return the certificate of
acceptance of the Grant Deed to this office so that we may
attach it to the Original Deed and deliver to First American
Title Company per the agreement.
When you return the Grant Deed please include the purchase
price of $39 , 750 in accordance with Clause 4 of the agree-
ment. Your check for the above amount should be made payable
to: County of Orange, GSA/Real Estate Division.
