SUBJECT: VILLA WARNER STOCK COOPERATIVE
Pursuant to Mr. Belsito' s request, the Department of Development
Services has reviewed the permits issued to date on the Villa Warner
alterations .
Permits were -issued prior to ' the surfacing of information on the proposed
sale of the Villa Warner apartment project as a stock cooperative.
These permits were minor in nature and have not affected the non-conforming
status of the project, which I had previously outlined in a memo to the
City Attorney' s office on February 11, 1980 . This non-conforming status
is due to densities, deficiency in open space and apartment sizes, and
parking ratios .
• There has been to date no indication to this Department of the total
scope of the renovation which is proposed. However, pursuant to
Section 9716 of the Huntington Beach zoning code, additions or exterior
alterations shall not be made in any manner unless the alteration or
addition conforms in every respect to all applicable provisions of
Division 9 or unless by resolution of the Planning Commission such exterior
alterations or additions are allowed. It is possible that in the near
future the corporation will need a formal action by the `City . to allow
additions and/or alterations to this non-conforming apartment development
prior to total sell-out of the units, depending upon the scope of the
work proposed.
Attached herewith is a copy of a communication from the Attorney. 's office
addressing the subject of whether or not a subdivision map is required
to be filed on the complex prior to the conveyance of stock in the stock
cooperative, prepared and disseminated to the City Council at your
February 19 meeting.
As I have indicated to you in previous communications on this subject
matter, we will continue to keep the Council updated as new information
on this project surfaces .

BOARDS AND COMMISSIONS
Councilwoman Finley referred to the relationship between Council and boards and
commissions and stated that Council liaisons should be analyzed. Mayor MacAllister
concurred, stating that he believed Council should meet annually with the boards
and commissions.
FLEXIBILITY IN OPEN SPACE REQUIREMENTS FOR HOME ADDITIONS - MOTION TO RESEARCH
FAILED
Councilwoman Finley requested the Director of Development Services to look into
the flexibility in open space requirements for home additions. Considerable
discussion was held by Council and staff on the matter.
A motion was made by Finley, seconded by Pattinson, to request the Director of
Development Services to research flexibility in open space requirements for
home additions and report back his findings. The motion failed by the following
vote:
AYES: Pattinson, Bailey, Finley
NOES: Thomas, Mandic, MacAllister, Yoder
ABSENT: None
VILLA WARNER STOCK COOPERATIVE - ORDINANCE TO BE AMENDED TO INCORPORATE STOCK
COOPERATIVES UNDER THE SUBDIVISION MAP ACT
Councilwoman Finley referred to the condominium conversion ordinance and stated
that she hoped the present circumstances, as with the Villa Warner Stock Cooper-
ative, would not be repeated in the future. She inquired why Council had not
been aware of what was happening in the case of the Villa Warner convers.ions,
adding that the Coastal Commission was notified.
The City Attorney responded that the Villa. Warner Stock Cooperative appears to be .
one which is clearly exempted and grandfathered in and is not affected by recent
legislation which included stock cooperatives under the Subdivision Map Act. She
stated that in regard to the future, the Attorney's office recommends that if
Council so desires, the City's local ordinances should be modified to reflect that
the stock cooperatives are covered by the Subdivision Map Act and must go through
a certain procedure. With regard to condominium conversions, the City Attorney
informed Council that her office had grave concerns about the use of the current
Planned Residential Development ordinance for condominium conversions because it
seemed to look more toward new construction. rather than the existing residential
units.
Considerable discussion was held between Council and staff on the matter.
The City Attorney informed Council that as of January 1 , 1980, since the City
has no current local ordinance, any new stock cooperative which had been started
through the system prior to this date would be grandfathered in, however, any new
ones applying after that date, would be subject to the Subdivision Map Act,. but
it would be helpful to have it in the City' s local ordinance. It is, therefore,
the recommendation of the City Attorney's office that Council approve modification
of the existing ordinances to include stock cooperatives under the City' s procedure. ��

Councilman Mandic inquired whether there were any stock cooperatives in process
at the present time at State level , adding that he would appreciate a rapid response.
In regard to further regulations covering stock cooperatives, since the City does
not have a conversion ordinance for stock cooperatives, he inquired whether the —
City applied its Planned Development standards, which are stricter than a conversion
ordinance would be.
The City Attorney and the Development Services Director responded to the matter.
Considerable discussion was held between Council and staff and Councilman Thomas
expressed concern as to whether the Villa Warner Stock Cooperative would be obliged
to meet City codes in regard to parking and modifications. The City Administrator
responded that a report would be forthcoming from the Director of Development Ser-
vices on the process of reviewing this particular transaction in respect to inspection
permit requirements, etc.
Mary Miller, City, addressed Council in regard to the Villa Warner Stock Cooperative,
and stated that he mother had lived there for eight years, and along with many other
people, her life was being disrupted by the conversion. She pointed out that many
residents of Villa Warner lived on fixed incomes and many were senior citizens. She
referred to the financial arrangements which had been offered the tenants by the
owners. Discussion was held on the matter.
Tom Clark, Jr. , representing Villa Warner Stock Cooperative, explained the relocation
benefits w ich were offered to tenants of the Villa Warner complex, adding that
there was a full-time force of people to explain the benefits. Discussion was held
on the matter; it was determined that approximately $200,000 was being spent on re-
location of the renters, involving some 256 units.
A motion was made by Pattinson, seconded by Finley, directing the City Attorney to
return with modifications to the existing ordinance requiring stock cooperatives to
be incorporated under the Subdivision Map Act. The motion carried unanimously.
Further discussion was held regarding placing a moratorium on condominium conver-
sions, stock cooperatives and any other type of conversion factor which can be
built into taking people's homes away without due process through the City. The
City Attorney explained the situation and responded that she would have the answers
available together with information at the February 26th Council retreat.
VACANCY TO BE ADVERTISED - REDEVELOPMENT COMMISSION
Mayor MacAllister directed that the vacancy on the Redevelopment Commission be
advertised, pursuant to the Maddy Act.
GARFIELD/MAIN DRAINAGE SYSTEM - TO BE STUDIED
Councilman Thomas referred to the storm drain near the Foxx property, which is
pumped out by the City and suggested that a temporary line could be put across
the street so that the water could be run off into the storm drain. The Director
of Public Works responded that he would study the matter and submit a report.
Discussion was held on the matter.

. .. Mayor MacAllister commented .on the combined retreat and expressed his appreciation _
for the full attendance of Department Heads.
Following opening comments by the City Administrator, considerable matters of
-concern were discussed by Staff and Council .
Among problems addressed and discussed were: Improvement of prolonged labor re-
lations; a suggested Council./Staff,:committee be formed prior to negotiations;
Council fairness with Staff and other personnel ; the need for trust and respect:6r.- .
all ; improved communications; the need to address basic issues; positive attitUdesl
teamwork; budgetary problems-, with the need for direction from Council regarding;: , . .
increasing fees for services; eliminating self-supporting programs from the budget'.
prioritization .process; and the apparent lack of the ability to plan regarding
downtown development.
Following extensive dialogue, the suggestions were made that Staff and Council.. meet
on: a .regular basis, and that a Council/Staff sub-committee be formed to study
personnel and budgetary problems.
Councilwoman Bailey .stated =for- `the record .that the awards she planned to make at.
the next regular meeting.were not at City expense, and were to strets'. the impor-
tance'.of CPR training for everyone, and to honor all . paramedics.
Mayor MacAllister commented on the benefits derived by all in having a retreat of. .
this nature and determined that Council and Staff continue their dialogue on
Monday, March 10, 1980 at 7::00 �P.M.. in Room B-8.

P1EMORANDUM OPINION
STATEMENT OF FACTS :
The developer and prornotor , Seaborg , has obtained its final sub-
division public report for the Villa Warner complex on Septembier 7 ,
1979 to-. convert the apartment house .complex to_ a stock cooperative.
Seaborg submitted its application and paid its appropriate fee on
January _15 , 1979 . Seaborg f,ave written notice to its tenants to
amend its existing leases , and in said notice it stated that it was
selling individual units. This was perhaps misleading and Seaborg
has subsequently corrected it by mailing out another, notice. indicat-
ing that it is selling shares of stock. Seaborg is actually selling
membership certificates in a nonprofit corporation. association. The
association holds title to all buildings and the land.
QUESTION No. 1 :
In view of the above . information and the tinting fra.ne stated herein ,.
do you feel that Seaborg stock cooperative. conversion is a violation
of our existing regulations if they do not submit a tentative tract
map?

No , if in fact the conversion is a stock cooperative conversion.

Yes , Division 9 , Article 931 , Article 936 and Chapter 99 should be
amended to include stock cooperatives and stock cooperative con—
versions . Chapter 99 should also include condominiums and community
apartment projects. Articles 931 and 936 should be amended to make
it clear that it covers conversions as well as new construction.
ANALYSIS :
Senate Bill 823 includes stock cooperatives as being - regulated by the
>ubdivision Map Act. Senate Bill 823 is operative January 1 , 19H0.
As . to its effect on particular stock cooperative conversions , the
following summary applies:
1 . If' the city has an ordinance regulating stock cooperatives before
July 1 , 1979 , then that city ordinance is effective and not affected
by Senate Bill 823.
2. . If the city does not have an ordinance regulating stock cooperatives
before January 1 , 1980 , or before July 1. , 1979 if final public report
( white paper) is issued by the Departi.iernt; of Real estate before July 1�
1979 , then the city cannot regulate stock cooperatives.
Huntington Beach Ordinance Code Article 936 and Chapter. 99 do not
expressly mention stock cooperatives. The City of Huntington Beach
does not have any ordinance regulating stock cooperative conversions
or new construction which can be grandfathered by Senate Bill 823.
Stock cooperative is defined in the Business and Professions Code
Section 11003. 21 and it requires shares of stock and stockholders.
Seaborg is selling membership certificates together with the right
to occupy and possess a particular unit. What Seaborg has done is
set up a nonprofit corporation association. The association holds
title to the buildings and the land and sells membership certificates
to the tenants. In California , nonprofit corporations do not issue
shares of stock, therefore , Seaborg has issued and is issuing; member—
ship certificates. Are membership certificates the same thine; as
stock certificates so that the definition of a. mock cooperative in
Business and Professions Code Section 11003. 2 is satisfied? Can
there be a stock cooperat.lve without shares of stock? Vic have
written a letter to the California Department of Real Fstate and
posed tho above questions to them , asking; that they respond ar, soon
as possible.
