HomeMy WebLinkAboutWestern Economic Services, LLC - 2019-09-04 PROFESSIONAL SERVICES CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND WESTERN ECONOMIC SERVICES, LLC FOR PREPARATION OF 2020-2024 CONSOLIDATED PLAN FOR HUD PROGRAMS THIS AGREEMENT ("Agreement") is made and entered into by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and Western Economic Services, LLC, an Oregon Limited Liability Company hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to prepare the City's 2020-2024 Five Year Consolidated Plan; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: I. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference, These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates Robert M. Gaudin who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement, 19-7910/210665 agree/surfncdprofessional sves 50 to 100 05/19-204133 1 of 13 } 6 { f I I 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT i z 3 in the performance of this Agreement. 4 3. TERM, TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence on cx/ 2019 (the "Commencement Date"). This Agreement shall j automatically terminate three (3) years from the Commencement Date, unless extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than one (1) year from the Commencement Date. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. In the event the Commencement Date precedes the Effective Date, CONSULTANT shall be bound by all terms and conditions as provided herein. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed Forty Nine Thousand One Hundred Sixty Dollars($49,160). 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such work only after receiving written authorization from CITY. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS A. CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. B. To the extent that CONSULTANT performs "Design Professional Services" within the meaning of Civil Code Section 2782.8, then the following Hold Harmless provision applies in place of subsection A above: "CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY and its officers, elected or appointed officials, employees, agents and volunteers, from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) to the extent that the claims against CONSULTANT arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of CONSULTANT. In no event shall the cost to defend charged to CONSULTANT exceed CONSULTANT's proportionate percentage of fault. However, notwithstanding the previous sentence, in the event one or more other defendants to the claims and/or litigation is unable to pay its share of defense costs due to bankruptcy or dissolution of the business, CONSULTANT shall meet and confer with CITY and other defendants regarding unpaid defense costs. The duty to indemnify, including the duty and the cost to defend, is limited as provided in California Civil Code Section 2782.8. C. Regardless of whether subparagraph A or B applies, CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above- mentioned insurance shall not contain a self-insured retention without the express written consent of CITY; however an insurance policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that insurance has been procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY. 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 19-7910/210665 agree/surfnet/professional secs 50 to 100 05/19-204133 6 of 13 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 1 9-79 10/2 1 0665 agree/surfnet/professional sves 50 to 100 05/19-204133 7 of 13 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove)or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. CITY and CONSULTANT may designate different addresses to which subsequent notices, certificates or other communications will be sent by notifying the other party via personal delivery, a reputable overnight carrier or U. CONSENT When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. 18, MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. SECTION HEADINGS The titles, captions, section,paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all pants of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement, No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act 19-7910/210665 agree/surfilcuprofessioual Svcs 50 to 100 05/19-204133 9 of 13 I contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23, LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 19-7910/210665 agree/surfnetlprofessional Svcs 50 to 100 05119-204133 10 of 13 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California, 27. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terns of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. 28. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, 19-7910/210665 agree/surfnet/professional secs 50 to 100 05/19-204133 11 of 13 i promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this Agreement, and supersede all prior understandings and agreements whether oral or in writing between the pal-ties respecting the subject matter hereof. 29. EFFECTIVE DATE This Agreement shall be effective on the date of its approval by the City Attorney. This Agreement shall expire when terminated as provided herein. STATEMENT OF WORK: (Narrative of work to be performed) Consultant's work includes, but is not limited to, data collection, preparation of maps, surveys, and other citizen/agency participation opportunities, and preparation of the draft(s) and final Five Year Consolidated Plan. B. CONSULTANT'S DUTIES AND RESPONSIBILITIES: Consultant will utilize the eCon Planning Suite mandated by the US Department of Housing and Urban Development for the submission.of the Consolidated Plan. They will prepare and follow the project schedule, and provide the list of deliverables as identified within the proposal submitted May 14, 2020. C. CITY'S DUTIES AND RESPONSIBILITIES: The City will provide all information,documents and meeting venues necessary to carry out the tasks of creating and submitting a Consolidated Plan, including granting required access to HUD's IDIS system. D. WORK PROGRAM/PROJECT SCHEDULE: The deadline for submission of the Consolidated Plan is May 14, 2020. The proposed schedule is consistent with the needs of the Plan and is outlined specifically within the proposal, with activities generally occurring from August through April. We do not employ any other personnel, such as other consultants. Furthermore, WES will not use any subcontractors, nor does WES anticipate using any local resources. Ms. Brace was raised, educated, and began her career in Southern California and therefore brings to this set of tasks a solid knowledge of California Housing Element law. Nevertheless, led by Mr. Gaudin, yet managed by Ms. Brace, the skills, experience, reliability and resumes for all professional staff members devoted to the Consolidated Plan are presented below. Travel. Charges for time during travel are not reimbursable C. Billing 1. All billing shall be done monthl in fifteen (15) minute increments and matched to an appropriate breakdown of the time that was taken to perform that work and who performed it. 2. Each month's bill should include a total to date. That total should provide, at a glance, the total fees and costs incurred to date for the project. 3. A copy of memoranda, letters, reports, calculations and other documentation prepared by CONSULTANT may be required to be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 4. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such invoice shall: A) Reference this Agreement; B) Describe the services performed; C) Show the total amount of the payment due; D) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and E) For all payments include an estimate of the percentage of work completed. 1 Exhibit B Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 5. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 2 Exhibit B EXHIBIT B 6. WES Proposed Work Plan and Schedule WES has prepared this response as a response for work related to preparation of the Five Year Consolidated. The project descriptions and budget are uniquely identified. WES has done this so that the City of Huntington Beach can best approach its HUD compliance reporting and respond to the identified required analysis and evaluations. A. Purposes, Goals, and Objectives of This Research The overriding goals for the Consolidated Plan are very simple. We wish to produce housing and community development research and planning documents that have sprung from a City- wide collaborative effort that has drawn upon the diverse knowledge and experiences present in the City, uniting people around the same table and engendering a shared community vision. It will also contain measurable actions that can be implemented and monitored to ensure progress is made. Furthermore, the scope of work that WES is proposing has three main design parameters to aid in assuring the City of Huntington Beach of successful attainment of these goals. These are: surveys that guarantee respondent anonymity, an open and transparent process, and a strong blend of quantitative and qualitative analysis. The Guarantee of Anonymity, as part of the survey process, is designed to foster trust, allowing people to feel open and expressive about where they see difficulties, complications and nuances within the housing and community development arena. These feelings, opinions and expressed preferences will only be reported anonymously. Building a cooperative team, encompassing the broad array of opinions and differing feelings within the community, and respecting diversity are absolutely imperative. The Open and Transparent Process associated with all the contract activities, but especially the additional public input and public involvement opportunities, is designed to bring both providers and consumers of housing and community development activities to the table in a non- threatening environment, one lacking any judgmental overtones. Our emphasis is to build a constructive setting, exchanging information and experiences and engendering a team spirit, one that works toward building consensus about the city's housing and community development needs. With a neutral yet exploratory tone, the process emphasizes consensus building and reaching conclusions together as a team. The Blend of Quantitative and Qualitative Analysis represents our best efforts to build only the most balanced, even and strong cases relating to housing and community development needs. Both analytical approaches will be used to reinforce each other, thereby avoiding wishful, unsupportable or inflammatory pronouncements. These scientific approaches will be used to bridge differences in perceptions and focus on measurable goals and identifiable objectives relating to building a viable community future. B. Consolidated Plan Task Discussion The philosophical approach that HUD wants jurisdictions to adopt in the development of the Consolidated Plan can be summarized as one in which needs flow logically from both quantitative and qualitative analysis to specification of desired strategic goals. The Tasks to be Performed for the Consolidated Plan Western Economic Services, LLC, national leaders in this type of work, will be addressing all components of the project requirements, as described herein. To efficiently deliver services, a few components of the previous Consolidated Plan will be incorporated, as they will require minor modification, while other parts of the Five-Year Consolidated Plan and First-Year Annual Action Plan will demand significant research effort to create. Furthermore, continuing emphasis will be placed on integrating performance measures in the planning process. Attaining these requirements encompasses a wide variety of analysis and tasks, with both primary and supporting roles for WES, as described in this proposal response. WES envisions this work as potentially shedding new light on housing and community development topics, possibly uncovering new and pressing issues. In our research activities, a significant amount of new data will be created, addressing current and emerging problems. WES will highlight trends in affordable housing development, complexities encountered in residential rehabilitation, changing demands in community development and prospective gaps in the ability to deliver housing and economic and community development services, among other important considerations. WES will conduct an online survey of stakeholders, which will solicit input on housing and community development needs. Hence, WES will address all components of the project requirements described herein, such as: • Working closely with the City to refine and further develop this work plan including the Housing Market Analysis, the Housing and Homeless Needs Assessment, the Non-Housing Community Development Needs Assessment, the Strategic Plan, and populating the IDIS eCon Planning Suite data elements. • Conducting all research and analysis, fulfilling HUD's requirements for very detailed aspects of the planning process. WES has previously prepared a Consolidated Plan using the IDIS eCon Planning Suite for the many jurisdictions; consequently, WES is familiar with the limitations and operational challenges faced with the use of that particular software application. • Holding progress review meetings and Webinars with City staff as well as submitting progress review memos following each of those meetings until the Draft Consolidated Plan for Internal Review is submitted. This ensures that the City is continuously appraised of the Consolidated Plan development process. • Carefully coordinating the needs assessment and five-year strategies, and creating the goals and objectives, as well as any subsequent measurement criteria to align smoothly with the Annual Action Plan. This will ensure that the projects selected for funding are consistent with the Plan's priority ranking and strategic objectives and project scoring criteria. • Providing a Preliminary Draft Five-Year Consolidated Plan for internal staff review, a Draft Consolidated Plan for Public Review and a Final Report. The report will contain an Executive Summary and will also have more detailed information that addresses the plan development process and citizen participation, the socio-economic profile of the City, the housing market, and priority needs for housing, homeless and non-housing community development activities. WES envisions the Consolidated Plan proceeding methodically, while beginning in August, 2019 and concluding with the submittal of the final plan to the City by May 1, 2020. The Five Steps in Creating The Five-Year Consolidated Plan This process and development of the entire Consolidated Plan will proceed in five phases. Phase I starts with an Orientation Meeting to confirm our respective responsibilities, the schedule and product deliverables. During Phase I, we will also review and finalize a few pieces of information, such as the Citizen Participation Plan and the Housing and Community Development Survey. WES also will receive some data from the City, such as the most recent Continuum of Care homeless count. Phase II represents data collection and analysis, including periodic progress review meetings or Webinars with City staff. This phase will include evaluation of economic, demographic and housing information. WES also will collect and evaluate special census tabulations of data required for the Consolidated Plan. It will incorporate the required housing market analysis, needs assessments, and evaluation of special populations. WES will complete preparation of an Internet-based survey, the 2019 Housing and Community Development Survey. This will be an invitation based survey, distributed via email by the City. In the spirit of encouraging citizen involvement, WES is proposing Option I — Four Stakeholder Meetings/Webinars. This task will be designed to have WES meet with interested experts and discuss housing or community development needs as well as overcoming barriers and constraints to addressing these needs. These meetings are intended to be scheduled approximately monthly. These will also be audio recorded and transcripts will be provided, along with the audio recording. The City may also select Option II — Three Focus Groups, having WES facilitate a needs discussion among three expert groups, such as homeless, economic development, or affordable housing and address the challenges and prospective solutions to these needs in Huntington Beach Phase III incorporates the preliminary quantitative and qualitative findings from Phase II and offers them to the public in two Community Meetings. This enables more opportunities for people to attend and communicate their perspective and commentary. This phase incorporates the public input and begins development of the preliminary strategies and performance measurement issues associated with the Five-Year Housing and Community Development Plan. Phase IV represents the preparation of the Five-Year Consolidated Plan, Draft for Internal Review. It incorporates the findings with internal strategy sessions, prioritizing needs and developing strategies to address the needs, along with identification of measurement criteria. Projects that have been selected for engagement by the City are inserted into the Annual Action Plan at this time. Phase V concludes the project. WES then will provide a Draft Report for Public Review, attend and make a presentation at a Public Hearing for the Consolidated Plan, receive comments from the City about that draft and then submit to the City the formal Final Five-Year Consolidated Plan in Word or pdf formats by May 1, 2020, with the IDIS version of the eCon Plan that is ready to be uploaded to HUD. C. The Consolidated Plan Detailed Work Plan The following proposed Consolidated Plan Detailed Work Plan is structured in an outline format, describing details about consecutive steps, analysis, and methods, as well as results and deliverables. The primary emphasis is to concretely document the research and development of product deliverables that accompany our proposed fixed price budget. NWESTERN ECONOMIC SERVICES, LLC Huntington Beach Consolidated Plan 3 Proposal Response:July 29,2019 Phase I: Orientation 1. WES will initiate organization and preparation of work quickly after execution of the contract, expected to occur soon, with the Consolidated Plan being initiated in August 2019. 2. WES and the City will meet to conduct an Orientation Meeting. The meeting has the following purposes: a. Exchange information; discuss the content, tone, analysis methods, expectations and schedule of deliverables. b. WES and the City will discuss the tone and content desired in the Community Meetings. WES and the City will address the size and recruitment process for the meetings. WES will be responsible for all meeting and presentation materials, as well as facilitating the discussion of the issues. WES will audio record the discussion and prepare meeting minutes of the comments and discussion matters. c. WES and the City will discuss Option I and Option II, if selected by the City. d. There may also be a presentation of the formal completed plan, when available. e. WES and the City will select tentative dates for these meetings at the Orientation Meeting. f. WES will present a printed copy of the draft Housing and Community Development Survey and the respective e-mail announcements of the surveys. WES anticipates receiving input about the survey at this meeting. The City will be asked to distribute the e-mail announcements to all parties. The announcements will urge all participants to route the survey to any other interested parties for participation in the survey. g. WES and the City will review and set tentative dates for the other progress review meetings, webinars, public hearing, and other meetings that may arise. 3. Within three days of the Orientation Meeting, WES will submit the first progress review memo. It will document the tone and content of the meeting, as well as any understandings shared at the meeting. Progress review memos will follow approximately bi-weekly thereafter as they relate to work conducted on the Five-Year Consolidated Plan. Phase II—Data Collection and Analysis 1. WES will receive the agency survey list and inspect and modify this list, if necessary. WES will then submit the e-mail announcement for processing. This announcement will have a link embedded in the announcement. If clicked upon, the survey respondent will be routed to the first page of the survey. If desired, WES can make a friendly formatted printed copy available for distributing at the various meetings. 2. WES will extract pertinent other economic, demographic and housing data from the 2010 Census, 2017 ACS, and intercensal estimates through 2018, if available. 3. If Option I — Four Stakeholder Meetings/Webinars were selected by the City, WES will conduct the first of these events. 4. If Option 11 — Three Focus Groups were selected by the City, the City will secure space for these meetings and WES will facilitate the group discussions, to occur over a one-day period. 5. WES will offer perspective on trends seen in the data. Key data elements are: a. Population, and households by tenure and average household size by tenure; b. Percent of income spent on housing by tenure, including cost burdens; d. Median rents and home values; e. Rental and homeowner vacancy rates; f. Total number of housing units, by type of unit; g. Units with incomplete plumbing or kitchen facilities; and h. Degree of overcrowding and severe overcrowding in the units. 4. WES will extract pertinent economic, demographic, racial composition, ethnicity and age cohort data from the 2010 Census and 2017 American Community Survey (ACS). Key data elements are: a. The number of households having less than 30 percent Median Family Income (MFI), 31 to 50 percent MFI, 51 to 80 percent MFI, 81 to 95 percent MFI, and all above 95 percent MFI. These data will have been adjusted for family size for the City of Huntington Beach. These data will be further segregated by owner and renter households, and then by elderly, small and large renter households; b. The number of persons, by race and ethnicity, and the racial and low-income concentrations; c. Age cohorts of the population, with particular attention paid to the elderly and frail elderly populations; d. The number of disabled persons in three age groups (5 to 15, 16 to 65, and over 65) as well as persons having certain types of disabilities; e. The number of households experiencing housing cost burdens will be drawn from the number of households spending from 30 to 50 percent of their income on housing, with severe cost burdens for those spending more than 50 percent of their income on housing, as expressed in the 2017 American Community Survey data. 5. WES will prepare at least five geographic maps that focus on Census tracts: a. Minority racial concentrations; b. Hispanic ethnicity concentrations; c. Low-income concentrations; d. Median gross rent; and, e. Median home value. 6. WES will begin analysis of the lead-based paint hazards, quantifying the prospective risks of rental and homeowner units within the City. 7. WES will evaluate all returned surveys and process the database. 8. WES will analyze the building permit data over the 2010 through 2017 period as it relates to single-family, duplexes, tri- and four-plex buildings and multifamily structures with five or more units. Value of single-family new construction will be developed over this same time period as well. 9. WES will collect available labor force, employment and unemployment statistics (for the City). These data will span at least the 2000 through 2017 time period, with preliminary data for 2018 appearing as monthly information, if available. 10. WES will collect Bureau of Economic Analysis information describing full- and part- time employment over the period 1990 through 2017. This information will also include real average earnings per job, per capita income, dividends, interest, rental income and total personal income over the same time period (available at the county level only). 11. WES will prepare a Power Point presentation and facilitation materials for the two Community Meetings. WESTERN ECONOMIC SERVICES, LLC Huntington Beach Consolidated Plan 5 Proposal Response:July 29,2019 Phase III—Housing and Community Development Needs Assessment 1. WES will compile and analyze the survey. 2. WES and the City will conduct a progress review meeting. 3. WES will begin drawing inferences from all previous quantitative and qualitative analysis of data. These data are to be several types of information. Some are: a. Housing market conditions; b. Barriers identified by respondents to the surveys; c. Perceived needs for special services for in-need populations; d. Perceived needs for new and rehab housing; and e. WES will develop a summary for the preliminary findings from the surveys of interested stakeholders. These findings will address degree of need for affordable housing and housing related services as well as non-housing community development activities, comprising such things as: • Quantitative findings presented in tabular and graphic forms, • Qualitative findings presented as itemized lists of expressed needs, • Other issues will also be identified and listed, such as expressed barriers to affordable housing, homeless services available or desirable, or how to counteract the effects of NIMBYism, and issues surrounding community development actions. 4. WES will summarize the results of work conducted to date and submit the information as a progress review memo. The information contained therein, along with other data collected for the Consolidated Plan, will form the basis for the Community Meetings. 5. WES will begin developing the PowerPoint presentation. 6. WES will make up to a 60-minute PowerPoint presentation to be offered at the six Community Meetings. Similar to other meetings, audio recordings will be made and transcripts will be provided to the City. 7. WES and the City will hold a debriefing session following the last meeting to discuss input, strategies, needs and prospective performance measurement approaches to be used in the Five-Year Consolidated Plan. 8. WES will then submit a progress review memo of these concepts, notions and issues, as well as all shared understandings and agreements. Phase IV—Five-Year Housing and Community Development Strategic Plan I. WES and the City staff will have had a strategy meeting. The purpose of this meeting, or teleconference, is to verify preliminary findings that will be released with the draft report, including priority needs, strategies, objectives and related issues. a. WES anticipates holding this strategy session with City staff to facilitate review and assignment of priorities to identified needs. b. WES will further facilitate discussion of strategic objectives and measurement criteria. 2. WES and the City will agree upon strategic objectives, goals and performance measurement criteria, which will likely become central to the five-year portion of the Plan. 3. Some discussion and agreement about tactics useful for achieving the objectives will also be addressed and reached. The topics will include: a. Housing and community development needs and suggested prioritization schemes; WESTERN ECONOMIC SERVICES, LLC Huntington Beach Consolidated Plan 6 Proposal Response:July 29,2019 b. Strategic goals and objectives; c. Other criteria to measure progress toward attainment of strategic goals; d. A statement about the geographic allocation of resources; e. Enhancing coordination among the City's program activities; f. Reduction of barriers; g. WES and City staff will review the selection of projects being implemented in the Annual Action Plan, which should include program resource amounts, the geographic distribution of the projects, activities planned to address homeless and transitional housing needs, and other project actions, and any public housing improvements or resident initiatives, if available. 4. WES will begin preparing the Draft Consolidated Plan for internal review. The document will meet the standards established by HUD. Phase V—Draft Reports,Public Review, and Final Consolidated Plan 1. WES will incorporate all previous data, analysis, needs assessments and evaluation of strategic objectives and submit a Draft Five-Year Consolidated Plan for Internal Review. a. The document will include an Executive Summary. b. The Consolidated Plan will also contain a more detailed discussion of the current socio-economic context, the housing inventory, the housing market, the housing and homeless needs assessment, the non-housing community development needs assessment, the strategic plan, the Citizen Participation Plan, public comments received on the Plan, measurement criteria, and other reference data and narratives. 2. WES is to receive comments back from the City soon thereafter. WES will then prepare the Draft Five-Year Consolidated Plan and Annual Action Plan for Public Review. 3. WES will attend and make a presentation at a public hearing for the Consolidated Plan. 4. WES will receive final comments about the Five-Year Consolidated Plan from the City soon after the close the public review period. WES will then submit the Final Consolidated Plan for Housing and Community Development to the City by May 1, 2020. 5. The City will add the Form 424s for each program, along with the proper signatures, certifications and monitoring procedures for final submittal to HUD by May 1, 2020. D. Property or Services Furnished by the City of Huntington Beach The following itemizes the property or services anticipated from the City of Huntington Beach. D.i. Property or Services Furnished by the City of Huntington Beach The following items are to be provided to WES by the City: 1. E-mail list of in-need service providers, organizations, interested individuals, advocacy groups, for-profit, non-profit, and government agencies, bankers, lenders, Realtors, property managers, and other entities that provide or are interested in housing and community development services. This list is to include agencies, organizations and interested parties that may be considered stakeholders in the Consolidated Planning process. The list can be of any size and is herewith termed the "agency survey list." It will be used for gathering information for the Consolidated Plan and Analysis of Impediments. Housing builders and developers; b. Non-profit and agency housing providers; c. Local government representatives, such as those involved with building codes, zoning, planning and related issues; d. Once selected, the City will need to provide individual project pages, indicating the matrix codes and other pertinent data for the Annual Action Plan. 4. The following services are to be performed by the City: 1. Selection, acquisition and coordination of all public meeting places for the focus groups, public input meetings and public review meetings. We do not employ any other personnel, such as other consultants. Furthermore, WES will not use any subcontractors, nor does WES anticipate using any local resources. Ms. Brace was raised, educated, and began her career in Southern California and therefore brings to this set of tasks a solid knowledge of California Housing Element law. Nevertheless, led by Mr. Gaudin, yet managed by Ms. Brace, the skills, experience, reliability and resumes for all professional staff members devoted to the Consolidated Plan are presented below. Mr. Gaudin has worked extensively for and with the private and public sectors for nearly 40 years, from advising officers of large companies to aiding junior employees of small government entities. This broad experience with how both private industry and public sector planning is started, designed, implemented, and completed adds great value to the projects he oversees. His expertise in economic and demographic research, housing market analysis, modeling and forecasting, and strategic planning all aid in delivery of both creative ideas and innovative solutions that impart long-lasting enhancements to housing and community development projects. His understanding of salient issues and institutional barriers exemplifies his ability to fulfill the needs of the communities he serves. Mr. Gaudin has lead responsibility for the housing market evaluations, such as Housing Profiles, Consolidated Plans, needs assessments, Analysis of Impediments to Fair Housing Choice, and many other housing, economic, and demographic studies conducted by WES for both private and public sector clients. Mr. Gaudin has been preparing Consolidated Plans AIs for the entire operating history of the firm. Mr. Gaudin's comprehensive awareness of housing and community development issues allows broadly based but focused solutions to complex circumstances. His understanding of a myriad of technical details permits the merging of theory with realism. Since establishing WES more than 32 years ago, Mr. Gaudin has enjoyed a loyal customer base due to his high ethical standards, his commitment to excellence, the trust and rapport shared with clients, and the results provided over the years. Mr. Gaudin's consulting qualifications pertinent to housing and community development evaluations include design, stewardship, analysis, document preparation, and presentation of most studies conducted by WES. When HUD's Consolidated Plan requirements were first introduced, Mr. Gaudin led development of one of the nation's first AFHs and respective Consolidated Plans for Housing and Community Development, including the detailed planning requirements contained within the housing market and needs assessment. Mr. Gaudin is the authorized representative of WES and is able to confer with chief elected officials and policy administrators on housing issues identified by WES, as well as represent clients before print and video press. Each Action Plan was constructed using the IDIS eCon Planning Suite, specifying the goal outcome indicators for projects that the County selected to conduct in the Annual Action Plan, as well as aligning projects with five-year goals and outcomes. The County's second and third year Action Plans have been approved by HUD, and the fourth year Action Plan has been submitted for review. Each CAPER was completed using IDIS, utilizing the eCART for ESG data uploads for the County's first and second program years. Both of these plans were approved by HUD without revisions. City of Palm Desert, California In early 2018, the City of Palm Desert, California, hired WES to prepare its Five-Year Consolidated Plan and Annual Action Plan. The Consolidated Plan was constructed using the IDIS eCon Planning Suite. The project included analysis of survey data, both quantitative and qualitative evaluations, and a complete assessment of the housing and community development sectors for the City, as well as a final presentation to City Council. It included preparing the Annual Action Plan and specifying the goal outcome indicators for projects that the City selected to conduct in the Annual Action Plan. The plan has been submitted to HUD. Los Angeles County, California, Community Development Commission In 2007, 2012 and again in 2017, the Community Development Commission (CDC) of the County of Los Angeles selected WES to prepare the County's Five-Year Consolidated Plan for Housing and Community Development. While the County of Los Angeles has approximately 10 million people, the LA Urban County, comprising 49 participating jurisdictions and the balance of the unincorporated areas in the County, are home to 2 million people. The entire Consolidated Plan covered demographics, economics, and special needs populations, housing was a key part of the plan. The housing market analysis addressed a 25-year housing forecast, by tenure and income. It also evaluated current building trends, assessed the current housing stock, addressed the current mortgage market and the degree of subprime lending activity, and interpreted the qualitative needs expressed in the Resident Community Survey. This particular citizen input represented the evaluation of some 3,314 resident surveys received during development of the Consolidated Plan, with the survey being distributed at public meetings, mailed to selected stakeholders and posted on the CDC's Web site. Several focus groups were also conducted, one of which related specifically to the need for housing. The LA County Consolidated Plan includes the HOME Program. These efforts included populating the eCon Planning Suite for the County. The plan was accepted by HUD. The City of Augusta, Georgia,Housing and Community Development Department The City of Augusta is located about 150 miles east of Atlanta. With nearly 200,000 people, the City selected WES to prepare its Al in 2008, 2013, and again in 2019. This Al entailed evaluation of demographic, economic and housing statistics from the Census Bureau, Bureau of Economic Analysis, the Bureau of Labor Statistics and related agencies. It also collected fair housing complaints from HUD and the Georgia Commission on Equal Opportunity. RECITALS A. In order to receive federal housing and community development grant funding for certain programs, the United States Department of Housing and Urban Development (HUD) requires the City of Anaheim to prepare a Consolidated Plan in consultation with those intended as the primary beneficiaries of those HUD programs, the community at large, adjoining jurisdictions, the nonprofit and for-profit sectors, and faith-based organizations. The City previously issued a Request for Proposals (the "RFP") seeking proposals from qualified firms to assist the City with the preparation of the 2020-2014 Consolidated-Plan, which must be submitted to HUD or before May 15, 2020 for review and approval. A copy of the RFP is on file in the Department of Community and Economic Development of the City of Anaheim and is incorporated herein by this reference. B. In response to the RFP, Consultant has submitted a response dated May 28, 2019 (the"Proposal")to respond to the City's need,which Proposal is on file in the office of the Director of Community and Economic Development Department and is incorporated herein by this reference. C. The contract documents consist of this document, the RFP and the Proposal. The RFP and the Proposal are deemed to be a part of this Agreement by reference. In the event of any inconsistencies, discrepancies or conflicts among or between any of the contract documents which make up this Agreement, the following shall control: (a) Any duly executed amendment to this Agreement, with execution date to control as between conflicting amendments such that the more recent amendment shall govern all those prior; (b) This Agreement(including the Exhibits); (c) The RFP; and, then, (d) The Proposal. 2.3 Time for Performance. Time is of the essence in the performance of this Agreement. Consultant shall perform and complete all services as may be requested pursuant to Section 2.2 hereof in a timely and expeditious manner. Consultant shall perform such services in accordance with those schedules which Consultant and the City may mutually agree to as to any particular study,job or analysis. Consultant shall not be responsible for delays caused by circumstances beyond its reasonable control, provided that Consultant has delivered to the City written notice of the cause of any such delay within ten (10) days of the occurrence of such cause. 2.4 Compliance with Law. All services rendered hereunder shall be provided in accordance with all ordinances, resolutions, statutes, rules, regulations and laws of the City of Anaheim and any Federal, State or local governmental City of competent jurisdiction. 2.5 Licenses, Permits, Fees and Assessments. Consultant shall obtain, at Consultant's sole cost and expense, such licenses, permits and approvals as may be required by law for the performance of the services required by this Agreement. Consultant shall have the sole obligation to pay for any fees,assessments and taxes,plus applicable penalties and interest,which may be imposed by law and which arise from or are necessary for the performance of the Services required by this Agreement. 2 2.6 Nondiscrimination. Consultant agrees not to discriminate against any person or class of persons by reason of sex, color,race, creed,religion, marital status, handicap, ancestry or national origin in its provision of services. To the extent this Agreement provides that Consultant offer accommodations or services to the public, such accommodations or services shall be offered by Consultant to the public on fair and reasonable terms. 2.7 Familiarity with Work. By executing this Agreement, Consultant represents and warrants that Consultant (i) has thoroughly investigated and considered the Services to be performed, (ii) has carefully considered how the Services should be provided, and (iii) fully understands the facilities, difficulties and restrictions attending the provision of the Services under this Agreement. Should the Consultant discover any latent or unknown conditions materially differing from those inherent in the provision of such Services or as represented by the City, Consultant shall immediately inform the City of such fact and shall not proceed except at Consultant's risk until written instructions are received from the City. Section 3. Term. The term of this Agreement shall commence on August 1, 2019, and shall terminate on August 1, 2020,unless sooner terminated as provided herein("Term"). Section 4. Compensation. 4.1 Amount of Compensation. It is understood by and agreed between the Parties to this Agreement that full and complete payment for all Services provided in accordance with this Agreement, including sub-consultant fees, if any, and reimbursable expenses, shall not exceed Sixty Four Thousand Eight Hundred Eighty-five dollars and no/100 AND NO/100 DOLLARS $64,885.00 ("Maximum Compensation"), without the prior written authorization of City. City agrees to pay, and Consultant agrees to accept, as full compensation for Consultant's services, compensation at the hourly rates for the positions shown on Exhibit A attached hereto and ........ ...... incorporated by this reference herein. 4.2 Billing and Payment Procedures. Consultant shall present monthly itemized invoices for Services performed during the previous monthly period to the City. Each invoice shall state the date the Services were provided and the number of hours spent providing the Services. If requested by the City, Consultant shall present additional documentation evidencing the provision of Services satisfactory to the City. The City agrees to approve or disapprove Consultant's invoice and/or additional documentation, as the case may be, within ten (10) days after the City's receipt of the invoice and/or additional documentation. The City agrees to pay the Consultant for work satisfactorily performed and expenses properly incurred within thirty (30) days after the City's approval of a statement from the Consultant describing such work and expenses. The City shall not be responsible to pay Consultant for any Services or expenses in excess of the Maximum Compensation. Consultant shall notify City in writing when seventy-five percent(75%)of the Maximum Compensation has been reached in any fiscal year during the Term of this Agreement. 3 Section 5. Coordination of Services. 5.1 Representative of City. The City's Director of Community Development, or such person's designee, (the "Director") shall represent the City in all matters pertaining to this Agreement. Whenever a reference is made herein to an action or approval to be undertaken by the City, the Director is authorized to act unless this Agreement specifically provides otherwise or the context should otherwise require. 5.2 Representative of Consultant. Robert M. Gaudin is hereby designated as being the principal and representative of Consultant authorized to act on Consultant's behalf with respect to the services and work to be provided hereunder and make all decisions in connection therewith. It is expressly understood that the experience, knowledge, capability and reputation of the foregoing principal are a substantial inducement for the City to enter into this Agreement. Therefore, the foregoing principal shall be responsible during the Term of this Agreement for directing all activities of Consultant and devoting sufficient time to personally supervise the provision of Services hereunder. The foregoing principal may not be changed by Consultant and no other personnel may be assigned to supervise the Services to be provided hereunder without the express written consent of the City. 5.3 Prohibition Against Subcontracting and Assignments. Neither the whole nor any interest in,nor any of the rights or privileges granted under this Agreement shall be assignable or transferable or encumbered in any way without the prior written consent of City. Any such purported assignment, transfer, encumbrance, pledge, subuse, or permission given without such consent shall be void as to City. This is a personal services contract and the Consultant was chosen on the basis of characteristics unique to the Consultant. City shall have the right to unreasonably or arbitrarily withhold its consent to any such assignment, transfer, encumbrance,pledge, subuse, or permission. 5.4 Independent Contractor. Consultant and any agent or employee of Consultant shall act in an independent capacity and not as officers or employees of City. City assumes no liability for Consultant's actions and performance, nor assumes responsibility for taxes, bonds, payments, or other commitments, implied or explicit, by or for Consultant. Consultant shall not have authority to act as an agent on behalf of City unless specifically authorized to do so in writing. Consultant acknowledges that it is aware that because it is an independent contractor, City is making no deduction from any amount paid to Consultant and is not contributing to any fund on its behalf. Consultant disclaims the right to any fee or benefits except as expressly provided for in this Agreement. As respects all acts or omissions of Consultant relating to Consultant's responsibility for taxes, bonds, payments, or other commitments, implied, or explicit, by or for Consultant, the Consultant agrees to indemnify, defend (at the City's option), and hold harmless the City, its officers, agents, employees, representatives, and volunteers from and against any and all claims, demands, defense costs, liability, or consequential damages of any kind or nature arising out of or in connection with the Consultant's performance or failure to perform under this Section. 4 Section 6. Insurance and Indemnification. 6.1 Insurance. Without limiting City's right to indemnification, it is agreed that Consultant shall secure prior to commencing any activities under this Agreement, and maintain during the Term of this Agreement, insurance coverage as set forth in this Section 6.1. 6.1.1 Required Insurance Coverage. Consultant shall secure and maintain the following insurance coverage: (a) Workers' Compensation Insurance as required by California statutes for the protection of its employees during the progress of the performance of Services hereunder•, (b) Comprehensive General Liability Insurance or Commercial General Liability Insurance, including coverage for Premises and Operations, Contractual Liability, Personal Injury Liability, Products/Completed Operations Liability, and Independent Contractor's Liability, in an amount of not less than One Million Dollars ($1,000,000.00) per occurrence, combined single limit,written on an occurrence basis; (c) Comprehensive Automobile Liability coverage, including- as applicable - owned, non-owned and hired autos, in an amount of not less than One Million Dollars ($1,000,000.00) per occurrence, combined single limit, written on an occurrence basis. If consultant owns no vehicles, this requirement may be satisfied by a non-owned auto endorsement to the general liability policy described above. If Consultant or Consultant's employees will use their personal automobiles in any way in performing Services,Consultant shall provide evidence of personal automobile liability coverage for each such person upon request; and (d) When the law establishes a professional standard of care for the Consultant's Services, Professional Liability Insurance coverage in an amount of not less than One Million Dollars ($1,000,000.00). Consultant shall maintain such coverage for at least one (1) year after the termination of this Agreement. The Director, with the consent of the City's Risk Manager, is hereby authorized to waive or reduce the requirements set forth above in the event the Director determines that such waiver or reduction is in City's best interest. 6.1.2 Required Clauses in Policies. Each policy of general liability insurance required by this Agreement shall contain the following clauses: "This insurance shall not be canceled, or allowed to lapse without at least ten (10) days'prior written notice to the City Clerk of the City of Anaheim, 200 S. Anaheim Boulevard, Anaheim, CA 92805." 5 "It is agreed that any insurance maintained by the Consultant pursuant to this Agreement shall be primary to, and not contribute with any insurance or self-insurance maintained by the City of Anaheim." "The City of Anaheim, its officials, agents, employees, representatives, and volunteers are added as additional insureds as respects operations and activities of, or on behalf of the named insured,performed under contract with the City of Anaheim." Consultant hereby agrees to waive subrogation which any insurer of the Consultant may acquire from the Consultant by virtue of the payment of any loss. Consultant agrees to obtain any endorsement that may be necessary to effect this waiver of subrogation. 6.1.3 Required Certificates and Endorsements.Prior to commencement of any work under this Agreement, the Consultant shall deliver to City (i) insurance certificates confirming the existence of the insurance required by this Agreement, and including the applicable clauses referenced above,and(ii)endorsements to the above-required policies, which add to these policies the applicable clauses referenced above. Such endorsements shall be signed by an authorized representative of the insurance company and shall include the signator's company affiliation and title. Should it be deemed necessary by City, it shall be the Consultant's responsibility to see that City receives documentation, acceptable to City, which sustains that the individual signing such endorsements is indeed authorized to do so by the insurance company. Also, City reserves the right at any time to demand, and to receive within a reasonable time period, certified copies of any insurance policies required under this Agreement, including endorsements effecting the coverage required by these specifications. Except for professional liability insurance coverage that may be required by this Agreement, all insurance maintained by Consultant shall be issued by companies admitted to conduct the pertinent line of insurance business in the State of California and having a rating of Grade A or better and Class VII or better by the latest edition of Best's Key Rating Guide. In the case of professional liability insurance coverage, such coverage shall be issued by companies either licensed or admitted to conduct business in the State of California so long as such insurer possesses and aforementioned Best's rating. Consultant shall immediately notify the Director if any required insurance lapses or is otherwise modified and cease performance of this Agreement unless otherwise directed by the Director. In such a case, the City may procure insurance or self-insure the risk and charge Consultant for such costs and any and all damages resulting therefrom,by way of set-off from any sums owned Consultant. Consultant agrees that in the event of loss due to any of the perils for which it has agreed to provide insurance, Consultant shall look solely to its insurance for recovery. Consultant hereby grants to the City, on behalf of any insurer providing insurance to either the Consultant or 6 to the City with respect to the services of Consultant herein, a waiver of any right to subrogation which any such insurer of said Consultant may acquire against the City by virtue of the payment of any loss under such insurance. 6.1.4 Remedies for Default Re: Insurance. In addition to any other remedies City may have if the Consultant fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time herein required, City may, at its sole option: (a) Obtain such insurance and deduct and retain the amount of the premium for such insurance from any sums due under this Agreement; (b) Order the Consultant to stop work under this Agreement and/or withhold any payment(s) which become due to the Consultant hereunder until the Consultant demonstrates compliance with the requirements hereof; or (c) Terminate this Agreement. Exercise of any of the above remedies,however,is an alternative to other remedies City may have and is not the exclusive remedy for the Consultant's failure to maintain insurance or secure appropriate endorsements. Nothing herein contained shall be construed as limiting in any way the extent to which the Consultant may be held responsible for payment of damages to persons or property resulting from the Consultant's or its subcontractor's performance of the work covered under this Agreement. 6.2 Indemnification. As respects acts, errors or omissions in the performance of professional services under this Agreement,the Consultant agrees to indemnify and hold harmless the City, its officers, agents, employees, representatives and volunteers from and against claims, demands,defense costs,liability or consequential damages arising directly out of the Consultant's negligent acts, errors or omissions in the performance of its professional services under the terms of this Agreement or those of Consultant's subcontractors or anyone for whom Consultant is legally liable. As respects all acts or omissions which do not arise directly out of the performance of professional services, including but not limited to those acts or omissions normally covered by general and automobile liability insurance, the Consultant agrees to indemnify, defend (at City's option),and hold harmless the City,its officers,agents,employees,representatives,and volunteers from and against claims, demands, defense costs, liability, or consequential damages arising out of or in connection with the Consultant's (including Consultant's employees, representatives, subcontractors or anyone for whom Consultant is legally liable)performance or failure to perform under this Agreement; excepting those which arise out of the sole negligence of City. Section 7. Enforcement of Agreement. 7.1 Events of Default. For purposes of this Section 7, the word "Default" shall mean the failure of Consultant to perform any of Consultant's duties or obligations or the breach by 7 Consultant of any of the terms and conditions set forth in this Agreement. In addition, Consultant shall be deemed to be in Default upon Consultant's (i) application for, consent to, or suffering of, the appointment of a receiver, trustee or liquidator for all or a substantial portion of its assets, (ii) making a general assignment for the benefit of creditors, (iii)being adjudged bankrupt, (iv) filing a voluntary petition or suffering an involuntary petition under any bankruptcy, arrangement, reorganization or insolvency law (unless in the case of an involuntary petition, the same is dismissed within thirty(30)days of such filing),or(v)suffering or permitting to continue unstayed and in effect for fifteen (15) consecutive days any attachment, levy, execution or seizure of all or a substantial portion of Consultant's assets or of Consultant's interests hereunder. City shall not be deemed to be in Default in the performance of any obligation required to be performed by City hereunder unless and until City has failed to perform such obligation for a period of thirty(30) days after receipt of written notice from Consultant specifying in reasonable detail the nature and extent of any such failure; provided, however, that if the nature of City's obligation is such that more than thirty(30)days are required for its performance, then City shall not be deemed to be in Default if City shall commence to cure such performance within such thirty (30) day period and thereafter diligently prosecute the same to completion. 7.2 Immediate Termination for Consultant's Default. In the event of any Default by Consultant, City may immediately terminate this Agreement. Such termination shall be effective immediately upon receipt by Consultant of written notice from City. In such event, Consultant shall have no further rights hereunder; City shall have all other rights and remedies as provided by law. 7.3 Termination Without Cause. Either City or Consultant may terminate this Agreement at any time without the necessity of cause or Default by the other Party by giving fifteen (15) days' notice in writing to the other Party. In such event, the Parties shall have no further rights hereunder,except that Consultant shall be paid for all Services rendered prior to such termination. Section 8. Use and Ownership of Documents and Data. 8.1 Data to be Furnished by City. City shall furnish to Consultant such documents and materials as maybe relevant and pertinent to the provision of Services hereunder as City may possess or acquire. 8.2 Ownership of Documents. All documents and materials furnished by the City to Consultant pursuant to Section 8.1 hereof shall remain the property of the City and shall be returned to the City upon termination of this Agreement. All documents and materials prepared by Consultant hereunder shall become the property of the City at the time of payment to Consultant of all fees and expenses for their preparation, and shall be delivered to the City by Consultant at the request of the City. The documents and materials prepared by Consultant hereunder shall not be used by the City or others,except for the purpose for which they were intended. The City agrees not to associate Consultant's name with any documents or materials not prepared by Consultant. Section 9. Miscellaneous Provisions. 8 9.1 Waiver. Inaction by City or Consultant with respect to a Default hereunder shall not be deemed to be a waiver of such Default. The waiver by either City or Consultant of any Default hereunder shall not be deemed to be a waiver of any subsequent Default. 9.2 Notices. All notices, demands or other writings to be made, given or sent hereunder, or which may be so given or made or sent by either City or Consultant to the other shall be deemed to have been given when in writing and personally delivered or if mailed on the third (3rd) day after being deposited in the United States mail, certified or registered, postage prepaid, and addressed to the respective Parties at the following addresses: If to City: City Clerk 200 S. Nothing contained herein shall be deemed or construed by the Parties, nor by any third party, as creating the relationship of principal and agent or of partnership or of joint venture between the Parties, it being understood and agreed that Consultant is and will be at all times an independent contractor pursuant to this Agreement and shall not, in any way,be considered to be an officer, agent or employee of the City. 9.4 No Third Party Rights. The Parties intend that no rights nor remedies be granted to any third party as a beneficiary of this Agreement or of any covenant, duty, obligation or undertaking established herein. 9 9.5 Non-Liability of Members, Officials and Employees of the City. No member, official or employee of the City shall be personally liable to Consultant, or any successor in interest, in the event of any Default or breach by the City or for any amount which may become due to Consultant or Consultant's successors, or on any obligation under the terms of this Agreement. Consultant hereby waives and releases any claim Consultant may have against the members, officials or employees of the City with respect to any Default or breach by City or for any amount which may become due to Consultant or Consultant's successors, or any obligations under the terms of this Agreement. Consultant makes such release with the full knowledge of Civil Code Section 1542 and hereby waives any and all rights thereunder to the extent of this release, if such Section 1542 is applicable. Section 1542 of the Civil Code provides as follows: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." 9.6 Controlling Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California. 9.7 Time of the Essence. Time is hereby expressly declared to be the essence of this Agreement and of each and every term, covenant and condition hereof which relates to a date or a period of time. 9.8 Remedies Cumulative. The remedies given to City and Consultant herein shall be cumulative and are given without impairing any other rights given City or Consultant by statute or law now existing or hereafter enacted and the exercise on any one(1)remedy by City or Consultant shall not exclude the exercise of any other remedy. 9.9 Effect of Invalidity. If any term or provision of this Agreement or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of this Agreement, or the application of its terms and provisions to persons and circumstances other than those to which it has been held invalid or unenforceable shall not be affected thereby, and each term and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. 9.10 Successors and Assigns. This Agreement and the covenants and conditions contained herein shall be binding upon and inure to the benefit of and shall apply to the successors and assigns of City and to the permitted successors and assigns of Consultant, and all references to "City" or "Consultant" shall be deemed to refer to and include all permitted successors and assigns of such Party. 9.11 Entire Agreement. This Agreement and the exhibits hereto contain the entire agreement of the City and the Consultant with respect to the matters covered hereby, and no agreement, statement or promise made by either City or Consultant which is not contained herein, shall be valid or binding. No prior agreement, understanding or representation pertaining to any 10 such matter shall be effective for any purpose. No provision of this Agreement may be amended, modified or added except by an agreement in writing signed by City and Consultant. 9.12 Authority. Each individual executing this Agreement on behalf of a corporation, nonprofit corporation, partnership or other entity or organization, represents and warrants the he or she is duly authorized to execute and deliver this Agreement on behalf of such entity or organization and that this Agreement is binding upon the same in accordance with its terms. Consultant shall, at City's request, deliver a certified copy of its governing board's resolution or certificate authorizing or evidencing such execution. 9.13 Conflicts of Interest. 9.13.1 No member, official or employee of the City shall have any personal interest,direct or indirect, in this Agreement, nor shall any such member, official or employee participate in any decision relating to this Agreement which affect his or her personal interests or the interests of any corporation, partnership or association in which he or she is directly or indirectly interested. 9.13.2 Consultant represents that neither it nor any of its officers, partners or employees has a financial interest, as defined in section 87103 of the Government Code,in the subject matter of this Agreement other than the right to receive payment from City services rendered. 9.13.3 Consultant agrees that it shall not make, participate in making, nor in any way attempt to use its position as consultant to influence any decision of City in which Consultant knows,or has reason to know,that any of its officers,partners or employees has a financial interest as defined in Section 87103 of the Government Code. 9.13.4 Consultant warrants that neither Consultant nor any of its officers, partners or employees, has any financial interest in any real property, building or structure within 2,500 feet of the location of any project or assignment to which this Agreement may apply in the City of Anaheim. Consultant agrees to disclose to City any financial interest in such property as may be acquired by its officers,partners or employees during the term of this Agreement. 9.13.5 In conformity with the conflict of interest code of City, Consultant or,if Consultant is a firm or corporation, each individual who will be performing work under this Agreement shall complete,under penalty of perjury, a Statement of Economic Interests(From 700)and all required attachments and shall provide the originals thereof to the City Clerk. Copies of those completed forms and attachments shall be public records of City,to be kept and disclosed at the discretion of City and according to law. Consultant and individuals who will be performing work under this Agreement shall disclose pursuant to the broadest disclosure category unless the City Manager(or his or her designee)makes a written determination that the foregoing should be more limited. Such written determination should be made in the manner required by the City's Conflict of Interest Code. 9.14 Time for Acceptance of Agreement by City. This Agreement,when executed by Consultant and delivered to City, must be authorized, executed and delivered by the City on or before forty-five(45) days after the execution and delivery by Consultant or this Agreement shall be void,except to the extent that Consultant and City shall consent in writing to a further extension of time for the authorization, execution and delivery of this Agreement. 11 9.15 Conflicts or Inconsistencies. It is further expressly agreed by and between the parties hereto that, should there be any conflict between the terms of this Agreement and any of the exhibits or attachments hereto, this Agreement shall control and nothing herein shall be considered as an acceptance of the said terms of said exhibits or attachments conflicting herewith. (Signature) (Seal) EXHIBIT A SCOPE OF SERVICES AND COMPENSATION (To be attached) SCOPE OF SERVICES AND COMPENSATION Under the direction Of-City's Community and Economic Development Department, the Consultant is expected to prepare the FY 2020-2024 Con Plan in accordance with all applicable federal and local policies, standards, and regulations. The work must be completed within the time frame identified in this RFP.The consolidated planning process is subject to stringent federal regulations with mandatory deadlines which are inflexible. The Con Plan must incorporate the following elements: 1. A description of the City as the lead agency responsible for overseeing the development of the Con Plan and a description of the process undertaken to develop the same. 2. A "Housing and Homeless Needs Assessment" inclusive of an analysis of the housing market. 3. An analysis of the community and economic development needs (the needs for public facilities, public improvements, public services, and other eligible uses of CDBG). 4. A 5-Year Strategic Plan which identifies: a. The priority needs of the City, based on the housing and non-housing analysis, as well as the availability of resources; A-1 b. A listing of the federal, state, local, and private resources (beyond the entitlement grants) expected to be available to the City to address priority needs identified in the Strategic Plan; c. The goals and objectives of the 5-year plan, as well as the indicators the City will use to measure its progress; d. A description of the strategies the City will pursue to address the priority needs and fulfill its goals and objectives; and e. A summary of the organizations that will carry out the objectives outlined in the Strategic Plan (which may include, but not be limited to: specific City departments or its contractors; other governmental organizations, such as the Anaheim Housing Authority, County of Orange and the Orange County Continuum of Care; non-profit organizations; private industry; faith-based organizations and/ or Community-Based Development Organizations (CDBO). 5. A FY 2020 Annual Action Plan (AAP)which lists the specific actions, activities, and programs the City will undertake during FY 2020 (July 1, 2019, through June 30, 2020)to address the priority needs and goals identified by the Con Plan. Note that, while City staff will take the lead in the preparation of the AAP, the Consultant is expected to support the work of staff as needed given the strong linkages between the FY 2020 AAP and the Con Plan. 6. A Citizen Participation Plan (CPP): The Con Plan must follow a chronological process to effectively allow for broad participation during its development, as well as to include any updates to the City's Citizen Participation Plan to further define the process that will be utilized during the 5-year implementation period. In accordance with HUD standards, the City must strive to encourage participation from the following populations: a. Very low-, low-, and moderate-income persons (LMI) as defined by HUD: Individuals and families with incomes below 30%, 50%, and 80% of the median income, respectively, for the Santa Ana/Anaheim/Irvine Metropolitan Statistical Area (MSA), as well as those presumed by HUD to be principally LMI (i.e., abused children, battered spouses, elderly persons, severely disabled adults, homeless persons, illiterate adults, persons living with AIDS and migrant farm workers); b. Residents of areas where CDBG funds may be proposed to be used; A-2 c. Minorities, non-English-speaking persons, and persons with disabilities; and d. Local and regional institutions, including the Continuum of Care, the nonprofit and for-profit sectors,philanthropic organizations, and community- based and faith-based organizations. e. The Con Plan must describe the actions the City will take to foster and maintain affordable housing; evaluate and reduce lead-based paint hazards; reduce the number of poverty-level families; develop institutional structure; and enhance coordination with others to further advance the goals and objectives of the Con Plan; f. The Con Plan must identify obstacles to meeting underserved needs and propose actions to overcome those obstacles; and g. The Con Plan must meet specific requirements that apply to each of the four entitlement programs 7. Identification and description of geographically targeted areas, including the Opportunity Zone(s), and the rationale for their selection (optional): The City may include this section if specific geographic areas are targeted as priorities for funding allocations. The City must submit its Con Plan to HUD using the Consolidated Plan template required by HUD's online Integrated Disbursement and Information System (IDIS). HUD's Consolidated Plan template follows a uniform, web-based format which automates the baseline content of the Con Plan. Data,which prepopulates tables in the template, comes from HUD's Office of Community Planning and Development database. Proposers must be conversant with this Suite and prepared to use it as required by HUD. The City does intend to supplement the baseline information with additional content, in the form of other data, maps, pictures, text, and tables. The Consultant will review, compile, organize, and tabulate data and other information available through the City, HUD, the U.S. Census Bureau, and other public and private organizations, as well as input gathered from the public participation process to complete the HUD-required Con Plan components and integrate additional information into the HUD Con Plan template. The Consultant is anticipated to lead in the development and pursuit of a thorough community engagement process that fosters the meaningful involvement of those intended to be served by the CDBG, HOME, ESG, and HOPWA programs, as well as A-3 community-based organizations, industry, housing and service providers, and the community at large. The Consultant will work with the City to develop and deploy an aggressive outreach, media, and community engagement strategy that seeks to involve as broad a spectrum of the City's communities and stakeholders as possible, which may entail use of languages other than English. The Consultant must facilitate public presentations and meetings and public hearings as appropriate. Public hearings will include, but may not be limited to, meetings of the City Council, City Council Committees and Housing Community Development Commission (HCDC). The HCDC advises the City Council on policy issues related to the Con Plan and the allocation of HUD program funds. The Consultant may be asked to provide support or coordination with the development of the City's Analysis of Impediments (AI) to Fair Housing that must be completed in accordance with HUD regulations.The Al is a document that will be completed separately from the Con Plan; however, the Consultant may be asked to assist in providing relevant data for preparation of completing the Al.
