LSA, ASSOCIATES, INC., A CALIFORNIA CORPORATION FOR PREPARATION
OF A MITIGATED NEGATIVE DECLARATION FOR
SEACLIFF SENIOR LIVING AND MEMORY CARE FACILITY
THIS AGREEMENT ("Agreement") is made and entered into by and between the
City of Huntington Beach, a municipal corporation of the State of California, hereinafter
referred to as "CITY," and LSA, ASSOCIATES, INC., a California Corporation
hereinafter referred to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to prepare a
Mitigated Negative Declaration for the Seacliff Senior Living and Memory Care Facility
project at 2120 Main Street, Huntington Beach, CA; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of
professional service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services as described as Tasks I through 4
of the Scope of Services in the CONSULTANT's January 15, 2020 proposal, a copy of
which is which is attached as Exhibit A, and incorporated into this Agreement by this
reference. These Tasks shall sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Ryan Bensley who shall represent it and
be its sole contact and agent in all consultations with CITY during the performance of this
Agreement.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT
in the performance of this Agreement.
3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT
shall commence upon CITY issuing a written notice to proceed (the "Commencement
Date"). This Agreement shall automatically terminate one (1) year from the
Commencement Date, unless extended or sooner terminated as provided herein. The time
for performance of the Tasks are described at page 16 of Exhibit A. This schedule may be
amended to benefit the PROJECT if mutually agreed to in writing by CITY and
CONSULTANT.
In the event the Commencement Date precedes the Effective Date,
CONSULTANT shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT on a time and materials basis according to the Schedule at
page 17 and the rates specified at page B-4 of Exhibit A, as amended by Exhibit B. In no
event may all costs and expenses exceed Ninety Six Thousand and Nine Hundred Ten
Dollars ($96,910), which amount includes a ten percent(10%) contingency.
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit A or
changes in the scope of services described in Exhibit A, CONSULTANT will undertake
such work only alter receiving written authorization from CITY. Additional compensation
for such extra work shall be allowed only if the prior written approval of CITY is obtained.

6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit A.
7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder,
including, without limitation, all original drawings, designs, reports, both field and office
notices, calculations, computer code, language, data or programs, maps, memoranda,
letters and other documents, shall belong to CITY, and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY
as it sees fit.
8. HOLD HARMLESS
A. CONSULTANT hereby agrees to protect, defend, indemnify and
hold harmless CITY, its officers, elected or appointed officials, employees, agents and
volunteers from and against any and all claims, damages, losses, expenses, judgments,
demands and defense costs (including, without limitation, costs and fees of litigation of
every nature or liability of any kind or nature) arising out of or in connection with
CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged
negligent) performance of this Agreement or its failure to comply with any of its
obligations contained in this Agreement by CONSULTANT, its officers, agents or
employees except such loss or damage which was caused by the sole negligence or willful
misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense
and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall
apply to all claims and liability regardless of whether any insurance policies are applicable.

The policy limits do not act as limitation upon the amount of indemnification to be
provided by CONSULTANT.
B. CITY shall be reimbursed by CONSULTANT for all costs and attorney's
fees incurred by CITY in enforcing this obligation. This indemnity shall apply to all
claims and liability regardless of whether any insurance policies are applicable. The policy
limits do not act as a limitation upon the amount of indemnification to be provided by
CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULTANT's professional liability in an amount not less than One
Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above-
mentioned insurance shall not contain a self-insured retention without the express written
consent of CITY; however an insurance policy "deductible" of Ten Thousand Dollars
($10,000.00) or less is permitted. A claims-made policy shall be acceptable if the policy
further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents
that might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT agrees to purchase an extended reporting

provision of at least two (2) years to report claims arising from work performed in
connection with this Agreement.
If CONSULTANT fails or refuses to produce or maintain the insurance
required by this section or fails or refuses to furnish the CITY with required proof that
insurance has been procured and is in force and paid for, the CITY shall have the right, at
the CITY's election, to forthwith terminate this Agreement. Such termination shall not
effect Consultant's right to be paid for its time and materials expended prior to notification
of termination. CONSULTANT waives the right to receive compensation and agrees to
indemnify the CITY for any work performed prior to approval of insurance by the CITY.
10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT
shall furnish to CITY a certificate of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. shall promise that such policy shall not be suspended, voided or
canceled by either party, reduced in coverage or in limits except
after thirty (30) days' prior written notice; however, ten (10) days'
prior written notice in the event of cancellation for nonpayment of
premium.
CONSULTANT shall maintain the foregoing insurance coverage in force
until the work under this Agreement is fully completed and accepted by CITY.

The requirement for carrying the foregoing insurance coverage shall not
derogate from CONSULTANT's defense, hold harmless and indemnification obligations as
set forth in this Agreement. CITY or its representative shall at all times have the right to
demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a
prompt and timely manner,the premiums on the insurance hereinabove required.
11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of
this Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and
all payment of all taxes, social security, state disability insurance compensation,
unemployment compensation and other payroll deductions for CONSULTANT and its
officers, agents and employees and all business licenses, if any, in connection with the
PROJECT and/or the services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination, all finished and
unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become
its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall
not be assigned, delegated or subcontracted by CONSULTANT to any other person or

entity without the prior express written consent of CITY. If an assignment, delegation or
subcontract is approved, all approved assignees, delegates and subconsultants must satisfy
the insurance requirements as set forth in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or
material produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY
employee in the work performed pursuant to this Agreement. No officer or employee of
CITY shall have any financial interest in this Agreement in violation of the applicable
provisions of the California Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given
either by personal delivery to CONSULTANT's agent (as designated in Section 1
hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to
the addresses specified below. CITY and CONSULTANT may designate different
addresses to which subsequent notices, certificates or other communications will be sent by
notifying the other party via personal delivery, a reputable overnight carrier or U. S.
certified mail-return receipt requested:

17. CONSENT
When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval
to any subsequent occurrence of the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
19. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive
and are included solely for convenience of reference only and are not representative of
matters included or excluded from such provisions, and do not interpret, define, limit or
describe, or construe the intent of the parties or affect the construction or interpretation of
any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed
as a whole, according to its fair meaning, and not strictly for or against any of the parties.
If any provision of this Agreement is held by an arbitrator or court of competent
jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate
or affect the remaining covenants and provisions of this Agreement. No covenant or
provision shall be deemed dependent upon any other unless so expressly provided here.
As used in this Agreement, the masculine or neuter gender and singular or plural number
shall be deemed to include the other whenever the context so indicates or requires.

Nothing contained herein shall be construed so as to require the commission of any act
contrary to law, and wherever there is any conflict between any provision contained herein
and any present or future statute, law, ordinance or regulation contrary to which the parties
have no right to contract, then the latter shall prevail, and the provision of this Agreement
which is hereby affected shall be curtailed and limited only to the extent necessary to bring
it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been
prepared and signed in counterparts as duplicate originals, each of which so executed shall,
irrespective of the date of its execution and delivery, be deemed an original. Each
duplicate original shall be deemed an original instrument as against any party who has
signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the
immigration and naturalization laws of the United States and shall, in particular, comply
with the provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly
outside the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive
legal counsel for CITY; and CITY shall not be liable for payment of any legal services
expenses incurred by CONSULTANT.

24. ATTORNEY'S FEES
In the event suit is brought by either party to construe, interpret and/or
enforce the terms and/or provisions of this Agreement or to secure the performance hereof,
each party shall bear its own attorney's fees, such that the prevailing party shall not be
entitled to recover its attorney's fees from the nonprevailing party.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context
survive the expiration or termination of this Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the
laws of the State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has
the power, authority and right to bind their respective parties to each of the terms of this
Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the
event that such authority or power is not, in fact, held by the signatory or is withdrawn.
28. ENTIRETY
The parties acknowledge and agree that they are entering into this
Agreement freely and voluntarily following extensive arm's length negotiation, and that
each has had the opportunity to consult with legal counsel prior to executing this
Agreement. The parties also acknowledge and agree that no representations, inducements,
promises, agreements or warranties, oral or otherwise, have been made by that party or
anyone acting on that party's behalf, which are not embodied in this Agreement, and that
that party has not executed this Agreement in reliance on any representation, inducement,

promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. This Agreement, and the attached exhibits, contain the entire agreement
between the parties respecting the subject matter of this Agreement, and supersede all prior
understandings and agreements whether oral or in writing between the parties respecting
the subject matter hereof.
29. EFFECTIVE DATE
This Agreement shall be effective on the date of its approval by the City
Attorney. This Agreement shall expire when terminated as provided herein.

LSA is pleased to submit this proposal to prepare an Initial Study/Mitigated Negative Declaration
(IS/MND) and associated technical documentation for SBLP Huntington Beach, LLC's proposed Seacliff
Assisted Living Facility(project) located at 2120 Main Street in Huntington Beach,
This Scope of Work is based on information provided in the Site Plan prepared by Van Tilburg, Banvard
& Soderbergh, dated November 4,2019 and has been revised to provide a condensed project schedule
and omit certain tasks based on input from City of Huntington Beach staff. It is LSA's understanding
that the proposed project would involve the development of a three-story, 226-unit senior assisted-
living facility on an 11.29-acre site. The project site is currently occupied by an office building and a
former silo that would be demolished as part of the project. The project site is bounded by
surrounding residential to the north and residential/commercial properties to the east, Main Street is
located directly to the west of the project site, and Yorktown Avenue is located directly south of the
project site.
LSA has assembled a strong project management team with experience in assisted-living facility
projects throughout Southern California. The management team includes Ashley Davis, Principal in
Charge, and Ryan Bensley, Project Manager. Mr. Bensley has recent experience managing the
preparation of environmental documents and related technical analyses for infill residential and
assisted-living facility projects, such as the Barton Place Environmental Impact Report (EIR) and
Addendum in Cypress and the Senior Assisted Living Facility project in Culver City. For a list of
Mr. Bensley's most recent infill residential and assisted living facility project experience, refer to the
attached resume.

PROJECT TEAM KEY PERSONNEL
LSA has assembled a team of elite professionals to prepare the environmental documents required
for the proposed Seacliff Assisted Living Facility (project). LSA is made up of individuals who are
experts in preparing documents compliant with the California Environmental Quality Act (CEQA), as
well as a variety of other environmental documents that may be required for private development
projects.
The key staff members who would contribute to preparation of the environmental documents are
listed below. Each of these individuals has extensive experience preparing environmental
documents in accordance with CEQA requirements and the State CEQA Guidelines.
Ongoing and frequent communication between LSA's Project Manager, SBLP Huntington Beach, LLC
(SBLP), and the City of Huntington Beach (City) will serve as the primary vehicle for identifying
emerging project issues and identify solutions early to minimize schedule impacts. LSA staff will be
available and easily accessible to the City for meetings and conference calls as required.
Ashley Davis
Principal in Charge
Ms. Davis will serve as the Principal in Charge for this project. She will have contract oversight for
the project and will be responsible for ensuring contract compliance and implementation of LSA's
quality control program. As a Principal in the Environmental Planning Division at LSA, Ms. Davis's
primary responsibilities include managing and preparing Environmental Impact Reports (EIRs), Initial
Studies (ISs), Mitigated Negative Declarations (MNDs), and Negative Declarations (NDs)for a variety
of land development projects. She has more than 22 years of experience in environmental
document preparation and processing. She has served as the Principal in Charge for several recent
residential projects, including senior development projects in San Juan Capistrano and Costa Mesa,
both of which involved the preparation of an IS/MND.
Ryan Bensley
Project Manager/Associate Environmental Planner
Mr. Bensley will serve as the Project Manager and will be the main point of contact for the project.
He is responsible for managing the preparation of environmental documents for a variety of land
development projects. His primary responsibilities include coordinating and conducting research
and analysis for environmental documents prepared in compliance with CEQA. Mr. Bensley has
more than 12 years of planning experience and is knowledgeable in various planning and
environmental regulations related to development and entitlement processes including, but not
limited to, local zoning ordinances, general plans, specific plans, the Subdivision Map Act, and State
housing element law. Mr. Bensley recently managed the preparation of various technical studies for
proposed assisted living facilities in the cities of Culver City and Cypress. Mr. Bensley also has recent
experience managing the preparation of environmental documents for infill residential and mixed-
use development projects, such as the Barton Place and Oxford Place projects in Cypress.
Mr. Bensley oversaw the preparation of an Addendum to the Barton Place EIR, which included an
assessment of an assisted-living facility on a portion of the project site that was previously entitled
for commercial uses. For a list of Mr. Bensley's most recent infill residential and assisted living
facility project experience, refer to his resume in Appendix A of this proposal.

PROJECT EXPERIENCE
LSA has prepared several thousand environmental documents over the past 40 years. The firm has
extensive experience working with public agencies, commercial developments, recreational
facilities, mixed-use and residential developments, and transportation projects. LSA was selected to
be included on the City's on-call list of qualified CEQA consultants. Mr. Bensley has managed the
preparation of several environmental documents for projects that are similar to the proposed
project.
RESIDENTIAL PROJECT EXPERIENCE
Senior Assisted Living Facility Technical Studies
Culver City, California
LSA recently prepared various technical analyses for SRM Development related to this project,which
involves the development of a five-story, 134-unit assisted living facility with 154 beds on a
0.88-acre project site in Culver City. LSA also prepared a letter to City staff explaining why the use of
a Class 32 infill exemption for the project was appropriate. The project will require the approval of a
Conditional Use Permit.
Barton Place EIR
Cypress, California
LSA was contracted by the City of Cypress to prepare an EIR addressing potential environmental
impacts associated with the construction and operation of a 244-unit senior residential community
and a shopping center featuring 47,876 square feet (sf) of neighborhood-serving commercial/retail
space on a vacant 33-acre site located along the Katella Avenue corridor near the Los Alamitos Race
Course. Because the entitlement process was governed by the Amended and Restated Cypress
Business and Professional Center Specific Plan, preparation of the EIR required review of the
project's consistency with relevant design standards and development regulations set forth in the
Specific Plan and previous CEQA compliance documentation prepared in conjunction with the
adoption and amendment of the Specific Plan. Key environmental and controversial issues included
traffic, biological resources, and hydrologic issues. The EIR was certified, and the project was
approved by the Cypress City Council on October 26, 2015.
Barton Place EIR Addendum
Cypress, California
After the Cypress City Council certified the EIR for the Barton Place project and approved the project
in October 2015, modifications to the site plan and the land use mix on the southern portion of the
project site were proposed due to changes in the local real estate market. The project involves the
replacement of three of the five approved commercial/retail structures with an assisted-living
facility that would feature a mix of independent-living and memory care units. LSA prepared an
Addendum to the Barton Place EIR in support of the project, including several technical studies. The
City Council considered the EIR Addendum and approved the project on November 13,2018.

LSA recently prepared an IS/MND for the Oxford Place project, a proposed 45-unit residential
development on the current site of Cypress School District's Maintenance & Operations facility.
Prior to construction,the project would require the demolition and removal of the School District's
maintenance facilities, parking for the District's fleet vehicles, and on-site landscaping. In addition, a
Specific Plan was prepared for the project by LSA, and a zoning change was required to amend the
project site's zoning from Public and Semi-Public Zone (PS-1A) to Planned Community (PC).
A Conditional Use Permit and Tentative Tract Map were also required. Under the Cypress Greenbelt
Preservation and Open Spaces Initiative (Measure D), rezoning of PS-1A land requires a ballot
initiative for approval by voters in Cypress. LSA prepared an Air Quality and Greenhouse Gas
Emissions Analysis, a Noise Impact Analysis, and a Traffic Analysis for the project, and assisted the
City with Native American Consultation per Assembly Bill (AB) 52. Mr. Bensley served as LSA's
Project Manager for the draft Specific Plan and IS/MND. The IS/MND was adopted, and the project
was approved by the Cypress City Council on June 11, 2018.

SCOPE OF WORK
LSA is pleased to submit this proposal for the proposed Seacliff Assisted Living Facility (proposed
project) located at 2120 Main Street in the City of Huntington Beach.This Scope of Work is based on
information provided in the Site Plan prepared by Van Tilburg, Banvard & Soderbergh, dated
November 4, 2019, and has been revised to provide an expedited project schedule and omit certain
tasks based on input from City staff.
PROJECT UNDERSTANDING
The City is seeking a consultant to prepare environmental documentation for the proposed project,
which is proposed for an 11.29-acre site located at 2120 Main Street in the City of Huntington
Beach. The project site is currently occupied by several buildings; two of these buildings (an office
building and a former silo) will be demolished as part of the project. The project site is bounded by
surrounding residential to the north and residential/commercial properties to the east. Main Street
is located directly to the west of the project site, and Yorktown Avenue is located directly south of
the project site.
The proposed project would involve the construction of a three-story, 226-unit senior assisted-living
facility, and would include several residential amenities, including a pool and spa, sensory garden,
and a social courtyard featuring a fireside lounge, multi-purpose lawn, and entertainment terrace.
The proposed project would also include a community dining facility and lounge, theater, beauty
salon, community store, gym, therapy center, golf simulator/lounge, yoga room, and nurse's office.
Separate dining and common areas would be provided for memory care patients. Residential units
would be located on all three levels. The proposed project would also include a subterranean
parking garage.
While it is always difficult to anticipate the level of interest that neighboring property owners,
residents, businesses, and the community at-large may take in a project, it is LSA's understanding,
based on conversations with City staff,that the project is not anticipated to generate a great deal of
public controversy. LSA's scope of work and budget reflect this assumption.
Existing Conditions on the Project Site
The project site is generally rectangular in shape and currently developed with five occupied office
buildings (the Seacliff Office Park).The project site also includes a former silo that is at least 50 years
old and,therefore, is "of historic age." An approximately 1.25-acre lot in the northeastern corner of
the project site is undeveloped. In the project site's existing condition, vehicular access is provided
via driveways on Main Street and Seabluff Drive. The Seacliff Office Park is currently served by
surface parking lots,which surround the office buildings.
Project Description
As previously stated, the project would demolish one of the five existing office buildings and the
former silo on the project site and develop a three-story assisted living facility with a subterranean
garage and amenities, including on-site medical and physical therapy facilities. In addition to
removing a manmade water feature in the center of the Seacliff Office Park, the proposed project

would develop a new surface parking lot in the northeastern corner of the project site to replace the
office parking that would be removed at the proposed location of the assisted living facility.
The project site currently has a General Plan Land Use Designation of Commercial Office. The
proposed project would not require a General Plan Amendment; however, the City would require
that SBLP obtain a Conditional Use Permit and a lot line adjustment.
The project site is within the Commercial Office Zoning District, which provides sites for offices for
administrative, financial, professional, medical, and business needs. The Commercial Office Zoning
District may accommodate group residential uses on approval of a Conditional Use Permit by the
Planning Commission.The proposed project would not require a Zoning Amendment.
The project would provide 211 residential parking spaces in the subterranean parking garage,
including nine accessible parking stalls, two accessible van parking stalls, and 12 electric vehicle
stalls.The project would also provide seven bike racks located at the entry of each office building.

Based on LSA's understanding of the proposed project and project vicinity, it is anticipated that
preparation of an IS/MND with supporting technical work will be adequate to satisfy the
requirements of CEQA.The following is an outline of the proposed work program tasks.
CLIENT INFORMATION REQUIRED
LSA requires the following from SBLP in orderto prepare the IS/MND:
® Conceptual site plans, including proposed elevations of buildings, landscaping, setbacks, and
access points.
® Narrative text for inclusion in the Project Description that provides a description of the
following:
• Existing conditions on the project site, including the existing office buildings (square
footage),vehicular access points, utilities, and landscaping;
• A statistical summary of the proposed building square footage, with a breakdown of the
number of residential units and various ancillary uses and amenities that would be included
in the project;
o Proposed discretionary approvals that would be required for the project;
o Proposed operations associated with the project (anticipated number of employees, work
shifts,and delivery schedules, if known);
o Building design, including the proposed architectural style(s), building materials, and
maximum building heights;
o Proposed driveway and vehicular access points, including gates, fire lanes, and service areas
(trash and loading areas,as well as parking for move ins/outs);
o Proposed number of parking spaces for the office and residential uses,with a comparison to
applicable City requirements (the description should clearly differentiate how many spaces
would be provided in the parking garage versus at-grade and identify how many spaces
would be dedicated to guests);
o Proposed utilities (dry and wet) that would be required to be extended and/or rerouted to
accommodate the project;
o Proposed signage and outdoor lighting; and
o Proposed conservation and sustainability features (this should be limited to only those
features that SBLP is committed to incorporating).
® Preliminary grading information, including depth of excavation, if known, and whether import or
export of soils will be required.
• Construction information, including length of construction and phasing, average number of daily
workers, anticipated construction equipment,and staging area,if known.

detention facilities necessary to mitigate changes in runoff resulting from the proposed project).
e A Preliminary Water Quality Management Plan (WQMP)that includes the necessary information
to complete the CEQA Checklist for water quality(disturbed soil area;the change in impervious/
pervious surface areas;the receiving water bodies;any pollutants of concern; 303[d] listings and
existing and proposed total maximum daily loads for receiving waters; and identified and
recommended applicable Site Design, Source Control, and Treatment Control best management
practices [BMPs], including Low Impact Development [LID] features, for incorporation in the
proposed project to minimize impacts and satisfy water quality requirements).
® A Preliminary Soils/Geotechnical Report, prepared in accordance with applicable State
requirements, that addresses all CEQA-related topics, including those outlined in California
Geological Survey Note 46.
® A conceptual landscape plan.
® Lighting plans, including specifications of light fixtures and lumens, if available.
® Conceptual infrastructure improvement plans (e.g., water, sewer, storm drain, and electricity
connections).
® A Phase I Environmental Site Assessment (ESA) and any other applicable hazardous-materials
studies prepared for the project site.
0 A digital vector file (produced by either computer-aided design [CAD] or a geographic
information system [GIS]) in a real-world coordinate system (e.g., State Plane Zone VI, North
American Datum [NAD] 83, or Survey Feet) of the grading limits, building/structural footprints,
landscaping, and any other ground/vegetation disturbance areas associated with the project.
In addition, LSA will require authorization from the property owner(s) to enter the project site for
the purpose of conducting the field surveys outlined in this Scope of Work. According to the draft
project schedule provided in the "Schedule" section of this document, it is anticipated that the data
needs outlined above will be submitted to LSA within 1 week of receiving a notice to proceed. Any
delays in the receipt of data required to complete the IS/MND and related technical studies may
result in the need for a budget amendment.
SCOPE OF SERVICES
The following Scope of Services describes LSA's work program for the preparation of the IS/MND
and related technical analyses. As indicated in the Project Understanding section of this Proposal, it
is LSA's understanding that the project is not anticipated to generate a great deal of public
controversy. Therefore, it is assumed that none of the deliverables outlined below will be reviewed
by SBLP's legal counsel,which should limit the level of revisions required.
Task 1: Project Initiation and Project Description
LSA will meet with the City team and SBLP at a project kickoff meeting to discuss the project
schedule, LSA's data needs, and the information and narrative text required to prepare the Project

Description and develop a mutual understanding of the scope and approach to be used in
completing the work tasks outlined herein. The budget associated with this kickoff meeting is
included as part of Task 4.2,Attendance at Meetings.
The environmental document will include a detailed Project Description based on information and
narrative text provided by SUP. LSA will use the Project Description to determine the potential
environmental effects of implementation of the proposed project and to identify appropriate
mitigation measures, if necessary. The Project Description is the core element of the IS/MND. Any
change to the Project Description after the technical studies or IS/MND, described in Tasks 2 and 3
below, is initiated may result in a change to the scope, budget, and schedule. LSA will assemble all
pertinent data provided by the City and SUP for preparation of the environmental document.
LSA will submit the Project Description for review and approval by the City and SUP. For the
purposes of this scope and budget, LSA will respond to one round of comments each from the City
and SUP and will update the Project Description as necessary. This scope and budget assumes one
set of nonconflicting, consolidated comments from both the City and SUP.
Task 2:Technical Analyses, Peer Reviews,and Related Support
Preparation of the IS/MND will require preparation of technical analyses with respect to cultural
resources, paleontological resources, air quality, greenhouse gases (GHGs), biological resources, a
trip generation memorandum, and noise. LSA also proposes to provide a peer review of the
Preliminary Hydrology Report and Preliminary WQMP. Preparation of these technical assessments,
along with the technical reports to be provided to LSA by the City, will assist in the environmental
analysis. For the purpose of this scope, it is assumed that all technical studies will include two
rounds of review by SUP and the City and that all peer reviews will include two rounds of review by
LSA. All deliverables will be provided in electronic Portable Document Format (PDF). It is assumed
that additional technical studies required in support of the IS/MND will be provided by SBLP, as
identified in the"Client Information Required"section above.
Task 2.1:Noise and Vibration Impact Analysis
LSA will prepare the Noise and Vibration section of the IS/MND responding to the Initial Study
Checklist questions in Appendix G of the State CEQA Guidelines. This scope of services does not
include preparation of a stand-alone technical report. LSA will conduct the following tasks to
complete the noise and vibration analysis.
Identify City Noise and Vibration Standards. LSA will review applicable City noise standards for the
project and adjacent uses. Noise standards in the Noise Element of the General Plan and noise-
control ordinances in the Municipal Code will be discussed for sensitive land uses adjacent to the
project site. LSA will also review applicable vibration criteria from the City for the project site and its
vicinity.Vibration standards in the Federal Transit Administration's (FTA) Transit Noise and Vibration
Impact Assessment Manual (May 2018) will be discussed for land uses on and adjacent to the
project site.
Conduct Ambient Noise Survey. LSA will conduct up to three long-term 24-hour ambient noise level
measurements in the vicinity of the project site to assess the existing ambient noise environment.
Observed noise sources in the vicinity of the project site will be identified.

Evaluate Construction Noise Impacts. The IS/MND section will analyze noise impacts from
construction sources based on the equipment expected to be used, length of a specific construction
task, equipment power type (gasoline or diesel engine), horsepower, load factor, and percentage of
time in use. The Federal Highway Administration's (FHWA's) recommended noise emission levels
will be used for the construction equipment. The construction noise impact will be evaluated in
terms of maximum levels (Lmax), hourly equivalent continuous noise levels (Lej, and the frequency of
occurrence at adjacent sensitive locations. Analysis requirements will be provided based on the
sensitivity of the area directly adjacent to the project site and the City's noise-control ordinances.
Evaluate Construction Vibration Impacts. Vibration impacts from construction sources will be
analyzed based on the equipment expected to be used.The FTA-recommended equipment vibration
levels will be used for the construction equipment. The construction vibration impact will be
evaluated in terms of the peak particle velocity(PPV (inches/second)) and the vibration decibel level
(VdB) for building damage and human annoyance, respectively. Analysis requirements will be
provided based on the sensitivity of the area directly adjacent to the project site and FTA
recommendations.
Calculate Mobile Source Noise Impacts. LSA will assess noise impacts from both aircraft noise and
vehicular traffic. Aircraft noise will be assessed based on the project's distance from John Wayne
Airport and the location of the airport's noise contour. Vehicular traffic will be assessed using the
FHWA Highway Traffic Noise Prediction Model (FHWA-RD-77-108, December 1978). Model input
data needed from the City include average daily traffic volumes; day/night percentages of
automobiles, medium trucks, and heavy trucks; vehicle speeds; ground attenuation factors; and
roadway widths. The report will tabulate the 24-hour weighted Community Noise Equivalent Level
(CNEL) or day-night average noise level (Ld ) along roadways within the vicinity of the project site.
LSA will analyze project-related noise impacts on off-site sensitive land uses in the vicinity of the
project site.
Identify Stationary Source Noise Impacts. Potential noise impacts from on-site noise-generating
sources to sensitive uses adjacent to the project site will be provided based on the project's layout
and potential noise-generating source areas.The City's Municipal Code noise standards will be used
to assess the project's potential off-site noise impacts.
Identify Noise and Vibration Reduction Measures. If necessary, noise and vibration reduction
measures designed to reduce short-term construction noise and vibration impacts and long-term
stationary and mobile source noise impacts to acceptable levels will be determined.
Preliminary Review of Architectural Plans for the Proposed Residential Development. LSA will
review the architectural details for the exterior walls to ensure that sufficient exterior-to-interior
noise attenuation will be achieved for the interior spaces. Any exterior wall assembly, which may
include walls, windows, and doors, will need to achieve the required noise attenuation; therefore,
upgrades will be recommended where necessary. This effort will be commensurate with the levels
of plans available at the time of the project kickoff.

Task 2.2:Cultural Resources Records Search
In order to provide a technical background for baseline conditions in the IS/MND, LSA will conduct
an in-person archaeological and historical records review and literature search at the South Central
Coastal Information Center(SCCIC)of the California Historical Resources Information System located
at California State University, Fullerton. The records search will include a 0.25-mile radius around
the project site. All pertinent references will be reviewed, and the extent of previously recorded
sites, surveys, and excavations within and immediately adjacent to the project site will be
determined.
Following completion of the record search, an LSA archaeologist will conduct an archaeological field
survey of the portions of the project site with exposed sediment. Although the project site is
primarily covered with asphalt and existing buildings, other areas consisting of exposed soil will be
surveyed for cultural resources, including the unpaved northeastern portion of the project site. This
scope assumes that no cultural resources will be identified during the record search or field survey
(negative findings). If resources are identified, LSA will inform the City and SBLP immediately to
develop a scope and budget for additional tasks. For example, cultural resources would be recorded
on State of California Department of Parks and Recreation (DPR) Series 523 forms in accordance
with the guidelines established by the State Office of Historic Preservation (OHP).
LSA will then prepare a letter report summarizing the results of the record search and archaeological
field survey. The letter report will include management recommendations and will be submitted to
the SCCIC in fulfillment of a requirement to access their archives.
In September 2019, LSA completed an evaluation of potential built environment historic resources
on the project site, specifically the former silo located within the Seacliff Office Park, under contract
to SBLP. The evaluation concluded that the former silo does not appear to qualify for listing in the
California Register of Historical Resources (California Register) and is not a "historical resource" as
defined by CEQA. Therefore, because the former silo on the project site has already been evaluated
and does not appear eligible for the California Register and the existing office buildings on the
project site were constructed less than 50 years ago, this scope does not include evaluation of any
historic-age buildings on the project site.
Task 2.3:Paleontological Resources Fossil Locality Search
LSA will conduct a fossil locality search through the Natural History Museum of Los Angeles County
to establish the status and the extent of previously recorded paleontological resources in the vicinity
of the project site, as well as within the same or similar deposits as those found in the area
surrounding the project site. LSA will also examine current geologic maps of the project site and
vicinity and review relevant geological and paleontological literature. This information will help
determine which geologic units are present within the project site and the types of paleontological
resources that may be encountered during project development. A field survey will be conducted to
identify any paleontological resources and to note the sediments at the surface. LSA will document
the results of the literature review, fossil locality search, and field survey in response to the
Environmental Checklist questions in Appendix G of the State CEQA Guidelines.The responses to the
Environmental Checklist questions will discuss the potential for the project to impact paleontological
resources, and, if needed,will include mitigation measures and other recommendations to minimize
these impacts.This scope of services does not include preparation of a stand-alone technical report.

LSA will review the Preliminary Hydrology Study prepared by 1LC Engineering and Consulting, Inc. to
determine whether it contains the necessary information related to storm water and flood control
for preparation of the Hydrology and Water Quality section of the IS/MND. LSA will also review the
Hydrology Study for consistency with the requirements of the 1986 Orange County Hydrology
Manual. Review of the Hydrology Study will be limited to those policies, requirements, and topics
relevant to the CEQA analysis and will not constitute an engineering-level technical review. LSA will
prepare a memorandum summarizing any additional information or revisions to the Preliminary
Hydrology Study required for preparation of the Hydrology and Water Quality section of the
IS/MND. This scope of services and budget is based on the assumption that the technical analysis is
adequate for incorporation into the IS/MND. LSA will conduct one secondary review of the report to
confirm the incorporation of suggestions based on LSA's peer review memorandum.
Task 2.5:Peer Review of Water Quality Management Plan
LSA will review the Preliminary Water Quality Management Plan (WQMP) prepared by 1LC
Engineering and Consulting, Inc. to determine whether it contains the necessary information related
to water quality for preparation of the Hydrology and Water Quality section of the IS/MND. LSA will
also review the WQMP for consistency with the requirements of the North Orange County WQMP
Template, the 2011 Model WQMP, and the County's 2013 Technical Guidance Document. LSA will
review the appropriateness of the pollutants of concern, downstream impairments, and Low Impact
Development (LID), Site Design, Source Control, and/or Treatment BMPs identified for the project
site. Review of the Preliminary WQMP will be limited to those policies, requirements, and topics
relevant to the CEQA analysis and will not constitute an engineering-level technical review. LSA will
prepare a memorandum summarizing any additional information or revisions to the Preliminary
WQMP required for preparation of the Hydrology and Water Quality section of the IS/MND. This
scope of services and budget is based on the assumption that the technical analysis is adequate for
incorporation into the IS/MND. LSA will conduct one secondary review of the report to confirm the
incorporation of suggestions based on LSA's peer review memorandum.
Task 2.6: Trip Generation Memorandum
LSA will prepare a Trip Generation Analysis Memorandum to document the potential net trip
generation of the proposed project (including demolition of the existing office building). LSA will
generate a.m. peak-hour, p.m. peak-hour, and daily trips for the project and existing use using trip
generation rates from the latest Institute of Transportation Engineers (ITE) Trip Generation Manual.
The memorandum will compare the existing and proposed trip generation and the potential effects
that the project will have on the surrounding circulation system. Based on the proposed uses, LSA
does not anticipate that preparation of a full Traffic Impact Analysis will be required.
Task 2.7:Air Quality, Greenhouse Gas Emissions, and Energy Analysis
Air Quality. LSA will evaluate the proposed project's air quality impacts in response to the Initial
Study Checklist questions in Appendix G of the State CEQA Guidelines. The air quality analysis will
include the following components: (1) an assessment of baseline air quality in the area based on
data from the South Coast Air Quality Management District (SCAQMD) and the California Air
Resources Board (CARB); (2) a quantitative assessment of project construction and operational
impacts using the California Emissions Estimator Model (CaIEEMod) based on SCAQMD thresholds of

significance; (3) a localized significance threshold (LST) analysis to evaluate the potential impacts on
nearby sensitive receptors from emissions from both short-term construction activities and long-
term on-site operations; (4) an assessment of potential odor impacts; and (5) a recommendation of
mitigation measures consistent with SCAQMD guidelines. This scope of services does not include
preparation of a stand-alone technical report for air quality, energy, and GHGs. The CaIEEMod
output files will be included as a technical appendix.
Energy. LSA will evaluate the project's impacts related to energy use in response to the Initial Study
Checklist questions in Appendix G of the State CEQA Guidelines. This discussion will address the
project's compliance with applicable energy efficiency standards and will cross reference the
discussion provided in the GHG emissions discussion as necessary. Energy data estimated using
CalEEMod will be reported.
Greenhouse Gas Emissions. LSA will evaluate the project's impacts on global climate change and
GHG emissions in response to the Initial Study Checklist questions in Appendix G of the State CEQA
Guidelines. LSA will provide a quantitative assessment of GHG emissions associated with all relevant
sources related to the project for which project data are available, including construction activities,
using CaIEEMod and based on the SCAQMD's interim numeric thresholds of significance. LSA will
also provide a qualitative assessment of the project's consistency with relevant plans and
regulations adopted for the purpose of reducing GHG emissions.
Task 2.8:Biological Resources Technical Memorandum
Database Search. LSA will review any relevant database records and other technical information
pertaining to the project site. LSA will conduct a records search of the California Department of Fish
and Wildlife (CDFW) California Natural Diversity Database (CNDDB), the California Native Plant
Society(CNPS) Inventory of Rare and Endangered Plants of California, and the United States Fish and
Wildlife Service (USFWS) Information for Planning and Consultation (IPaC) database, and use LSA
biologists' knowledge of southern California special-interest species to determine the likelihood of
any special-interest biological resources occurrence on site.
Field Survey.A biological assessment of the project site will be conducted by qualified LSA biologists
to document the presence/absence of any biological resources (i.e., species or habitats) of interest
or concern, or to determine the potential for occurrence of such resources that may not be
detectable when the fieldwork is conducted. This biological survey will document the locations of
any observable sensitive resources within or near the project site. Special attention will be paid to
bird nest habitat suitability in the former silo located on the central portion of the site.
Focused Bat Roost Survey.An LSA bat specialist will conduct a focused bat survey at the project site
to identify and locate any bat roosts within buildings that will be subject to impacts from demolition,
and to ascertain whether bats utilize the manmade water feature for foraging and drinking. The
focused bat survey will include two components. The first component will consist of a bat roosting
habitat assessment in which all buildings subject to impacts will be examined during the day for
suitable roosting habitat, such as crevices or cavities, as well as for any presence of bat sign (e.g.,
guano, urine staining, or vocalizations). The location(s) of any potential or confirmed bat roost sites
will be marked on an aerial map.The second component of the bat survey will consist of a nighttime
survey, which will be conducted in the evening beginning no later than one-half hour before sunset

and continuing until approximately 1 hour after sunset to detect day-roosting bats. The nighttime
survey will consist of acoustic monitoring(for species identification) and exit counts of any bats seen
emerging from the structure(s). LSA anticipates the need for up to four biologists (the qualified bat
biologist accompanied by up to three trained field assistants) to ensure adequate visual coverage
during the exit period of any potential roost sites present throughout the project site. Both
components of the focused bat survey may be conducted on the same day, in conjunction with the
nesting bird survey. A brief summary of findings, including a map detailing the location(s) of any
roost sites and special-status bat species,will be included in the report described below.
Preparation of a Memorandum. Following completion of the nesting bird and bat roost surveys, LSA
will analyze any acoustic data collected during the nighttime survey and prepare a brief biological
resources technical memorandum explaining the survey methods and findings, including a map
detailing the location(s) of any nest or roost sites and any special-status bird or bat species. This
memorandum will also address potential project-related impacts to birds and bats that may occur
from removal of the buildings and the manmade water feature. This scope of services does not
include the preparation of a jurisdictional delineation report in connection with the removal of the
manmade water feature.
Task 3: Preparation of the Initial Study/Mitigated Negative Declaration
LSA will prepare a Draft IS/MND for the proposed project consistent with the requirements of CEQA,
the State CEQA Guidelines, and the City. The IS/MND will include a description of the proposed
project (Task 1); a discussion of project objectives, the geographical setting, and related projects;
and any additional information required pursuant to State CEQA Guidelines Section 15063(d).
Preparation of an IS/MND includes the following subtasks.
Task 3.1:Screencheck IS/MND
LSA will prepare a Screencheck IS/MND and submit the document to SBLP and the City for review.
The format will be based on City requirements and will also meet CEQA compliance procedures.The
IS/MND will incorporate the technical analyses identified in Task 2 and the technical information
provided by SBLP.
If, based on the technical analyses, the proposed project may result in an impact that cannot be
reduced to a less-than-significant level, LSA will immediately apprise SBLP and the City of the issue
and work proactively with SBLP and City staff to identify the following: (1) additional measures,
project changes, or design features that may reduce the potential impact to a less-than-significant
level; or (2) the most expedient method of providing appropriate environmental clearance under
CEQA.
LSA will submit the Screencheck IS/MND and draft versions of the Air Quality, Energy, GHG, Air
Quality, Traffic, and Noise Analyses (which will be embedded within the IS/MND itself) to SBLP and
the City for concurrent review and comment. The Screencheck IS/MND will include all applicable
figures,exhibits, and appendices. For the purposes of this scope and budget, LSA will respond to one
round of comments from SBLP and the City on the Screencheck IS/MND. Comments received from
SBLP and the City must be consolidated (i.e., LSA must receive one set of nonconflicting,
consolidated comments from each).

Task 3.2:Draft!S/MND and Public Circulation
As described above, LSA will respond to comments on the Screencheck Draft IS/MND and complete
necessary revisions. LSA will provide the preprint version of the Draft IS/MND to SBLP and City staff
for a limited final review prior to printing. The purpose of submitting this preprint version of the
Draft IS/MND will be to review the changes to the document, resolve any remaining questions that
arise from comments, and verify that the City, as Lead Agency, is satisfied with the overall Draft
IS/MND. LSA specifies 24 hours of professional staff time for final corrections after receipt of
comments on the preprint version of the Draft IS/MND.
Once the preprint Draft IS/MND is approved for public review, LSA will distribute up to 10 hard
copies of the document and 10 electronic copies of the document (on CD) to a distribution list for
the proposed project that is developed by LSA with City staff input, review, and approval. This
distribution list will include responsible agencies and other relevant public agencies.The distribution
list does not include preparation of a "radius distribution list"for private addresses (i.e., neighbors).
If such a list is desired, it can be prepared and provided at an additional cost. LSA will also provide
15 electronic copies of the document (on CD) to the State Clearinghouse for distribution to State
agencies.
LSA will prepare a Draft Notice of Intent (N01) pursuant to Section 15072(a) of the State CEQA
Guidelines regarding the availability of a Draft IS/MND for public review, and distribute the N01 to
the City's mailing list of responsible and interested agencies. The City will be responsible for
publication of the public notice in a general-circulation newspaper. LSA will file the N01 with the
County Clerk to begin the required public review period. The City will be responsible for providing
checks for all necessary filing fees required by the County Clerk. LSA will also prepare and file a
Notice of Completion (NOC) with the State Clearinghouse. As noted above, 15 electronic copies of
the IS/MND will be provided to the State Clearinghouse for distribution to State agencies.
Task 3.3:Final IS/MND
LSA will prepare written responses to comments received on the Draft IS/MND that raise
substantive environmental issues and then submit the responses for review to SBLP and City staff
after the close of the public comment period. LSA will confer with SBLP and City staff to review
written comments and comments from any public meetings in order to develop a general
framework and strategy for the preparation of responses. LSA specifies 30 professional staff hours
for the preparation of responses to comments and preparation of the Final IS/MND.
As indicated in the Project Understanding section of this Proposal, it is LSA's understanding that the
project is anticipated to generate a low level of public controversy. Therefore, it is assumed that the
City will receive a limited number of comments and will not receive comments from legal counsel
representing interested parties or reviewing agencies during the public review period. If a large
number of comments are received, comments are submitted by legal counsel on behalf of
interested parties or reviewing agencies, or comments require additional technical analysis, a
budget augment may be warranted.
Any revisions to the IS/MND will be summarized in a memorandum or marked in the text by a line in
the margin. Responses to comments and associated changes to pages of the IS/MND will be

submitted to SBLP and City staff for one round of review. LSA's Scope of Work and budget assumes
one set of nonconflicting, consolidated comments.
After the proposed Final IS/MND has been reviewed by the City, LSA will prepare a Mitigation
Monitoring and Reporting Program (MMRP) in accordance with State CEQA Guidelines Section
15097 for use in ensuring implementation of the mitigation measures for the project. The MMRP
will list all mitigation measures presented in the IS/MND and identify the City department that will
be responsible for monitoring and/or implementing each mitigation measure.
Following the City's approval of the IS/MND, LSA will prepare and file a Notice of Determination
(NOD)with the County Clerk, which is anticipated to occur after the Planning Commission approves
the project. SBLP shall provide a check for all necessary filing fees to be submitted to the County
Clerk with the NOD. Once the NOD is filed with the County Clerk, LSA will provide the original fee
receipt and a copy of the filed NOD to the City for its records.
Task 4: Project Management and Attendance at Meetings
Task 4.1:Project Management
This task represents an active project management role to supervise the project schedule and
budget. The project management role provides a mechanism to ensure there is an adequate
exchange of information during project startup and preparation of the IS/MND. This task includes
notifying SBLP of problems as they are encountered and working expeditiously to resolve them. To
facilitate the dissemination of information, LSA's Project Manager will maintain ongoing verbal and
email communication with SBLP and City staff.
Task 4,2:Attendance at Meetings
LSA anticipates attendance by the Principal in Charge and the Project Manager at one project team
kickoff meeting, three progress meetings/conference calls prior to completion of the Final IS/MND,
and one Planning Commission meeting. LSA attendance at a City Council hearing regarding the
project is not included.
Attendance at meetings over the maximum number identified or attendance of additional technical
specialists at community meetings/public hearings will be on a time-and-materials basis with the
City's written approval, consistent with LSA's Schedule of Standard Contract Provisions and Billing
Rates (Appendix B).Table A lists the anticipated meetings.

amend the project site's zoning from Public and Semi-Public Zone (PS-1A) to Planned Community (PC). A
Conditional Use Permit and Tentative Tract Map were also required. Under the Cypress Greenbelt
Preservation and Open Spaces Initiative(Measure D), rezoning of PS-1A land requires the approval of Cypress
voters. LSA prepared an Air Quality and Greenhouse Gas Emissions Analysis, a Noise Impact Analysis, and a
Traffic Analysis for the project, and assisted the City with Native American Consultation per AB 52, The
IS/MND was adopted and the project was approved by the Cypress City Council on June 11, 2018. Cypress
voters rejected the ballot measure associated with the project in November 2018.
Barton Place EIR Addendum
Cypress,California
After the Cypress City Council certified the EIR for the Barton Place project and approved the project in
October 2015, modifications to the site plan and the land use mix on the southern portion of the Barton Place
project site were proposed due to changes in the local real estate market. The project involves the
replacement of three of the five approved commercial/retail structures with an assisted living facility that
would feature a mix of independent living and memory care units. Given Mr. Bensley's experience managing
the preparation of the Barton Place EIR, he was a natural fit to serve as LSA's Project Manager for this project,
which involved the preparation of an Addendum to the Barton Place EIR.The City Council considered the EIR
Addendum and approved the project on November 13,2018.
951-1001 Beach Boulevard Project
La Habra,California
Mr. Bensley served as the Assistant Project Manager for the preparation of an IS/MND for this project, which
involved the construction and operation of a multifamily residential (apartment) project on an approximate
10.5-acre site located at 951-1001 Beach Boulevard in the City of La Habra. The proposed project includes
construction of approximately 335 units with associated parking and a clubhouse/recreation center. LSA also
provided technical analysis for air quality,greenhouse gas emissions,noise, parking,and traffic and circulation.
The project was approved, and the MND was adopted by the La Habra City Council in June 2015. Construction
of the project was completed in early 2017.
Nakase Nursery/Toll Brothers Project EIR
Lake Forest,California
Mr. Bensley is currently serving as the Project Manager for preparation of an EIR for this project in the City of
Lake Forest, which involves the approval of an Area Plan that would facilitate the development of a 122-acre
site that is currently operating as an agricultural wholesale plant nursery into a master-planned community.
The Area Plan would establish guidelines for the future development of the planned community,which would
consist of up to 675 single-family residential units(contained in five distinct neighborhoods), up to 101 senior
affordable housing units, a proposed elementary school site, and over 28 acres of parks, open space, and
habitat restoration area. In addition to the approval of the Area Plan, the project requires the following
approvals from the City: (1) an Amendment to the City of Lake Forest General Plan; (2) a Zone Change; (3)
approval of a Planned Community Program; (4) approval of a Development Agreement between the City and

FEES FOR PROFESSIONAL SERVICES
Fixed-Fee Contracts
If a fixed-fee proposal, the professional services described in the Scope of Services Section of the
attached proposal shall be provided for the fixed fee noted in the proposal. Invoices will be generated on
a monthly basis based on the percentage of work completed and/or an agreed-upon schedule of values.
The fixed fee includes all labor and expenses required to complete the defined scope of work. Any
changes in the scope of work,significant delays or additional tasks will be considered extra services. Extra
services shall be provided on a time and expenses basis at the same rates specified for hourly contracts,
unless other arrangements are made in advance.
Hourly Contracts
If an hourly plus expenses proposal,the professional services described in the Scope of Services Section
of the attached proposal shall be provided on a time and materials basis at current hourly rates. These
rates are as shown on a Rate Schedule that is attached, or can be made available. Hourly rates are
subject to review at least annually on or about June 1 of each year, and may be adjusted to reflect
changing labor costs,at our discretion,at that time.(A schedule can be made available upon request.)
Direct costs (including cost of subconsultants) shall be reimbursed at cost plus 10 percent, unless other
arrangements are made in advance,and are not included in the hourly fee for professional services.
The total estimated amount of time and expenses noted in the proposal will serve as a control on the
services to be provided.The specified amount will not be exceeded without prior approval of the client.
EXTRA SERVICES
Services provided by LSA under this Agreement are defined in the Scope of Services Section of the
attached proposal. The Scope of Services was created with the intent of executing the specific tasks and
level of service requested by the client. Any additions, changes to the Scope or substantial delays to the
schedule as defined in the Scope will be considered extra services. Extra services shall be provided on a
time-and-expense basis at the hourly rates in effect when the extra service is provided, unless other
arrangements are made in advance. Extra services will be communicated to and authorized by the client
prior to commencing work. Should an alteration to the Scope include removing tasks or reducing the
scope of the level of service, LSA shall invoice for the work performed prior to receiving written notice of
the change.
INVOICING
Monthly invoices shall be submitted for progress payment based on work completed to date. LSA will
invoice the client using our standard invoicing format and will submit the invoice to the client via
electronic mail. Clients requesting changes to LSA's standard invoice or process for submittal may be
billed additional time to develop the invoice and monthly administration of the billing.

PAYMENT OF ACCOUNTS
Terms are net 30 days. A service charge of 1.5 percent of the invoice amount (18 percent annual rate)
may be applied to all accounts not paid within 30 days of invoice date.Any attorney's fees or other costs
incurred in collecting any delinquent amount shall be paid by the client.
STANDARD OF CARE
Services provided by LSA under this Agreement will be performed in a manner consistent with the degree
of care and skill ordinarily exercised by members of the same profession currently practicing under
similar circumstances. LSA will endeavor to maintain consistent staff on the project; however,
unforeseen issues outside of our control such as employee illness, relocation, injury or departure can
occur. From time to time, unforeseen circumstances require us to replace project staff or project
managers with other equally qualified staff in order to meet our commitments. The terms of this
proposal are not contingent upon work being performed by named staff. LSA reserves the right to
substitute equally qualified staff when necessary.
PROJECT DELAYS
The terms of this Proposal are based on the anticipated project schedule. In the event of unanticipated
project delays,the scope of services may be subject to amendment,change, or substitution.
INDEMNIFICATION
Client and consultant each agree to indemnify and hold the other harmless and their respective officers,
employees, agents, and representatives from and against liability for all claims, losses, damages, and
expenses, including reasonable attorneys'fees,to the extent such claims, losses, damages, and expenses
are caused by the indemnifying party's negligent acts,errors,or omissions.
ELECTRONIC FILE DATA CHANGES
Copies of documents that may be relied upon by client are limited to the printed copies (also known as
hard copies) that are signed or sealed by LSA. Files in electronic media format or text, data, graphic, or
other types that are furnished by LSA to client are only for convenience of client. Any conclusion or
information obtained or derived from such electronic files will be at the user's sole risk. When
transferring documents in electronic media format, LSA makes no representations as to long-term
compatibility, usability, or readability of documents resulting from the use of software application
packages, operating systems, or computer hardware differing from those of LSA at the beginning of the
assignment.
FORCE MAJEURE
Neither party shall be deemed in default of this Agreement to the extent that any delay in performance
of its obligation results from any cause beyond its reasonable control and without its negligence.
LITIGATION
In the event that either party brings action under the proposal for the breach or enforcement thereof,
the prevailing party in such action shall be entitled to its reasonable attorneys'fees and costs whether or
not such action is prosecuted to judgment.

NOTICES
Any notice or demand desired or required to be given hereunder shall be in writing, and shall be deemed
given when personally delivered or deposited in the mail, postage prepaid, sent certified or registered,
and addressed to the parties as set forth in the proposal or to such other address as either party shall
have previously designated by such notice. Any notice so delivered personally shall be deemed to be
received on the date of delivery, and any notice mailed shall be deemed to be received 5 days after the
date on which it was mailed.
TERMINATION OF CONTRACT
Client may terminate this agreement with 7 days prior notice to LSA for convenience or cause. Consultant
may terminate this Agreement for convenience or cause with seven days prior written notice to client.
Failure of client to make payments when due shall be cause for suspension of services, or ultimately
termination of the contract, unless and until LSA has been paid in full all amounts due for services,
expenses,and other related charges.
If this Schedule of Standard Contract Provisions is attached to a proposal, said proposal shall be
considered revoked if acceptance is not received within 90 days of the date thereof, unless otherwise
specified in the proposal.

Payment Schedule (Hourly Payment)
A. Travel. Charges for time during travel are not reimbursable
B. Billin
1. All billing shall be done monthly in fifteen (15) minute increments and matched to
an appropriate breakdown of the time that was taken to perform that work and who performed it.
2. Each month's bill should include a total to date. That total should provide, at a
glance, the total fees and costs incurred to date for the project.
3. A copy of memoranda, letters, reports, calculations and other documentation prepared
by CONSULTANT may be required to be submitted to CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall
identify specific requirements for satisfactory completion.
4. CONSULTANT shall submit to CITY an invoice for each monthly payment due.
Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm that the work
has been performed in accordance with the provisions of this Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making
satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall
approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the
invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an
invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the
schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the
parties agree that past performance by CONSULTANT is in, or has been brought into compliance,
or until this Agreement has expired or is terminated as provided herein.
5. Any billings for extra work or additional services authorized in advance and in
writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly rate charged
for such time. Such invoices shall be approved by CITY if the work performed is in accordance
with the extra work or additional services requested, and if CITY is satisfied that the statement of
hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
Any dispute between the parties concerning payment of such an invoice shall be treated as separate
and apart from the ongoing performance of the remainder of this Agreement.
