I ' I. Offer. Accentance of Offer. (a) Roadway Improvements. It is the intent of Offeror and the City that although the Roadway Easement Area shall generally be as described and depic[ed herein, the i delineation oflhe precise Roadway Easement Area and its final precise locution,configuration, i design and alignment shall be determined at such time as the City approves the final plans and specifications of Offeror(or its successor in ownership of the Development Property) for 1 construction oC roadway improvements on the Roadway Easement Area(the "Roadway Improvements"), which approval shall not be unreasonably withheld. I. Offer. The purpose of this offer is to satisfy a condition of approval imposed by the City with respect to Lot Line Adjustment No. 19-008 (the "LLA"), which LLA shall be recorded in the Official Records of Orange County, California (the "Official Records") prior to or substantially concurrently with this Offer, and to facilitate development of the property containing and located adjacent to the Roadway Easement Area (the "Development Property"). 3. Acceptance of Offer. (a) Roadway Improvements. It is the intent of Offeror and the City that although the Roadway Easement Area shall generally be as described and depicted herein. the delineation of the precise Roadway Easement Area and its final precise location, configuration. design and alignment shall be determined at such time as the City approves the final plans and specifications of Offeror (or its successor in ownership of the Development Property) for construction of roadway improvements on the Roadway Easement Area (the "Roadway Improvements"). which approval shall not be unreasonably withheld. The Roadway Improvements are expected to generally conform with those conceptual improvement plans dated February 20. 2020 prepared by Adams Streeter(a copy of which has been provided and are acceptable to the City). (b) Resolution of Acceptance. Subject to Section 4(c) below, Offeror and Offeree anticipate that the City will accept this Offer promptly after completion of the Roadway Improvements by adopting a Resolution of the City Council of the City (the 'Resolution of 1 Acceptance") that accepts the dedication of the Roadway Easement Area under the terms and conditions hereof as to the definite and fixed Roadway Easement Area (which shall be described in the Resolution of Acceptance) and that authorizes the appropriate City official to execute an instrument in substantially the form attached hereto as Exhibit C ("Acceptance"), which Acceptance shall promptly thereafter be recorded in the Official Records. 4. Environmental Matters. (a) Certain Definitions. As used herein. (i) the term "Hazardous Materials" means any and all hazardous or toxic wastes, substances, materials or constituents as defined in any applicable environmental, federal, state or local law, ordinance or regulation (including, without limitation, any asbestos, asbestos containing materials, polychlorinated biphenyls, oil, petroleum or any fraction thereof. or crude oil or any fraction thereof); (ii) the term "Environmmental Facilities" means monitoring, injection, and/or extraction wells, underground pipelines, utilities, subsurface vapor collection systems, soil vapor probes, subsurface Hater infiltration barriers and trenches, and related facilities and appurtenances. and such access security devices as Offeror may desire to prevent unauthorized access to and use of any of the foregoing; and (iii) the term "Lead Agency" means the Santa Ana Regional Water Quality Control Board or the applicable successor regulatory agency with primary jurisdictional authority to oversee characterization and remediation of Hazardous Materials at the Development Property. (b) Environmental Assessment. Prior to execution of this Offer. Offeror's environmental consultant performed an environmental investigation/assessment of the Development Property (consisting of Phase I Site Assessments and Phase II Sampling), including the Roadway Easement Area (the "Environmental Assessment"). The City acknowledges that it received and reviewed a copy of the Environmental Assessment as it pertains to the Roadway Easement Area and all data, documents. and materials referenced therein (collectively, the 'Roadway Environmental Assessment") to the City's satisfaction. To confirm the results of the Environmental Assessment of the Development Property, one groundwater monitoring well and two soil vapor probes have been (or shortly will be) installed in locations within the Roadway Easement Area, and it is possible (although not currently expected) that the Lead Agency may require installation and monitoring of additional Environmental Facilities in the Roadway Easement Area. If any such Environmental Facilities still exist at the time of construction of the Roadway Improvements, the Roadway Improvement Plans will include provisions for protecting them in place or having them removed and reinstalled in their current locations or other locations (at Of7eror's sole expense), subject to Lead Agency concurrence. (c) Environmental Assessment Results. Data from the Roadway Environmental Assessment indicates that subsurface impacts of I-lazardous Materials in the Roadway Easement Area are negligible and that no remediation of Hazardous Materials in the Roadway Easement Area ("Remediation") is anticipated or warranted. Nevertheless, it is possible (although not currently expected) that Hazardous Materials may be discovered at or under the Roadway Easement Area prior to completion of the Roadway Improvements and that the Lead Agency may require Remediation of such Hazardous Materials. In such event. Offeror and Offeree anticipate that the City will delay any acceptance of this Offer(even if the Roadway Improvements have been completed) until such Remediation is completed to the satisfaction of the Lead Agency (as evidenced by governmental clearance certificates, "no further action" letters (or their equivalent), and/or other similar approvals from the Lead Agency). In no event shall the City be responsible for Remediation of any Hazardous Materials at the Roadway Easement Area not caused or created by the City or its agents, employees, or contractors. (d) Offeror's Hazardous Materials Indemnity. Offeror shall indemnify and hold the City harmless from and against any and all claims, causes of action, liabilities, damages, and reasonable out-of-pocket expenses (collectively. "Claims'), which are asserted by third persons or entities on account of bodily injury (including death) or property damage asserted by such third party claimants arising out of or incurred in connection with Hazardous Materials located in the groundwater or soils in, on, or under the Roadway Easement Area to the extent that such Hazardous Materials were released into the environment by Offeror or its agents, employees. or contractors and (a) are located in, on, or under the Roadway Easement Area on the date of this Offer, or (b) migrate to or under the Roadway Easement Area after the date of this Offer from other real property owned by Offeror. Except to the extent the Claim is attributable to any negligence on the part of the City, its agents. employees. or contractors. such indemnity shall include all reasonable costs, attorneys' fees and expenses incurred in the defense of any such Claim. The foregoing indemnity is conditioned upon the City cooperating fully with Offeror in any defense or settlement of the Claim. The City shall provide prompt notice to Offeror of any claim or matter which is or may be indemnified against by Offeror hereunder, and the City's failure to give such prompt notice to Offeror shall result in the loss of the City's rights with respect thereto to the extent Offeror is prejudiced by the delay. 5. Reservations. The Roadway Easement is being offered for dedication to the City. and when it is formally accepted by the City, the following reservations (collectively, the "Reservations") will apply: (a) A temporary right and easement, that will terminate upon recordation of the Acceptance, in favor of Offeror and its successor and assigns (and its or their designees) to enter and use the Roadway Easement Area for grading and construction purposes relating to the development and improvement of the Roadway Easement Area. the remainder of the Development Property, and/or the adjacent property to the cast currently owned by Offeror (the "Easterly Property"). (b) A perpetual non-exclusive right and casement in favor of OfTcror and its successors and assigns (and its or their designees) to construct, replace, repair, maintain and install drainage and soils stabilization (lateral and subjacent support) facilities. as well as utility lines and facilities, in connection with development and improvement of the Roadway Easement Area. the Development Property, and/or the Easterly Property. (c) A perpetual non-exclusive right and easement in favor of Offeror and its designees to install, use, operate, maintain, repair, inspect, relocate. replace, remove, monitor. sample, decommission, and access Environmental Facilities, and to interconnect same with available public utilities, and to conduct any inspections, studies, surveys, tests, examinations and other similar activities on the Roadway Easement Area, all to the extent the same is/are required or appropriate to comply with the requirements of the Lead Agency or are otherwise 3 reasonably necessary for Offeror to complete the Environmental Assessment and to perform any required Renmediation. Any and all Environmental Utility Facilities shall be installed, used, operated, maintained, repaired, replaced, inspected, replaced, removed and monitored by Of7cror in accordance with applicable federal. state and local laws and regulations and done in manner which is environmentally sound and is consistent with that expected from a reasonably prudent owner and operator of similar improved real property (and all wellheads and related appurtenances such as valves, meters, relevant connections to pipelines, and cleanouts shall be completed at or below grade and housed in at-grade vaults rated for vehicular traffic, where applicable). Offeror shall repair at Offeror's sole cost any damage to the Roadway Improvements caused by Offeror or Offeror's agents. employees, or contractors in connection with the exercise of the rights granted to Offeror hereunder. The City shall cooperate with Offeror in a commercially reasonable manner in connection with Offeror's exercise of its rights tinder this Section 5, and shall schedule and coordinate in advance with Offeror any construction or related activities performed by the City on or about the Roadway Easement Area, including instituting reasonable precautions to protect all then-existing Environmental Facilities. The City shall promptly notify Offeror of any damage caused by the City or its agents, employees. or contractors to the Environmental Facilities, and shall promptly repair any such damage at its sole cost and expense (or, alternatively, Offeror may remedy such damage and the cost thereof shall be promptly reimbursed to Offeror by the City). 6. Use of Roadway Easement Area. The Roadway Easement Area shall be used by the City for public street (and public utility) purposes, and for no other purpose. 7. Condition of Title. The City shall accept the Roadway Easement Area subject to the Reservations and to all matters of record or apparent. Except f'or (i) one or more purchase and sale agreements that Offeror may enter into with third parties relating to the Development property, and (ii) contracts or agreements relating to the Roadway Improvements, or related to exercise of Offeror's rights under the Reservations or other matters of'record. Offeror shall not hereafter voluntarily cause or permit any new oral or written leases, contracts, casements, liens. or encumbrances on all or any portion of the Roadway Easement Area that could materially adversely affect the City's Roadway Easement rights hereunder. 8. Offer Runs With Land. The provisions of this Offer shall run with the land and shall inure to the benefit of Offerce and be binding upon Offeror and Offeror's successors and assigns in ownership of the Development property, whether or not reference to this Offer is included in the deed transferring title of the Development Property to such successors or assigns; provided, however, that the rights and obligations of Oflcror under Section 4 and Section 5(c) shall be solely for the benefit of The Boeing Company, a Delaware corporation ("Boeing"). and its designees, and shall be binding only upon Boeing (and not its successors or assigns in ownership of the Development Property). ]Signature page Follows] 4 IN WITNESS WHEREOF, Offeror has executed this instrument as of the day and year first above written. We recommend the following actions to complete the recording of the lot line adjustment. ❑ Verify the owners listed on the lot line adjustment against a current title report or lot book guarantee. A GRANT or QUITCLAIM deed is required for conveyance. Each deed shall be signed and notarized by the record owner. The deeds shall record concurrently with the lot line adjustment. ❑ Any existing Deed of Trust on the parcels being adjusted should be modified and . recorded concurrently with the lot line adjustment. Consent to the lot line adjustment by a party or entity holding a beneficial interest in the property shall be reflected in a modification of the Deed of Trust, including, as appropriate any partial reconveyance necessary to affect the intent of the lot line adjustment. The modification and if required, partial reconveyance shall be executed in the manner of conveyance of real property and recorded concurrently with the deed. Each MODIFICATION OF DEED OF TRUST shall be signed and notarized by all parties. (This is a County of Orange policy only.) We have reviewed this lot line adjustment for technical correctness only.
