SIDE LETTER AGREEMENT Representatives of the City of Huntington Beach ("City") and 444 Unlimited, LLC ("Licensee") have met and conferred and hereby agree to clarify the following terms contained in the License Agreement entered into on June 15, 2020: Section 1 — Use of the Mark The City reserves the sole right to use its"OneHB" mark on any merchandise, publication, information, or in any other manner of City business. As such, the City markets all OneHB merchandise produced by the Licensee, via various media outlets including, but not limited to, social media, print, and television platforms. To expand its marketing reach, the City also authorizes the Licensee to promote its OneHB merchandise through its own media outlets, with certain stipulations. The Licensee's marketing materials, as presented in its OneHB Marketing and Advertising Plan (Attachment A) must be presented to the City for approval on a bi-weekly basis. The City will provide any approvals within 7 days to provide Licensee with sufficient time to schedule content for release on various marketing channels. The City will not unduly withhold any approvals, provided the marketing materials are appropriate to all audiences and do not promote concepts that are not consistent with this License Agreement and its purpose to generate funds for the OneHB program. Side Letter Implementation Except as specifically modified herein, all other terms and conditions of the aforementioned License Agreement shall remain in full force and effect. By doing this it will allow One HB to build a brand identity that tells a community unifying story by offering a tailored, consistent, and cohesive creative aesthetic with a clear vision, message and mission. Presence on various social media channels will essentially give One HB a "home" in the social media world and allow people to find us and get to know us. Social Media Marketing The intended social media platforms to be used: • Facebook: The creation of a One HB Facebook page will provide an outlet for content driven marketing as well as allow for targeted advertising opportunities. • Instagram: Having a dedicated One HB Instagram account that we can post to on a daily basis allows for a place for followers to see what we are about, the opportunity to tell a visual story, target advertising, and broaden our reach and demographic • Twitter: While we may not utilize Twitter right away, it is another way to widen our reach. • City based channels: As a supplement to ongoing daily efforts to market the brand on its own channels, One HB hopes to tap into the various channels of marketing the City has at its disposal on occasion. Advertising 444/One HB requests the ability to advertise with approved content at its discretion. 444 will assume the cost of advertising outside the scope of City influenced and/or controlled channels. • Facebook ads • Instagram ads • Sands Magazine ads • Collaborations with local businesses • Collaborations with local events • One HB initiated events • etc Content • Imagery inspired by HB lifestyle • Historical insight about the city of HB, culture, buildings, & businesses • Surf culture • HB community events & services • Personality/influencer spotlights • Business spotlights • Including HB interests inside and outside downtown • Upcoming events & event coverage Content will be submitted on a bi-weekly basis for approval. This will give all parties the opportunity to feel comfortable about the image being portrayed and the story being told. Ideally approvals will be given within 7 days to allow for ample time to schedule content for release on various marketing channels. The hope is that in time 444 will earn the confidence from the City to post largely at its discretion. Financial Impact: Throughout the term of the agreement, the City will receive a percentage of gross revenues from the sale of all "oneHB" items, as follows: • Twenty percent (20%) of the gross revenues collected on all retail sales of merchandise bearing the Servicemark/Trademark/Logo • Ten percent (10%) of the gross revenues collected on all wholesale sales Merchandise produced under this agreement will include t-shirts, hats, car window stickers, tote bags, beach towels, and other miscellaneous items. These revenues will be dedicated to the oneHB Business Support Fund until the City decides that the funds should be utilized elsewhere. Alternative Action(s): Do not approve the license agreement, and direct staff accordingly. Analysis: Several months ago, members of City staff began working on a business support program with the goal of rallying our community in support of our businesses who have been negatively affected by the COVID-19 pandemic. Staff and members of the community felt that "oneHB" was the perfect unifying theme for this program. On June 1, 2020, the City Council approved a Memorandum of Understanding for this business support program that laid the groundwork for community and philanthropic support of our business community. While in the creation stage of the business support program, staff reached out to several community members to begin a dialogue as to ways in which we can promote the program and the concept that we are oneHB as a community. As part of the that process, staff reached out to their contacts at Hurley, a long-standing business in HB, and avid supporter of "HB Life," for assistance with design concepts for a unifying logo to be used. The logo seen on attachment A was selected, along with another logo created by one of our City team members for the campaign. Our contact at Hurley has also donated 100 blank t-shirts to be screened with the logos and utilized to begin to create a buzz in the community for the campaign. During this process, our contact at Hurley brought in one of their screen printers 444 Unlimited LLC (AKA Inkwright), also a local Huntington Beach based business, to assist with the printing of the donated merchandise. The owners of Inkwright have been very involved in many programs here in HB, such as Operation Surf, Free Wheelchair Mission, Heifer International, and Operation Open Water. They were immediately excited to be a part of this project, and understand the long term unifying value that the oneHB message can have for our community. Through a series of conversations, staff and the owners of Inkwright developed an agreement that would provide a licensing percentage of gross receipts of the sale of merchandise with the oneHB logos going to the Business Support Fund. Inkwright will work with local retailers to supply high-end products with the oneHB logos on a wholesale basis for sale in stores, such as Huntington Surf & Sport and Jack's Surfboards, as well as host their own pop-up retail sales to promote the sale of the merchandise. Staff will be working with the Chamber of Commerce to host pop-up events, where allowed, at the location of some of our businesses who have been affected by the COVID-19 pandemic, to also help bring customers to their locations. The License Agreement is for a three (3) year term with an option for a one five (5) year extension. Throughout the term of the agreement, 444 Unlimited will pay into the Business Support Fund, or at a certain time in the future, if decided, to the City, twenty percent (20%) of the gross revenues collected on all retail sales of merchandise bearing the Servicemark/Trademark/Logo, and ten percent (10%) on all wholesale sales. WHEREAS, CITY is in the process to service mark and trademark(the "Mark") "oneHB" and LICENSEE desires to use the Mark on clothing, hats, and miscellaneous novelty items as specified in this Agreement, NOW, THEREFORE, it is agreed by CITY and LICENSEE as follows: 1. USE OF THE MARK The use of the Mark by LICENSEE under this Agreement is limited to the following goods, products or merchandise ("merchandise"): Clothing Headgear License Plate Frames Key Chains Beverage Cups/Mugs Sports Bottles Tote/Beach Bags Seashells Posters, Flags, Banners, Plaques Artwork Miscellaneous Wearables Miscellaneous Novelty Items Beach Towels The LICENSEE may request the use on other merchandise (that is, merchandise not listed above) from the CITY and the CITY may, as it deems appropriate and in its sole discretion, approve such use on other merchandise by an amendment to this Agreement. This Agreement is not an exclusive agreement for the use of the CITY's oneHB trademark and CITY reserves all rights to use its Mark for use on any merchandise, publications, information, or in any other manner of CITY business. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with LICENSEE in the performance of this Agreement. 3. TERM AND TERMINATION OF AGREEMENT The term of this Agreement shall be a three year period commencing upon execution of this License Agreement by the Mayor, and ending three years thereafter, provided, however that either CITY or LICENSEE may terminate the Agreement at any time without cause with ninety 20-8624/229256 1 RECEIVED 2020 JUN 19 PM 12: 31 CITY CLERK CITY OF HUNTINGTON BEACH i I I I I I i I I (90) days prior written notice to the other party. The parties may agree in writing to extend the Agreement for one additional five-year term. 4. COMPENSATION A. Beginning October 1, 2020, and QUARTERLY thereafter, as compensation for the use of the Mark under this Agreement, LICENSEE shall pay to the City Twenty percent (20%) of the monthly gross revenues collected by LICENSEE on all retail merchandise bearing the Mark sold by LICENSEE and Ten percent (10%) on all wholesale items bearing the Mark. "Gross revenues" shall not include sales taxes, but shall include all sources of retail. B. If the payment required as set forth herein is not received by the City Treasurer within twenty (20) calendar days after the end of the month for which the payment is due, or the end of the next business day if the twentieth day falls on a weekend or holiday, LICENSEE shall pay the following late charge and penalty: (1) a late charge of ten percent (10%) shall be applied to any outstanding balance after any payment hereunder is due but unpaid; and (2) one and a half percent (1.5%)penalty per month shall be added for each month the payment is due but unpaid. With respect to any other payments required by LICENSEE, a one and half(1.5%) penalty per month shall be added for each month such payment hereunder is due but unpaid. 5. BOOKS AND RECORDS A. Commencing in October and each quarter thereafter during the term of this Agreement (including any extension thereof), LICENSEE shall prepare, maintain and transmit to CITY a quarterly statement of all wholesale and retail merchandise sold by it during the previous month. Each such quarterly statement shall be submitted to CITY no later than twenty (20) days after the end of the previous calendar month. For example, LICENSEE's first quarterly statement shall be submitted to CITY no later than 10 days after the quarter ends, and shall cover LICENSEE's sales during quarter. B. CITY shall have the right to inspect LICENSEE's books and records stated and described in this section and to conduct a financial audit of such books and records at any reasonable time during normal business hours. C. LICENSE shall at all times keep or cause to be kept, complete and accurate records and books of account showing the total amount of gross sales of any retail or wholesale merchandise covered by this Agreement. D. LICENSEE agrees to maintain for a period of three (3) years following the close of each calendar month all records and books of account and all cash register tapes showing or in any way pertaining to the sale of retail or wholesale merchandise covered by this Agreement. 20-8624/229256 2 6. USE OF CITY SEALS AND LOGOS CITY reserves the sole right to approve the use of protected CITY seals and all other protected CITY -provided logos or marks as it may deem appropriate, excluding license agreements previously entered upon. 7. SALES TAX COLLECTION AND REPORTING LICENSEE shall be responsible for the collection of all sales taxes on the retail sales generated under this Agreement. LICENSEE shall be responsible for preparing, reporting and remitting all required sales tax returns and sales taxes to the State of California. LICENSEE shall provide CITY with a copy of all sales tax returns as they are submitted to the State by LICENSEE. 8. INDEMNIFICATION DEFENSE HOLD HARMLESS LICENSEE hereby agrees to protect, defend, indemnify and hold and save harmless CITY, its officers and employees against any and all liability, claims, lawsuits,judgments, costs and demands, however caused, including those resulting from death or injury to LICENSEE's employees and damage to LICENSEE's property, arising directly or indirectly out of the obligations or operations herein undertaken by LICENSEE, including those arising from the passive concurrent negligence of CITY, but save and except those which arise out of the active concurrent negligence, sole negligence, or the sole willful misconduct of CITY. LICENSEE will conduct all defense at its sole cost and expense. CITY shall be reimbursed by LICENSEE for all costs or attorney fees incurred by CITY in enforcing this obligation. 9. WORKERS' COMPENSATION LICENSEE shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of the California Labor Code and all amendments thereto; and all similar state and federal acts or laws applicable- and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney's fees and costs presented, brought or recovered against CITY, for or on account of any liability under any said acts which may be incurred by reason of work to be performed by LICENSEE under this Agreement. LICENSEE shall obtain and furnish to CITY, as required by the State of California, evidence of maintenance of statutory workers' compensation insurance and employers' liability in an amount of not less than $1,000,000 per accident for bodily injury or disease. If the organization/company has no compensated employees working, LICENSEE may complete and return a "non-employer status" form to be used in lieu of a workers' compensation insurance certificate. 20-8624/229256 3 10. GENERAL LIABILITY INSURANCE LICENSEE shall obtain and furnish to CITY a policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify LICENSEE, its officers, agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with this Agreement, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of$1 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name CITY, its officers, agents and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to this Agreement shall be deemed excess coverage and that LICENSEE's insurance shall be primary. 11. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, LICENSEE shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement, said certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force and shall promise to provide that such policies will not be canceled or modified without thirty (30) days prior written notice to CITY. LICENSEE shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by LICENSEE under this Agreement. CITY or its representative at all times have the right to demand the original or a copy of all said policies of insurance. LICENSEE shall pay, in a prompt and timely manner, the premiums on all forms of insurance hereinabove required. 12. INDEPENDENT CONTRACTOR LICENSEE is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. LICENSEE shall secure at its expense, and be responsible for any and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for LICENSEE and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 13. CITY EMPLOYEES AND OFFICIALS LICENSEE shall employ neither CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code Section 1090 et seq. 14. NON-ASSIGNABILITY 20-8624/229256 4 LICENSEE shall not sell, assign, transfer, convey or encumber this Agreement. Any such sale, assignment, transfer, conveyance or encumbrance shall be deemed null and void as to CITY and shall be of no force and effect. 15. NOTICES Any notices of special instructions required to be given in writing under this Agreement shall be given either by personal delivery to LICENSEE's agent or to CITY's Office of Business Development as the situation shall warrant,or by enclosing the same in a sealed envelope,postage prepaid, and depositing the same in the United States Postal Services, addressed as follows: TO CITY: TO: LICENSEE: 444 UNLIMITED LLC ATTN: DANNY NICHOLS 5822 Research Drive Huntington Beach, CA 92649 16. IMMIGRATION LICENSEE shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 17. LEGAL SERVICES SUBCONTRACTING PROHIBITED LICENSEE and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. LICENSEE understands that pursuant to Huntington Beach Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by LICENSEE for whatever reason. 18. JOINT AND SEVERAL LIABILITY OF GENERAL PARTNERS The parties acknowledge that LICENSEE is a California Limited Liability Corporation. Under California law, specifically Corporations Code § 16306(a), general partners are liable jointly and severally for all obligations of the partnership unless otherwise agreed to by the claimant or provided by law. By executing this Agreement 444 Unlimited LLC acknowledges that they are jointly and severally liable to CITY for all of LICENSEE's obligations under this Agreement. 20-8624/229256 5 20. ENTIRETY The foregoing sets forth the entire Agreement between the parties, and supersedes any prior agreements.
